SOLICITATION. THE CLOSING TIME/DATE IS SPECIFIED IN BLOCK 9 OF PAGE 1 AND GIVEN IN

EASTERN STANDARD TIME. PLEASE NOTE THAT THE SPECIFIED TIME/DATA MAY BE

CHANGED BY FUTURE AMENDMENTS TO THE SOLICITATION, IF ANY ARE ISSUED.

11. First Article requirements will be waived where all the following five conditions are satisfied:

a. 24 months or less since the manufacturer has produced the item.

b. The manufacturing line used to produce the item has not been significantly altered and/or relocated.

c. The manufacturer will be using the same material suppliers.

d. No significant changes to the assembly procedures.

e. No significant changes to key manufacturing personnel.

12. The Government intends to award up to two (2) Firm Fixed Priced, IDIQ contracts for CLINs 0001-0004 to the responsible Offeror or Offerors submitting a proposal that represents the best value to the Government.

The Government reserves the right to make a single award or to make up to two contract awards. In the event that two contract awards are made the Government reserves to have other than a 50/50 quantity percentage split and reserves the right to reassess the determination of what the quantity percentage split will be between the two contractors between 18 and 24 months from the effective date of contract (reassessment 1) and again between 30 and 36 months from the effective date of contract (reassessment 2). The Government reserves the right at the time these reassessments are made to change the percentage split, including the possibility of determining to not issue any further orders under one or both contracts. The reassessments will be based on past performance (i.e. quality and timeliness on the existing contracts only) and existing contract pricing. However, during reassessments contractors will be afforded the opportunity to propose decreased contract pricing, but not increased pricing. On the reassessments past performance will be significantly more important than price.

The overall maximum quantity will be 9,000 units of CLIN 0002 and 0003 combined. Each contractor will receive at least a contract minimum of 600 units of CLINs 0002/0003 combined. During any time that split awards are in place, each contractor shall have a share of at least 200 units of each order placed of CLINs 0002/0003 combined. Thus, at the delivery order level, the minimum ordering quantity for each contractor will be 200 each of CLINs 0002/0003. As indicated above, the Government reserves the right to have other than a 50/50 split, but if the quantities being procured on a given delivery order are so low that a contractor’s percentage split results in less than 200 units, 200 units will still be awarded to the contractor with the lower percentage split resulting in a different percentage split for that particular order. Other than these low quantity delivery orders, the Government will utilize the percentage split determined at contract award on all orders until the time reassessment 1 occurs. The Government will utilize the percentage split determined at reassessment 1 until reassessment 2 occurs. The Government will utilize the percentage split determined at reassessment 2 for the remainder of the ordering period. The maximum ordering quantity at the delivery order level will be 1,800 each and may split between two contractors or may be awarded to one contractor if a single award is in place.

13. Counterfeit materiel is a serious threat to the safety and operational effectiveness of DoD systems. The Contractor (and subcontractors at all tiers) shall implement a risk mitigation process when obtaining critical or high risk materiel in accordance with paragraphs (a) and (b) below:

(a) If the materiel is currently in production or currently available, the materiel shall be obtained only from authorized sources. Authorized sources are the original manufacturer, a source with the express written authority of the original manufacturer or current design activity, or an authorized aftermarket manufacturer.

(b) If the materiel is not in production or currently available from authorized sources, the materiel shall be obtained from suppliers that meet appropriate counterfeit avoidance criteria. Counterfeit avoidance criteria can be found in the following Industry Standards - SAE AS5553A; SAE AS6462; SAE AS6081; SAE ARP6178; SAE AS6174A; and SAE AS6301.

Contractors shall notify the contracting officer when critical or high risk materiel cannot be obtained from an authorized source. The contractor shall take mitigating actions to authenticate the materiel if purchased from another source.

The contractor shall report instances of counterfeit and suspect counterfeit materiel to the Contracting Officer and the Government-Industry Data Exchange Program (GIDEP) as soon as the contractor becomes aware of the issue.
