MK-41 VLS Statement of Work

SECTION C --- DESCRIPTION, SPECIFICATIONS AND WORK STATEMENT

I. GENERAL

This SOW provides the terms, conditions and provisions for the establishment and operation of a Performance

Based Logistics (PBL) contract for the MK-41 Vertical Launching System (VLS) items on Attachment A. This SOW cites the specific requirements for the Contractor to manufacture, repair, or provide space/repair parts and defined Integrated

Logistics Support (ILS) elements, if applicable, in a PBL environment. The Contractor is required to perform program management responsibility and meet performance requirements specifically defined in the Section H - Performance Metrics.

The government shall place orders for its requirements with the Contractor for the duration of this one year period. The unit of issue for orders shall be one LOT and are subject to the terms and conditions of the contract. LOT means an identifying number assigned by the enterprise to a designated group of items.

The purpose of this contract is to maintain the Performance–Based Logistics (PBL) operations applicable to the MK- 41

Vertical Launching System (VLS), not including the UYK-44 LCU and peripherals and the Advanced Launch Control Unit

Peripheral (ALP). The Contractor will provide material applicable to the MK-41 Vertical Launching System used on U. S.

Navy applications and Cooperative Logistics Supply Support Agreement (CLSSA) countries – specifically the German F123 and F124, Japanese DDG 2313 and DD 2230, Australian F150, Spanish F100, and Norwegian - Nansen Ship Classes. The

Contractor will accomplish this in response to annual delivery orders for the one year effort, which will provide the destinatio ns and other pertinent information per the performance metrics addressed in Section H – Performance Metrics. All other FMS requisitions, including non-CLSSA requirements, are considered non-recurring. The Contractor is also obligated to receive and track government-owned assets (carcasses) and warehouse and track government-owned inventory transferred into its custody at or after contract award.

II. Government Responsibilities

1. ASSET RETURNS

a. Attachment A (MK-41 VLS NIINs, Demand Forecast and Material – Repairable Items) identify the predicted demand, range and depth.

b. The Government is responsible for delivering the “F” condition (failed) carcasses from the Advanced Traceability and Control (ATAC) to the Contractor‘s facility.

c. Fleet-returned failed parts “F” condition carcasses, will be returned to the Contractor within 45 days from notification of shipment for the requisition through th e Comm er cial A ss et Visi bi li t y ( CAV) system.

d. For Carcasses not received by the Contractor within 45 days from notification of shipment for the requisition, the Contractor shall monthly inform the NAVSUP WSS Program Manager via email (CDRL A001) of the non-receipt carcasses. The Contractor will include in such notification the Contractor’s stock position. The Contractor shall provide a second notification if the carcass is not received by t h e Contractor within 90 days after contractor’s notification of shipment. The Contractor will include in such second notification the Contractor’s stock position.

e. The Contractor may request an equitable adjustment for the difference between the spare price and the repair price for requisitions containing Advice Codes 5G and 5S that do not produce a carcass within 90 Days after the Contractor’s CAV notification of shipment of the “A” condition item unless the item is defined as having excess (RFI/NRFI) inventory. The

Contractor will perform the carcass analysis (based on A001 Monthly Reports for Non-Carcass returns) to be reviewed by

NAVSUP in accordance with the annual review. Although the Government will attempt to return 95% of carcasses within 45 days, the only equitable adjustment for which the Contractor may be entitled is for carcasses not returned within 90 days.

f. All “A” condition material turned into Fleet Industrial Support Centers (FISC), called Material Turned-Into- Stores (MTIS), shall be subsequently shipped to the Contractor for possible requisition fulfilment under this contract and is

Government inventory unless otherwise specified by delivery orders. Equitable contract price adjustments will be considered during the Annual Meetings if the Contractor utilizes these assets (1) for fills or (2) to decrease/offset planned buys or repairs.

III. Contractor Responsibilities

1. GOVERNMENT INVENTORY

a. The levels of inventory required to meet the performance metrics of this contract will be the sole responsibility of the Contractor for the contract term. It will be at the Contractor’s discretion whether a requisition will be filled using a new part or repair of an “F” condition carcass.

b. Once the Contractor signs for material received, damage, loss or destruction of government property will be investigated by the ACO for a final determination of liability by the Contracting Officer. The Contractor shall not be liable or deemed to be in default for any delay, interruption, or failure in performance under this contract resulting from the following events: acts of God, acts of civil or military authority; acts of the public enemy; war; accidents, fires, explosions, power surges, earthquakes, floods, or unusually severe weather; strikes or labor disputes other than the Contractor; delays in transportation or delivery outside the reasonable control of the affected party; epidemics; and any similar event beyond the affected party‘s reasonable control (Force Major Event). For the MK-41 system, costs associated with excessive material losses from catastrophic events, such as missile misfires, hangfires and/or restrained firings, Launcher inadvertent deluge events, etc., shall be negotiated under separate agreements as part of the Unforecasted CLIN. Requisitions resulting from such events will not be covered by contract performance metrics.

2. ASSET REPORTING/ REQUISITION PROCESSING

a. Asset Reporting

All NAVSUP WSS assets, received, stored, repaired, manufactured, or shipped by the Contractor shall be reported electronically to NAVSUP WSS via WEBCAV (Commercial Asset Visibility) or otherwise designated system identified by the contract. WEBCAV SOW is included as Attachment C.

b. Requisition Processing

( i ) NAVSUP WSS will transmit requisitions to the Contractor electronically using a Material Release order, MILSTRIP Document Identifier Code (DIC) A5_ . Within the MK-41 VLS PBL Contract, the Contractor will only process requisitions for MK-41 VLS items from MK-41 VLS users. When a requisition is received and filled, the Contractor shall submit a D7A TIR to NAVSUP WSS. The Contractor must provide a weekend point of contact(s) for the Global Distance Support Center and/or NAVSUP WSS Duty Officer to call in the event a CASREP requisition has to be passed to the Contractor. When the shipper picks up the material, a Material Release

Confirmation (DIC AR0) will be submitted to NAVSUP WSS. If no asset is available to fill a requisition in the time specified in Table 1, the Contractor shall, within 3 days of receipt of the requisition (excluding CASREPs and PR 01-

03), submit a Supply Status (DIC AE6) with status code ‘BA‘ and Estimated Shipping Date (ESD). For CASREP and PR 01-03 requisitions where no asset is available to process the requisition in the time in Table 1, the Contractor will provide the government with status, including an ESD, within 24 hours after receipt of the requisition. If the original ESD cannot be met, the Contractor will supply an updated Supply Status (DIC AE6) to NAVSUP WSS citing a new ESD. If Contractor determines that the requisition is not valid (e.g., not an item listed on the orders list of authorized NIINs (Attachment A), not a valid user (Attachment F – Registered Users/MK-41 VLS Fleet

Population), requirement previously supported, etc., after contacting the NAVSUP WSS Inventory Manager (IM) or

PM, a Material Release Denial (DIC A6) will submitted to NAVSUP WSS. Material Release Denials can also be used to reject “partial quantities” if the Contractor determines that the ship has requisitioned too many. Customer

Cancellations: NAVSUP WSS will transmit a Supply Source Cancellation (DIC AC6) to the Contractor to request cancellation of a previously submitted requisition. If an asset has not been shipped, the Contractor will respond with a

Supply Status (DIC AE6) citing status code “DCB” advising that the requisition has been cancelled. If an asset has already been shipped, the Contractor will respond with a Supply Status (DIC AE6) citing status code “B8” advising that the requisition will not be cancelled.

Status reporting as called for in this paragraph shall not relieve the Contractor of its obligation to meet the PBL support

Fill Rate metric or any other performance metric required.

All the A _ _ series TIRs listed above must be transmitted through CAV.

( ii ) Recurring Requisition Pr ocessing - The following requisition types are included in the recurring demand of Attachment A:

All U.S. Navy requirements where a carcass return is expected, Cooperative Logistics Supply Support Agreement

(CLSSA) and CLSSA Repairable Item Replacement Option (RIRO) Foreign Military Sales (FMS) requirements.

These recurring demands are subject to the VIQ (Section H) and all metrics. A “P” in the first position, and a “V” in the sixth position of the document number identifies an FMS CLSSA requisitions. However, CLSSA requisitions for

NIINs subject to the terms outlined in Section C.III.9, FMS DMS items are excluded.

The response metric for those items with no “A” condition stock and no current demand will be based on either RTAT

(where F stock exists) or PLT (where no F stock exists or where the item is not repairable). In and out of production

RTAT and PLT are defined for each item in Attachment A. No-stock/no-demand items are listed in Attachment A.

(iii) Non -Recurring Requisition Processing - The following requisition types are not included in the recurring demand of Attachment A:

a. On Board Allowance (OBA) requisitions are required to fill a first time on- board spare outfitting requirement. These outfitting requisitions are identified by a requisition fund code of V0 or V7. The OBA requirements and required delivery dates are stated in Attachment D - NAVSUP WSS Planned Program

Requirements OBA Quantities) based on the DDG Class COSAL Schedule- established ‘Load 3‘ dates and will be subject to the Fill Rate Metric only. They are not to be included in the VIQ. The Contractor shall submit a

DD250 in accordance with the OBA CLIN for payment. Requirements where existing stock cannot support

OBA Non-Recurring requisitions, the Contractor shall contact the WSS Program manager for further direction.

b. United States Navy (USN) Non Recurring Demand (NRD) requisitions are generated by the user without prior notification to NAVSUP WSS and cannot be planned. NRD requisitions are those where a carcass turn-in is not expected. The Contractor will screen USN NRD requisitions for validity. If invalid, process in accordance with

Section III.2.b.(i). If valid, and the Contractor decides that excess stock exists to fill the requisition without negative impact to recurring demand, the Contractor may fill the requisition with excess stock. If excess “A” condition stock is used, the Contractor shall notify the PCO and the order will be modified to adjust the negotiated item price to reflect a handling fee in lieu of the repair or spares pricing.

If excess stock is used, the NIIN will be subject to an authorized inventory reduction and will be discussed during semi-annual reviews for Fill Rate Metrics. USN NRD requisitions are subject to the Fill Rate and ACRT Metric, but are not to be included in the VIQ. Requirements where existing stock cannot support US NRD requisitions, the Contractor shall contact the WSS Program Manager for further direction. Non-recurring Demand requisitions will not be filled until receipt of a separate funded contractual vehicle issued by the Government. The Contractor shall submit a DD250 for each of these separately funded contract vehicles.

c. Non-CLSSA FMS requisitions will be reviewed by the Contractor within 7 days of receipt of requisition. If

Contractor decides that excess stock exists to fill the requisition without negative impact to recurring demand or USN

NRD supply support, the Contractor may fill the requisition. If excess ‘A’ condition stock is used, the Contractor shall be entitled to a handling fee against the FMS Non-CLSSA CLIN. If excess “A” condition material is used, the requisition shall be filled within 30 days of receipt of requisition. If excess “F” condition stock is used, the Contractor shall be entitled to a repair price against the FMS Non-CLSSA CLIN. If the Contractor repairs an “F” carcass, the requisition will be filled immediately after the RTAT identified on Attachment A. If excess stock is used, the NIIN will be subject to an authorized inventory reduction and will be discussed during the semi-annual review. Otherwise, the Contractor shall reject the requisition to the NAVSUP WSS Item Manager to be put on Spot Buy under the FMS

Non-CLSSA CLIN. FMS Non-CLSSA requisitions are identified by a “P” in the first position of the document number and “NO” “V” in the sixth position of the document number. Non-CLSSA FMS requisition will not be counted in the VIQ. Requirements where existing stock cannot support FMS NON-CLSSA requirements, the contractor shall contact the WSS Program manager for further direction.

iv. Excess Stock – The Contractor will define in Attachment A items that equipment deemed as having ‘excess stock‘ for application to the requirements of Paragraph C.III.2.b.iii.b. and c. above. The response metric for those items not deemed to have excess stock will be either RTAT (where F stock exists) or PLT (where no F stock exists or where the item is not repairable). In and out of production RTAT and PLT are defined for each item in Attachment

A.

The Delivery Timeframe (DT) for all requisitions shall be measured as follows:

DT = “Julian Date Lockheed Martin Filled Requisition” Minus “Julian Date the Contractor Received Requisition.”

- The following are the definitions for the phrases set forth in the above DT formula:

1. “Julian Date the Contractor Received Requisition” is defined as the date upon which the requisition for repair or replacement was received at the the Contractor’s facility. A requisition or CASREP requisition received with a CAV date/time stamp after 2 P.M. PST, including weekend and federal holidays will be counted the next regular business day. A working day is defined as the Contractor’s normal business day; except Saturdays, Sundays, and Government holidays.

2. “Julian Date the Contractor Fills Requisition” is defined as the date upon which the Contractor reports in CAV that a repaired or new Component part is ready to be picked up at the Contractor’s facility.

3. The following are clarifying notes that are applicable to the above DT formula:

a. Requisitions must include only one NSN. Requisitions will be for 1 unit of issue only.

b. If days elapsed are less than or equal to the above timeframes, a requisition is considered to be filled on time.

below.

4. The Contractor is required to fill all requisitions based on the Supply Response Time Metrics table (Table 1) shown

All parts and inventory adjustments necessary for the incorporation of a Class I change shall be furnished in accordance with the criteria defined in the approved ECP. The data submitted to NAVSUP WSS for Class I changes shall be only for the Navy funded portion of the item/component and not the complete system drawing package as modified by the ECP. Under separate license agreement (to be negotiated) with NAVSEA a technical data package shall be supplied and maintained. Class I changes will be incorporated by Contractor via a contract change order. In no event shall the Government”s disapproval of a proposed Class I change entitle the Contractor to any adjustment in the price or performance metric of this contract.

c. The Contractor is authorized to develop, prepare, and submit Class II changes that result in an LRU that is compliant with the Weapon System baseline requirements and does not affect any of the ECP Class I criteria defined in the

Weapon System CMP. Class II changes will be processed in accordance with the CMP. Such changes initiated by the

Government may be subject to equitable adjustment. The Contractor shall be responsible for the costs associated with contractor-initiated Class II changes.

d. The Contractor shall be responsible for ensuring that Class II hardware changes do not impact system or part operation for the specified parts supplied as well as software interface compatibility. If a change does impact software interface capabilities it will be considered a Class I ECP. The Contractor shall provide a copy of Class II ECP to NAVSUP WSS for informational purposes.

e. Deviations and Waivers – The Contractor will forward to the local DCMA via NAVSEATECHREP for approval deviations and waivers. Major Subcontractor will forward to the local DCMA office for approval. Where minor deviations and waivers effect interface, form, fit, function, reliability, cost or schedule of VLS deliverables, the major subcontractor shall obtain prime contractor concurrence prior to implementation.

f. Counterfeit Parts and Materials – Counterfeit parts and materials are to be addressed consistent with DFARS

252.246-7007.

g. The Contractor shall advise the Weapons System Configuration Control Board (CCB), In-Servicing Engineering

Activity (ISEA) and NAVSUP WSS-Mech, Program Manager of all significant configuration changes applicable to FMS customers. At a minimum, notification will include: System, old and new part numbers, reason for change and items impacted by change.

h. Configuration Databases - The Government is responsible for the maintenance and accuracy of the databases that record each ship’s VLS configuration. Pending the Contractor’s approval for direct asses to the Government Configuration Database, the Government agrees to respond promptly to the Contractor’s telephone requests for verification of weapon system file and part number to ship configuration data.

4. REPAIR/REPLACE/OVERHAUL

a. To meet demands, Contractor shall:

(i) repair, repair-upgrade, modify, upgrade, and/or overhaul returned articles to Ready for Issue (RFI) condition, or

(ii) build new or draw from Government owned "A" condition inventories.

This determination is solely at the discretion of Contractor. Contractor shall determine the methods, procedures, and processes to effect repairs.

b. Contractor has the authority to make all initial determinations that a unit is Beyond Economical Repair (BER) or

Beyond Physical Repair (BPR). Contractor shall obtain written concurrence from the DCMA QAR for all units initially determined to be BER/BPR. All such determinations, including the basis for the determination, the repair required the negotiated price to repair, and the DCMA written concurrence shall be provided by Contractor to the NAVSUP WSS PCO.

After receipt of the required documentation, the NAVSUP WSS PCO shall provide Contractor final determination that a unit is or not BER/BPR, and disposition instructions or contractual authority, if any, for repair of the item. Contractor is not authorized to proceed with repair until positive notification to proceed is received from the NAVSUP WSS PCO. Any disposal action ordered by the NAVSUP WSS PCO shall be performed by Contractor in accordance with applicable regulations and DCMA disposal procedures and requirements.

Beyond Economical Repair (BER) or Beyond Physical Repair (BPR). BER/BPR determinations shall not affect

Contractor' obligation to meet availability and delivery requirements. a. The repair and replacement cost will be negotiated prior to award of contract covering the period of performance.

The information is to be provided in a mutually agreed upon electronic format.

9. DIMINISHING MANUFACTURING SOURCES/MATERIAL SUPPLIERS (DMS/MS)

a. The Contractor is responsible to provide support for all valid requirements including those instances where

DMS/MS and obsolete piece part issues impact, delay, or prohibit the acquisition of necessary piece parts except as discussed below. Where DMS/MS solutions have been funded under Program Office funding and separate contract, the Contractor is responsible to monitor, identify and plan the resolution of DMS/MS and parts obsolescence issues and should plan far enough in advance to alleviate DMS/MS and parts obsolescence occurrences. The Contractor may propose and submit DMS/MS resolution plans to the NAVSUP WSS PCO for redistribution to the Program Office and the NAVSUP WSS PM which include

Life-of-Type buys and Bridge buys, proposed to meet the requirements of each delivery order and what is suggested for any post-contractual period. Contractor is authorized to use, but should not be solely dependent upon, existing Government

DMS/MS resolution efforts.

(i) For NAVSUP WSS funded Life of Type and Bridge buys in support of NAVSUP WSS managed items, a Fixed

Price or Ceiling Price shall be negotiated and definitized within 180 days of the authorization by the PCO to proceed on a

Firm Fixed rice basis. The ceiling price amount is subject to downward adjustment only and is established as the limitation of Government liability. The Contractor shall submit a Firm fixed Price proposal and data supporting same within 60 days after issuance of this order. Negotiations shall commence 60 days thereafter; Definitization to occur 60 days thereafter. The proposal price shall not exceed the maximum ceiling amount as specified in this order. Prior to definitization of this unpriced order, if the Contractor submits a qualifying proposal, as defined in DFARs 217-7401, to definitize an order before the Contractor has incurred costs in excess of fifty percent (50%) of the maximum ceiling amount, the Contracting Officer may increase the limitation of Government liability up to no more than seventy-five percent (75%) of the maximum ceiling amount or up to seventy-five percent (75%) of the price proposed by the

Contractor, whichever is less. The Government may be entitled to a downward equitable adjustment to the spare/repair Sub-CLINs as a result of Bridge Buy and Life-of-Type funded procurements. The ceiling price amount is subject to downward adjustment only and is established as the limitation of Government liability. If Program Office does not procure the DMS material, NAVSUP WSS may use the process documented here for any DMS material needed beyond the PBL’s Period of Performance (POP). The Contractor will report DMS buy quantity, cost and usage data in CDRL

A001 and will discussed during semi-annual reviews.

(ii) In cases where the FMS (CLSSA or Non-CLSSA) requisitioned NIIN is affected by DMS and FMS did not participate in the Life-of-Type or Bridge Buy procurement, the Contractor shall reject the requisition back to the

NAVSUP WSS Supply Planner. The Contractor will not be responsible for such requisitions. However, in cases where the FMS (CLSSA or Non-CLSSA) requisitioned NIIN is affected by DMS and FMS did participate in the Life-of-Type or Bridge Buy procurement, the country and applicable quantity shall be identified in the delivery order. The Contractor shall maintain a record of FMS DMS quantities and only fill requisitions for the identified countries up to the specified quantities in the delivery order.

b. The Contractor shall inform the Government of known or suspected DMS/MS issues for resolution upon discovery.

The Contractor shall include all known information related to the DMS/MS issue at the time of Government notification.

DMS/MS does not excuse the Contractor from the performance metrics identified in Section H. In the event the Program Office or NAVSUP WSS funding for DMS/MS effort is not adequate or not provided in a timely manner, the NAVSUP WSS Contracting Officer may, in his discretion, provide relief from the Contractor’s responsibility for fulfillment of performance metrics for the impacted NIINs. The Government reserves the right/authority to make the final decision on DMS/MS resolutions. The Contractor shall submit all DMS/MS resolution recommendations to the Contracting Officer and Program Office or designated agent for final disposition. Upon a final DMS/MS resolution decision by the Government, the Contractor shall provide support for Life of Type, or Bridge Buy storage as required to implement the DMS/MS resolution.

10. PRODUCT QUALITY DEFICIENCY REPORT (PQDR)/SUPPLY DEFICIENCY REPORT (SDR)

PROCEDURES

The Contractor shall respond to government-generated reports of quality deficiencies known as Product Quality Deficiency Reports (PQDR) and Supply Deficiency Report (SDR), formerly Reports of Discrepancy (ROD). The Contractor shall notify the Government within thirty (30) days of PQDR/SDR resolutions. The Contractor shall have the ability to trace the original delivery of an individual LRU supplied and the delivery of the replacement LRU in the event the location and retrieval of any part becomes necessary.

11. USE OF GOVERNMENT SOURCES OF SUPPLY

(a) The contractor is authorized to use Defense Logistics Agency (DLA) as a Government Source of Supply in accordance with FAR 52.251-1 if determined, by the contractor, to be the best value to the Government in terms of price and/or delivery. Any acquisition from DLA will be a direct transaction between the contractor and DLA. The contractor is solely responsible for dealing directly with DLA to ensure timely delivery of the parts ordered. This clause does not authorize the contractor to procure Critical Safety Items from sources of supply that are not qualified or approved by the contractor's quality system. Nothing herein shall relieve the contractor from responsibility to properly visually inspect prior to the sale or installation of DLA supplied parts. The contractor shall not use or incorporate DLA parts that are determined to be non-conforming upon such visual inspection.

(b) Parts and supplies procured from DLA are considered contractor acquired property rather than Government

Furnished Property with title to all property vesting in the contractor upon delivery from DLA as contractor furnished material for use limited to DOD contracts.

(c) Using DLA as a source will not relieve the contractor of meeting contract performance metrics.

12. UNIQ UE ITEM IDENTIFICATION (UID)

Note: Consideration of these three options should be made:

If there is an existing UID plan in place, developed and funded by the Program Office and currently being used by the

Weapon System Program, reference the plan in the below language and provide it as one of the contract attachments

If there is not an existing UID plan in place, and but funding has been identified by the Program Office, then paragraphs a-c below apply.

In the event a UID plan is not applicable to your system at this time (i.e. the Program Office has no plans to implement or fund UID), please provide a statement under this section to that effect.

a. DFARS 252.211-7003 is incorporated by reference into this contract. Implementation of the UID requirement, which shall be in accordance with the timeframes as indicated below, will be negotiated through the UID CLIN. In implementing UID the Contractor shall ensure that pricing and accounting for UID costs is consistent with applicable requirements.

b. Implementation will target FY TBD as the date by which all existing serialized assets are entered into the UID registry, and UID marking capabilities have been established for all items under the contract such that marking can be applied as necessary for items returned for repair. FY TBD is the target for complete UID marking of all items, including any embedded assets. Such targets may be adjusted in the event Department of Navy actions (e.g., where necessary, drawing revisions or approvals) which are prerequisite to implementation impact the Contractor's ability to meet the target implementation.

c. The Contractor may be required to provide a plan outlining how this requirement will be implemented. For planning purpose, development of specific marking requirements will be based on MIL-STD-130L (or later, as in effect on the date of the contract award) criteria. As part of the plan, the Contractor may be required to, for example, identify all parts with a MIL-STD-130 identification plates, how parts with such plates will be marked and how items without such plates will be marked.
