252.234-7001 NOTICE OF EARNED VALUE MANAGEMENT SYSTEM (APR 2008)

(a) If the offeror submits a proposal in the amount of $50,000,000 or more--

(1) The offeror shall provide documentation that the Cognizant Federal Agency (CFA) has determined that the proposed Earned Value Management System (EVMS) complies with the EVMS guidelines in the American

National Standards Institute/Electronic Industries Alliance Standard 748, Earned Value Management Systems

(ANSI/EIA-748) (current version at time of solicitation). The Government reserves the right to perform reviews of the EVMS when deemed necessary to verify compliance.

(2) If the offeror proposes to use a system that has not been determined to be in compliance with the requirements of paragraph (a)(1) of this provision, the offeror shall submit a comprehensive plan for compliance with the guidelines in ANSI/EIA-748.

(i) The plan shall--

(A) Describe the EVMS the offeror intends to use in performance of the contract, and how the proposed EVMS complies with the EVMS guidelines in ANSI/EIA-748;

(B) Distinguish between the offeror's existing management system and modifications proposed to meet the EVMS guidelines;

(C) Describe the management system and its application in terms of the EVMS guidelines;

(c) The offeror shall identify the subcontractors (or the subcontracted effort if subcontractors have not been selected) to whom the EVMS requirements will apply. (End of provision)

HQ L-2-0001 ALTERNATIVES TO SPECIFICATIONS OR STANDARDS (NAVSEA) (AUG 1994)

(a) The Department of Defense is committed to minimizing the incorporation of military and outdated federal and commercial specifications and standards in contracts and is seeking to use alternative, tailored or updated non-government specifications and standards to the maximum extent practicable to satisfy the requirements.

(b) This solicitation contains military, federal and non-government specifications and standards. To assist in the standardization of military/commercial specifications and standards and to enable the Government to evaluate current commercial practices, Offerors are invited to propose (1) alternatives to those mandatory military, federal or commercial specifications and standards listed in this solicitation and/or (2) tailoring of mandatory military or federal specifications and standards identified in this solicitation.

(c) Offerors are invited to demonstrate whether the mandatory military, federal or non-government specifications and standards are advantageous to the Government and whether commercial specifications and standards or tailored specifications listed herein would meet the mandatory performance requirements specified in this solicitation. Offerors should list below any commercial specification or standard and the specification or standard from the solicitation which it would replace. Any proposed tailored specifications should also be listed. Use additional pages as necessary.

SPEC/STD PROPOSED

SPEC/STD REPLACED (Including number, rev. and date)

A copy of any proposed alternative commercial specifications or standards as well as any tailored specifications and standards shall be included in the Offeror's proposal. Rationale which describes the advantages of the proposed alternative shall also be included in the Offeror's proposal as detailed in the paragraph entitled "Instructions to Offerors" contained in Section L of this solicitation.

(d) The Government shall consider the alternative specifications and standards in meeting the solicitation requirements during the source selection evaluation. An evaluation criterion for alternative specifications and standards is contained in

Section M of this solicitation. If the Government accepts the proposed alternative specifications and standards, the

Offeror's proposal may be incorporated into the resultant contract, either in whole or in part, at the Government's discretion. It is requested that all recommendations be submitted within 20 calendar days from the date of this solicitation. Acceptance by the Government of alternative specifications or standards does not obligate the Government to conduct discussions under this solicitation.

HQ L-2-0003 FACILITY SECURITY CLEARANCE (NAVSEA) (FEB 2012)

(a) No award will be made to any Offeror which does not possess a facility security clearance issued by the Defense

Security Service at the SECRET level. Naval Sea Systems Command will initiate appropriate security clearance action for any apparent successful Offeror which does not already possess such a clearance. The Government is not obligated to delay award pending security clearance of any Offeror.

(b) The security classification of this procurement is specified in the Contract Security Classification Specification, DD

Form 254, See Attachment 5.

HQ L-2-0005 NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST

(NAVSEA) (JUN 1994)

(a) Offerors are reminded that certain existing contractual arrangements may preclude, restrict, or limit participation, in whole or in part, as either a subcontractor or as a prime contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror provides the support to PEO SUB/NAVSEA, or related laboratories (if applicable), in support of operation of the office or any of its programs. General guidance may be found in

FAR 9.505; however, this guidance is not all inclusive. The Offeror’s attention is directed to the “Organizational Conflict of Interest” (or similar) requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current “support” contract(s) or for a period after completion of the “support” contract(s). Notwithstanding the existence or non-existence of an Organizational Conflict of Interest (OCI) clause or similar requirement in current or completed contract(s), the Offeror shall comply with FAR 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI requirement.

(b) If a potential conflict of interest exists at any tier, each potential prime Offeror is requested to notify the Contracting

Officer within 14 calendar days of the date of solicitation. The Offeror shall provide: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; and (5) any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the Offeror. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source.

(c) The Government will notify an Offeror of any conflict of interest within 14 calendar days of receipt of all required information. Those Offerors deemed to have conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government’s rights to make a conflict of interest determination. The

Offeror is notified that if it expends time and money on proposal preparation, such expenditure is at its own risk that the

Government will not determine that an organization conflict of interest exists.

(d) Any potential prime contractor which proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which Offerors remain in the competitive range through the normal source selection process.

(e) If the Offeror determines that a potential organizational conflict of interest does not exist at any tier, the Offeror shall include a statement to that effect in its response to this solicitation.

DISCLOSURE OF ORGANIZATIONAL CONFLICT OF INTEREST

(a) Disclosure. The Offeror, including its subcontractor(s), affiliates, and consultants, shall state in its proposal if it is aware of any information bearing on the existence of any actual or potential organizational conflict of interest

(OCI). An OCI may exist if the Offeror, its subcontractors, affiliates, and/or consultants are currently under contract to provide products and/or support services to Naval Sea Systems Command. Other situations may also give rise to an OCI. If the Offeror represents that it is aware of circumstances that may hinder its ability to render impartial, technically sound, and unbiased assessments, recommendations, and/or evaluations; or that circumstances exist that may result in the appearance that it may have an unfair competitive advantage, the Offeror shall provide a full disclosure statement as well as an OCI Mitigation Plan. The statement must describe in a concise manner all relevant facts concerning any past, present or currently planned interest (financial, contractual, organizational, or otherwise) relating to the work to be performed hereunder and bearing on whether the Offeror has a possible organizational conflict of interest with respect to (1) impartial, technically sound, and unbiased assessments, recommendations, and/or evaluations, or (2) being given an unfair competitive advantage. Prospective Offerors should refer to FAR

Subpart 9.5 for policies and procedures for avoiding, neutralizing, or mitigating organizational conflicts of interest.

(b) OCI Mitigation Plan Contents. The OCI Mitigation Plan shall be submitted with the Offeror’s proposal and shall follow the requirements set forth in FAR Subpart 9.5. Each of the items listed below shall be specifically addressed corresponding to the unique numeric designation.

1. Provide organization charts showing the Offeror's corporate structure and highlight elements of the company participating in the contract.

2. Demonstrate how the elements performing the proposed effort will be isolated from the remainder of the company.

3. Describe management reporting chains in sufficient detail to demonstrate that the proposed effort and decisions related to the effort will be isolated from the remainder of the company.

4. Address how the Offeror will preclude a perception of impaired objectivity by prohibiting transfers of personnel between contracts.

5. Provide information to indicate if the organizational elements performing the proposed effort will be geographically or physically separated from the remainder of the company.

6. Describe the process by which the Government will have insight or oversight of key processes.

7. Describe any situation in which management outside the mitigated organization will have access to key decisions for which the mitigated organization is responsible.

8. Provide all documents that the Offeror’s employees are required to sign indicating which employees are required to sign and how often they are required to sign.

9. Describe the process for reassigning personnel, including subcontractors, from one assignment to another. Include restrictions that apply.

10. Describe the process for employees that leave employment and any controls that are exercised over their future employment, particularly as it relates to OCI and nondisclosure.

11. Describe any OCI training the Offeror’s employees are offered and/or required to attend, along with the timing (before or after starting work on Government contract) frequency, length and content of such training.

12. Describe if the company conducts self-audits and if the results will be made available to the

Government. To enable the Government to evaluate the Offeror’s proposed plan, the following must be specifically addressed:

A. Disclosure of business activities of the company, its affiliates, team members and affiliates of team members which create either a conflict of interest or the appearance of a conflict of interest.

B. Provide evidence of facts and circumstances that the company believes mitigate or address concerns related to the appearance and/or presence of an OCI.

C. Explain the company’s proposed approach to mitigating the effects of any apparent or actual conflicts of interest arising out of the business activities disclosed in response to Paragraph A above. The Government will treat all submissions as proprietary under 18 U.S.C. §1905 and protect proposed information accordingly.

(c) The Government will review the statement/OCI Mitigation Plan submitted and may require additional relevant information from the Offeror. All such information and any other relevant information will be used by the

Government to determine whether an award to the Offeror may create an organizational conflict of interest. If found to exist, the Government may (1) impose appropriate conditions which avoid such conflict, (2) disqualify the

Offeror, (3) determine that it is otherwise in the best interest of the Government to contract with the Offeror by including appropriate conditions mitigating such conflict in the contract award, or (4) seek a waiver.

(d) The refusal to provide the disclosure or representation of any additional information as required shall result in disqualification of the Offeror for award. The nondisclosure or misrepresentation of any relevant interest may also result in the disqualification of the Offeror for award, or if such nondisclosure or misrepresentation is discovered after award, the Government may terminate the contract for default, recommend that the contractor be disqualified from subsequent related contracts, or be subject to such other remedial actions as may be permitted or provided by law. The attention of the Offeror in complying with this provision is directed to 18 U.S.C. 1001 and 31 U.S.C.

3802(a)(2).

NOTIFICATION OF USE OF NAVY SUPPORT CONTRACTORS FOR OFFICIAL CONTRACT FILES

(NAVSEA) (APR 2004)

(a) NAVSEA may use a file room management support contractor, hereinafter referred to as "the support contractor", to manage its file room, in which all official contract files, including the official file supporting this procurement, are retained. These official files may contain information that is considered a trade secret, proprietary, business sensitive or otherwise protected pursuant to law or regulation, hereinafter referred to as “protected information”. File room management services consist of any of the following: secretarial or clerical support; data entry; document reproduction, scanning, imaging, or destruction; operation, management, or maintenance of paper-based or electronic mail rooms, file rooms, or libraries; and supervision in connection with functions listed herein.

(b) The cognizant Contracting Officer will ensure that any NAVSEA contract under which these file room management services are acquired will contain a requirement that:

(1) The support contractor does not disclose any information;

(2) Individual employees are to be instructed by the support contractor regarding the sensitivity of the official contract files;

(3) The support contractor performing these services be barred from providing any other supplies and/or services, or competing to do so, to NAVSEA for the period of performance of its contract and for an additional three years thereafter unless otherwise provided by law or regulation; and,

(4) In addition to any other rights the contractor may have, it is a third party beneficiary who has the right of direct action against the support contractor, or any person to whom the support contractor has released or disclosed protected information, for the unauthorized duplication, release, or disclosure of such protected information.

(c) Execution of this contract by the contractor is considered consent to NAVSEA's permitting access to any information, irrespective of restrictive markings or the nature of the information submitted, by its file room management support contractor for the limited purpose of executing its file room support contract responsibilities.

(d) NAVSEA may, without further notice, enter into contracts with other contractors for these services. Contractors are free to enter into separate non-disclosure agreements with the file room contractor. (Please contact Director, E-

Business Division for contractor specifics.) However, any such agreement will not be considered a prerequisite before information submitted is stored in the file room or otherwise encumber the government.

USE OF NON-DEVELOPMENTAL ITEMS (NDI) (NAVSEA) (MAY 1993)

(a) Use of NDI is the preferred method of satisfying operational requirements of the Navy where such use does not degrade the operational or performance requirements. The term NDI means:

(1) Any item of supply that is available in the commercial marketplace;

(2) Any previously developed item of supply that is in use by a department or agency of the United States, a

State or local government, or a foreign government with which the United States has a mutual defense cooperation agreement;

(3) Any item of supply described in paragraph (1) or (2) that requires only minor modification in order to meet the requirements of the procuring agency; or

(4) Any item of supply that is currently being produced that does not meet the requirements of paragraph (1), (2), or (3) solely because the item:

(i) is not yet in use; or

(ii) is not yet available in the commercial marketplace.

(b) Offerors are encouraged to propose NDI or partial NDI alternatives to conventional R&D or MIL-SPEC production hardware or software requirements of this solicitation at all levels of the work breakdown structure (i.e., end-item, sub-system, component, piece part, etc.). All proposed NDI alternatives shall be clearly identified in the proposal. The intent of the NDI alternative is to provide the Navy with effective and economic solutions to its essential operational requirements.

5252.211-9000 NOTICE TO OFFERORS--USE OF OZONE DEPLETING SUBSTANCES (AUG 1993)

(a) In accordance with section 326 of Pub L.102-484, the Department of Defense is prohibited from awarding any contract which includes a DoD-directed specification or standard that requires the use of a Class I Ozone Depleting

Substance (ODS) or that can be met only through the use of such a substance unless such use has been approved by a Senior Acquisition Official (SAO). The SAO approval is based on a technical certification that no suitable substitute for the ODS is currently available.

(b) To comply with this statute, the Navy has screened the specifications and standards associated with this solicitation. To the extent that ODS requirements were revealed by this review they are identified below:

Class I ODS Identified Specification/Standard

NONE

(c) If Offerors possess knowledge about any other Class I ODS required directly or indirectly by the specification or standards, the Navy would appreciate such information in your response to this solicitation. Offerors are under no obligation to comply with this request and no compensation can be provided for doing so.

SMALL BUSINESS SUBCONTRACTING PLAN (NAVSEA) (JUN 1999)

Offeror shall submit as part of its proposal a written proposed subcontracting plan in accordance with the clause entitled "SMALL BUSINESS SUBCONTRACTING PLAN" (FAR 52.219-9). The plan shall include the five percent (5%) goal mandated by Congress for small disadvantaged business concerns or a detailed explanation as to why the goal cannot be included in the plan.

REQUIREMENTS CONCERNING WORK WEEK (NAVSEA) (MAY 1993)

(a) Uncompensated effort is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work.

SECTION L-3 SPECIFIC INFORMATION FOR PREPARATION OF PROPOSAL

1.0 GENERAL

Comprehensive responses to this RFP are required to enable the Government to evaluate the Offeror’s understanding of the requirements, and capability and approaches to accomplish the stated requirements. The Offeror shall submit all information required by this RFP. Failure to comply with the material terms and conditions of the RFP shall result in the Offeror being removed from consideration for award. Offerors are advised that information submitted in excess of the page limitation requirement will not be evaluated (See Section 1.1 below). The Offeror’s proposal shall be based on the requirements contained in this RFP (including those documents, exhibits, and other attachments to the RFP identified in Section J). Offerors are required to submit a proposal encompassing all items listed in Section B herein. No award will be made to any Offeror who does not possess facility clearance issued by

Defense Security Service at a SECRET level.

The solicitation will be made available only through the internet at:

http://www.fbo.gov/

Offerors are hereby notified that from time to time, the Government may post additional information to the website relating to this solicitation (e.g. responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the websites for any such information.

Offerors may electronically submit written questions requesting clarification of solicitation requirements by sending an email to Peter Richmond, peter.richmond@navy.mil and Danielle Tyler, danielle.tyler1@navy.mil (please ensure that the email submission is addressed to both Peter Richmond and Danielle Tyler). All such questions should be received in writing within forty-five (45) calendar days after release of the RFP to allow the Navy adequate time to prepare and issue responses to all Offerors prior to the date and time set for receipt of proposals. Only questions transmitted electronically will receive a response. The Navy will continue to accept questions up to the closing date and time of the solicitation; however, time may not permit responses to be issued prior to proposal receipt.

Questions received after the time set forth above will not result in an extension to the proposal due date. It is the

Government’s intention that questions and responses will be distributed electronically to all Offerors. Each question shall include the document name, document date, specific page, paragraph, clause or other definitive citation requiring clarification.

Under this solicitation, the following types of documentation are available, (1) unclassified information, (2) classified technical specifications, and (3) supplemental reference documentation. The Navy has established an unclassified Electronic Technical Information Center (E-TIC) and classified Reading Room to serve as the repository for unclassified and classified technical information related to the LWWAA and WAA Program.

In order to gain access to the unclassified E-TIC, Offerors must have a valid PKI certificate and be able to supply your Joint Certification Program (JCP) Certification JCP #________. If the Offeror has a valid PKI certificate, access to the E-TIC is gained as follows: First fill out an AIMTC Account Request form at the following link:

https://aimtc.nuwc.navy.mil. The following fields must be completed as follows: the ‘branch’ or ‘Code’ you support is “PMS401”, the ‘Navy Sponsor POC’ is “Tim Nguyen”, the ‘justification for your need to know’ is

“Prospective Offeror for the LWWAA and WAA Competition” and check ‘AN/BQQ-10 LWWAA-WAA Reading

Room’ under the Electronic Technical Information Center (E-TIC) as the area for which you have a ‘need to know’.

When the request form is complete, hit the send button at the bottom of the page and you will be notified that the http://www.fbo.gov/ mailto:peter.richmond@navy.mil mailto:danielle.tyler1@navy.mil https://aimtc.nuwc.navy.mil/ request is being processed. An AIMTC User Account Information email will follow that provides you E-TIC login and password information.

Attachment 6, “AN/BQQ-10(V) Light Weight Wide Aperture Array (LWWAA) and Wide Aperture Array

(WAA) In-Board Processing Specification is Classified Technical Information. In addition, the Submarine

Sonar (APB11) and follow-on specification, which is being provided as reference material, is also Classified

Technical Information. The process for access to classified technical information related to the LWWAA and WAA program is as follows:

(1) Offerors who are interested in obtaining classified technical information must submit a written request to the

Naval Sea Systems Command (NAVSEA) via email to both Stanley Hollis (Stanley.hollis@navy.mil) and Timothy

Nguyen (timothy.h.nguyen@navy.mil); please ensure that both Stanley Hollis and Timothy Nguyen are copied on the email message. The written request must include the Company Name, Business Address, Classified Address, Commercial Activity and Government Entity Code, Data Universal Numbering System Code and the POC (Name, Title, and phone number of Employee(s) Responsible for the Data).

(2) In addition, Offerors must also submit a visitor’s request. Instructions to submit visit requests are provided at http://www.navsea.navy.mil/nuwc/newport/pages/visitreq.aspx

The POC is Stan Hollis, (401) 832 8137, Stanley.hollis@navy.mil.

Note: Offerors must submit both a written email request and a visitors request in order to receive access to the classified technical information and must reference the following RFP No. N00024-15-R-6271.

(3) NAVSEA security will verify that the company has the proper facilities and clearances to handle classified information. Once a prospective Offeror’s “need-to-know and security clearance” is verified, the classified technical specifications will be mailed only to those companies with a validated security clearance simultaneous with the release of the solicitation.

(4) Offerors who do not possess the necessary security clearance to handle and control classified information at their facility, have the option to view the classified technical specifications at the Naval Undersea Warfare Center

(NUWC), Newport pending verification and approval of their “need-to-know and security clearance”.

In addition to the Unclassified information on the E-TIC and the Classified Technical Specifications, there is additional supplemental reference documentation available only in the Classified Reading Room at NUWC. See

Attachment 7, “LWWAA and WAA Document Directory” for complete list of supplemental reference documentation. Once a prospective Offeror’s “need-to-know and security clearance” is verified, classified reading room details will be provided and visits can be scheduled after the release of the RFP.

Navy policy does not support the release of the performance specification and other related controlled files to non-

U.S. contractors. In the event the Navy issues a solicitation for procurement of the LWWAA and WAA, only U.S.

companies may propose as prime contractors. If a non-U.S. company decides to team with a U.S. prime contractor then the U.S. prime contractor must comply with the Department of State 22CFR Parts 120-130 and submit a request for an export license.

Any firm lacking the requisite security clearance and intending to respond to this procurement shall, within ten (10) calendar days of issuance of this RFP, request initiation of such clearance action, in writing, from the Naval Sea

Systems Command, Code: SEA 00P3, 1333 Isaac Hull Avenue SE Stop 1020, Washington, DC 20376-1020.

Appropriate clearance action in accordance with established procedures will be initiated by the Naval Sea Systems

Command, but the Naval Sea Systems Command does not represent that such action can be completed and clearance granted prior to contract award.
