JUSTIFICATION AND APPROVAL

FOR OTHER THAN FULL AND OPEN COMPETITION

Upon the basis of the following justification, I hereby approve the issuance of the contractual action described below:

JUSTIFICATION

I. Identification of Agencv and Contracting Activity.

Department of the Navy, Office of Naval Research (ONR)

2. Nature/Description of Action.

The Government intends to award an Indefinite Delive1y, Indefinite Quantity (IDIQ) contract on a sole source basis to Mayo Clinic's Special Purpose Processor Develop1nent Group (SPPDG).

3. Description of Supplies/Services.

Mayo Clinic SPPDG will execute research initiatives that result in advanced kno\vledge products and prototype technology in support of efforts to enhance performance of Warfighters in dynan1ic operational environments. In this IDIQ contract, SPPDG will: 1) develop predictive physiological models and algorithms of various environmental stressors; 2) develop advanced imaging technology using 1nagnetic resonance to support predictive model development; 3) design and fabricate 1niniaturized low powered electronics to include, but not limited to:

wearable and handheld biomedical devices, physiological sensors and tagging, tracking and location (TTL) systems; and, 4) design and fabricate high speed encrypted communication and high performance con1puting systems, electronic devices supporting wireless co1n1nunication and design of application-specific integrated circuits (ASIC). The estimated IDIQ contract value will be a $9.5 million maxi1num. An Independent Government Cost Estimate was prepared by Lieutenant Brian Andrews-Shigaki, PhD. The estin1ated period of performance for the IDIQ is 5 years. Task Orders issued under the IDIQ will be funded with RDT&E funds.

4. Identification of Statutory Authority.

The statutory authority permitting other than full and open competition is Title 10 U.S.C. 2304(c) (I), Only one responsible source, as implemented by the Federal Acquisition Regulation (FAR) 6.302-1 -- Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. Demonstration of Contractor's Unique Qualification.

The SPPDG at Mayo Clinic is uniquely qualified for this acquisition that requires performance by an entity with deep expertise in very specialized fields, with complete non-competitive nature and the ability to work at all classification levels. The SPPDG is the only entity with recognized expe11ise in all required research areas as stated in section (3) in high speed testing, existing state of-art lab infrastructure with special purpose test equipment and established methods, high speed design and modeling expertise, development and fabrication of tnicro-electronics and key personnel with established clearances. In addition, this tasking requires the use of specialized equipment, software, and facilities (e.g., material studies, integrated circuit \York, modeling and simulation, packaging fabrication, test and evaluation), which the SPPDG already has in place.

Being part of Mayo Clinic, the SPPDG has full access (through appointments and collaborations) to all capabilities that are oft'ered at the institution, which includes (but not limited to) advanced

J&A Nu1nber 10-17 iinaging capabilities, physiological modeling and medical device clinical testing. There is no other entity known that can provide all required capabilities and services required.

6. Description of Efforts to Ensure Other Potentials Sources Were Sought.

RFI N00014-17-RFI-0001 was posted to FedBizOpps on 28 November 2016 and it closed for responses on 13 December 2016. Responses were received from nine (9) entities besides Mayo Clinic SPPDG. The Government, in evaluating each submission, determined that the Mayo Clinic is the only entity that can efficiently provide the specialized expertise in all required research areas. In addition to the RFI, a Notice of Intent to Award a Sole Source Contract ,/· NOOOI 4-17-R-SS 11 was posted to FedBizOpps on 12 April 2017 for a period of fifteen (15) days.

No responses to NOOO 14-17-R-SS 11 were received.

7. Deter1nination of Fair and Reasonable Cost.

The contractor will be asked to provide a detailed cost proposal. The Negotiator \viii verify direct labor and indirect rates with the contractor's cognizant audit agency. The Program Officer will review the labor mix and hours. The Negotiator and the Program Officer will evaluate any proposed other direct costs. Fixed Fee, if proposed, \viii be evaluated using the Weighted Guidelines Application.

8. Description of Market Research.

Market research was conducted in accordance with section 6 above. The Program Officer has also discussed required capabilities at niedical Joint Program Committees (JPCs) and DoD-wide annual health system meetings the last year. Only one perfo1merhas been identified as having all capabilities required.

9. Anv Other Supporting Facts.

Not Applicable.

10. Listing of Interested Sources.

Interested Sources were vetted in accordance with section 6 above.

11. Actions Taken to Remove Barriers to Competition.

The Program Officer will continue to closely monitor the research communities and will identify any e1nerging alte111ate sources capable of fulfilling all capabilities and of providing future competition with Mayo Clinic SPPDG.

12. Statement of Delivery Requirements.

Under this requirement, the vendor shall provide the following:

• Quarterly technical and financial progress reports

• Provide knowledge products as needed

• Provide design specifications (including all schematics, firmware, code, etc) on any electronic systems or biomedical devices developed

• Provide prototypes of any devices developed

• Provide system configuration guide (s)

• Provide user manual (s)

• Final report upon con1pletion of effort

13. Reference to the Approved Acquisition Plan {AP) or Equivalent Docu1nentation.

An Acquisition Plan is not required, based on DF ARS 207. l 03(d)(i)(B) thresholds.

CONTRACT NUMBER TBD

14. Explanation of all actions attempted to 1nake the immediate acquisition competitive and the cost /benefit analysis reflecting costs associated with obtaining competition and anticipated benefits.

For the reasons stated in section 5, any benefit to obtaining competition for this requirement would be offset by a loss of efficiency and additional cost to the Government. Costs proposed to perform this effort will be evaluated for reasonableness and will be determined reasonable before the lDIQ and any resulting task orders are awarded.
