SERVICE ATTACHMENT 2

UNDER

MASTER SERVICE AGREEMENT #MSA0039

This Service Attachment 2 under Master Service Agreement #MSA0039 (the “Service Attachment”) is between T-Mobile USA, Inc. (“Service Provider”), having an office at 12920 S.E. 38th Street, Bellevue, WA 98006, and the State of Ohio (“State”), through the Department of Administrative Services (“DAS”), having its principal place of business at 30 East Broad Street, 40th Floor, Columbus, Ohio 43215. The State and the Service Provider are sometimes referred to jointly as the “Parties” or individually as a “Party.” This Service Attachment is effective as of the date signed by the State and amends that certain Master Service Agreement #MSA0039 between the Parties dated March 25, 2015, as amended (the “Agreement”).

1. Definitions

The defined terms in the Agreement will have the same meanings in this Service Attachment as they do in the Agreement. There may be additional definitions contained herein.

Device means a product for which Service Provider provides wireless service(s) including a phone handset, tablet, or SIM card.

Module means a component of the Device that manages and provides connectivity to the Network.

Network means Service Provider’s owned wireless network.

Rate Plan means a Service Provider plan for business customers, which includes, as applicable, allotments such as minutes, messages or data, rates, and other terms and features.

2. Services

2.1 Overview. Internet of Things (“IoT”) Services are provided to SIMs on the Network and managed through Service Provider’s IoT self-service SIM connectivity management platform, the T-Mobile Control Center. IoT Services allow Subscribing Entities to self-manage SIM states, including activation (either manually or automatically); deactivation (temporary suspend) mode; re-activation (restore from temporary suspend); retire (terminate service); automation rules for usage and cost control management; diagnostics for troubleshooting and support ticket submission. IoT Services include self-service capability to place SIM orders. In addition, IoT Services allow Subscribing Entities to perform IoT device and data management.

IoT Services also allow Subscribing Entities to self-manage and control SIM usage with the use of automation tools such as alerts, triggers, and to download various reports, including reports containing detailed billing and usage (IAS, and SMS) records at individual SIM and group levels (excluding taxes, surcharges and applicable credits).

2.1.1 Internet Access Services (“IAS”). IAS are a service that permits access to content, information, or services from all or substantially all Internet endpoints via transmissions using current or successor technologies on and off the Network. IAS will either be provided through (1) the Network;

or (2) another carrier’s network through agreements established by Service Provider (“Roaming” or “Off Network”). IAS transmissions may be involuntarily interrupted for reasons beyond the control of Service Provider and such usage will be billed like any other transmission. In addition, Service Provider may try to resend a dropped transmission, which will result in additional charges for IAS usage.

IAS usage charges will apply for IAS transmissions, text messages, downloadables, alerts and any other information or data sent through the Network. Unless stated otherwise, all Network IAS usage will be calculated and billed in bytes. Any Roaming usage will be rounded up to the next kilobyte at the end of each IAS Session. “IAS Session” means the duration between the moment in which a Device and the Network create a packet data protocol (“PDP”) context activation state in which the Device is

T-Mobile USA, Inc. MSA0039 Service Attachment 2 Page 2 given an IP address, until the time in which the Device and the Network return to a PDP context deactivation state. “IAS Session Volume” means the total number of bytes that are transferred to and from a Device during an IAS Session. The total IAS Session Volume for a billing cycle will be expressed in MBs on the invoice.

2.1.2 Short Message Service (“SMS”). If SMS is included in a Subscribing Entity’s Rate Plan, Service Provider will provide the Subscribing Entity with SMS that permits the Subscribing Entity to send and receive SMS messages. Upon request, Service Provider will support end user SIMs sending and receiving SMS message to and from another end user SIM while on the Network. This capability is not enabled by default.

2.1.2.1 Limitations. SMS messages from outside of the Network will be sent or received as long as an inter-carrier agreement exists between the recipient’s or sender’s service provider and Service Provider. Service Provider reserves the right to change or modify existing inter-carrier agreements, which could result in service disruptions, and must notify the State and Subscribing Entities at least five business days prior to such change or modification that may result in service disruptions.

2.1.2.2 Service Provider will aggregate the total number of SMS messages, including SMS-MO, SMS-MT, and administrative SMS messages, during each billing cycle.

2.1.3 Voice Services. If voice services are included in a Subscribing Entity’s Rate Plan, Service Provider will provide the Services within the approved geographic regions as stated in the Subscribing Entity’s Rate Plan(s).

2.1.3.1 Service Provider’s switching and billing systems will calculate the minutes of use (“MOU”) based on 60-second increment usage, with each call being rounded up to the next full MOU (i.e., a 121 second call would be billed as a 3 MOU call).

2.1.3.2 Each call is separately measured and charged even if several separate calls are made simultaneously. Charges for voice services commence upon call origination (including time before answering) and end upon call termination, each as determined by Contractor’s internal network elements.

IoT Services Addendum – Services and Policies

This IoT Services Addendum – Services and Policies (“Addendum”) is made a part of Service Attachment 2 of the Agreement as if fully rewritten therein. Unless otherwise defined in this Addendum, the capitalized terms in the Agreement will apply to this Addendum.

The following terms apply to a Subscribing Entity’s purchase and use of IoT services (“IoT Services”). Use of the IoT Services is subject to acceptance of this Addendum and the terms set out herein, including the attached and incorporated Attachment 1 – IoT Services Annex.

1. APPROVED SERVICE APPLICATION.

Service Provider will provide IoT Services to a Subscribing Entity under this Service Attachment in the form of IoT device-to-application and/or device-to-device connectivity, SIM states and associated account (including price plans (“Rate Plan(s)”) and connectivity management on the Service Provider’s IoT Services platform (the “Purpose”). SIM state and account management is further described in Section 1 of the IoT Services Annex. The IoT Services are “Services” as defined in the Agreement.

A Subscribing Entity is authorized to use the IoT Services only within approved geographic regions stated in the Rate Plans(s) solely for the Purpose stated above and in accordance with the terms of this Agreement.

Any amendments or changes to the IoT Services stated above must be in writing by amendment to the Approved Service Application by a Vice President or higher officer of Service Provider, such approval may be granted or denied in Service Provider’s sole discretion.

2. ACCOUNT TYPE. Rate Plan(s) will be placed on either an Essential or Advantage account type as defined below:

2.1 Essential Account Type. If a Subscribing Entity moves a SIM from one Rate Plan to a new Rate Plan in the middle of a billing cycle, the new Rate Plan will go into effect on the first day of the next billing cycle.

2.2 Advantage Account Type. If a Subscribing Entity moves a SIM from one Rate Plan to a new Rate Plan in the middle of a billing cycle, the new Rate Plan will apply for the entire billing cycle during which the change was made.

3. THE SERVICES PLATFORM.

3.1 Functionality. Service Provider provides a self-service, web-based SIM management platform for Subscribing Entities to manage and obtain reporting for SIMs and IoT Services on the Network, and, if enabled, certain international IoT networks.

3.2 IoT Onboarding. Service Provider, or Service Provider’s authorized provider, will provide standard onboarding without an additional fee. A Subscribing Entity may request additional services included in this Service Attachment and Service Provider may offer such supplemental services in its sole discretion. Additional fees may apply as noted in this Service Attachment. A Subscribing Entity will be notified of any such fees before work is started, and the Subscribing Entity agrees to pay Service Provider for any applicable fees upon receipt of a proper invoice and pursuant to the Agreement.

3.3 IoT SIM State Management. SIMs added to a Subscribing Entity’s account will be placed in the state chosen at the time the SIM order is placed. All available states are described in the chart below, and a Subscribing Entity has the option to select another available state for each SIM on the account.

T-Mobile USA, Inc. MSA0039 Service Attachment 2 Page 9

Test Ready

SIMs in the Test Ready state will be able to establish a network connection, and will allow for a pre-defined usage threshold, but will not incur an MRC or other usage charges while in the Test Ready state. The Test Ready state provides each Device with the following services.

• IAS – 10KB

• SMS - 10

As soon as the Device reaches any of the usage thresholds, the Device will systemically be transitioned to a target state and free IAS test traffic will cease. A Subscribing Entity may select the target state for its account during the onboarding process. Typically, the target state for SIMs reaching their Test Ready threshold is either Activation Ready or Activated. If a SIM remains in the Test Ready state for longer than 90 days, Service Provider reserves the right, upon prior written notice to the Subscribing Entity, to either charge a Subscribing Entity a fee equal to the MRC of the assigned price plan for as long as the SIM remains in the Test Ready state or move such SIM to the Activated state. Once a SIM has exited the Test Ready state to the target state, it may not return to the Test Ready state.

Activation Ready

SIMs in the Activation Ready state will be able to establish a network connection but will not incur an MRC while in this state. Once the SIM establishes a data or voice connection, or send or receives an SMS, the SIM will automatically move to the Activated state and become billable. If a SIM remains in the Activation Ready state for longer than 90 days, Service Provider reserves the right, upon prior written notice to the Subscribing Entity, to either charge the Subscribing entity a fee equal to the MRC of the assigned price plan for as long as the SIM remains in the Activation Ready state or move such SIM to the Activated state. Once a SIM has exited the Activation Ready state into the Activated state, it may not return to the Activation Ready state.

Activated SIMs in the Activated state are visible and operating on the Network (or the network of a roaming partner). SIMs in the Activated state are billable, and the Subscribing Entity will be charged the applicable MRC, any fees, and Service usage charges associated with the price plan to which it is assigned.

Deactivated

SIMs in the Deactivated state will not be able to establish a network connection (similar to suspend mode). If a SIM is in the Deactivated state for a portion of a billing cycle, the Subscribing Entity will be charged the standard MRC, and any included usage will be added to the Rate Plan’s pool for that entire billing cycle. If the SIM is in the Deactivated state for the entire billing cycle, the MRC will not be charged, and any included usage will not be added to the price plan’s pool for that billing cycle.

Retired SIMs in the Retired state will not be able to establish a network connection. Service Provider reserves the right to move SIMs in the Retired state for more than 60 days to permanently remove the SIMs from the platform.

4. PLATFORM FEES. Service Provider will not charge an activation fee for the Services.

7.2 TECHNOLOGY EVOLUTION AND MODIFICATIONS. Service Provider endeavors, through technology evolution and modifications to systems, processes, and services, to bring customers improved technology and network experience. In some instances, these efforts will result in the need to ultimately replace or discontinue certain facilities, Service Provider operations, offerings, technologies, equipment, software, procedures or services. While such efforts will be undertaken in a customer-focused and commercially reasonable manner, notwithstanding anything to the contrary set forth in this Agreement, Service Provider reserves the right, without liability to Subscribing Entities, to alter or decommission any aspect of the Network and the IoT Services, in each case at any time during the Term. Service Provider must provide at least 30 days’ advance written notice to each Subscribing Entity prior to taking any such actions. Service Provider and Subscribing Entities will work together in good faith to mitigate adverse impacts to the Subscribing Entities as a result of the changes described in this Section. If after the parties work in good faith, the changes instituted by Service Provider continue to have material adverse impact on a Subscribing Entity, the Subscribing Entity may terminate the impacted IoT SIMs without liability pursuant to the termination provisions in the Agreement, and Service Provider will provide a prorated refund of any prepaid but unused fees for such terminated SIMs.

7.3 NO DISCOUNTS. Unless otherwise noted in this Service Attachment, the Services are not eligible for any discounts.

2.6 Data Encryption. Subscribing Entities acknowledge and agree that (i) the IoT Services are limited to transporting information and data on behalf of a Subscribing Entity utilizing the Network, and (ii) Service Provider will not access, view, process, store, or otherwise use any information or data transported by Service Provider on a Subscribing Entity’s behalf through the IoT Services. Subscribing Entities will ensure that (i) all information and data to be transported by Service Provider pursuant to the IoT Services is encrypted in accordance with industry-best practices, before any such information or data is delivered or made available to Service Provider, and (ii) Subscribing Entities do not make available to Service Provider any key, code, or related information that would enable Service Provider to decrypt the encrypted information or data, or to otherwise be able to view or discover the original content of the encrypted information or data. If Service Provider discovers that any information or data transported through the IoT Services is not encrypted, or that Service Provider is otherwise able to view or discover the original content of the information or data, Service Provider will have the right to immediately suspend the IoT Services without notice to Subscribing Entities. TO THE EXTENT

PERMITTED BY LAW, SERVICE PROVIDER IS NOT RESPONSIBLE FOR ANY AND ALL

DAMAGES, LOSSES, EXPENSES, DEMANDS, ACTIONS OR CAUSES OF ACTION ARISING OUT

OF A SUBSCRIBING ENTITY’S FAILURE TO ENCRYPT DATA PROVIDED TO SERVICE PROVIDER

AS DETAILED ON THIS SECTION.

3. Policies

3.1 Location Based Services. To the extent an IoT SIM involves a Location Based Service, Subscribing Entities must ensure that each end user using such device is properly notified in accordance with the CTIA Best Practices and Guidelines for Location-Based Services, which can be found at https://www.ctia.org/the-wireless-industry/industry-commitments/best-practices-and-guidelines-for-location-based-services. In addition, for International IoT Services, Subscribing Entities must provide any applicable notification and comply with all regulatory rules or requirements, statutes or obligations applicable to Location Based Services in the jurisdiction where the International IoT Services are provided. SERVICE PROVIDER IS NOT RESPONSIBLE FOR SUBSCRIBING ENTITIES’

USE OF LOCATION BASED SERVICES AND THE FAILURE TO NOTIFY END USERS OF THE

ELECTION TO USE ANY LOCATION BASED SERVICE OR LOCATION INFORMATION ON IoT SIMs.

3.2 Device Content. Service Provider is not responsible for any information on Subscribing Entity Devices, including sensitive or personal information. Subscribing Entities should remove or otherwise safeguard any sensitive or personal information when a Subscribing Entity relinquishes, exchanges, returns, or recycles a Device. If a Subscribing Entity exchanges, returns, or recycles Devices through Service Provider, the Subscribing Entity must remove all data from Devices before providing them to Service Provider.

3.3 Domestic Roaming. Roaming usage may not exceed more than 5% of all usage (both Network usage and Roaming usage). If Roaming is above the stated percentage for three consecutive months, Docusign Envelope ID: D4D5956C-CD51-4DD7-A8BA-DFAFD74B321B https://www.ctia.org/the-wireless-industry/industry-commitments/best-practices-and-guidelines-for-location-based-services https://www.ctia.org/the-wireless-industry/industry-commitments/best-practices-and-guidelines-for-location-based-services

T-Mobile USA, Inc. MSA0039 Service Attachment 2 Page 13 the Subscribing Entity and Service Provider agree to migrate enough high roaming usage devices off the Network to drop below the 5% threshold or to reopen pricing negotiations. Additionally, Service Provider may require that lines of service that Permanently Roam for more than 30 consecutive days may be removed from the Network even if the aggregate roaming on the account is below 5% of total usage.

3.4 International Roaming. If the terms and conditions under which Service Provider provides access to an International Roaming network materially change, Service Provider reserves the right, upon notice to and agreement of a Subscribing Entity, to change a Subscribing Entity’s terms, conditions, and pricing to align with the changes to Service Provider’s agreements. Subscribing Entities may terminate the Services without penalty or further obligation if they do not agree to the changes and Service Provider will provide a prorated refund of any prepaid but unused fees for such Services. Service Provider does not independently provide IoT Services outside of the United States and as such, IoT connectivity provided outside of the United States is provided under a contractual agreement between Service Provider and an international wireless carrier that permits International Roaming. In countries where regulatory authority is required and Service Provider does not hold such regulatory authority to provide the IoT Services, Service Provider may obtain, on the Subscribing Entity’s behalf, from authorized providers, the required services and any associated equipment. IoT Services performance while Roaming, including available service features, may be different than the IoT Service on the Network.

3.5 Device Certification. Subscribing Entities will ensure that all Devices and Modules, in connection with the Services have gained PCS Type Certification Review Board (PTCRB) certification, FCC certification, and have been approved by Service Provider in writing for use on the Network, in each case as directed by Service Provider (“Approved Devices”). Service Provider has sole discretion over authorizing the certification of a Device and software as well as subsequent operation of the Device on the Network. Subscribing Entities may not distribute, sell or activate any Device that is not an Approved Device. Subscribing Entities will pay all costs associated with obtaining approval for Approved Devices.

In the event that any Approved Devices do not meet these standards, a Subscribing Entity must use its best efforts to ensure that such Approved Devices are no longer using the Services and shall terminate such Services. Further, in the event that Service Provider determines that equipment intended for use or being used by a Subscribing Entity has a significant impact on the Network (hereafter “Equipment Issue”) with regard to emergencies or similar events, as to which Service Provider has no obligation to provide notice, Service Provider will provide the Subscribing Entity with evidence of such Equipment Issue and the Subscribing Entity and Service Provider shall diligently work together to resolve the Equipment Issue for a period not to exceed ten (10) days from the date such evidence is provided to the Subscribing Entity. If the Subscribing Entity and Service Provider are unable to resolve the Equipment Issue at the end of such ten (10) day period, Service Provider may notify the Subscribing Entity that such equipment is not authorized for use on the Network, and the Subscribing Entity must ensure that all equipment at issue is removed from use on the Network no later than five (5) days after receiving such notice. Notwithstanding the foregoing, if equipment poses imminent risk of harm to the Network or to the security of Service Provider users, Service Provider may immediately suspend Services to the extent necessary to limit such impact.

3.6 Priority Access and Preemption/Wireless Priority Service. Upon Customer’s election to opt in as described below, T-Mobile will provide Customer with priority data access and preemption (“Priority Access and Preemption”) at no additional cost when using T-Mobile’s wireless network subject to the terms, conditions, and limitations herein.

3.6.1 Description. Priority Access and Preemption is provided through Wireless Priority Service (“WPS”), a White House-directed cellular communications service. The Cybersecurity and Infrastructure Security Agency (“CISA”) provides and manages WPS in compliance with Federal Communications Commission (“FCC”) Second Report and Order, FCC 00-242 and FCC Report and Order FCC 22-36. In the event the WPS is terminated by the White House, CISA, the FCC or

T-Mobile USA, Inc. MSA0039 Service Attachment 2 Page 14 an authorized regulatory body, T-Mobile may continue to provide similar service to Customer without interruption, so long as consistent with then-applicable law and mutually agreeable to both parties. Priority Access and Preemption provides specialized treatment of voice and data sessions during times of high network utilization for approved first responders and other organizations that use telecommunication services necessary for the public health, safety, and maintenance of law and order. If activated by Customer and accepted by T-Mobile, Priority Access and Preemption is always active on the T-Mobile Network for data service and does not require Customer to invoke any special dialing code.

3.6.2 WPS Eligibility and Registration. Priority Access and Preemption requires registration with the U.S. Department of Homeland Security (“DHS”). DHS determines eligibility for WPS and the level of priority an approved user will receive.

3.6.3 Customer Opt In. Prior to receiving Priority Access and Preemption on T-Mobile Rate Plans, Customer must provide notice to T-Mobile of Customer’s request to enable WPS. Such notice can be provided by completing and returning the WPS approval request form by email (“WPS Approval Form”), which is available by contacting your T-Mobile account representative. Submitting this notice authorizes T-Mobile to submit and maintain a registration application with DHS on Customer’s behalf. T-Mobile’s submission of such registration application is contingent on Customer’s agreement to all applicable DHS WPS program terms and conditions including, but not limited to: (i) Customer continues to have an organizational mission which supports National Security/Emergency Preparedness (“NS/EP”) as this mission is defined by DHS at https://www.cisa.gov/gets-eligibility; (ii) Customer identifies a Customer Point of Contact (“POC”) to manage the WPS account; and (iii) Customer certifies that all Customer users on whose behalf Customer request WPS meets all DHS and FCC requirements for eligibility found at https://www.cisa.gov/sites/default/files/publications/WPS%20Eligibility.pdf. For technical support related to WPS registration, Customer must contact the DHS at 866-627-2255 or support@priorityinfo.com.

3.6.4 Limitations/Disclaimers. Priority Access and Preemption is for Domestic traffic only on T- Mobile’s Network and requires T-Mobile approval of both end users and devices. Features, coverage and service are not available everywhere and are subject to change. Priority Access and Preemption is not available while roaming on another carrier’s network, while connected to Wi-Fi, or for Users on a Business Internet Rate Plan. Availability while using hotspot is dependent upon the device. In areas with standalone 5G, WPS functions may cause data service to default to 4G LTE. Priority Access and Preemption provides WPS users with data priority over standard users on the T-Mobile Network but does not guarantee data network access. End users with the same priority will be prioritized on a first-come, first-serve basis. Priority Access and Preemption service are subject to the wireless coverage and service limitations in this Agreement.
