A. Work under this Contract will be based on individually negotiated work orders. The

Contractor should be capable of adjusting disciplines and expertise as necessary to meet the needs of specific work orders. Each work order will provide a specific scope, budget, and schedule for the services required. The County does not guarantee that all disciplines or services will be used, or that the Contractor will receive a specific volume of work, a specific total contract amount, or a specific work order price.

1. The County will review all individual work orders issued under this Contract with an estimated value equal to or greater than $150,000 to establish a specific level of participation by Certified Small Contractor and Supplier (SCS) Firms, as applicable.

2. The Contractor will be expected to respond to urgent, short notice requests for services. The Contractor shall be capable of working on several work orders simultaneously.

4. All capital projects shall divert at least 80% construction and demolition materials and achieve zero waste of resources by 2030 at project completion.

5. All capital projects will utilize King County’s Equity and Social Justice credits for capital projects regardless of green building rating system used.

C. At least 90% of the Work contained in the JOC must be subcontracted to entities other than the Contractor.

D. The Contractor must distribute subcontracts as equitably as possible among qualified and available subcontractors, including Certified Small Contractors and Suppliers and Certified Business to the extent permitted by law as demonstrative on the Contractor’s submittal(s) for a Work Order, and shall limit subcontractor bonding requirements to the greatest extent possible. The Contractor shall use all reasonable efforts to solicit and award Work Orders to qualified subcontractors through an open, equitable and competitive process. King County reserves the right to identify, within the specifications of a Work Order, minimum subcontractor qualification requirements to perform the Work.

The County will review the Contractor’s submittal(s) for a Work Order and may require the Contractor to select an alternative subcontractor to perform the work, if the original subcontractor is not qualified or acceptable to the County. County verification of subcontractor qualifications will occur prior to the execution of a Work Order. Prior to commencing any work on an individual Work Order, the Contractor shall provide a cost proposal to perform the work. The cost proposal shall be provided to King County with 14 business days of the individual Work Order request for proposal or a request to negotiate. After reviewing the cost proposal, the County may reject the cost proposal if the prices to perform the work are not reasonable. The County may either negotiate an adjusted scope and/or seek revision to the quantities or line items to obtain a reasonable cost proposal or not use the JOC and pursue the work through alternate means.

E. The Contractor and its subcontractors shall pay prevailing wages for all work that would otherwise be subject to the requirements of Chapter 39.12 RCW. Prevailing wages for all work performed pursuant to each Work Order must be at rates not less than those shown in the prevailing wage schedule established by the State Department of Labor and Industries and attached to each Work Order.

F. The Contractor shall publish notification of intent to perform public works projects at the beginning of each contract year in a legal newspaper for general circulation in King County. The Contractor shall provide the County proof of such published notification upon request.

G. All specifications, drawings and/or product and procedures developed by the Contractor must be in compliance with the Contract Documents, and all current national, state and local codes, industry standards and applicable County requirements and regulations governing the work under the contract based on this RFP. Specifications governing the work will include the various King County departmental design guidelines and conform to standard CSI format or WSDOT specification.

H. Responsible Contractor. As a condition of award for contracts valued at $100,000 or more, the Contractor agrees that it shall comply with the criteria in King County Ordinance 19925. King County Procurement & Payables may waive specific criteria, such as community workforce agreements or employee health insurance, if deemed inapplicable based on procurement type or business size. Failure to comply with the criteria specified in the ordinance and to which the Contractor is attesting on the form will constitute a material breach, and the County may terminate the contract, in whole or in part, for default.

D. Unit Price Book

1. The RS Means “Assemblies Costs” volume can be used in lieu of using groups of individual listings in other volumes only if agreed to in advance by the County.

2. The Unit Price Book (UPB) governing this solicitation and the contract shall be the then current edition of the RS Means Facilities Construction Cost Data book at the time of issuance of each Work Order. The unit price for each item to be used from the UPB is the “Bare Cost Total” column.

3. Use of Unit Price Book: The unit price for each item to be used from the UPB is the “Bare Costs Total” column. UPB Division 1, Items in 01-11, 01-21-16, and 01-31 shall not be included on a Priced Item List in a Work Order Proposal. These items shall be included in the Contractor’s coefficient.

4. For each Work Order, the value of the applicable line items and their quantities will be multiplied by the City Cost Index and the designated coefficient as bid and totaled to determine the lump sum costs of Work Orders. This formula (price = bare cost unit price as identified in the applicable UPB x quantity x city cost index x designated coefficient as bid) shall determine the total amount to be paid to the Contractor for self-performed items or Subcontractor-performed items.

https://sam.gov/content/home

KC001707 Page 9 of 13 JOC RFP

5. When subsequent issues of UPB volumes are issued and available, those volumes shall be used by the Parties in pricing unit price items. The contracted Coefficients will not be changed due to newly issued or adjusted UPB volumes.

6. Non-priced items (specific line items not found in the UPB) shall be negotiated using labor rates and materials local to the Project. County may request up to 3 bids from sources acceptable to County; coefficients will be negotiated to reflect reasonable markups and incidental expenses attendant to the type, number, and value of each item. If no agreement can be reached, the bid coefficients will apply. Like items in RS Means may be substituted for a non-priced item if agreed to in advance by County and Contractor. No more than 20% of the dollar value of a Work Order may consist of items of work not contained in the UPB.

E. Preparation of Price Coefficient

1. The initial JOC term is one year, with the County’s option of extending the contract for two (2) additional one-year periods. The coefficients identified in the Contractor’s proposal to the RFP shall be fixed for the duration of the contract, including any extensions to the term of the contract by the County. No annual adjustments to the coefficients will be made for the full duration of the contract.

2. Upon notification by the County, the highest ranked Contractors shall submit sealed bids (See Attachment 3 - Form F) in the form of coefficients to be applied to pre-priced items and tasks contained in the then current edition of RS Mean – Facilities Construction Cost Data Book at the time of bid and based on the documents contained within the RFP. The coefficients shall compensate the Contractor for all non-craft labor, field office expense, supervision, field engineering, as built drawings, home office costs, bonds, insurance, taxes, and all expenses, overhead and profit as defined in the contract’s General Conditions, and which are necessary to complete the work in accordance with the contract.

3. Each identified firm shall submit three (3) coefficients: the Standard Coefficient for Work that is conducted during normal working hours (7:00AM to 5:00PM, Monday through Friday) and the Non-Standard Coefficient is for Work that occurs during other than normal working hours (5:00PM to 7:00AM, Monday through Friday, and weekends and holidays), and the Non-Pre-Priced Item (NPPI) coefficient for items not listed in the R.S. Means Price books. For the purposes of evaluation, the County anticipates that 70% of the Work will occur during normal working hours and 20% will occur during non-standard hours and 10% of the work will be NPPI. This distribution is presented for informational use only and is not a commitment of work.

4. These coefficients will be used to multiply the price for each priced item obtained from the specified RS Means Unit Price Book “Bare Costs” column. Only one coefficient may be used as the multiplier on any line item.

a. Non-Pre-Priced Items: When an item of work is requested by the County, but not contained in the RS Means manuals, the NPPI coefficient will be used as the multiplier. The “Bare Cost” for the item will be determined as the lowest of three separate quotations obtained by the contractor from the marketplace for the work item.
