IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

10 U.S.C. 2304 (c)(1), as implemented by FAR 6.302-1(a)(2)(iii).

V. DEMONSTRATION THAT THE CONTRACTOR’S UNIQUE

QUALIFICATIONS OR NATURE OF THE ACQUISITION REQUIRES THE

USE OF THE AUTHORITY CITED ABOVE (APPLICABILITY OF

AUTHORITY)

This contract will be for engineering services from Northrop Grumman to develop a

Technical Data Package (TDP) and Repair/Overhaul Technical Manual for the B-2

Attitude Motion Sensor Set (AMSS). Development of a Technical Data Package (TDP) and Repair/Overhaul Technical Manual for this system has not previously been accomplished by Northrop Grumman or any other vendor. Northrop Grumman is the design activity and system integrator for the AMSS which is part of the B-2 Flight

Controls System (FCS). Additionally, Northrop Grumman holds FCS proprietary data rights to specifications related to the interactions of the AMSS with other aircraft systems. As AMSS design activity and system integrator, Northrop Grumman has the specification technical data knowledge and expertise but does not currently repair the

AMSS.

The original equipment manufacturer (OEM) Kearfott currently repairs the AMSS.

However, efficient and cost effective repair is lacking from Kearfott due to shortage of experienced personnel and unavailable detailed Technical Data or Repair/Overhaul

Manual procedures. Repairs can only be performed using a crude sub-assembly or circuit card assembly (CCA) swapping method until the AMSS passes the Automatic Test

Procedure (ATP). In addition, the OEM does not have enough engineering resources and

B-2 flight controls integration technical expertise to develop a detailed Technical Data and Repair/Overhaul Manual for the AMSS. Northrop Grumman as design activity, has the integration knowledge, technical expertise, and unique relationships with Kearfott

Corporation including intellectual property rights agreements, to assist in resolving any engineering gaps for development of the Technical Data and Repair/Overhaul Manual.

The government does not own or have access to the technical data and repair data necessary to perform or compete this engineering service. Efforts by the Government to purchase the data use rights from the OEM have failed. A request was sent to Kearfott on 30 July 2019 and the most recent attempt was on 12 Nov 2020 when an email was sent to them requesting they provide a Rough Order of Magnitude (ROM) for the cost to buy or lease data rights. To date, Kearfott has not responded to these requests. In addition, Kearfott didn’t respond to Sources Sought Synopsis (SSS) which was posted on

FedBizOpps on 14 Aug 2020 and closed on 14 Sep 2020 under Solicitation number

FA8117-20-SS-0025, which was for the development of detailed Technical Data and

Repair/Overhaul Manual procedures.

The 422 SCMS/GUEA believes that award to any other source would result in unacceptable delays in fulfilling the Air Force’s requirement. Reverse engineering the repair process is not feasible within allowable timeframes and the risk is very high. Any effort to reverse engineer would require an estimated seven or more years from the initiation of the Consolidated Sustainment Activity Group Sustaining Engineering project. The B-2 weapon system's capability is already impacted with Mission Incapable

Awaiting Parts (MICAPS) back orders. The AMSS is a critical component of the Flight

Control System and failure to provide timely support will result in the grounding of B-2 aircraft.

Accordingly, Northrop Grumman is the only source capable of providing the services described in Section III above without the U.S. Air Force experiencing unacceptable delays. Failure of this item would result in incorrect flight performance data to the aircrew and could cause an unstable flight. Therefore, this acquisition is required for continued performance of a flight critical function item.

VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS DEEMED

PRACTICABLE

This requirement will be synopsized in www.beta.sam.gov as a notice of proposed contract IAW FAR 5.201. The expected date of publication is 04 Jan 2021.

On 14 Aug 2020, a Source Sought Synopsis was posted on www.beta.sam.gov web site under FA8117-20-SS-0025. The SSS included the NSN (listed in Section III), part number and quantity in support of market research to identify potential sources for engineering services of the NSN. The SSS closed on 14 Sep 2020, Northrop Grumman was the only source to express interest as a result of SSS at this time. No other actions can be taken and there are no other qualified sources available to the government.

VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND

REASONABLE

The Contracting Officer will ensure that the items described herein are negotiated at a fair and reasonable price to the Government. The contractor will be required to provide certified cost and pricing data. A detailed cost analysis and price analysis will be accomplished. The Defense Contracting Management Agency and/or Defense Contract

Audit Agency may be contacted to assist with the analysis, and may assist with inputs throughout the life of the contract.

VIII. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS, OR A STATEMENT OF THE REASONS MARKET RESEARCH

WAS NOT CONDUCTED

As described in Section VI above, market research, in accordance with FAR Part 10, was conducted by a multi-functional team consisting of the Item Manager, Equipment

Specialist, Logistics Officer, and Engineerbeginning on 01 Jun 2020 and closing on 15

Sep 2020. This research included Sources Sought Synopsis (SSS) reference number

FA8117-20-SS-0025 along with inquiries into Internet sites including Google, the

Thomas Register, Haystack, and similar item manufacturer's websites. These sites were searched for capability to develop TDP and Repair/Overhaul Technical Manual as well as support abilities. This research revealed that there is no other company available to meet this requirement because the technical data held by Kearfott Corp and

Northrop Grumman would be required. No data rights or intellectual property agreements exist beyond the arrangement between Kearfott Corp and Northrop http://www.beta.sam.gov/

Grumman that the Government could ascertain. The item described in Section III is used in military applications and no commercial or non-developmental substitutes are available.

Based on the above market research, Northrop Grumman was found to be the only source able to fulfill the requirements described in Section III.
