DMEA #22-18
Defense Microelectronics Activity 4234 54th Street, McClellan, CA 95652
PWS #22-2B6
Sole Source Justification
1. Agency and Contracting Activity:
Office of Secretary of Defense, Defense Microelectronics Activity (DMEA).
2. Nature/Description of Action:
A new Firm Fixed Price contract using RDT&E funds for the procurement of Keithley test systems support services.
3. Description of Supplies/Services:
The contractor shall provide application support, equipment transfer support, repair/maintenance support and calibration services for DMEA owned Keithley S530, S400 and 4200 test systems.
The value of this procurement is estimated at $.
4. Authority Cited:
FAR 13.106-1(b), Soliciting from a single source
5. Reason for Authority Cited:
On 29 September 2010, Tektronix Inc. purchased Keithley Instruments Inc. As a result, Tektronix is the owner of the proprietary information required for the maintenance and calibration of the Keithley S530, S400, and 4200 test systems owned by DMEA. As the owner of the proprietary tool information, Tektronix is the only source available to perform application specific equipment training, software application support, and transfer support for the Keithley S530, S400, and 4200 test systems. In addition, Tektronix is the Original Equipment Manufacturer (OEM) for replacement parts and the only source available for support services for the Keithley test systems.
Furthermore, failure to use an authorized source for repair/maintenance of the Keithley test systems will void any remaining warranty DMEA is entitled to and Tektronix will not perform maintenance and/or support the equipment in the future.
6. Efforts to Obtain Competition:
No action was taken to obtain competition because the information required for the maintenance and calibration of the Keithley S530, S400, and 4200 test systems are proprietary to Tektronix.
The solicitation, accompanied by this approved justification will be posted on SAM.gov.
DMEA #22-18
7. Fair and Reasonable Cost Determination:
I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable. This determination is based upon the Independent Government Estimate (IGE) and comparison of prices found reasonable on previous purchases.

Due to the proprietary requirements, no other potential sources were identified.
9. Other Facts:
Keithley support services was previously procured under contracts HQ072721P0007, HQ072720P0019, HQ072719P0035, and HQ072718P0013.
