PROPOSAL PREPARATION INSTRUCTIONS

1. Guidelines

(a) The Offeror’s response to this solicitation shall include a proposal. The proposal (“offer”) as the term is defined and used in FAR 2.101 means a response to a solicitation that, if accepted, would bind the offeror to perform the resultant contract. In addition to its offer, each Offeror must provide “Past Performance Information”. Past Performance Information consists of contracts of similar scope and size to this acquisition, a Past Performance Reference Sheet, a Past Performance Log, and Past Performance/Questionnaires completed on each contract.

(b) This section provides general guidance for preparing proposals and Past Performance Information as well as specific instructions on the format and content of proposals and Past Performance Information. Offerors’ proposals and Past Performance Information must include all data and information requested by this solicitation and submitted in accordance with these instructions. Non-conformance with the specific organization, content, and page limitations may result in mis-evaluation of proposals; or depending on the magnitude of the non-conformance, the proposals may be eliminated from further consideration. Telegraphic offers will not be considered.

(c) The proposal and Past Performance Information shall be clear, concise, and include sufficient detail to enable the Government to fully evaluate and determine the Offeror’s capability to comply with (i.e., meet or exceed) all requirements identified in this solicitation. The proposal information should not simply rephrase or restate the PWS, but should provide convincing rationale to address how the Offeror intends to meet the requirements of the solicitation. In responding to the specific tasks set forth in the solicitation, Offerors are encouraged to highlight the unique features (strengths) of their approach to meeting/exceeding PWS requirements.

2. Organization/Number of Copies/Markings

(a) Organization – The proposal shall be structured into seven (7) volumes with maximum page limits as indicated below. Each volume shall be written to the greatest extent possible on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other parts of the proposal. Each volume shall contain a glossary of all abbreviations and acronyms used within that volume, with an explanation for each. The Offeror shall ensure that no cost or pricing data is included in the Technical Proposal, Volume 1. The maximum page limit for each volume includes all text pages, tables, foldouts, graphs, and other types of illustrative material.

Cover sheets and glossaries do not count against the page limits for the respective volumes. The page limitations listed below are absolute maximums and not planning goals. Excess pages exceeding the maximum limits will not be read or considered in the evaluation. It is entirely acceptable to submit volumes with fewer pages than the maximum limits.

(b) Number of Copies/Markings

A tab/cover sheet shall be applied to each volume to clearly mark the volume/section, title, RFP identification, and Offeror's name.

(e) Proposal Expiration – Offerors’ proposals must be valid for a period of time not less than 180 days from the original submission date.

3. Requests for Information

The Government will make the final determination as to whether a proposal is acceptable or unacceptable, and may accept a proposal as initially submitted without requesting further information from any Offeror. However, should the Government request additional information (via clarification requests/evaluation notices), the Offeror shall include the question(s) with their written response. The Government may request additional information from any

Offeror at any stage of the acquisition for the purpose of clarification and for determining whether discussions should be conducted with the Offeror. The determination to request such additional information from any Offeror, or to conduct further negotiations with any Offeror, shall be at the sole discretion of the Government.

4. Proposal Changes

Offerors shall update proposals (offers) throughout the negotiation (FAR 15.306(d)) process based on such things as Government clarification and evaluation notices issued to Offerors. Regardless of the number of proposal updates submitted, integrity and clarity of each proposal must be maintained. All proposal updates must meet the following criteria:

(a) Changes to proposal data shall be submitted as complete page changes for each page on which a change occurs.

A solid black line in the right hand margin of the changed page shall be used to identify the lines of text, data, or graphics changed.

(b) Each change page will contain a revision number and date of each affected page. Changes shall be numbered sequentially, beginning with Change 1.

(c) Change pages must be submitted which maintain the separation of pricing data as specified for the original proposal submission.

5. Proposal Content

The Offeror's proposal shall respond to all requirements of this solicitation clearly and completely. It is the Offeror's responsibility to ensure information supplied by its subcontractors is accurate and unambiguous. Offerors who fail to respond adequately, or fail to clarify or correct their proposals after having been notified by the Government, may be eliminated from the source selection process without further discussions. Promotional or marketing brochures submitted by the Offeror will not be evaluated.

6.Organizational Conflicts of Interest

Submission Requirement Organization Conflict of Interest (OCI): The Contractor’s attention is directed to FAR, Subpart 9.5, “Organizational and Consultant Conflicts of Interest.”

The Offeror shall represent within the proposal that, to the best of the Offeror’s knowledge, there are no relevant facts or circumstances concerning any past, present, or potential contracts or financial interest relating to the work to be performed, which could give rise to an organizational conflict of interest, as described in FAR, Subpart 9.5. In the event an actual or potential organizational conflict of interest exists, the Offeror shall instead, (1) identify the relevant facts or circumstances concerning any past, present, or potential contracts or financial interest relating to the work to be performed, and (2) submit a mitigation plan to the Contracting Officer with the proposal, that effectively demonstrates how the Offeror will mitigate any actual or potential organizational conflict of interest while supporting this contract and any other USTRANSCOM contract. As a part of the proposal, the Offeror shall provide the Contracting Officer with information of previous or ongoing work that is in any way associated with this solicitation.

The Contracting Officer will review mitigation plans to determine whether award to the Offeror is consistent with FAR, Subpart 9.5. If the Contracting Officer determines that no conflict would arise or that the mitigation plan adequately protects the interest of the Government, the Offeror will be eligible for award. If the Contracting Officer determines that the mitigation plan is inadequate, remedial actions will be considered, including elimination from the solicitation process, termination of related contract efforts already awarded, or negotiation of the mitigation plan.

The above restrictions shall be included in all subcontracts, teaming arrangements, and other agreements calling for performance of work which is subject to the organizational conflict of interest restrictions identified in these provisions.

The Government reserves the right, in case of a breach, misrepresentation or nondisclosure, to terminate the resultant contract, disqualify the Offeror from subsequent related contractual efforts, or pursue any remedy permitted by law, regulation or the terms and conditions of this solicitation.

7. DD Form 254

SECURITY REQUIREMENTS. Submission of a DD Form 254 is required.

The Contractor will require access to Government information in the performance of this contract. The Contractor may be required to have access to information classified at the SECRET level. ADDENDUM TO FAR 52.212-2

FAR 52.212-2 IS SUPPLEMENTED AS FOLLOWS:

The Government will conduct a Best Value source selection in which the Source Selection Evaluation Board (SSEB) will evaluate offers based on the submitted technical approach, staffing approach, past performance, small business proposal, and price.

(1) TECHNICAL CAPABILITY

Subfactor 1: Technical for IDIQ Level Subfactor 2: Technical for Task Order 0001

(2) STAFFING FOR TASK ORDER 0001

(3) PAST PERFORMANCE

(4) SMALL BUSINESS PROPOSAL

Subfactor 1: Small Business Subcontracting Plan Subfactor 2: Small Business Utilization Plan

(5) PRICE

Award will be made to the Offeror whose proposal conforms to the requirements specified in the Request for Proposal (RFP) and which provides the best value to the Government, cost and non-price factors considered.

The Government intends to award a single IDIQ contract as well as Task Order 0001, both with a period of performance (POP) start date of 1 August 2014. Award will be made to the offeror who is deemed responsible in accordance with the Federal Acquisition Regulation, as supplemented, whose proposal conforms to the solicitation requirements (to include all terms, conditions, representations, certifications, and all other information required by the solicitation), and is judged, based on the evaluation factors, to represent the best value to the Government. This may result in an award to a higher rated, higher priced offeror, where the decision is consistent with the evaluation factors. However, the Government will not pay a price premium that it considers to be disproportionate to the benefits associated with the proposed margin of service superiority. Therefore, the Government will award a contract to the offeror considered to be the best value, all factors considered, given their relative order of importance.

The Government reserves the right to award no contract at all depending on the quality of the proposals submitted and subject to availability of funds. The Contracting Officer may limit the competitive range for purposes of efficiency.

(1) Technical Capability

The two technical subfactors are of equal importance. Strengths, weaknesses, significant weaknesses, and deficiencies may be assigned to the offerors’ Technical proposal. The technical ratings evaluates the quality of the offeror’s technical solution for meeting the Government’s requirement. Offerors will be given color ratings for each of the two technical subfactors as documented in Table 1.

Table 1 – DOD Color Ratings

COLOR RATING DESCRIPTION

Blue Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. The proposal contains multiple strengths and no deficiencies.

Purple Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains at least one strength and no deficiencies.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Proposal has no strengths or deficiencies.

Yellow Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements.

Red Unacceptable Proposal does not meet requirements and contains one or more deficiencies and is unawardable.

“Strength” is an aspect of an offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance. “Weakness” means a flaw in the proposal that increases the risk of unsuccessful contract performance. A “significant weakness” in the proposal is a flaw that appreciably increases the risk of unsuccessful contract performance. A “deficiency” is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

Technical Risk: Assessment of technical risk, which is manifested by the identification of weakness(es), considers potential for disruption of schedule, increased costs, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. The risk rating considers the risk associated with the technical approach in meeting the requirement. Offerors will be given a risk rating for each of the two subfactors as documented in Table 2.

Table 2 – Technical & Staffing Risk Ratings

RATING DESCRIPTION

Low

Has little potential to cause disruption of schedule, increased cost or degradation of performance. Normal contractor effort and normal Government monitoring will likely be able to overcome any difficulties.

Moderate Can potentially cause disruption of schedule, increased cost or degradation of performance. Special contractor emphasis and close Government monitoring will likely be able to overcome difficulties.

High

Is likely to cause significant disruption of schedule, increased cost or degradation of performance. Is unlikely to overcome any difficulties, even with special contractor emphasis and close Government monitoring.

(2) Staffing

Strengths, weaknesses, significant weaknesses, and deficiencies may be assigned to the offerors’ Staffing Approach.

The staffing ratings evaluate the quality of the offeror’s staffing solution for meeting the Government’s requirement.

Offerors will be given color ratings for Staffing Approach as documented in Table 1.

Staffing Risk: Assessment of staffing risk, which is manifested by the identification of weakness(es), considers potential for disruption of schedule, increased cost, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. The risk rating considers the risk associated with the staffing approach in meeting the requirement. Offerors will be given a risk rating for staffing approach as documented in Table 2.

(3) Past Performance

Utilizing the Past Performance Reference Sheet (Attachment 5), offerors are required to provide a Point of Contact for each of the examples provided below. Ensuring inclusion of the POC name, phone number and e-mail address, if available. Offerors should address all past performance areas noted below, but each individual example does not need to reflect performance in all identified areas. However, the Government’s consideration of a reference will increase as the number of performance areas reflected within a single reference increases. References shall cover performance in the following areas as it relates to the Department of Defense (DOD) transportation and distribution management process and systems and Working Capital Funds as identified in the PWS:

(a) Experience with the methodology in implementing, designing, and creating assertion work products for achieving the department-wide OUSD(C) FIAR objectives and understanding the goals, priorities, and strategy to become audit ready within required timelines.

(b) Experience with Working Capital Funds billing rate development, structure, and the operational and financial systems that collect, support and provide the data used in their development.

(c) Experience in maintaining and revising Teradata data warehouse loading processes, data mart transformation and cleansing scripts, ad hoc queries, and metadata modeling as well as IBM Cognos PowerCube development and maintenance.

(d) Experience with Accounting and Management System programs and Financial Systems as well as experience in asset management concepts in order to gather, analyze and communicate financial system requirements and migration of financial data.

(e) Experience providing acquisition cost research and analysis support, and acquisition financial management and program analysis support for DOD acquisition program management offices in accordance with DODI 5000.01 and

DODI 5000.02, plus acquisition-related portions of DOD Financial Management Regulation 7000.14-R and related Air Force Financial Management Instructions and cost guidance (e.g., AFI 65-508 and AFI 65-509).

Subcontractor consents (if applicable). Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor's consent. With your proposal response, provide a letter from your principal subcontractor(s) that will perform major or critical aspects of the requirement consenting to the release of their past performance information to the prime contractor.

In addition to past performance information submitted by the offeror, past performance information may be obtained through the (1) Past Performance Information Retrieval System (PPIRS), (2) Questionnaires tailored to the circumstances for this acquisition, and (3) other sources known to the Government.

Offerors are responsible for ensuring Past Performance Questionnaires are provided to the appropriate POC on Attachment 6 Past Performance Questionnaires for each of the Government or commercial contracts referenced.

Utilizing Attachment 7 Past Performance Log, offerors are required to submit contact information for each contract used as a reference including the POC name, phone number, and email address. Past Performance Questionnaires will only be accepted from the five references provided on Attachment 7.

The Government will first determine if the effort is considered recent, which means the effort was performed within the last three years (of the proposal due date). Then the Government will determine the relevancy of each effort submitted. The following ratings will be used in evaluating the relevancy of the offerors’ past performance:

Very Relevant. Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant. Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant. Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant. Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Past Performance will be evaluated as a measure of the Government’s confidence in the offeror’s and principal subcontractor’s ability to successfully perform based on previous and current contracts. The relevancy of each reference will be considered in the overall confidence assessment rating for the offeror. One of the following confidence assessment ratings will be assigned to each offeror:

Substantial Confidence. Based on the offerors recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence. Based on the offerors recent/relevant performance record, the

Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence. Based on the offerors recent/relevant performance record, the

Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence. Based on the offerors recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral). No recent/relevant performance record is available or the offerors performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

Offerors with no recent relevant past or present performance history shall receive an Unknown Confidence meaning the rating is treated neither favorably nor unfavorably. In evaluating past performance the Government reserves the right to give greater considerations to references for DOD, USTRANSCOM financial systems, the Air Force’s Defense Enterprise Accounting and Management System (DEAMS), and Transportation Working Capital Funds (TWCF) and information on those contracts deemed most relevant to the effort described in this RFP.

Past performance regarding predecessor companies or principal subcontractors that will perform major or critical aspects of this requirement will be weighted the same (equally as important) as the past performance information for the offeror.

(4) Small Business

Each offeror’s Small Business Proposal will be evaluated as Acceptable or Unacceptable at the subfactor level.

Offerors must receive a rating of Acceptable for both Small Business Proposal subfactors in order to be considered for award.

Subfactor 1 - Small Business Subcontracting Plan (Applies to Large Businesses Only). To be rated acceptable, the offeror’s proposed SB Subcontracting Plan must meet all of the requirements in FAR 19.7 and provide sufficient detail to demonstrate how the offeror intends to meet the proposed contract minimum SB subcontracting goals. The information contained in the proposed SB Subcontracting Plan must appear to be realistic based on the types of services to be subcontracted.

Subfactor 2 - Small Business Utilization Plan. (Applies to Large and Small Businesses). To be rated acceptable, the offeror’s proposed Small Business Utilization Plan:

(1) Provides a detailed description of the services to be performed by each Small Business Concern subcategory proposed. The detailed description appears to be realistic based on the services to be performed under the contract and the offeror’s approach to subcontracting. The offeror has also provided the CAGE code, or proposed subcontractor self-certification as a SB concern, for each proposed subcontractor.

(2) Provides goals, expressed as dollars and percentages of total contract values and dollars and percentages of total domestic subcontracting values for each category of SB category concern included in Para (1) above. The goals must appear to be realistic based on the services to be performed under the contract and the offeror’s approach to subcontracting.

(3) Includes a description of the offeror’s proposed efforts to ensure the resulting contract meets or exceeds the minimum identified SB subcontracting goals. The description of proposed efforts must appear to be realistic based on the services to be performed under the contract and the offeror’s approach to subcontracting.

(4) For Large Businesses, demonstrates that the proposed Small Business Utilization Strategy is consistent with their proposed SB Subcontracting Plan.

(5) For offerors who are participants in the DOD Comprehensive Subcontracting Test Program, describes how small business participation under this contract will contribute to its overall Comprehensive Subcontracting plan goals. The description must appear to be realistic based on the services to be performed under the contract and the offeror’s approach to subcontracting.

(5) Price

The Government will conduct a price analysis using one or more techniques set forth in FAR 15.404-1(b)(2) to determine whether the proposed prices for all labor rates and for Task Order 0001 are fair and reasonable. The

Government will also conduct a price realism analysis on the offeror’s proposed labor category rates for the IDIQ.

The total proposed price (TPP) for Task Order 0001 will be used for purposes of evaluation to determine best value.

FAR 52.217-8, Option to Extend Services Clause, is included in this Request For Proposal (RFP). The Government will calculate the offeror’s Total Proposed Price (TPP) for Task Order 0001 by adding the total price of the base requirement, all option periods, and the total price for the 6-month extension of services. Pricing for the 6-month extension of services period will be based on the unit prices proposed in the offeror’s final option period. However, the Extension of Services period will not be identified in the resulting contract as an option. Evaluation of options will not obligate the Government to exercise the option(s).
