(a) Definitions. As used in this provision -

Discussions are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer's discretion, result in the offeror being allowed to revise its proposal.

In writing, writing, or written means any worded or numbered expression that can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

Proposal modification is a change made to a proposal before the solicitation's closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

Proposal revision is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

Time, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals. (1) Unless other methods

(e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages (i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror. Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.

(2) The first page of the proposal must show -

(i) The solicitation number;

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;

(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror's behalf with the Government in connection with this solicitation; and

(v) Name, title, and signature of person authorized to sign the proposal.

Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.

(3) Submission, modification, revision, and withdrawal of proposals. (i) Offerors are responsible for submitting proposals, and any modifications or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii)(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is late and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and -

(1) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(3) It is the only proposal received.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally.

If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(4) Unless otherwise specified in the solicitation, the offeror may propose to provide any item or combination of items.

(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is included in the solicitation.

(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.

(7) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

(8) Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days specified on the solicitation cover sheet (unless a different period is proposed by the offeror).

(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall -

(1) Mark the title page with the following legend:

This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed - in whole or in part - for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of - or in connection with - the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets (insert numbers or other identification of sheets); and

(2) Mark each sheet of data it wishes to restrict with the following legend:

Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.

(f) Contract award. (1) The Government intends to award a contract or contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.

(2) The Government may reject any or all proposals if such action is in the Government's interest.

(3) The Government may waive informalities and minor irregularities in proposals received.

(4) The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)).

Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

(5) The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specifies otherwise in the proposal.

(6) The Government reserves the right to make multiple awards if, after considering the additional administrative costs, it is in the Government's best interest to do so.

(7) Exchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

(8) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

(9) If a cost realism analysis is performed, cost realism may be considered by the source selection authority in evaluating performance or schedule risk.

(10) A written award or acceptance of proposal mailed or otherwise furnished to the successful offeror within the time specified in the proposal shall result in a binding contract without further action by either party.

(11) If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(i) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.

(ii) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.

(iii) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(iv) A summary of the rationale for award.

(v) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(vi) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

L.3 52.216-1 Type of Contract. (APR 1984)

The Government contemplates award of a Firm Fixed Price (which includes IDIQ contract provisions) contract resulting from this solicitation.

L.4 52.222-24 Preaward On-Site Equal Opportunity Compliance Evaluation (FEB 1999)

L.5 52.233-2 Service of Protest. (SEP 2006)

(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from:

(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

L.6 TERMINATION-ERRONEOUS REPRESENTATION CONCERNING SIZE STATUS

This requirement is a 100 percent set-aside for small business concerns. The small business representation made by the offeror when submitting its offer is a material representation of fact upon which the Government relies when making award. If it is later determined that the small business representation was erroneous and the contractor was not a small business on the date of its offer, the contract may be terminated by the Government and the Contractor charged with any damages sustained by the Government as a result of such termination.

L.7 52.237-1 Site Visit. (APR 1984)

Offerors or quoters are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.

L.8 PRE-PROPOSAL CONFERENCE/ SITE VISIT

a. A pre-proposal conference/site visit will be held as stated below:

Date: December 1, 2016

b. The purpose of this conference is to provide an overview of the scope of work and conduct a tour of the facility. All questions regarding the Request for Proposal (RFP) shall be submitted in writing 3 business days after the pre-proposal conference. No questions will be accepted after this deadline. Prospective offerors are requested to submit written questions to Cynthia Ybarra, email address:

cynthia.ybarra@fletc.dhs.gov or Fax (575)748-8002. Submitted questions should specify the section and paragraph of the RFP for which clarification is desired. Written replies to questions and a summary of the conference will be provided as an amendment to the RFP.

c. Transportation will be provided on the site visit. Therefore, it is requested that offerors limit the number of attendees representing their company to a maximum of two; two attendees from a proposed subcontractor/teaming partner would be permissible, as well. Because the FLETC is a secure facility, visitors must obtain a Visitor Pass which will require prior coordination. Offerors are requested to provide the Procurement Office with the names of all proposed attendees, the date of birth and Social Security Number by email or fax to either the email or fax number indicated in b, above. This notification should be made at least two (2) business days prior to the scheduled meeting. Note: No cameras, video cameras, or recording devices are permitted.

L.9 SUBMISSION OF PROPOSAL

a. (1) The following instructions cover the preparation and submission of the offeror’s proposal for this RFP. Proposals shall be submitted to the Government in four (4) separate volumes in quantities as set forth below in a sealed envelope clearly marked; HSFLAR-17-R-00001, Proposal for Student Support Services. Volume I price proposal information shall be submitted in written form (1 copy) and on a computer diskette (1 copy); submit 1 copy of Sections A and K in Volume I.

(2) All spreadsheet documents shall be in MS Excel 2007 or prior version and submitted on CD ROM.

(3) Each volume shall be marked with the RFP number, the offeror’s name and address, and the contracting officer’s information contained on the RFP cover page. The Technical Volume shall contain a Table of Contents that shall list all the material in the volume and where it can be found. All pages are to be numbered consecutively in Arabic numerals; 175 pages maximum; this includes table of contents, matrices, title pages, etc.; foldout pages are acceptable (i.e. 8.5 X 14, etc.) for organization charts, etc., but over five such pages will count as 1.5 pages against the 175 page limitation.

(Note: A “page” consists of a single sheet of white paper, 8.5 inches wide by 11 inches long. Any paper that has text on one side shall be counted as one page; any paper that has text on both sides shall be counted as two pages.) Single spacing shall be used, Times New Roman 12 point font that shall not exceed 1” page margins on all sides. Characters are to be in black ink.

(4) Individuals responsible for preparing material that may be source selection information as described at paragraph (10) of the “source selection information” definition at FAR 2.101 must mark the cover page and at the top and bottom of each page that the individual believes contains source selection information with the legend:

“Source Selection Information – See FAR 2.101 and 3.104.

Procurement Sensitive – For Official Use Only”

(5) Proposal packages will be accepted until the time and date established for receipt of proposals. Proposals received after the established time and date will be processed in accordance with FAR 52.215-1 (see Paragraph L.1 above). Offerors may use certified, registered, or express mail procedures. Ensure outside of package is clearly marked with proposal information as indicated at (1) above.

Volume I

(1) This volume will consist of the following documents:

• A completed and signed RFP SF-33 (Section A) with a cover letter delineating any exceptions taken to the RFP terms and conditions. However, offerors are cautioned that any noncompliance with the terms and conditions of the RFP may cause their proposal to be determined unacceptable.

• Completed Representations and Certifications (Section K)

• Pricing (Section B) and the pricing proposal with cost breakout for the base period and each proposed option year.

(2) Offerors are encouraged to submit cost or financial information which may be helpful in the understanding and evaluation of their price proposal. A breakdown of costs is required and should include, but not limited to, direct labor costs, direct material costs, overhead costs, general and administrative costs, and profit as well as any additional financial information which may be helpful in the understanding and evaluation of proposed price.

b. Volume II, Technical Proposal

(1) The requested Technical Proposal shall be provided in a separate volume (i.e. 3 ring binder) labeled “Volume II, Technical Proposal Technical Proposal shall not exceed 175 pages (this will include any table of contents, charts, graphs, drawings/pictures/diagrams, resumes, etc.). Proposals shall be clear, concise, and include sufficient detail for effective evaluation. Offerors shall cross reference the requirements document, by paragraph number, to the corresponding proposal paragraph which addresses the referenced item. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements.

A mere reiteration of the RFP requirements is not acceptable. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror’s proposal. The technical proposal shall not include pricing. The contents of the technical proposal shall not identify the company by name. The company name should only be identified in the cover of the binder.

(2) Any information submitted as part of the offeror’s technical proposal may be incorporated into, and made a part of, any contract which results from this offer. Upon award of this contract, the technical proposal shall become the Contractor’s Service Plan and will be incorporated into the contract.

(3) The Technical Proposal shall cover the offeror’s approach for achieving the objectives in Section C in sufficient detail for an evaluation to be made. The following information shall be provided and will be evaluated to determine acceptability in accordance with Section M, Evaluation Basis for Award.

• Basic Information Required for Technical Proposal:

Each section of the Technical proposal should address, but is not limited to, the following areas of concern:

(i) Method of Operation. The offeror shall clearly demonstrate their understanding of the Statement of Work by addressing key aspects of the Performance Work Statement (PWS) and the requirements of the Service Plan (See PWS Section C.2.1.1). The offeror shall include and address, but is not limited to, the following:

• The offeror’s methodology and approach for managing and performing the requirements specified in Section C in sufficient detail for an evaluation to be made.

• A written summary of experience in similar efforts that demonstrates technical expertise and management of the multiple service areas.

• The offeror’s understanding of the scope of work by illustrating their proposed allocation of resources and level of effort by labor category.

• Proposed subcontractors, vehicles, facilities, equipment, and supplies and describe how facilities, equipment, and supplies will be maintained and how they will be replaced.

(ii) Quality Control Plan (QC). Offerors shall provide all aspects of the required services with respect to quality assurance and an understanding of the Quality Control Plan and program (see PWS section C.2.1.2). Offerors shall address inspection procedures and corrective processes. Offerors shall include and address, but is not limited to, the following:

• key areas to be monitored

• inspection procedures and corrective processes

• the relationship of management to Quality control

• the specific duties and responsibilities of the Quality Control representative

• Describe the same information for key or critical subcontractor(s) that are projected to be used during the performance of this contract.

(ii) Management and Administration. Offerors shall clearly demonstrate a feasible approach for controlling and managing the entire project and describe the offeror’s general management and administration structure including, but not limited to, the following:

• Lines of authority, supervision, and accountability of overall management, administration, and supervision to perform this service. Provide organizational chart reflecting staffing numbers at lowest level.

• Management, control, and distribution of personnel, such as (i) the potential sources of personnel and how these employees will be provided in a timely fashion; (ii) the procedures that will ensure that personnel are available for work; and (iii) identify the number of contract personnel by labor category to include managers.

• Management and control of Government furnished property, facilities, and equipment.

• Phase-In/Orientation, Phase-Out, to include time schedule for all key events and responsibilities.

• Record keeping and reporting procedures

(iv) Key Personnel Qualifications. Note: The Government considers the following positions key personnel, at a minimum: Project Manager, Alternate Project Manager, and Quality Control Technician. The offeror shall submit information on the proposed management team which they deem optimum for management of the program outlined in the solicitation; with consideration of those positions the Government deems key personnel. The proposal shall outline the rationale why the proposed team should be considered the best value to the Government. Key Personnel (Project Manager, Alternate Project Manager, and Quality Control Technician) shall each have experience in one or more of the following positions: Project Manager, Alternate Project Manager or Quality Control Technician. The offeror shall submit a detailed resume depicting and quantifying all applicable work experience as it pertains to the statement of work for this solicitation for each of the following key personnel positions.

• Project Manager: Resume shall clearly demonstrate experience and skillset of the individuals proposed and how closely it relates to the following criteria deemed optimum by the Government for the position: 1) Experience as a Project Manager on Federal contracts; 2) Experience with Federal administrative processes; 3) Demonstrated experience and a working knowledge typical of work under this contract (i.e.

Firearms, vehicle maintenance, scheduling, transportation, inventory, etc.); 4) Documentation of the highest level of education completed.

• Alternate Project Manager: Resume shall demonstrate experience and skillset of the individuals proposed and how closely it relates to the following criteria deemed optimum by the Government for the position: 1) Experience as an Alternate Project Manager on Federal contracts; 2) Experience with Federal administrative processes; 3) Demonstrated experience and a working knowledge typical of work under this contract (i.e. Firearms, vehicle maintenance, scheduling, transportation, inventory, etc.); 4) Documentation of the highest level of education completed.

• Quality Control Technician: Resume shall clearly demonstrate experience and skillset of the individuals proposed and how closely it relates to the following criteria deemed optimum by the Government for the position: A minimum of two (2) years QC/Lead Technician experience utilizing formal QC systems/processed in industry and/or business related to functions to be performed under this requirement (i.e. Firearms, vehicle maintenance, scheduling, inventory, transportation, etc.

c. Volume III – Past Performance.

(1) Past performance information is one indicator of an offeror’s ability to perform the contract successfully. The currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance shall be considered. An offeror may be given an opportunity to clarify certain aspects of its proposal (e.g. the relevance of the Offeror’s past performance information and adverse past performance information (to which the Offeror has not previously had an opportunity to respond), or to resolve minor clerical errors.

(2) Offerors shall provide information, to include references, on past or current contracts (including Federal, State, and local Government and private), which they deem to be relevant to the instant acquisition in size, scope, and complexity. Offerors shall provide narrative on why they believe the project is relevant for consideration. Past performance is considered “similar” or “relevant” when it involved the same kind of challenges and difficulties that may be confronted on the instant acquisition.

NOTE: The Government is not held to the offeror’s perception of relevancy.

(a) Information shall include the following for each project presented for consideration:

i) Date (Period of Performance)

ii) Contract Title, Contract Number

(iii) Company DUNS – (If the DUNS number is not the offeror’s DUNS number, offer must explain how the project is relevant to the success performance for this requirement);

(iv) Description of work involved

(v) Location

(vi) Dollar Amount (Award amount and Current or Final amount)

(vii) Point of Contact

(viii) Contracting Officer (Name, Title, Telephone, Facsimile) – Offeror must verify accuracy of information provided. Inaccurate contact information will prevent evaluation of the information provided for past performance.

(ix) Technical Manager (Name, Title, Telephone, Facsimile) – (Current; if not current proposal may not be considered). Offeror must verify accuracy of information provided. Inaccurate contact information will prevent evaluation of the information provided for past performance.

(b) Consideration of relevancy to the instant acquisition may include the following:

(i) Contracts that include services of a magnitude that exceed $25 million aggregate value over the contract life.

(ii) Contracts that require the procurement and management of several functional areas such as Firearms support, vehicle maintenance and repair, scheduling, transportation, driver training support, uniform and equipment issue, audio visual, recreation support; training support, educational aides, and role player support services.

(3) For Government projects, for which a contractor evaluation has been completed, submit a copy of the Contractor Performance Assessment Report (CPAR) for service contracts the offeror deems relevant and similar in size, scope, and complexity to the solicitation.

(4) If an offeror submits past performance information for which they performed as a subcontractor, include the name and POC information for the prime contractor, and identify the percent of the project and description of the work for which your firm was responsible.

d. Volume IV, Financial Data Volume: Offerors shall submit audited company financial statements for the last three annual reporting periods. Financial statements will be in accordance with generally accepted accounting practices. If audited company financial statements are not available, the chief financial officer shall provide a formal statement attesting to the accuracy of the financial information provided. Offerors shall submit a detailed discussion, which demonstrates the company’s proposed approach to having sufficient resources to enter into and sustain the effort proposed. Include in this information a description of the financial resources that presently exist within the company to support this effort, whether outside financial support must be obtained, and if so, how it will be obtained and from what sources. Include documentation to substantiate outside financial support. This information will be for a determination of responsibility only and shall not be used in proposal evaluation.

L.10 APPLICABLE WAGE DETERMINATIONS

Work completed under this project is subject to the Service Contract Act. The applicable Wage Determination Numbers 2015-5455 (Revision No. 1) and 2011-0084 (Revision No. 9) are found in Section J-Atch 1, and will become part of any contract resulting from this RFP.

L.11 OPTIONS

Offerors shall price the option requirements for seven (7) additional periods by assuming that the minimum hourly wages and fringe benefits established by the Administrator, Wage and Hour Division, U.S. Department of Labor for the initial period of performance will apply to the additional option period.

The minimum wage rates and fringe benefits applicable to the initial period of performance are found in the U.S. Department of Labor Wage Determinations, Section J-Atch 1.

L.12 REPRESENTATIONS AND CERTIFICATIONS

Section K, Representations, Certifications and Other Statement of Offerors, is required to be completed and submitted with your offer. Please read each statement and complete as appropriate.

Failure to complete Section K as required could deem your offer nonresponsive.

L.13 DISCLOSURE OF LOBBYING ACTIVITIES

Offerors are required to fill out the Disclosure of Lobbying Activities form Standard Form LLL (see Section J) if applicable. The information requested by the form is authorized by Title 31 U.S.C.

Section 1352. This disclosure is a material representation of fact upon which reliance was placed by the tier above when this transaction was made or entered into. This information will be reported to the Congress semi-annually and will be available for public inspection. Any person who fails to file the required disclosure shall be subject to a civil penalty of not less than $10,000 and not more than $100,000 for each such failure.

L.14 PRE-AWARD SURVEY

The Government reserves the right prior to making an award, to conduct a pre-award survey of the prospective contractor in order to determine that the Contractor can meet the minimum standards for responsible prospective contractors as delineated in Federal Acquisition Regulation 9.106. The pre-award survey may include, but will not necessarily be limited to the following factors:

(1) Financial Resources: Such as sufficient working capital to permit performance under the contract for a period of sixty (60) days after the effective date of the contract before reimbursement by the Government;

(2) Ability to comply with required schedules;

(3) Past record of integrity;

(4) Past record of performance; and

(5) Ability to meet other qualifications and eligibility requirements to receive an award of a contract.

L.15 52.252-1 Solicitation Provisions Incorporated by Reference. (FEB 1998)

This solicitation incorporates one or more solicitation provisions by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
