B.4 CONSIDERATION -- FIXED-PRICE AND COST PLUS AWARD FEE
This is a Hybrid Indefinite Delivery/Indefinite Quantity (IDIQ) in which the Government intends to award task orders with the following preference, Fixed Price and/or Cost Plus Award Fee. In consideration for performance under this contract, the government shall pay the contractor a Fixed Price for those task orders issued as a Firm Fixed Price.
If the task order is awarded as a Cost Reimbursement type, in consideration of performance, the government shall reimburse the contractor for all allowable, allocable costs incurred, and pay the contractor an upfront fixed fee and may include a fee determined by the quality of performance; said award fee formulation is presented as ATTACHMENT C to Schedule J.
If the task order is awarded as a Cost Reimbursement type, in consideration of performance, where the fee is not determined by the quality of performance, the government shall reimburse the contractor for all allowable, allocable costs incurred, and pay the contractor a reasonable fixed profit/fee to be negotiated by individual task order.
The total value for this contract shall be determined by the cumulative amount obligated under all task orders, which amount shall not exceed the maximum funding limitation specified in the contract.
B.5 BID RATES FOR PREPARATION OF FIXED PRICE/COST PLUS AWARD FEE TYPE TASK ORDERS
All task orders issued on a FFP basis will be priced in accordance with the fully burdened labor rates developed in response to table found at Section J, Attachment A. The fully-burdened labor rates include all direct labor and all indirect costs applicable to that direct labor, such as, fringe benefits, overhead, G&A, and profit associated with providing the required skill. The loaded hourly rates are ceiling price rates and the Contractor may, at its discretion, elect to propose lower hourly rates on a task by task basis.
Indirect costs allocated to any direct materials and other direct costs shall be proposed consistent with the payment requirements in the clause at FAR 52.216-7, Allowable Cost and Payment Clause (DEC 2002).
The rates shown are based on the contractors established accounting practices for recording uncompensated overtime. These practices are reflected in the table. If in Attachment A and B tables, the rates were computed based on the recording of all hours, then the contractor will be permitted to bill at the hourly rate for all hours worked. If the rates were computed based on recording only 40 hours per week, then the contractor will be permitted to bill only on the basis of a 40 hour week.
For FFP type task orders, the quantity of each item or labor category ordered will be multiplied against the rate listed in this schedule or as negotiated for that TO, and the cumulative extended total of all items ordered will define the fixed price for the TO. Subcontractor/Consultant cost, travel and materials, if applicable, may be estimated for each TO, burdened with applicable indirect rates, in accordance with established accounting practices and profit. Any total rate negotiated for subcontract/consultant costs, travel and materials will be added to the extended price of all ordered items to arrive at the total fixed price for that TO.
All task orders issued on a Cost Reimbursement basis will be priced in accordance with approved DCAA (or FAR Part 31) rates. Direct and indirect cost rates will be established on a TO basis. For Cost Reimbursement task orders, the Contractor will provide complete supporting schedules identifying all applicable direct and indirect rate estimates building up to the TO cost. Contractors with approved DCAA rates should submit their most recent provisional indirect billing and actual rates for both direct and indirect rates. Contractors without audited rates shall propose indirect rates in accordance with FAR Part 31.
The contractor shall record and account for costs using their standard, DCAA approved, accounting systems. The government shall reimburse the contractor for their actual, allowable and allocable costs, which are in accordance with the terms and conditions of this contract.
B.6 TASK ORDER FUNDING
Firm Fixed Price and Cost Plus Award Fee type Task Orders may be issued under this contract within the established contract ceiling limitation. Task Order payments shall be made in installments based on the percentage of completion of work, as determined by the Contracting Officer, and subject to the withholding provisions of this contract (FAR 52.216-8). Payment of fixed fee will not be made in less than monthly increments.
B.7 AWARD PRIOR TO AUDIT
Award of this contract is made prior to completion of a pre-award audit conducted by the Defense Contract Audit Agency (DCAA). Therefore, the rights and obligations of the parties are contingent upon the recommendations of the audit. Upon receipt of the audit report, the Government will issue a modification to the contract, incorporate the findings/recommendations of each audit report.
In accordance with the Federal Acquisition Regulation, the contractor shall have an acceptable accounting system for adequate tracking of costs. Upon receipt of the DCAA audit report, the Contracting Officer will notify the Contractor of DCAA's findings on the acceptability of the contractor's accounting system.
Should DCAA find that the contractor's accounting system is unacceptable, the contractor shall have sixty (60) days to implement an acceptable accounting system. Should the contractor fail to implement an acceptable accounting system with the allotted time frame, the contract will be suspended and/or terminated.
B.8 52.209-1 QUALIFICATION REQUIREMENTS (FEB 1995)
(a) Definition: "Qualification Requirement," as used in this clause, means a Government requirement for testing or other quality assurance demonstration that must be completed before award.
(b) One or more qualification requirements apply to the supplies or services covered by this contract. For those supplies or services requiring qualification, whether the covered product or service is an end item under this contract or simply a component of an end item, the product, manufacturer, or source must have demonstrated that it meets the standards prescribed for qualification before award of this contract. The product, manufacturer, or source must be qualified at the time of award whether or not the name of the product, manufacturer, or source is actually included on a qualified products list, qualified manufacturers list, or qualified bidders list. Offerors should contact the agency activity designated below to obtain all requirements that they or their products or services, or their subcontractors or their products or services, must satisfy to become qualified and to arrange for an opportunity to demonstrate their abilities to meet the standards specified for qualification.
(c) If an offeror, manufacturer, source, product or service covered by a qualification requirement has already met the standards specified, the relevant information noted below should be provided.
Offeror's Name _______________________________________________
Manufacturer's Name __________________________________________
Source's Name ________________________________________________
Item Name ____________________________________________________
Service Identification _______________________________________
Test Number (to the extent known)_____________________________
(d) Even though a product or service subject to a qualification requirement is not itself an end item under this contract, the product, manufacturer, or source must nevertheless be qualified at the time of award of this contract. This is necessary whether the Contractor or subcontractor will ultimately provide the product or service in question. If, after award, the Contracting Officer discovers that an applicable qualification requirement was not in fact met at the time of award, the Contracting Officer may either terminate this contract for default or allow performance to continue if adequate consideration is offered and the action is determined to be otherwise in the Government's best interests.
(e) If an offeror, manufacturer, source, product or service has met the qualification requirement but is not yet on a qualified products list, qualified manufacturers list, or qualified bidders list, the offeror must submit evidence of qualification prior to award of this contract. Unless determined to be in the Government's interest, award of this contract shall not be delayed to permit an offeror to submit evidence of qualification.
(f) Any change in location or ownership of the plant where a previously qualified product or service was manufactured or performed requires reevaluation of the qualification. Similarly, any change in location or ownership of a previously qualified manufacturer or source requires reevaluation of the qualification. The reevaluation must be accomplished before the date of award.
B.9 NEGOTIATED INDIRECT COST RATES
Notwithstanding the provisions of Clause 52.216-7 of this contract entitled, "Allowable Cost and Payment," the allowable indirect costs under this contract shall be obtained by applying negotiated indirect rates to bases agreed upon by the parties. The period(s) for which such rates will be established shall correspond to the contractor's fiscal year(s).
Negotiation of final indirect rates shall be in accordance with FAR 52.216-7 and Subpart 42.7 of the Federal Acquisition Regulation.
The results of each negotiation shall be set forth in a modification to this contract which shall specify (1) the agreed final rates, (2) the bases to which the rates apply, and (3) the periods for which the rates apply.
Pending establishment of final overhead rates for any period, the Contractor shall be reimbursed for allowable indirect costs, not claimed elsewhere, at the following billing rate(s). Such billing rate(s) may, at the request of either party, be revised by mutual consent to apply either retroactively or prospectively to prevent substantial over and under payment. A sample format is provided below to list Indirect Cost Rates:
| Indirect Base of Billing | Contractor's Cost | Application | Rate | Fiscal Year |

The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/services/contractingopportunities/sizestandardstopics/.
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
