(End of Local Instruction)

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision. (j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award;

(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

Unacceptable Proposal does not meet the requirements of the solicitation.

Submission Requirements:

Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal. The proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should demonstrate the Offeror's understanding of the scope of required services. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale that addresses how the Offeror intends to meet or exceed these requirements. Statements that the Offeror understands, can or will comply with the SOW (including referenced publications, technical data, etc.); statements paraphrasing the Scope of Work (SOW) or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable.

Offerors shall provide narrative and supporting data, that address as specifically as possible the actual methodology used to accomplish the specific tasks in Section 6 of the SOW.

2. PART II– PAST PERFORMANCE INFORMATION - Only references for same or similar type contracts are desired.

Provide evidence of corporate performance to include documentation of appropriate operational and management qualifications and credentials in each of the work areas as outlined in the SOW and documentation of work history and demonstrated quality performance in areas during the last 5 years, which correspond to the requirements stated in the SOS. Offeror will provide the name, e-mail address and telephone number of points of contact of a sample of stations for who services of the same nature have been provided.

Past Performance Evaluation. Past performance describes how well an Offeror performed the work, how well the Offeror executed what was promised in the proposal. Evaluation of three aspects of past performance that will give the most confidence that the Offeror will satisfy this procurement are: (1) whether the Offeror’s present/past performance is relevant or not relevant to the SOW, (2) how recent was the performance, and (3) how well the Offeror performed on the past contracts.

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Provide information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc. The Government does not assume the duty to search for data to cure the problems if it finds in the information provided by the Offeror.

The burden of providing thorough and complete past performance information remains with the Offeror.

(b) Past Performance Surveys: Offerors shall provide past performance information for three (3) most relevant contracts for Federal agencies and/or commercial customers within the last 3 years. Relevant contracts include technical capabilities under Factor 1, Technical Proposal. The Government reserves the right to use past performance information obtained from sources other than those identified by the Offeror. Other sources may include, but are not limited to, the Past Performance Information retrieval System (PPIRS), the Contractor Performance Assessment Reporting System (CPARS), and the Federal Awardee Performance and Integrity Information System (FAPIIS). This past performance information will be used for the evaluation of past performance. All past performance surveys must be submitted and received by the closing date of the RFP. If partnering, must identify the prime on the survey. Furnish the following information for each contract listed:

(i) Company/Division name

(ii) Product/Service

(iii) Contracting Agency/Customer/Phone Number/Email Address

(iv) Contract Number

(v) Contract Dollar Value

(vi) Period of Performance

(vii) Verified, up-to-date name, address, FAX and telephone number of the contracting officer

(viii) Comments regarding compliance with contract terms and conditions

(ix) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.

If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

(c) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

The Government does not assume the duty to search for data to cure the problems it finds in the information provided by the Offeror. The burden of providing thorough and complete past performance information remains with the Offeror.

Past Performance Acceptable/Unacceptable Rating Method

Acceptable Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the Offeror’s performance record, the Government does not have a reasonable expectation that the Offeror will be able to successfully perform the required effort.

Note: In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a) (2) (iv)). Therefore, the Offeror shall be determined to have unknown (or “neutral”) past performance. In the context of Acceptability/Unacceptability, a neutral rating shall be considered “Acceptable.”

Request for Past Performance Information. Offerors shall provide evidence of corporate performance to include documentation of appropriate operation and management qualifications and credentials in each of the work areas as outlined in the SOW and documentation of work history and demonstrated quality performance in areas during the last 5 years. Offerors shall complete Attachment B “Organization’s Performance Questionnaire” and provide this document to firms receiving the same or similar services. The completed forms will be returned by these firms by the closing date of the solicitation.

The Government will contact the current and/or previous clients provided by the Offeror. The Government may also seek present and past performance information through use of data independently obtained from other Government and commercial sources.

Previous clients will be asked the following questions:

1. Quality of Product or Service. Were reports/data accurate? Did the product or service provided meet the specifications of the contract? What degree of Government technical direction was required to solve problems that arose during performance? Did you receive the level of technical support and competence you expected? Did the Contractor successfully respond to urgent needs, emergency, or surge situations?

2. Schedule/Timeliness. Did the Contractor deliver the right product at the right time?

3. Business Relations. Was the Contractor oriented toward the customer? Did the Contractor keep you well informed? Was the Contractor reasonable and cooperative in dealing with your staff, including the ability to successfully resolve disagreements/disputes?

4. Management of Personnel. How well did the Contractor manage start-up staffing? How well did the Contractor match the qualifications of the lead position, as described in the contract, with the individual who filled the lead position? If a key person did not perform well, what action was taken by the Contractor to correct this? If a replacement of a key person was necessary, did the replacement meet or exceed the qualifications of the position as described in the contract?

5. Is additional past performance information for this contract available in CPARS?

6. Would you continue doing business with this Contractor?

7. Do you have any additional comments?

The entire proposal shall be prepared as described in these instructions to Offerors. No other material should be submitted or will be evaluated. The Offeror is responsible for including all products and information requested in the SOW in sufficient detail to permit a complete and accurate evaluation of the technical proposal.

PROPOSAL EVALUATION:

The proposal will be evaluated to determine whether the offeror’s experience, past performance, methods and approach in meeting the solicitation requirements provide the Government with a high level of confidence to ensure successful performance.

An evaluation will be performed on the proposed Price. The evaluation will not be assigned an adjectival or color rating but will be evaluated for completeness and reasonableness as follows:

Completeness - To be complete, the offeror must provide all data that is requested and necessary to conduct an evaluation.

Reasonableness – The offeror's proposal is evaluated through price analysis techniques as described in FAR Part

15. For Price to be reasonable, it must represent a Price that provides best value to the Government when consideration is given to Prices in the market, (market conditions may be evidenced by other competitive proposals), technical and functional capabilities of the offeror.

3. PART III – PRICE PROPOSAL - Submit original copy

(a) Complete blocks 12, 17a, and 30a, b, and c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.

(b) Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal(s) must be submitted for a base year, plus four 1-Year option years.

(c) Complete the necessary fill-ins and certifications in provisions. The provisions FAR 52.212-3 shall be returned along with the proposal. If you have your Representation and Certifications updated via ORCA, please response stating this and verification can be obtained there.

(d) Acknowledge of all amendments to the solicitation in accordance with the instructions on the Standard Form 30 (amendment form). The Offeror’s point(s) of contact, to include telephone and e-mail address, with the authority to legally bind the Contractor. Name, Address, DUNS, CAGE and TAX Identification Number of the Contractor submitting the proposal.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Technical Past Performance Price

This is a Lowest Price Technically Acceptable (LPTA) procurement action. To be considered technically acceptable, no Technical or Past Performance factors in the proposal may be rated as “FAIL” or “UNACCEPTABLE”. The failure of a proposal to meet all of the requirements under any Factor will result in a technical unacceptable rating (i.e., FAIL) and preclude award.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

ADDENDUM 52.212-2

Addenda to 52.212-2:

In accordance with the Federal Acquisition Regulation (FAR), no contract shall be entered into unless the Contracting Officer ensures that all requirements of law, executive orders, regulations, and all other applicable procedures, including clearances and approvals, have been met. This includes the FAR requirement that no award shall be made unless the contracting officer makes an affirmative determination of responsibility. To be determined responsible, a prospective contractor must meet the general standards in FAR Part 9 and any special standards set forth in the solicitation.

BASIS FOR CONTRACT AWARD: Subject to the provisions contained herein, award will be made to one (1) Offeror who is deemed responsible in accordance with the Federal Acquisition Regulation; who conforms to the solicitation requirements; and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, meets the technically acceptable standard for the non-cost factors and provides the lowest evaluated price.

A. Technical Acceptability. The Offeror will be evaluated on the acceptability/unacceptability of the minimum technical/management capabilities listed under Technical Factor. Proposals should demonstrate their technical capabilities by providing a narrative description in sufficient details. Broad-based technical capability is required.

For example, technical capability in providing only instructors capable of teaching one course does not demonstrate technical capabilities required by the Government and will be considered unacceptable. All criteria below must be evaluated as “Acceptable” to be considered for award. The proposals shall be evaluated against the following criteria:

Technical: Offerors shall submit information detailing the following minimum technical capabilities:

1. PART I – TECHNICAL PROPOSAL - Limited to no more than 20 pages excluding cover and page.

Provide documented evidence that it has the capabiliteis of providing janitorial and custodial maintenance functions as described in this SOW.

Technical Acceptable/Unacceptable Rating Method

Acceptable Proposal meets the requirements of the solicitation.

B. Past Performance. The Offeror must demonstrate recent, relevant, and acceptable past performance information for three projects within the last 3 years. Performance under a project will be determined “acceptable” if the Offeror has obtained or demonstrated a performance evaluation rating of at least “satisfactory”, or equivalent, on the project, and will be determined recent and relevant if the project meets the minimum requirements as outlined under Factor 1.

Using questionnaires, the contracting officer shall seek relevant past performance information based on (1) the references provided by the offeror and (2) data independently obtained from other Government (i.e., PPIRS and FAPIIS) and commercial sources. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this procurement. The evaluation team may consider the offeror’s past performance in aggregate (including subcontractors and joint ventures). The Offeror’s past performance documentation must demonstrate the Offeror’s ability to successfully perform the contract which is the subject of this solicitation. Offerors with no relevant past or present performance history or the offeror’s performance record is so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance.

In these instances, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable”.

Failure to meet all of the requirements under this factor will result in an “Unacceptable” rating.

Past Performance Acceptable/Unacceptable Rating Method

Acceptable Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

In the context of Acceptability - Unacceptability, a neutral rating shall be considered “Acceptable.”

C. Price Evaluation. Price will be evaluated and considered but will not be scored or combined with other aspects of the proposal evaluation. The proposed prices will be analyzed for completeness, realism, and reasonableness.

Completeness means that the required information is submitted and is accurate. Realism means that the Price is consistent with the required effort and does not indicate an improvident or unbalanced proposal. Reasonableness means the prices are justified. The otherwise technically-acceptable lowest-priced Offeror may be required to confirm/validate its price on a Contract Line Item (CLIN), element, or total price basis, and/or provide additional information in support of their price, prior to contract award at the Government’s request and discretion.

The Government intends to evaluate proposals and award a contract without discussions with Offerors. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a cost or price and technical standpoint.

The Government, however, reserves the right to conduct discussions if deemed necessary.
