Question 1 Article 8.2.c: Would a Fixed Price Proposal and subsequent Fixed Price Task Orders be considered as eligible for award?
Response 1: The resulting base contract type for this requirement will be Indefinite Delivery Indefinite Quantity (IDIQ); as such the Government will specify the type of Task Orders (either cost reimbursement or fixed price), at time of task order request based on the work described in the Task Order SOW.
Since the cost of the colony may vary depending on many factors beyond NIA's control, including how many mice are shipped and at what ages they are shipped; cost reimbursement seems more conducive for this type of effort. However, the Government reserves the right to determine on a case by case basis, at the task order level, if a fixed price or a cost reimbursement task order is more appropriate.
Based on the response above, Article B.2.c. is hereby revised accordingly.
Question 2 Article H.6 references the Vertebrate Animal Section (VAS) for the contractor's technical proposal and the instructions require a VAS from offers. This requirement applies to Research activities and typically is not included in Production contracts. Is a VAS actually required?
Response 2: Yes VAS is required per guidance from the Office of Laboratory Animal Welfare (OLAW).
Question 3 Section I, Article 1.3.11 - FAR Clause 52.237-3 Continuity of Services:
We do not believe that 52.237-3 is applicable. The clause is generally used when a successor contractor will continue the services at the same location and the predecessor contractor will provide training to the new contractor and allow them to hire existing staff {such as a staffing contract for a government facility). Per the prescriptive language in 37.110, it is optional ("Contracting Officer may insert ... " rather than "shall insert") and only applicable when a successor contractor may continue the services and the government anticipates difficulties during the transition ("Examples of instances where use of the clause may be appropriate are services in remote locations or services requiring personnel with special security clearances."). Not all of the specific requirements in this clause could be applied to this contract (e.g., transition of predecessor contractor employees to the new contractor). If the government believes that parts of this clause are required to protect the government's interests, we would suggest that this clause be removed and specific language regarding what would be expected for continuity be included (e.g., cooperating with transfer of animals to a successor if necessary).
Response 3: After reviewing the clause, it has been determined that the clause is not applicable. It is hereby deleted from Article 1.3.

Question 4 SOW Task Area 2: Is the genotype of the foundation stock the same as genotype of the animals used in HHSN271201100002i?
Response 4: Yes, it will be the same genotypes.
Question 5 SOW - Task Area 4: Is it necessary for an entire barrier room to be dedicated to the contract production activity, or if unused space is available in the barrier production room can it be used for production of similar species of animals unrelated to the contract with the approval of the COR?
Response 5: No, the barrier does not have to be dedicated solely to the NIA colony, but only similar work as described can be performed in the same barriers, i.e.
housing rats or mice.
Question 6 On Page 22 Alternate IV of FAR 52.215-21, Requirements for Certified Cost or Pricing Data and Data Other Than Certified Cost or Pricing Data-Modifications was included, which states that the submission of certified cost or pricing data will not be required. The instructions on pages 45-46 also imply that certified cost or pricing data will not be required. However, FAR 52.215-20 was included on page 47 without Alternate IV. Please confirm that that Alternate IV is applicable to both clauses and that certified cost or pricing data will NOT be required.
Response 6: Alternate IV to FAR 52.215-20 is applicable; and hereby incorporated by reference.
Question 7 Additional Business Proposal Instructions - Section 2.2: It is estimated that 500 rats will ship in year 1" of the contract, yet the primary activity in year 1" is the re-derivation of the foundation strains and the stocking of the production colonies, as described in Task Order 1. Does the estimated number of animals shipping in year 1 represent colony animals being sent to NIA researchers, or animals being removed from the colony for health and genetic monitoring purposes?
Response 7: The additional business instruction indicating 500 rats to ship in Year 1 is for budget preparation purposes only. If the re-derivation and breeding colony goes extremely well, there might be rats in the aging colony by the end of Year 1. This request for the sake of budget preparation was solely to ensure all possibilities are covered.

Question 8 SOW Task Order 1- Period of Performance: Please confirm that the period of performance will be 12 months from the date of award. The language in the Period of Performance section states" ... with the end point determined by the entry of the first rats into the aging colony," yet the Description states "The purpose of this task order is for the re-derivation of foundation stocks for two (2) inbred strains of laboratory rats and the development and maintenance of the breeding and aging colonies for the two inbred strains and one hybrid strain." Breeding and maintenance of the colony will continue after the re-derivation of the foundation stocks and their first entry into the production colony segments.
Response 8: The period of performance for Task Order 1 should be one year (12 months).
All other terms and conditions of this Solicitation remain unchanged.
