FAR PART 6 JUSTIFICATION

Justification for Other Than Full and Open Competition

(OTFAOC)

Purchase Request Number: DHQCSD12MPT0019/DHQCSD12MPT20

JUSTIFICATION FOR OTFAOC

Upon the basis of the following justification, I, as Contracting Officer, hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of 10 U.S.C. 2304(c)(1).

Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.2304(c)(1). (FAR 6.302-1/DFARS 206.302-1);

JUSTIFICATION

1. REQUIRING AGENCY AND CONTRACTING OFFICE: (FAR 6.303-2(b)(1)

Requiring Activity:

Defense Information Systems Agency (DISA) Computing Services Directorate (CSD) 12 Overcash Avenue Chambersburg, PA 17201-4123

Contracting Activity:

DISA/Defense Information Technology Contracting Organization (DITCO) 2300 East Drive, Bldg. 3600 Scott AFB, IL 62225-5406

2. NATURE/DESCRIPTION OF ACTION(S): (FAR 6.303-2(b)(2))

This action is for a modification to extend contract HC1028-08-C-2012 with Dynosi Government Solutions (DGS) Corporation, a Service Disabled Veteran Owned Small Business (SDVOSB), to continue existing services for the Department of Defense (DoD) De-Militarized Zones (DMZs) support. Said extension shall not exceed $422,876.00, and the effective period of performance will be one month (14 April 2012 – 13 May 2012), plus one (1) one-month option (14 May 2012

– 13 June 2012). The place of performance will be at DISA Columbus and DISA San Antonio.

Said modification shall contain both Firm-Fixed-Price (FFP) and Cost-Reimbursable (CR) contract line items (CLINs), and will be funded by Operations & Maintenance (O&M), FY12 Defense Working Capital Fund (DWCF).

3. DESCRIPTION OF SUPPLIES/SERVICES: (FAR 6.303-2(b)(3)/DARS 6.303-2(a)(S-90))

Page 2 of 5 Pages

Existing contract HC1028-08-C-2012 was awarded to DGS with a ceiling of $4,043,402.60. The contract was issued as a Time & Materials (T&M) with DWCF for O&M.

Awarded as a competitive SDVOSB, the original ordering period was 17 October 2008 – 16 October 2009, with two (2), one-year options. Subsequently, contract clause FAR 52.217- 8, “Option to Extend Services”, was invoked furthering the performance period of the contract to 13 April 2012. In the interim, a competitive General Services Administration (GSA) Information Technology (IT) Schedule 70 Special Item Number (SIN) 132-51, SDVOSB Request for Quote (RFQ) was issued for a follow-on vehicle. The Source Selection Team for the follow-on contract is in the midst of the evaluation process; hence, in order to preclude a lapse in support, a modification to extend the contract is required.

The existing contract provides the Coalition NetOps Center (CNC) with 7X24X365 days a year capability that manages DMZs and Coalition Enclaves for DoD. The DMZ constructs exist on the Secure Internet Protocol Router NETwork (SIPRNET) to provide a controlled and secure communications portal for non-DoD secret networks, systems and applications to interconnect with DoD secret systems, networks and applications as required for mission critical activities.

The infrastructures are designed specifically to require and enforce the use of encryption from within the gateway to provide a controlled path for limited access to SIPRNET resources by authorized non-DoD users and select coalition partners. Additionally, the Non-secure Internet Protocol Router NETwork (NIPRNET) also has DMZ constructs, but with a different purpose.

The DMZs serve to protect the NIPRNET from the internet, while enabling secure and monitored pathway for internet users to access DoD public facing websites and applications.

This extension will avoid a break in services and continue essential services to support the CNC for the DoD. Without these essential services, controlled and secure communications for non- DoD secret networks, systems and applications will not interconnect with DoD secret systems, networks and applications and mission partners will not be able to enable secure and monitored pathways for internet users to access DoD websites and applications.

The modification to extend the contract will continue to support DISA CSD DoD DMZ mission.

The extension shall not exceed $422,876.00 and the effective period of performance will be one month (14 April 2012 – 13 May 2012), plus one (1) one-month option (14 May 2012 – 13 June 2012). Additionally, this extension will transfer the contract from a T&M contract to a FFP and CR contract. The total estimated lifecycle cost for this action is:

One-month extension - 14 April 2012 – 13 May 2012

$208,938.00 – Labor $2,500.00 – Travel

One-month option - 14 May 2012 – 13 June 2012

$208,938.00 – Labor $2,500.00 – Travel

Extension total $417,876.00 – Labor $5,000.00 – Travel $422,876.00 – Total Lifecycle Cost of Extension

4. IDENTIFICATION OF STATUTORY AUTHORITY: (FAR 6.302-1/DFARS 206.302-1);

Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.2304(c)(1).

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS: (FAR 6.303-

2(b)(5)).

DGS is logistically postulated to provide the core expertise and personnel under the pressing circumstances realized by DISA CSD. In regards to the required technical and experience qualifications, DGS has been providing critical support to accomplish CSD’s mission since October 2008. Consequently, DGS is inimitably familiar with all facets of the programme, and retains the knowledge of the effort to provide continued essential DoD DMZ support effective immediately. This requirement provides essential services to support DISA’s mission and continuing these services is required to ensure execution of these requirements. It is necessary to have continuity of support of these services until the re-compete contract is awarded.

Most notably, however, is the fact that DGS is currently under contract (ref. aforementioned HC1028-08-C-2012) with DISA to provide this exact support. No other contractor has the specific DoD DMZ knowledge or experience to provide the immediate level of effort this extension demands. Therefore, DGS is unique in that they are the only vendor able to perform this effort and execute the requirement at the present time without the Government assuming an unacceptable level of risk. Specifically, awarding a contract to a non-incumbent would require an appropriate transition such that the new contractor could retain qualified personnel able to execute at the expected performance level immediately. Moreover, the Government does not maintain the confidence that a non-incumbent could assemble a qualified team in time to preclude a gap in service.

Coalition Enclaves are supported on behalf of Multi-National Information Sharing (MNIS) and consist of a combination of separately encrypted, multination and bilateral networks called the Combined Enterprise Regional Information Exchange (CENTRIX) and the Globally Reaching Interactive Fully Functional Information Network (GRIFFIN). They are isolated and unique Community Of Interest (COI) networks that support specific coalition information sharing relationships that may be based on specific alliance or coalition needs or information sharing agreements between the US and other nations. Failure to meet these requirements could jeopardize DISA CSDs mission and therefore endanger the lives of those individuals leveraging the service – a predicament DISA CSD cannot accept.

The DoD DMZ programme is in the midst of a GSA IT Schedule 70, SIN 132-51, SDVOSB set-aside, competitive acquisition process for a permanent support task order and this extension shall afford the requisite time to complete that process and allow time for a reasonable transition if

Page 4 of 5 Pages necessary. Accordingly, the extension is required due to unanticipated delays in the acquisition process which has threatened a break in service if this modification is not awarded. As the details of the follow-on acquisition remain “Source Selection Sensitive” per the FAR, the team is unable to provide greater granularity at this time. However, the team is confident a one-month extension, plus a one-month option is sufficient to conduct and conclude a legal and meaningful source selection.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES: (FAR 6.303-2(b)(6)).

A combined synopsis/solicitation for the current contract was posted to the Federal Business Opportunities (FBO) on 11 February 2008. The solicitation was posted as a competitive Service- Disabled Veteran-Owned Small Businesses (SDVOSB) set-aside. The Government received eight timely proposals.

As indicated, the follow-on GSA IT Schedule 70, SIN 132-51, SDVOSB set-aside competitive solicitation (which is currently under source selection) was posted on GSA e-buy in accordance with all applicable regulations.

This J&A shall be published on FBO in accordance with all applicable regulations.

7. DETERMINATION OF FAIR AND REASONABLE COST: (FAR 6.303-2(b)(7)).

The contracting officer is the only person that can make a determination that the anticipated cost to the Government will be fair and reasonable. The Contracting Officer will determine fair and reasonable cost by obtaining historical cost/pricing information related to the existent DoD DMZ contract and comparing labor categories and corresponding rates against similar categories offered by other firms of a similar size and structure within the industry. The Contracting Officer is confident that a careful review of the vendor’s proposal combined with thorough market research will result in a negotiated fair and reasonable cost to the Government.

8. MARKET RESEARCH: (FAR 6.303-2(b)(8)).

The Government’s market research determined that DGS is the only firm capable of providing immediate and reliable support at the Government’s required level of effort. Contracting with another firm at this time could jeopardize the Government’s mission to provide comprehensive DoD DMZ support to critical users in a timely fashion. Failure to employ a knowledgeable and capable company immediately could result in a suspension of an essential communications capability. The Government has determined that the latter is not acceptable, and thus contracting with an unknown entity is not in the Government’s best interest at this time.

9. ANY OTHER SUPPORTING FACTS: (FAR 6.303(b)(9)).

DGS is well versed in the requirements for DoD DMZ support, and has personnel ready and able to perform on this contract effective immediately.

10. LISTING OF INTERESTED SOURCES: (FAR 6.303-2(b)(10)).

Page 5 of 5 Pages

The Government has received multiple quotes in response to the follow-on [permanent] GSA IT Schedule 70, SIN 132-51, SDVOSB set-aside, order. As the follow-on contract remains under source selection, the names of the interested parties cannot be revealed at this time.

However, DGS is interested in and willing to accommodate this bridge contract.

11. ACTIONS TAKEN TO REMOVE BARRIERS TO COMPETITION: (FAR 6.303-

2(b)(11)).

A competitive follow-on RFQ, to the current contract HC1028-08-C-2012, was released on GSA e-buy (restricted competition: SDVOSB set-aside). The follow-on is currently under the Source Selection Process where adequate competition was achieved, and consequently multiple proposals received.
