· PERFORMANCE BASED SERVICE CONTRACT

This solicitation contains a performance work statement for a performance-based service. This means that the Government has described WHAT is to be accomplished, not HOW to accomplish it, and states a basis for determining whether finished work meets the Government quality requirements. It does not state detailed procedures for accomplishing the work unless there are safety, security or communication requirements.

It is the responsibility of the Contractor to ensure that they build into their bid/proposal price the necessary hours that it will take to meet the performance standards specified.

The Contractor will be required to maintain a performance plan/quality control plan to ensure that the requirements of this contract are met. This program shall be created for identifying and correcting deficiencies in the quality of services before the performance becomes unacceptable.

NOTES TO ALL OFFERORS

1.

Pricing :

Offerors shall price the option period by assuming that the minimum hourly wages and fringe benefits established by the Administrator, Wage and Hour Division, U.S. Department of Labor, for the initial twelve month period of performance will apply to all additional twelve-month periods of performance are included in Part 5 – Department of Labor Wage Determination. Offerors are cautioned NOT to include Labor Costs in the Option Years. The Fair Labor Standards Act/Service Contract Act Price Adjustment Clause will allow for labor costs to be evaluated and escalated if the Wage Determination prices increase.

In the event the options are exercised by the Government, the contract price(s) will be adjusted upward or downward at the time the option is exercised in accordance with the FAR clause 52.222-43 Fair Labor Standards Act and Service Contract Act – Price Adjustment (Multiple Year and Option Years).

2.

Reimbursable Services and Additional Task Orders:

When specific requirements are identified with a scope of work and schedule, the Contractor will submit a proposal for the work. Following negotiations, a sequentially numbered task order will be issued authorizing performance. Upon completion of the work, the Contractor will invoice separately from the monthly recurring services. The invoice needs to identify the task order, PDN #, description of services and the amount charged. GSA reserves the right to procure these services from others.

3.

Basis for Award of Option Periods:

To award Option periods, there must be a continuing need for the services, and the CO must be able to justify the prices as fair and reasonable. It is anticipated that a contractor’s performance in the previous period will be one of the determining factors for the length of the option period. The poor to average, average to good, or good to excellent services provided in the previous period will determine if they will be awarded an option period, which extends the performance period an additional 12, 24 or 36 months.

It is also possible that other areas of the contractor’s performance may dictate no option be exercised at all.

4.

Other Notes:

A. Offerors are cautioned that any offer may be rejected as non-responsive if it is materially unbalanced as to the price for option and the initial contract period. An offer is unbalanced when it is based on prices significantly less than cost for some work, and/or when prices are significantly overstated for other work.

B. GSA will review all offers, and will determine the best value with regard to pricing, and other proposal information. The threshold to be incorporated into the contract will be determined by the schedule which presents the best value to the Government, all items being considered.

Please provide the following information to Contract Specialist or Contracting Officer in accordance with FAR 52.222-43, Fair Labor Standards Act and Service Contract Act – Price Adjustment (Multiple Year and Option Contracts):

In order to insure your adjustments are completed accurately, when computing your bid, please indicate your payroll taxes below. If you have other payroll taxes that are not listed below, please add them. (NOTE: General Liability Insurance is NOT a payroll tax.)
