This agreement (the “CRP Contract”) is between the State of Ohio, and its agencies, political subdivisions, and instrumentalities (each a “Shipper”) and Cincinnati Association for the Blind d/b/a CABVI, an Ohio non-profit corporation, with offices at 2045 Gilbert Avenue, Cincinnati, OH 45202 (“CABVI”).
B. For this CRP Contract, “Shipper” is defined as a State Agency, Political Subdivision or Instrumentalities of the State of Ohio.
C. CABVI is authorized as a property broker to arrange for the interstate transportation of property by motor carrier under License No. MC-1510362 from the Federal Motor Carrier Safety Administration (“FMCSA”), and further engages in the intrastate brokerage of property by motor carrier.
D. Shipper desires to engage CABVI to arrange for the transportation of property (“Commodities”) by motor carrier (“Services”) as part of an award by the Department of Administrative Services (“DAS”), Office of Procurement from Community Rehabilitation Programs (“CRP”) in compliance with Sections 125.60 to 125.6012 of the Ohio Revised Code as more fully set forth herein.
E. CABVI agrees to provide all Services in compliance with the CRP Contract.
F. Shipper agrees to pay CABVI for the Services as set forth in this CRP Contract, including the attached Exhibits, and any Rate Confirmation (as defined in Section VI below) entered into between CABVI and a Shipper.
G. All shipments of Commodities arranged by CABVI at Shipper’s request, whether received directly from Shipper or from a third-party, shall also be governed by this CRP Contract.
II. SCOPE OF WORK
A. This CRP Contract will provide all State of Ohio Agencies, Departments, Political Subdivisions and Instrumentalities of the State of Ohio with a competitive program to ship Commodities inbound or outbound.
B. The Effective Date of this CRP Contract, as determined by the DAS office, is March 8, 2023.
C. The CRP Contract Renewal, as determined by the DAS office, is every three years.
D. Upon acceptance of a shipment tender, CABVI shall arrange for a motor carrier with the type of specific equipment, services and personnel to pick up, transport and deliver for Shipper the Commodities. CABVI shall perform all its duties in compliance with all applicable local, state, and federal laws.
E. CABVI shall exhibit the requisite skill and diligence possessed by members of the brokerage profession to arrange for the transportation of Shipper's Commodities by a motor carrier authorized to transport such shipments under the Federal Motor Carrier Safety Act.
F. CABVI’s hours of operation will be from 8:00 a.m. - 5:00 p.m. (Eastern) Monday thru Friday. CABVI will have a dedicated account representative available during these times to receive shipment requests from a Shipper and perform Services.
G. CABVI shall contractually require any motor carrier arranged on behalf of Shipper to be duly authorized by the FMCSA and to comply with all applicable local, state, and federal laws regarding the movement of Shipper's Commodities in intrastate and interstate commerce.
III. HAZARDOUS MATERIALS SHIPMENTS
A. Shipper will not tender to CABVI any shipments of Commodities involving hazardous materials, dangerous goods, Class A or Class B explosives, poison gas, radioactive materials, solid waste, hazardous substances or restricted waste (including medical waste) as classified or regulated by any environmental law or regulation in effect now or in the future.
Notwithstanding the foregoing, Shipper may tender to certain Commodities which have been classified by the United States Department of Transportation as a "hazardous material" or "hazardous substance" (together, "Hazardous Materials") provided: (i) Shipper has given CABVI written notice prior to tendering to such Hazardous Materials; and (ii) CABVI has agreed to accept such Hazardous Materials.
SPECIFICATIONS, CONTINUED
B. When tendering Hazardous Materials, Shipper will comply with all applicable laws, regulations and pre-transportation functions, including, but not limited to, classifying the Hazardous Materials, packaging, marking and labeling, preparing proper shipping papers, providing emergency response information, loading, blocking and bracing, placarding and certifying the Hazardous Material is in proper condition for transportation in conformity with all legal requirements.
IV. CROSS-BORDER SHIPMENTS
A. If Shipper tenders any shipment: (i) originating in the contiguous United States and destined for delivery points in Canada; or (ii) originating in Canada and destined for delivery points in the contiguous United States (“Cross Border Shipment”), Shipper must provide CABVI with written notice at least 24 hours prior to tendering the Cross Border Shipment and CABVI must agree to perform brokerage services with respect to the Cross Border Shipment (“Cross Border Services”). If Shipper requires a motor carrier qualified to transact bonded carrier operations for the Cross Border Shipment, Shipper shall identify this requirement as part of the request for Cross Border Services.
B. When performing Cross Border Services, CABVI will arrange a motor carrier to: (i) pick up from the origin location and carry all applicable manifests, bills of lading and other shipment receipts, commercial invoices, USMCA certifications of origin and any other customs documentation (“Customs Documents”) provided by Shipper; (ii) at the port of crossing, present all Customs Documents to Shipper’s designated customs broker (“Customs Broker”) or to representatives of the U.S. Customs and Border Protection or Canada Border Services Agency (“CBSA”) (each, a “Customs Authority”), as applicable; and (iii) upon delivery to the consignee, surrender all Commodities and associated shipment documentation, including Customs Documents, to the consignee.
V. BROKERAGE SERVICES
A. CABVI shall maintain at its expense an FMCSA license as a property broker to perform the brokerage Services under this CRP Contract. CABVI will provide to Shipper with a copy of said authority upon request.
B. CABVI shall perform and complete all Services for Shipper consistent with the descriptions, requirements, and specifications set forth in this CRP Contract.
C. For each shipment tendered by Shipper to CABVI, Shipper agrees to prepare a properly completed uniform bill of lading to be issued and executed by a motor carrier arranged by CABVI. The bill of lading shall be signed by the motor carrier showing the kind, quantity and condition of the property received at the point of origin. Shipper’s insertion of CABVI’s name on the bill of lading shall be for Shipper’s convenience only and shall not change CABVI’s status as a property broker. In the event of any conflict between the bill of lading and this CRP Contract, this CRP Contract shall govern.
D. Shipper shall provide CABVI with timely and accurate delivery specifications and a description of the Commodities, including, but not limited to, dimensions, weight, temperature, any special handling or security requirements, and employing reasonable security protocols to reduce the risk of theft. Transit times provided by CABVI are estimates only and do not guarantee pick up or delivery times
VI. RATES, CHARGES AND PAYMENT
A. As compensation for the Services to be performed under this CRP Contract, Shipper will pay CABVI at the rates, accessorial charges and fuel surcharge set forth on Exhibits A, B and C. The rates set forth on Exhibit A apply only to Ohio intrastate dry van shipments of non-Hazardous Materials. Rates for all other types of shipments will be determined in accordance with Section VI. B below. The accessorial charges and fuel surcharge set forth in the Exhibits B and C shall apply to all Services performed by CABVI. From time to time, the rates, accessorial charges and fuel surcharge may be amended or revised as mutually agreed to in writing by CABVI and Shipper.
B. Where this CRP Contract does not have an applicable rate or accessorial charge specified on Exhibit A or Exhibit B, Shipper will pay CABVI at the rate and charges agreed to at or prior to the movement of the shipment. CABVI shall prepare a written confirmation of the rate and accessorial charges (“Rate Confirmation”) and send it to Shipper via electronic mail or Shipper’s applicable transportation management system. Each such written Rate Confirmation will be incorporated by reference and become a part of this CRP Contract, unless Shipper provides a written notice of rejection of the Rate Confirmation prior to CABVI’s dispatch of a motor carrier for the shipment.
C. Rates and accessorial charges provided by CABVI are based on the time of quoting, equipment availability, and assumes Shipper will load the Commodities and the consignee will unload the Commodities. The actual amount charged to Shipper will be based upon the shipment’s actual characteristics, including but not limited to, weight, dimensions, commodity type and any additional accessorial charges. If Shipper provides incorrect information prior to a Rate Confirmation, the actual amount charged to Shipper will vary.
D. Shipper further agrees to pay CABVI the shipment’s applicable accessorial charges (Exhibit B) and fuel surcharge
(Exhibit C), in each case in effect on the date of shipment, for all Services performed by CABVI, except as otherwise expressly included in a Rate Confirmation.
E. CABVI shall invoice and collect all transportation and related charges from Shipper. Unless otherwise stated in this
CRP Contract and in accordance with Section 126.30 of the Ohio Revised Code, payments under this CRP Contract will be due on or before the 30th calendar day after the date of actual receipt of a proper invoice from CABVI in the office of Shipper designated to receive the invoice. The date payment is issued by Shipper will be considered the date payment is made. Payment of an invoice by the Shipper will not prejudice Shipper’s right to object to or question an invoice or matter in relation thereto. Shipper shall pay CABVI the full amount due to CABVI within said time period subject to the procedure below for disputed invoices, as well as any setoff provided in the State’s Standard Contract Terms and Conditions. When any shipment moves subject to a Rate Confirmation, Shipper must submit a written notice of objection within ten days of receipt of the invoice. If Shipper disputes any portion of an invoice, Shipper shall submit written notice of such dispute to CABVI, via Shipper’s designated CABVI Account Manager, prior to the payment due date and remit payment of any undisputed portion of the invoice. Unless otherwise approved by Shipper’s designated CABVI Account Manager, any disputed invoice must be paid in full.
F. Shipper’s preferred method of payment is electronic funds transfer. However, Shipper may also make payment by a
State of Ohio payment card or by warrant issued by the Auditor of the State. Payments will be applied by CABVI against open items with any remaining payment held as general credit against unpaid invoices
VII. FREIGHT LOSS AND DAMAGE CLAIMS
A. CABVI shall provide reasonable assistance to Shipper in the administration of claims for freight loss and damage against the motor carriers in accordance with applicable law. Shipper shall notify CABVI of any claims for freight loss and damage within 72 hours of the shipment delivery. Shipper shall submit all claims for freight loss and damage in writing within nine months of the shipment delivery date. All decisions regarding the filing or disposition of any freight loss and damage claim, including but not limited to, decisions regarding compromise, settlement and litigation of such claims, shall be made by Shipper. CABVI shall provide Shipper with all information requested by Shipper and other information reasonably necessary for Shipper to make an informed decision about the handling and disposition of any such claim. If Shipper decides to litigate any aspect of any freight loss or damage claim, Shipper shall pay all expenses incurred.
B. To the extent allowable by 49 U.S.C. Section 14706, CABVI shall not be liable to Shipper for claims, including but not limited to: (i) loss, damage or delay claims involving the Commodities; or (ii) bodily injury or property damage claims asserted by third parties against the motor carrier or Shipper.
VIII. INSURANCE AND LIABILITIES
A. All motor carriers will be contractually required to maintain the following minimum insurance: (i) commercial general liability insurance with a minimum amount of $1,000,000 per occurrence; (ii) auto liability insurance, including hired, scheduled and non-owned vehicles, property damage, and personal injury liability with a minimum limit of $1,000,000 per occurrence; (iii) employer’s liability insurance of at least $1,000,000; (iv) workers’ compensation as required by all applicable workers’ compensation laws; and (v) all risk cargo insurance with a minimum of $100,000 per occurrence.
Upon Shipper’s written request, CABVI will forward a copy of the motor carrier’s certificate(s) of insurance to Shipper.
If Shipper requires a motor carrier to have excess cargo insurance, Shipper shall advise in writing whether excess cargo insurance is required for a particular shipment, and the amount of such insurance, at least 24 hours in advance of tendering the shipment to CABVI.
B. CABVI will procure and maintain, at its own expense and for its own benefit, insurance coverages with policy limits no less than the following: (a) workers’ compensation insurance in an amount not less than the statutory limits for each State(s) in which brokerage services are performed, including employer’s liability insurance in an amount not less than $1,000,000.00; and (b) commercial general liability insurance in an amount not less than $1,000,000.00 per occurrence.
CABVI will provide to Shipper with a copy of certificate(s) of insurance upon request.
C. CABVI will maintain a current surety bond (Form BMC-84) or trust fund agreement (Form BMC-85) on file with the FMCSA in the minimum amount of $75,000. A copy of CABVI’s security will be provided to Shipper upon request.
D. UNDER NO CIRCUMSTANCES WILL CABVI BE LIABLE TO SHIPPER FOR INCIDENTAL, SPECIAL, CONSEQUENTIAL (INCLUDING LOST PROFITS, BUSINESS OPPORTUNITIES AND GOODWILL), PUNITIVE OR EXEMPLARY DAMAGES ARISING IN CONNECTION WITH THIS CRP CONTRACT OR THE PERFORMANCE, OMISSION OF PERFORMANCE OR TERMINATION HEREOF, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND WITHOUT REGARD TO THE NATURE OF THE CLAIM OR THE UNDERLYING THEORY OR
CAUSE OF ACTION.
IX. DEFAULT AND REMEDIES
A. Any one of the following shall constitute an event of default (“Event of Default”) under this CRP Contract: (i) a party's failure to pay when due any payment required to be made under this CRP Contract; (ii) a party's failure to perform, keep or observe any material term or condition contained in this CRP Contract; (ii) any inaccurate representation or warranty made by or on behalf of a party in or pursuant to the provisions of this CRP Contract; or (iv) a party becoming insolvent, or making a transfer in fraud of creditors, or filing a petition in bankruptcy, or has an involuntary bankruptcy petition filed against it, or making an assignment for the benefit of creditors or has a proceeding filed against it seeking to appoint a receiver, or admits in writing an inability to pay, or generally fails to pay, its debts as they become due.
B. After the occurrence of any Event of Default, the non-breaching party shall be entitled to terminate this CRP Contract upon written notice to the breaching party and to pursue any and all rights and remedies otherwise available by law or in equity against the breaching party. Termination shall not affect a party’s liability to the other party by reason of any act, default or occurrence prior to such termination or any liabilities or obligations which survive the termination of this CRP Contract.
X. RELATIONSHIP OF PARTIES
It is mutually agreed and understood that CABVI and Shipper agree to this CRP Contract as independent contractors of one another. Neither CABVI nor any personnel engaged by CABVI to perform services under this CRP Contract shall be considered as employees or agents of Shipper at any time or for any purpose whatsoever. Nothing contained in this CRP Contract shall be deemed to constitute a relationship of agency, joint venture, partnership or any relationship other than that of an independent contractor. Shipper has no control whatsoever over the means or manner of performance of CABVI’s obligations.
XI. MISCELLANEOUS
A. Shipper agrees to comply with all applicable federal, state and local laws, ordinances and regulations relating to the services to be performed under this CRP Contract. Shipper is responsible to ensure its Commodities intended for transportation are properly marked or labeled in accordance with all applicable laws and regulations. For purposes of arranging motor carrier transportation services under this CRP Contract, CABVI is and at all times will be operating as a “property broker” as defined in 49 U.S.C. § 13102(2), and not as a “motor carrier” or a “freight forwarder.” Shipper acknowledges and agrees CABVI will arrange for the surface transportation and delivery of Shipper’s Commodities pursuant to a co-brokerage arrangement with its wholly owned subsidiary.
B. CABVI and Shipper may amend this CRP Contract, including the attached Exhibits, at any time, by mutual written agreement. No provision of this CRP Contract will be waived by CABVI except by a writing signed by a duly authorized representative. CABVI’s failure, in any instance, to enforce or insist upon Shipper’s performance or compliance of this CRP Contract or to exercise any right or privilege herein, or the CABVI’s breach of this CRP Contract, will not be construed as thereafter waiving all term, covenant, condition, right or privilege contained herein, but the same will continue and remain in full force and effect as if no such forbearance or waiver had occurred.
C. This CRP Contract shall supersede all earlier agreements between the parties relating to the subject matter of this CRP Contract. This CRP Contract, together with the State’s Standard Contract Terms and Conditions and any Rate Confirmation, constitutes the entire agreement of the parties relating to the subject matter. Each party acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party which is not embodied herein. No agreements, representations or warranties other than those in this CRP Contract, shall be binding, unless made in writing and signed by both CABVI and Shipper. No agent or employee of CABVI shall have any authority to waive any provision of this CRP Contract.
D. The CRP Contract shall at all times be in compliance with federal and state laws, rules and regulations applicable to the provision of brokerage transportation services. The parties shall at all times comply with all laws, ordinances and regulations of federal, state and local government relating to this CRP Contract as they become effective. In the event any term, condition or provision of this CRP Contract, or the application thereof to any person or circumstance shall, to any extent, be declared to be invalid, unenforceable or unconstitutional, such invalidity, unenforceability or unconstitutionality shall not affect the remaining provisions of this CRP Contract, and this CRP Contract shall, in all other respects, continue to be effective.
E. This CRP Contract shall be governed by and construed in accordance with the laws of the State of Ohio, unless superseded by applicable federal laws and regulations. It is mutually agreed that either CABVI or Shipper shall exercise any right or remedy under this CRP Contract in the State of Ohio, County of Franklin.
F. Shipper and CABVI will review this CRP Contract 180 days after the Effective Date.

Exhibit C- Fuel Surcharge 2023 State of Ohio Truckload, Partial, LTL & Intermodal Fuel Surcharge
A. Truckload, Partial, & LTL - Fuel Cost Adjustment Requirements
1. Fuel cost adjustment factors shall be based on the national average price of diesel fuel determined by the Energy Information Administration of the United States Department of Energy ("EIA/DOE"). (Said information is currently available by telephone from an automated information menu at (202) 927-7600.)
2. For every seven (7.25) cent increase in the average fuel price above the base of $0.00, the Carrier, at its discretion, may apply a one cent per mile ($.01) fuel surcharge. All divisions of the State of Ohio will use the EIA/DOE pricing that is published every Monday. The Monday’s DOE published index will go in effect on Tuesday to calculate the FSC for all loads shipped that Tuesday through the following Monday. The average fuel price per gallon will be truncated to the third decimal point for all State of Ohio business units.
3. This applies to all OTR full truckload, Partial, & LTL shipments for which the State of Ohio is responsible for freight payment.
4. Disposition of fractions - Whenever multiplying the Carrier's fuel cost adjustment factor by the mileage rate results in a figure which is a fraction of a cent, said fraction shall be rounded down to the next lowest whole cent if it is less than five-tenths of one cent ($0.005), and shall be rounded up to the next highest whole cent if it is five-tenths of one cent or more.
5. Mileage shall be computed using PC MILER 30 PRACTICAL MILES.
