About this file

This document is Amendment 1 to a Deliverables Based Information Technology Services (DBITS) contract between the State of Ohio, Department of Administrative Services and Greentree Group, Inc. The amendment was executed to renew the original contract, which was initially entered into on March 9, 2022, and to update certain terms and conditions in response to Executive Order 2022-02D.

The amendment extends the contract term through March 31, 2026 and includes significant updates to offshore services provisions, legal representation rights, and Federal Tax Information (FTI) handling requirements. Key modifications include prohibitions on purchasing services performed outside the United States, restrictions on engaging with Russian institutions or companies, and detailed requirements for managing federal tax information, such as background checks for personnel, confidentiality protocols, and data protection standards. The amendment also reinforces that only the Ohio Attorney General can appoint outside legal counsel and that the state reserves rights to terminate the contract if certain conditions are not met.

2.2.1.12. For purposes of this Contract, the term “Contractor” includes any officer or employee of the Contractor with access to or who uses FTI, and the term “subcontractor” includes any officer or employee of the subcontractor with access to or who uses FTI.

2.2.1.13. The agency will have the right to void the Contract if the Contractor fails to meet the terms of FTI safeguards described herein.

2.2.1.14. Audit and accountability policies and procedures must be developed, documented, disseminated, and updated as necessary to facilitate implementing audit and accountability security controls of Contractor systems receiving, processing, storing or transmitting FTI.
