About this file
This document is Amendment 1 to a Deliverables Based Information Technology Services (DBITS) contract between the State of Ohio, Department of Administrative Services, and Ernst & Young U.S. LLP. The amendment was executed on June 12, 2024, and modifies the original contract that was initially entered into on March 9, 2022. The amendment includes updates to various contract terms, particularly focusing on prohibitions related to offshore services and legal representation requirements.
The amendment primarily renews the contract for an additional term through March 31, 2026, and introduces stringent provisions regarding the performance of services. Key modifications include prohibitions on purchasing services provided outside the United States, restrictions on state data being sent or accessed remotely outside the U.S., and a ban on making purchases from or investments in Russian institutions or companies. The contractor is required to complete an Affirmation and Disclosure Form detailing the locations where services will be performed and where state data will be located, with an ongoing obligation to disclose any changes in service locations. The amendment also reinforces that only the Ohio Attorney General has the authority to appoint outside legal counsel and control legal representations for the state.

WHEREAS, the State and the Contractor entered into the Contract on March 9, 2022; and
WHEREAS, Executive Order 2022-02D was effective March 3, 2022, and

No State Cabinet, Agency, Board or Commission will enter into any contract to purchase services provided outside the United States or that allows State data to be sent, taken, accessed, tested, maintained, backed-up, stored, or made available remotely outside (located) of the United States, unless a duly signed waiver from the State has been attained. Notwithstanding any other terms of this Contract, the State reserves the right to recover any funds paid for services the Contractor performs outside of the United States for which it did not receive a waiver. The State does not waive any other rights and remedies provided the State in the Contract.
Further, no State agency, board, commission, State educational institution, or pension fund will make any purchase from or investment in any Russian institution or company. 2.2.1.11. In addition to the subcontractor’s obligations and duties under an approved subcontract, the terms and conditions of this Contract apply to the subcontractor, and the subcontractor is bound and obligated to the Contractor hereunder by the same terms and conditions by which the Contractor is bound and obligated to the agency under this Contract.
2.2.1.12. For purposes of this Contract, the term “Contractor” includes any officer or employee of the Contractor with access to or who uses FTI, and the term “subcontractor” includes any officer or employee of the subcontractor with access to or who uses FTI.
2.2.1.13. The agency will have the right to void the Contract if the Contractor fails to meet the terms of FTI safeguards described herein.
2.2.1.14. Audit and accountability policies and procedures must be developed, documented, disseminated, and updated as necessary to facilitate implementing audit and accountability security controls of Contractor systems receiving, processing, storing or transmitting FTI.
