section 2 - Introduction –
2.1 Purpose
The purpose of this Request for Proposal (RFP) is to solicit proposals for competitive negotiations pursuant to 200 KAR 5:307. The Commonwealth of Kentucky is seeking a qualified vendor to provide Reverse Auction Services on behalf of the Commonwealth
Document Phase Document Description Page 6 of Kentucky. The Reverse Auction Vendor shall conduct the auction as an agent of the Commonwealth and shall be responsible for all activities in that phase of the procurement.
2.2 Background
The Commonwealth conducts Multi-Step Sealed Bidding (also referred to as a Reverse Auction) in accordance with 200 KAR 5:375.
"Multistep sealed bidding" means a two (2) phase process consisting of a technical first phase composed of one (1) or more steps in which bidders may submit unpriced technical offers to be evaluated by the purchasing agency, and a second phase in which those bidders whose technical offers are determined to be acceptable during the first phase have their price bids considered.
section 3 – scope of work
3.1 Scope of Work/Technical Requirements
A. Scope of Work The Multi-Step Sealed Bid process consists of two (2) phases.
The first phase of a Reverse Auction shall include a solicitation for a competitive bid where Vendors provide a technical proposal without any associated cost data. The Commonwealth will issue all solicitations using its existing electronic procurement methodology, with no action required by the Reverse Auction Vendor. The technical responses shall be scored, and Vendors that are declared technically responsive to the bid may be allowed to enter into the second phase of the procurement.
During the second phase, the Commonwealth shall instruct technically responsive Vendors to contact the Reverse Auction Vendor and register for the Reverse Auction event, to be held on a date and time as specified in the original solicitation document. The Reverse Auction Vendor shall conduct the auction as an agent of the Commonwealth and shall be responsible for all activities in that phase of the procurement.
B. Vendor’s Responsibilities Services required of the successful vendor shall include but not be limited to the following:
- Provide all service and materials necessary for Reverse Auctions.
- Act as an independent third party to any Reverse Auction, conducting all actions in a manner impartial to Vendors and Commonwealth agencies alike.
- Host a secure website for conducting online Reverse Auctions. Site shall include security measures to immediately identify unauthorized users and prevent them from bidding. No software purchase by the participating vendor or Commonwealth shall be required.
- Register all technically responsible Vendors identified by the Commonwealth Buyer for participation in the Reverse Auction.
- Verify the identity of every registered Vendor with the Commonwealth Buyer prior to conducting a Reverse Auction.
- Notify all participating Vendors of any changes to the Reverse Auction schedule.
- Conduct training on Reverse Auction procedures during Pre-Bid Conferences sponsored by the Commonwealth, as required.
- Allow all Vendors to bid anonymously so that no Vendor can identify the number or identity of its competitors during a Reverse Auction.
- Allow all Vendors to submit “blind bids” so that each Vendor knows only its relative ranking (first, second, etc) and no Vendor knows the exact amount bid by a competitor.
Document Phase Document Description Page 7
- Set pre-determined time limits for each Reverse Auction.
- Automatically extend the active time of each Reverse Auction whenever a new bid is received within a predetermined number of minutes from the stated expiration time, preventing a last-second low bid from winning without giving adequate time for other Vendors to respond or allowing a Vendor to find and overtake first place as the lowest bidder.
- Provide secure, anonymous telephone backup procedures and surrogate bidding for Vendors should they experience an interruption in service from their ISP or have scheduling conflicts with the online auction. The backup mode shall protect Vendor information and privacy to the same extent as the automated system.
- Provide a backup power supply system and backup server to prevent an interruption of services during the Reverse Auction. In the event of a power failure or interruption of services, the Reverse Auction Vendor must have the capability of immediately notifying all participants via a backup communications system.
- If a bid is interrupted due to a failure of the Reverse Auction Vendor’s equipment or software, there shall be no charge to participants or Commonwealth and the auction shall be rescheduled as soon as possible, with minimal additional information required from the participants. Multiple failures of Vendor’s equipment may be considered cause for cancellation of the master agreement.
- Provide full disaster recovery capability to restore all files within a reasonable time following a system failure.
- Immediately tabulate results and provide all bid data electronically to the Commonwealth buyer no later than two hours after the completion of the Reverse Auction.
- Provide all files concerning registration, bidding, tabulation, and any records of malfunctions experienced during the bid to the Commonwealth buyer electronically and in hard copy within 24 hours of completion of the auction.
- Compile report of spend analysis for each bid, including the number of Vendors, number of lowering bids received, and projected savings in actual dollars and percent, within 24 hours of completion of each bid.
- Provide capability for live viewing by the Commonwealth Buyer on a Reverse Auction.
3.2 Value Added Services
This is the Vendors’ opportunity to highlight, in summary format, recommendations, concepts, ideas, practices, business strategies, innovative approaches that may that distinguish them from their competitors.

Costs for developing the proposals are solely the responsibility of the offerors. The Commonwealth of Kentucky shall not provide any reimbursements for such costs.
A proposal shall not be considered for award if the price in the proposal was not arrived at independently without collusion, consultation, communication, or agreement as to any matter relating to such prices with any other offeror or with any competitor. In addition, the offeror is prohibited from making multiple proposals in a different form.
Should conflict of interest be detected any time during the contract, the contract shall be null and void and the contractor shall assume all costs of this project until such time that a new contractor is selected.

Political Subdivisions Under Kentucky Statutes, political subdivisions of this State including cities of all classes, counties, and school districts may participate in All State Agency Master Agreements to the same extent as agencies of the Commonwealth.
9.2 Term of Contract and Renewal Options
The initial term of the contract shall be for a period of one (1) year from the effective date of the Award of Contract.
This contract may be renewed at the completion of the initial contract period for three (3) additional two (2) year periods upon the mutual agreement of the Parties. Such mutual agreement shall take the form of a contract modification as described in Section 10.7 of this RFP.
At the end of the contract, the vendor shall provide all agency data in a form that can be converted to any subsequent system of the agency’s choice. The vendor shall cooperate to this end with the vendor of the agency’s choice, in a timely and efficient manner.
The Commonwealth reserves the right not to exercise any or all renewal options. Any such price increase shall be based on industry-wide price changes. The contract holder must request in writing a price increase at least thirty (30) days prior to the effective date and shall provide firm proof that the price increase(s) is justified. The Office of Procurement Services may request additional information or justification. If the price increase is denied, the contract holder may withdraw from the contract without prejudice upon written notice and approval by the Office of Procurement Services.
Provided, however, that the vendor must continue service, at the contract prices, until a new contract can be established (usually within sixty (60) days).
B. Price Decreases: The contract price shall be reduced to reflect any industry-wide price decreases. The contract holder is required to furnish the Office of Procurement Services with notice of any price decreases as soon as such decreases are available.

If the remainder of this contract is capable of performance, it shall not be affected by such declaration or finding and shall be fully performed.

The Commonwealth shall determine the quantity and quality of such additional resources and failure to comply may constitute default by the contractor.

10.12Contractor Cooperation in Related Efforts The Commonwealth of Kentucky may undertake or award other contracts for additional or related work, services, supplies, or commodities, and the contractor shall fully cooperate with such other contractors and Commonwealth employees. The contractor shall not commit or permit any act that will interfere with the performance of work by any other contractor or by Commonwealth employees.
10.13Contractor Affiliation "Affiliate" shall mean a branch, division or subsidiary that is effectively controlled by another party.
