About this file

This document is a contract award notification from the Arizona Attorney General's Office to Fennemore Craig PC for outside counsel and out-of-state collection services. The contract covers collection services for three states: California, Colorado, and Nevada. The award is part of a solicitation process (Project #AG23-0004) and is issued under Arizona Revised Statutes §41-2538.

The contract establishes a contingency fee structure for debt collection, with Fennemore Craig PC charging up to 33% of amounts collected across different collection tiers. For amounts up to $25,000, the fee is up to 33%, and this percentage remains consistent for collections up to $1,000,000 and beyond. The firm will provide large judgment or debt collection matters specifically in California, Colorado, and Nevada, with the ability to potentially reduce fees on a case-by-case basis. The contract was awarded on August 22, 2022, with an effective date of the same day, and includes provisions for conflict of interest waivers and specific requirements for representing the State of Arizona.

RE: Rate Schedule for RFP AG23-0004

We have revised our rate schedule to indicate that we will charge “up to 33%.” The reason is that cases (and therefore appropriate fees) can vary dramatically based on the facts and the amount of time and costs that are required to be successful. Sometimes, 33% may be higher than appropriate and we often reduce the percentage of our fee at the conclusion of the case. With larger valued cases, ($500,000 and above) we will review the facts at the start of representation and agree to a reduced percentage if appropriate. Often these fees would be in the 20-25% range. We are unable to provide a generalized reduced rate percentage for all amounts collected at this time without knowing the facts of each case and understanding of what is involved.

We will agree to review each case before acceptance to consider a fee percentage less than 1/3. Our revised rate schedule is below. Let us know if you have additional questions or would like to discuss this further. Please consider and accept this as a supplement to our previously submitted response to the above RFP.

Revised Rate Schedule

Amount collected Contingency Fee % Amount collected Contingency Fee %

Up to $25,000 Up to 33% $100,001 to $500,000 Up to 33%

$25,001 to $50,000 Up to 33% $500,001 to $1,000,000 Up to 33%

$50,001 to $100,000 Up to 33% Over $1,000,001 Up to 33%

Re: Request for Proposal #AG23-0004 Out of State Collections

Dear Mr. Connolly:

Fennemore Craig is pleased to respond to AG23-0004 State of Arizona, Office of the Attorney General, Request for Proposal for Out of State Collections.

Our team has represented the State of Arizona for more than two decades in many different areas including commercial litigation, negligence and other tort actions, employment law, appellate, public finance, and taxation. We believe that this experience will provide added benefit when assisting the State in collecting debts owed to the State of Arizona.

Our debt collection law experience includes such areas as (i) deed of trust sales, (ii) foreclosures, (iii) deeds-in-lieu of foreclosure, (iv) appointment of receivers (v) replevin, garnishment and attachment proceedings, pre-judgment and post-judgment, (vi) collection actions,

(vii) guaranty suits, (vii) Uniform Commercial Code issues and sales, and (ix) other commercial litigation matters.

At Fennemore Craig, our clients have benefitted from our practice of offering contingent fee arrangements in cases. A substantial percentage of the firm’s litigation cases are handled via contingent fee.

In responding to the State of Arizona’s Request for Proposal, there were a few items in past contract years that required clarification in light of Fennemore Craig’s various insurance provisions and its sizable practices that routinely interact with state agencies, departments, commissions and other subdivisions of the State of Arizona. Accordingly, as we have done in prior years, we would like to continue under the annual engagement agreements between Fennemore Craig and the Attorney General’s Office as clarified in letters dated November 19, 2015 and December 9, 2014.

If selected, I will serve as the lead for matters provided resulting from this response. I am able to negotiate and obligate terms of the contract on behalf of Fennemore Craig, P.C.

Highlights Represented the State of Arizona, Arizona Department of Transportation, in a 135 plaintiff mass action seeking 8 figures in damages resulting from flooding that occurred in Mesa, Arizona, along the U.S. 60 freeway. Following a hard-fought and complex three-week jury trial, we obtained an unanimous jury verdict on all of plaintiffs’ claims. The jury also unanimously found that we established the “State of the Art” affirmative defense, which would have barred any liability that otherwise might have been established.

Represented a large solid waste company in a dispute over a success fee and royalty. The claimant in arbitration contended it had earned a large success fee and multi-million dollar royalty in connection with a landfill expansion. After a full evidentiary hearing, the arbitrator ruled that the claimant had not established entitlement to either the success fee or royalty and issued an award in favor of our client. The claimant moved the Arizona Superior Court to vacate the award. The court denied the motion to amend and confirmed the arbitration award in our client’s favor.

Highlights:

Dan was lead counsel for multiple plaintiffs in highly-complex litigation against several bank trustees and numerous other defendants, securing significant recoveries through settlement and substantial judgments. The litigation arose out of a multi-state fraud scheme involving National Prearranged Services, Inc. (a Missouri-based preneed funeral contracts seller) and its two related insurance companies domiciled in Texas. Dan was retained by 35 state life and health insurance guaranty associations, NOLHGA, and the Texas Special Deputy Receiver to seek recoveries from over 40 defendants, including multiple bank trustees, an accounting firm, and the former officers and directors of NPS and the insurance companies. Plaintiffs’ claims included negligence and breach of fiduciary duty against the bank trustees for allowing the preneed trust funds to be looted, accounting malpractice, and RICO (Racketeer Influenced and Corrupt Organizations Act) claims against the former officers and directors. Settlements with most defendants were negotiated before trial, resulting in large recoveries for the clients. A five-week jury trial was held in federal court in Missouri in early 2015, where a jury verdict of $391 million (including a punitive damages award) was entered against PNC Bank. After the Eighth Circuit remanded the case against PNC Bank for a trial to the Court, Dan again served as lead counsel and head of the trial team that secured a combined $106 million judgment ($99 million in compensatory and punitive damages and $7 million in attorney’s fees and litigation costs) against PNC Bank for breach of trust. PNC’s appeal of the $106 million judgment is currently pending.

Dan served as lead plaintiffs’ counsel in seven state class actions brought against regional phone provider U.S. West for installation delays experienced by 250,000 customers. The U.S. West cases settled for $36 million in settlement funds and $7.2 million in attorney’s fees.

Seven state insurance guaranty associations sued a regional brokerage firm following the liquidation of MidWest Life. The claims were for fraud and breach of fiduciary duties. After three successful jury trials in Colorado, Washington and a three-

When representing plaintiffs, he has achieved multiple million-dollar jury verdicts.

Dan’s colleagues in the legal profession, judges as well as lawyers, value his courtroom skills and experience and eagerly attend his presentations.
