SECTION F

DELIVERIES OR PERFORMANCE

52.211-8 TIME OF DELIVERY (JUN 1997)

(IAW FAR 11.404(a)(2))

(a) The Government requires delivery to be made according to the following schedule:

DELIVERY FOR EACH ITEM IS ANNOTATED IN THE SCHEDULE (PART I SECTION B) UNDER EACH LINE ITEM.

The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.

ANNOTATE YOUR PROPOSED DELIVERY, IF ANY, UNDER THE GOVERNMENT’S DELIVERY SET FORTH UNDER EACH ITEM IN THE

SCHEDULE.

(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.

(The above Clause/Provision has been modified.)

SECTION H

SPECIAL CONTRACT REQUIREMENTS

REOPENER CLAUSE (JUL 2022)

a. The purpose of this clause is to provide a mechanism by which this contract may be downward adjusted to account for any misaligned charges discovered in (a) Boeing’s certified cost or pricing data or

(b) other than certified cost or pricing data that Boeing provides to the Procuring Contracting Officer (PCO) to support the negotiation of pricing actions under this contract, and which the PCO relied upon to determine the negotiated value of the contract as fair and reasonable pursuant to Federal Acquisition Regulation (FAR) 15.403-4(b), Requiring Certified Cost or Pricing Data (10 U.S.C. 2306a and 41 U.S.C.

Chapter 35) and 15.403-3, Requiring Data Other Than Certified Cost or Pricing Data. For the purposes of this clause, “misaligned charges” are defined as charges not in accordance with approved disclosure statements; charges noncompliant with the contract terms and conditions; charges out of scope of the contract; charges aligned to incorrect Contract Line Item Numbers (CLINs); charges based on incorrect application of bulk, indirect, and/or other allocations; or any other charges not deemed allowable and allocable to the contract.

b. If misaligned charges are discovered, the PCO (in consultation with the appropriate Defense Contract Management Agency (DCMA) and/or Defense Contract Audit Agency (DCAA) authorities for noncompliance with disclosure statements or incorrect application of bulk, indirect, and/or other allocations) determines that the aggregate of the misaligned charges would result in an overall lower contract value, the Government is entitled to a downward-only adjustment, including profit or fee, in accordance with this clause. Boeing retains the right to dispute any downward-only adjustment in accordance with Paragraph (g). Dependent upon the details of each discovery, adjustments may be downward or upward for individual CLIN(s), provided any upward adjustments are offset by downward adjustments of the same contract type and the overall adjustment does not increase the total negotiated contract value. For fixed-price incentive (firm target) CLINs, any downward-only adjustment will be applied to the ceiling prices in addition to the target costs and target profits. For all other contract types, any downward-only CLIN adjustments will be applied to the estimated/target costs and profit/fee values (i.e., dollar amounts not negotiated profit/fee percentages). No offsets from higher than expected actuals will be recognized when calculating any downward-only adjustments. In addition, the basis of any adjustments shall be the negotiated CLIN values, or revised CLIN values based on previous adjustments pursuant to this clause, whether the original settlement was achieved through agreement at the cost element level or bottom line. The PCO will not make an adjustment to the total contract value more than once for the same misaligned charges, other than if the PCO determines that the misaligned charges resulted in a greater impact to overall contract value than the original adjustment.

c. Notwithstanding Boeing’s responsibility to disclose misaligned charges to the Government, the Program Office will notify Boeing, in writing, of any alleged misaligned charges prior to pursuing a downward adjustment. The written notification will include explanation or supporting documentation demonstrating how the alleged misaligned charges impacted the negotiated value of this contract. Boeing shall have fifteen (15) calendar days, excepting federal holidays, to respond in writing with an explanation or supporting documentation. If Boeing concurs or fails to respond within the given timeframe, the PCO shall execute a unilateral downward-only contract modification. If Boeing non-concurs, the PCO will evaluate the response while engaging in good faith discussions with Boeing and provide a final determination, in writing, not sooner than fifteen (15) calendar days after receipt of Boeing’s written response, excepting federal holidays, whether a unilateral downward-only contract modification will be executed. If Boeing fails to respond within the fifteen (15) calendar-day timeframe, Boeing does not waive the right to dispute a unilateral downward-only contract modification in accordance with Paragraph (g).

d. There is no limit to the number of times the Government can invoke this clause. However, the Government will invoke this clause no more than quarterly unless the overall anticipated downward adjustment exceeds $500,000. If the Government does not invoke this clause during a quarter, the Government retains the right to invoke the clause in subsequent quarters.

e. Boeing’s business systems are integrated and share cost data. Therefore, any misaligned charges identified may reside in multiple business systems. Consequently, this clause shall be bilaterally incorporated into all affected Government contracts between Boeing and the USAF until the Government has verified that all Boeing business systems produce accurate and reliable data, as evidenced by the following conditions: 1) All issues identified in United States Air Force’s “F-15 Division’s Assessment of

The Boeing Company’s Enterprise Accounting System” dated 26 September 2021, including but not limited to, all addenda to that document, and with all Level II and III business system related Corrective Action Requests resulting from and referenced in that document having been resolved with any associated corrective actions approved, validated, and closed by the cognizant Government organization, e.g., DCMA, DCAA; and 2) All Boeing’s business systems are approved pursuant to DFARS 252.242-7005, Contractor Business Systems; 252.242-7006, Accounting System Administration;

252.234-7002, Earned Value Management System; 252.215-7002, Cost Estimating System Requirements; 252.242-7004, Material Management Accounting System; 252.245-7003, Contractor Property Management System Administration; and/or 252.244-7001, Contractor Purchasing System Administration, as applicable.

f. Additionally, as to any specific contract into which this clause has been incorporated, the clause shall be available for the Government’s use with respect to pricing actions that concluded prior to the conditions of Paragraph (e) above being met, but the clause will no longer be available with respect to pricing actions that conclude subsequent to the conditions of Paragraph (e) being met.

g. Any dispute arising under or related to the terms and/or procedures set forth in this clause or any resulting unilateral downward adjustments shall be resolved in accordance with FAR 52.233-1, Disputes, as incorporated in the contract.

h. All other terms and conditions of the contract shall remain in full force and effect including reporting and disclosure requirements. Defective pricing determinations and any associated remedies, pursuant to the Truth in Negotiations Act or other law, are outside the scope of this clause and shall be made in accordance with applicable clauses as incorporated in the contract.
