CLAUSES INCORPORATED BY FULL TEXT
52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.;
and
(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
(End of provision)
52.212-1 ADDENDUM
ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS- COMMERCIAL ITEMS (JAN 2017)
1. GENERAL INSTRUCTIONS:
Notice to Offerors: Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.
1.1 To ensure timely and equitable evaluation of proposals, offerors must follow the instructions herein. Offerors are required to meet all solicitation requirements, including terms and conditions, and representations and certifications, in addition to those identified as evaluation factors. Failure to meet a requirement may result in an offer being ineligible for award. The Government intends to award without discussions, but reserves the right to conduct discussions if necessary. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation; alternate proposals will not be accepted. The response shall consist of three (3) separate volumes: Volume I- Technical Proposal, Volume II- Past Performance, and Volume III- Price and Contract. The offer acceptance period shall be a minimum of 180 calendar days.
1.2 Receipt of Proposals: Proposals submitted electronically via e-mail are preferred. Hard copy proposal submissions are not required but shall take precedence over e-mail submissions. Faxed proposal will NOT be accepted. Send proposals to: matthew.mclean.10@us.af.mil, thomas.collins.16.de@us.af.mil, and kacie.varner@us.af.mil. The CO and Contract Specialist’s inboxes are the only point of receipt. No other US Government point of receipt is acceptable, including e-mail servers. Each offeror should allow sufficient time for their proposal to clear the Agency’s e-mail servers and is responsible for timely submission of their proposal. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Word 2013, MS Excel 2013, or MS Power Point 2013, as applicable. If files are compressed, the necessary decompression utility must be included. Please note that e-mail submissions are subject to size and type restrictions, typically limited to less than 2 megabyte in size per e-mail. If multiple e-mails are sent, they must be marked in a manner that allows the Government to verify the number of e-mails that are sent by a single offeror (e.g. 1 of 2, 2 of 2). It is the offeror’s responsibility to verify that the e-mail was received; the offer is complete and can be viewed. The Government neither will be responsible for any offer not received nor any failure of the offeror to verify the receipt of the e-mailed offer.
1.2.1 All volumes that are submitted via mail or handcarried, shall be mailed/handcarried to 764 SCONS:
Geographical Address: APO Address:

All proposals must be received NLT 03 December 2018, 07:00 hours Central European Time (CET).
1.3 Access to Base Facilities: 764 SCONS is located on an U.S. Air Force installation (Ramstein AB, Germany) and all access to the installation is controlled by the Government. An escort may be required, as access will not be granted solely based on the need to submit a proposal. If necessary, as pre-coordinated with the point of contact listed in paragraph 1.8, the Government may provide a representative to meet the offeror at the gate to the installation to accept the proposal submission. 52.212-2 EVALUATION-COMMERCIAL ITEMS (OCT 2014)
1. SOURCE SELECTION
a. Basis for Contract Award This is a Lowest Price Technically Acceptable (LPTA) source selection (FAR 15.101-2) conducted in accordance with Federal Acquisition Regulation (FAR) Part 12 Acquisition of Commercial Items, FAR Part 15 Contracting by Negotiation, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), the Air Force Federal Acquisition Regulation Supplement (AFFARS), DoD Source Selection Procedures, 01 April 2016, and Air Force Mandatory Procedures 5315.3, 25 May 2018. The Government intends to award a contract resulting from this solicitation to the offeror who is deemed responsible in accordance with the FAR Part 9.1, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by the addendum to FAR 52.212-1 “Instructions to Offerors – Commercial Items” of this solicitation) and is judged, based on the evaluation factors and subfactors, to represent the lowest price technically acceptable proposal. While the Government will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process.
Step 1 – The Government will first evaluate all proposals for Total Evaluated Price (TEP) then rank the offerors from lowest to highest TEP. A price fair and reasonable determination will be made on the apparent successful offer prior to award. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement, including the six-month extension available under FAR Clause 52.217-8, Option to Extend Services. For evaluation purposes of the six month Option to Extend Services clause, the extended total will be calculated by multiplying the proposed unit price for CLIN 4002 by 50%. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
Step 2 – The apparent lowest price proposal will then be evaluated for Technical Acceptability. Proposals must be rated “Acceptable” for all technical subfactors in order to be determined technically “Acceptable”. If the lowest priced offeror’s technical proposal is “Unacceptable,” the next low offeror’s technical proposal will be evaluated, continuing until an “Acceptable” technical rating with acceptable performance is identified.
Step 3 – The lowest priced, technically “Acceptable” offeror’s past performance will be evaluated. If the lowest prices, technically “Acceptable” offeror’s past performance is determined to be “Unacceptable,” the Government will evaluate past performance of the next lowest priced, technically acceptable offer. This process will continue, as needed, until an offer is rated “Acceptable” for past performance.
Step 4 – Once the lowest priced technically acceptable offer with acceptable past performance is identified, an evaluation will be conducted of the next lowest priced offer in order to determine technical acceptability. This evaluation is done to establish a basis that the lowest priced offer is fair and reasonable through competition. The Government reserves the right that if the lowest priced, technically “Acceptable” offeror’s past performance is determined to be “Acceptable,” the evaluation process will stop and the award will be made to the offeror, pending the aforementioned price fair and reasonable determination.
b. Discussions If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the Final Proposal Revision are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.
c. Solicitation Requirements, Terms and Conditions Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors. Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.
2. EVALUATION FACTORS
a. Evaluation Factors and Subfactors The following evaluation factors and subfactors will be used to evaluate each proposal. The Government will evaluate proposals for acceptability, but will not rank the proposals by the non-price factors or subfactors.
Factor 1: Technical Subfactor 1: Transition/Management Plan Subfactor 2: Past Experience Subfactor 3: Quality Control Plan
Factor 2: Past Performance
Factor 3: Price
b. Technical Factor The Government’s technical evaluation team shall evaluate the technical proposals on an acceptable or unacceptable basis, assigning one of the ratings described below for each subfactor. Simply restating the technical criteria within a proposal may result in an unacceptable rating and preclude the vendor from award. Any subfactor evaluated as “Unacceptable” will render the entire proposal unacceptable and, therefore, unawardable. Only those proposals determined to be technically acceptable, either initially or as a result of discussions, will be considered for award.
However, the offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
TABLE 1 – TECHNICAL RATINGS
Rating Description Acceptable Proposal clearly meets the minimum requirements of the solicitation.
Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.
The proposals shall be evaluated against the following technical subfactors:

Standard: The standard is met when the offeror documents proof of transient alert aircraft services relevant to the PWS with a minimum value of $500,000 per year performed for at least one (1) year within the last five (5) years as described in the Addendum to FAR 52.212-1 “Instructions to Offerors – Commercial Items, paragraphs 3.1.2. (a) through (h).
Subfactor 3: Quality Control Plan (QCP) – The offeror’s Quality Control Plan (QCP) shall clearly and completely address the areas listed in PWS, paragraph 11.1. Failure to fully address the required information may render the proposal unacceptable.
Standard: The standard is met when the offeror provides a thorough QCP that clearly addresses how the offeror intends to perform the requirements of PWS paragraph 11.1.
c. Past Performance Factor The Past Performance evaluation results in an assessment of the offeror’s probability of meeting the solicitation requirements. Offerors must receive a past performance rating of “Acceptable” to be eligible for award.
(1) Ratings. The Past Performance factor will receive one of the ratings described below.
TABLE 2- PAST PERFORMANCE EVALUATION RATINGS

(2) Evaluation Process. The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance to include quality in supplying products and services that meet the solicitation requirements. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance proposal volume and information obtained from other sources available to the Government, to include, but not limited to: Past Performance Information Retrieval System (PPIRS); Federal Awardee Performance and Integrity Information System (FAPIIS); Electronic Subcontract Reporting System (eSRS), or other databases; and interviews/questionnaires with Program Managers, Contracting Officers and Fee Determining Officials, the Defense Contract Management Agency (DCMA), and commercial sources.
(i) Recency Assessment An assessment of the past performance information will be made to determine if it is recent. To be recent, the contract citation must have been completed or ongoing within the past five (5) years from the date of issuance of this solicitation for a minimum of a one (1) year period. Past Performance for contracts exceeding the timeframe for this definition of recency will be excluded from evaluation.
(ii) Relevancy Assessment As assessment of the past performance information will be made to determine if it is relevant. Relevant contract citations include performance of transient alert services for government or commercial customers that…
