Note 1: The Government contemplates award up to three (3) Blanket Purchase Agreements (BPAs) resulting from this solicitation. In accordance with FAR52.212-2(a)(i), offerors are required to enter all prices for all items in Exhibits, Pricing Schedule.
Note 2: Solicitation provisions will be physically removed from any resultant award, but will be deemed to be incorporated by reference in that award.
Note 3: Submit offers in whole numbers only, no fractions less than one (1) yen.

USCHEDULE OF SUPPLIES/SERVICES
1. UServices to be furnished:U The Contractor shall furnish chartered bus services for transporting Government personnel as set forth in the Price List and the Performance-based Work Statement (PWS), in accordance with (IAW) the terms and conditions of this contract and applicable Government of Japan (GOJ) laws and trade practices.
2. UPerformance Period:U The period of performance covered by this Blanket Purchase Agreement (BPA) is effective from 1 Mar 2015 or in 30 days after the date of the award through 28 Feb 2016, unless sooner withdrawn by the Contracting Officer.
3. UExtent of Obligation:U The United States Government is obligated only to the extent of the authorized calls actually placed against this BPA.
4. UPricing:U The prices to the Government shall be as low as or lower than those charged the supplier’s most favored customer for comparable quantities under similar terms and conditions in addition to any discounts for prompt payment.
5. UPurchase limitation:U No individual call by the authorized callers under the BPA shall exceed $30,000 (Japanese Yen equivalent at the time the call is placed).
6. UIndividuals Authorized to Place Calls:U A list of the names of individuals authorized to place calls under the BPA, identified by organizational component and the dollar limitation per call for each individual will be furnished to the Contractor by the Contracting Officer.
7. UOrdering ProcedureU: When multiple BPAs are awarded, calls will be made under the BPA which provides a lower price for each call based on the prices in the Price List.
8. UAcceptance of Calls and Delivery Tickets:U Upon acceptance of a call, the Contractor is obligated to perform the service. The Contractor shall notify the Government of its written acceptance of a call, either by e-mail or fax, containing the minimum information listed below. All shipments under the agreement shall be accompanied by delivery tickets or sales slips which shall contain the following minimum information:
a. Name of Supplier.
b. BPA Number.
c. Date of Purchase.
d. Call Number.
e. Itemized List of Services Furnished.
f. Quantity, Unit Price and Extension of Each Item, Less Applicable Discounts.
g. Date of Performance
9. UInvoices (UBlock 18b SF 1449, Submit InvoicesU):U An itemized invoice shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first to the office cited below, for all deliveries made during a billing period and for which payment has not been received. These invoices need not be supported by copies of delivery tickets identified at paragraph 8 above. An invoice shall be submitted in four (4) copies to the Receiving Officer for specified below certification of receipt of services. After certification, contractor’s invoice will be submitted to the payment office in Block 18a.

10. USubmittal/Approval of Price ListU: Submittal/Approval of Price List: The Contracting Officer will obtain a price list from the BPA holder periodically by providing a minimum of seven (7) days advance notice prior to the period that the price list is to become effective. After determining that prices are fair and reasonable, the Contracting Officer will date, sign, and mark the list “Approved. This list supersedes all prior lists effective this date." The Contracting Officer will send a copy of the approved price list to the authorized BPA Callers. If the changed prices are not found fair and reasonable, the Contracting Officer reserves the right to cancel the BPA.
11. UReceipt/Inspection/Acceptance:U Responsibility for receiving, inspecting and accepting the services called for under this BPA is assigned to the following individuals.

12. UDiscontinuation NoticeU: If and when the Contractor desires to be released from contractual obligations, a written notice shall be provided 90 days in advance to the Government for discontinuation.

Addendum to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS - COMMERCIAL ITEMS (May 2014):
(k) Taxes. The text is deleted and replaced as follows:
(1) Unless otherwise provided in this contract, the contract price includes all applicable taxes and duties, except taxes and duties that the Government of the United States and the Government of Japan have agreed shall not be applicable to expenditures in Japan by or on behalf of the United States.
(2) The Status of Forces Agreement between the Japan and the United States and implementing the Japanese laws authorizes the United States exemption from certain Japanese taxes for materials, supplies, equipment and services procured for official purpose in Japan by the United States Armed Forces or by authorized agencies of the United States Armed Forces. Those taxes include (1) Consumption tax, (2) Gasoline tax and local road tax on gasoline, (3) Diesel oil tax, and (4) Liquefied petroleum gas tax.
(3) The Contractor will submit requests for gasoline or diesel oil tax exemption certificate to the Contracting Officer. This request will show the actual amount of gasoline or diesel oil used exclusively for the performance of this contract, with documentary evidence and detailed item breakdown to support the accurate consumption of gasoline or diesel oil, or other necessary information and data as may be required. The Contracting Officer will issue to the Contractor a tax exemption certificate for the actual amount of gasoline or diesel oil used exclusively for the performance of this contract.
(v) Conciliation. Except as otherwise provided in this contract, any disagreement arising under this contract which is not resolved by the parties to this contract may be submitted to the United States - Japan Joint Committee for conciliation in accordance with Paragraph 10, Article XVIII of the Status of Forces Agreement under Article VI of the Treaty of Mutual Cooperation and Security between Japan and the United States of America. Requests by the Contractor shall be made in accordance with the following procedures:
(1) In the event the Contractor desires conciliation after the decision of the Contracting Officer has been served upon him, he will first file his appeal from such findings of fact with the appropriate authority in accordance with the clause of this contract entitled, “Disputes” and within the time limits described therein before filing a request for conciliation with the Joint Committee and then request the appellate authority under the “Disputes” clause to suspend its action on his appeal until such time as the Joint Committee has had an opportunity for effecting conciliation.
(2) The request for conciliation will be submitted by the Contractor through the nearest Defense Facilities Administration Bureau, to the Contract Conciliation Panel of the Joint Committee. Upon the filing of the request with the Joint Committee, the Contractor will immediately notify the Contracting Officer in writing that the request for conciliation has been filed.
(3) In the event the disagreement submitted to the Joint Committee under subparagraph (2) above has been resolved through conciliation, it will be the responsibility of the Contractor to notify the appellate authority designated in the clause of this contract entitled, “Disputes”, of the settlement of the dispute and to withdraw his appeal.
(4) In the event the Contractor has submitted a request for conciliation to the Joint Committee under subparagraph (2) above desires, notwithstanding tendency of his request for conciliation, that action by the appropriate authority under the clause of this contract entitled, “Disputes”, be resumed on his appeal, it is his responsibility to so request the said authority in writing. The Joint Committee shall be immediately informed by the Contractor of his action taken hereunder.
(5) No request for conciliation can be submitted to the Joint Committee in the case of a dispute upon which the final decision of the appropriate authority under the clause of this contract entitled, “Disputes”, has been rendered. Pending the hearing of the conciliation panel, the Contractor shall proceed diligently with the performance of the contract in accordance with the Contracting Officer’s decision. The provisions of this clause shall not prejudice any right which the parties to the contract may have to file in a civil suit.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. (c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer for 90 calendar days from the date specified for receipt of offers.
Addenda to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS (APR 2014)
A. To assure timely and equitable evaluation of the quotations, the offeror must follow the instructions contained herein. The quotation must be complete, self-sufficient, and respond directly to the requirements of this solicitation.
The response shall consist of two (2) separate parts; Part I – Price Quotation, and Part II – Past Performance Information.
B. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists, no additional cost information will be requested.
However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit cost data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
C. Specific Instructions
1. The offers shall be prepared to consist of the following two parts:
Part I: PRICE QUOTATION - Submit original and one (1) copy. The submission shall be made in sealed envelope, marked with the solicitation number, and the submission due date for quotation and time specified in this solicitation.
(a) Standard Form (SF) 1449. Complete Blocks 12, 17a, 17b (when applicable), 30a, 30b, and 30c of the SF 1449. In doing so, the offeror accedes to the BPA terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.
(b) Supplies or Services and Prices/Costs (Continuation of Blocks 19 through 24 of SF 1449). Insert offered unit and extended prices in Exhibit A: PRICE LIST. Complete with offered unit price and extended amount for each listed line item. The extended amount must equal the whole yen unit price multiplied by the number of units.
(c) Remittance Address (Continuation to Block 17b of SF 1449). Provide remittance address when Block 17b is checked. The remittance address is used in the event the Government is unable to make the payment by Electronic Funds Transfer and sends a check to the Contractor.
(d) Complete the necessary fill-ins and certifications in provisions. The provisions FAR 52.212-3 shall be returned along with the quotation in its entirety.
(e) Acknowledgment of solicitation amendments when issued.
Part II: PRESENT/PAST PERFORMANCE INFORMATION: The present/past performance information shall be recent and relevant information in demonstrating the offeror’s ability to successfully perform the required effort.
Only references for the same or similar type contracts desired. The past performance information shall consist of (1) Present/Past Performance Reference List and (2) Present/Past Performance Survey. Submit original and one
(1) copy.
2. General Information
(a) INFORMATION REGARDING SUBMISSION OF QUOTATION: Hand carried quotations must be deposited in the bid depository located at 374th Contracting Squadron, Bldg 620, Yokota Air Base, Fussa-shi, Tokyo, #197-0001. The sealed envelope or package used to submit your quotation must show the time and date specified for receipt, the Solicitation Number, and the name and address of the offeror. Offerors may respond to the subject amendment via facsimile or e-mail. Respond to this solicitation by fax or e-mail is subject to the same rules as a response via hand-carry or postal mail. See also paragraph (c) below for responding by e-mail. The number of receiving facsimile equipment is 042-551-0973 from inside Japan/81 (country code)-42-551-0973 from outside Japan. The Government reserves the right to make award based on the offeror’s response via facsimile or e-mail.
However, if requested to do so by the Contracting Officer, the apparently successful offeror promptly shall submit the complete original signed quotation.
(b) Offerors are cautioned that Yokota Air Base has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. SOME DELAY SHOULD BE ANTICIPATED WHEN HAND CARRYING QUOTATIONS. Offerors should allow sufficient time to obtain a visitor pass and arrive at the bid depository PRIOR to the time specified for receipt. Late quotations will be processed in accordance with FAR 52.212-1(f) “Late submission, modifications, revisions, and withdrawals of offers.”
(c) Offerors can also submit electronic copies of quotations via e-mail. Files are not to exceed 2 MB. By submitting an electronic copy, offerors assume all risk of quotations not getting through security measures and firewalls. Only files created using Microsoft WORD, Microsoft EXCEL, and/or Adobe .pdf files will be accepted.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (e) through (p) of this provision.
(Paragraphs (c), (d), (f), (g), (i), and (k) are not applicable to this solicitation due to the non-applicability of acquisition at overseas.)
(a) Definitions. As used in this provision:
"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation," as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.
395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue Code at 26 U.S.C. 7874.
"Manufactured end product" means any end product in Federal Supply Classes (FSC) 1000-9999, except—
(1) FSC 5510, Lumber and Related Basic Wood Materials;
(2) Federal Supply Group (FSG) 87, Agricultural Supplies;
(3) FSG 88, Live Animals;
(4) FSG 89, Food and Related Consumables;
(5) FSC 9410, Crude Grades of Plant Materials;
(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology" —
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business concern" —
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
"Small disadvantaged business concern", consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) Through another subsidiary of a parent corporation.
"Veteran-owned small business concern" means a small business concern—

"Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
(b) (1) Annual Representations and Certifications. Any changes provided by the offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications posted electronically on the SAM website.
