BASE ORDERING PERIOD: The contractor shall provide all materials, equipment, tools, labor, transportation, and management necessary to perform the Mini- MACC. The Mini-MACC is a multiple award, minimal design-build indefinite delivery/indefinite quantity (IDIQ) construction acquisition described in the statement of work with project requirements further defined with each individual task order. The work will consist of multiple disciplines in construction to include repair, alteration, and construction of real property improvements on Joint Base Elmendorf-Richardson.

The Contractor is required to have a Mission-Essential Contractor Services Plan in place no later than 60 days after contract award. The Mission-Essential Contractor Services Plan is to address the Contractors plan in the event of a crisis, including the possibility that JBER's FPCON or HPCON levels unexpectedly increase or there is a temporary restriction of movement coming in or out of the base. These increases could be due to, but not limited to, crises events such as weather events, natural disasters, health protection measures and security threats.
The Contractor shall maintain and update its plan as necessary. The Contractor shall provide all plan updates to the Contracting Officer for approval.
In the event mission-essential services are required during a crisis and an additional cost is required, the Contractor shall provide a notice to the Contracting Officer that includes all segregated and separately identified costs to be incurred, the Contractor's proposal for an additional costs are incurred as a result, the Contractor is entitled to provide a notice to the Contracting Officer delineating all segregated and separately identified additional costs to be incurred. The contractor may request an adjustment in price of any task order. Any increased amount is not payable by the Government, until and unless a modification to the contract or task order, or some other approval by the Contracting Officer is made in writing.
Blocks 11, 12a and 13b applies to the task order level.
The current wage determination is included with the solicitation. The wage determination in effect at the time proposals are submitted will be used for any task orders issued under this contract. Building, Heavy, Davis- Bacon Act (DBA) wage determinations can be downloaded from the Sam.gov website.
Requirements The Mini-MACC contract will continue to complement the larger MACC design-build (DB) contract. The primary work will consist of multiple disciplines in general construction categories of on-base facilities for JBER, Alaska. Designs provided to Contractor may be as little as 35% design (basic concept) to a 95% design.
The design and engineering required is at the level normally expected of a general construction contractor and considered incidental to the accomplishment of the scope of work provided by the Government. Contracts requiring more than incidental design or the services of a registered architect or professional engineer are primarily reserved for the MACC. The Mini-MACC contract fills the small project magnitude, general contractor niche by providing a stable pool of Contractors focused on continued good performance in order to continue to receive future projects.

252.247-7023 Transportation of Supplies by Sea. 2019-02
Basic. As prescribed in 247.574(b) and (b)(1), use the following clause:
TRANSPORTATION OF SUPPLIES BY SEA—BASIC (FEB 2019)
(a) Definitions. As used in this clause—
“Components” means articles, materials, and supplies incorporated directly into end products at any level of manufacture, fabrication, or assembly by the Contractor or any subcontractor.
“Department of Defense” (DoD) means the Army, Navy, Air Force, Marine Corps, and defense agencies.
“Foreign-flag vessel” means any vessel that is not a U.S.-flag vessel.
“Ocean transportation” means any transportation aboard a ship, vessel, boat, barge, or ferry through international waters.
“Subcontractor” means a supplier, materialman, distributor, or vendor at any level below the prime contractor whose contractual obligation to perform results from, or is conditioned upon, award of the prime contract and who is performing any part of the work or other requirement of the prime contract.
“Supplies” means all property, except land and interests in land, that is clearly identifiable for eventual use by or owned by the DoD at the time of transportation by sea.
(i) An item is clearly identifiable for eventual use by the DoD if, for example, the contract documentation contains a reference to a DoD contract number or a military destination.
(ii) “Supplies” includes (but is not limited to) public works; buildings and facilities; ships; floating equipment and vessels of every character, type, and description, with parts, subassemblies, accessories, and equipment; machine tools; material; equipment; stores of all kinds; end items;
construction materials; and components of the foregoing.
“U.S.-flag vessel” means a vessel of the United States or belonging to the United States, including any vessel registered or having national status under the laws of the United States.
(b)(1) The Contractor shall use U.S.-flag vessels when transporting any supplies by sea under this contract.
(2) A subcontractor transporting supplies by sea under this contract shall use U.S.-flag vessels if—
(i) This contract is a construction contract; or
(ii) The supplies being transported are—
(A) Noncommercial items; or
(B) Commercial items that—
(1) The Contractor is reselling or distributing to the Government without adding value (generally, the Contractor does not add value to items that it subcontracts for f.o.b. destination shipment);
(2) Are shipped in direct support of U.S. military contingency operations, exercises, or forces deployed in humanitarian or peacekeeping operations; or
(3) Are commissary or exchange cargoes transported outside of the Defense Transportation System in accordance with 10 U.S.C. 2643.
(c) The Contractor and its subcontractors may request that the Contracting Officer authorize shipment in foreign-flag vessels, or designate available U.S.-flag vessels, if the Contractor or a subcontractor believes that—
(1) U.S.-flag vessels are not available for timely shipment;
(2) The freight charges are inordinately excessive or unreasonable; or
(3) Freight charges are higher than charges to private persons for transportation of like goods.
(d) The Contractor must submit any request for use of foreign-flag vessels in writing to the Contracting Officer at least 45 days prior to the sailing date necessary to meet its delivery schedules. The Contracting Officer will process requests submitted after such date(s) as expeditiously as possible, but the Contracting Officer's failure to grant approvals to meet the shipper's sailing date will not of itself constitute a compensable delay under this or any other clause of this contract. Requests shall contain at a minimum—
(1) Type, weight, and cube of cargo;
(2) Required shipping date;
(3) Special handling and discharge requirements;
(4) Loading and discharge points;
(5) Name of shipper and consignee;
(6) Prime contract number; and
(7) A documented description of efforts made to secure U.S.-flag vessels, including points of contact (with names and telephone numbers) with at least two U.S.-flag carriers contacted. Copies of telephone notes, telegraphic and facsimile message or letters will be sufficient for this purpose.
(e) The Contractor shall, within 30 days after each shipment covered by this clause, provide the Contracting Officer and the Maritime Administration, Office of Cargo Preference, U.S. Department of Transportation, 400 Seventh Street SW, Washington, DC 20590, one copy of the rated on board vessel operating carrier's ocean bill of lading, which shall contain the following information:
(1) Prime contract number;
(2) Name of vessel;
(3) Vessel flag of registry;
(4) Date of loading;
(5) Port of loading;
(6) Port of final discharge;
(7) Description of commodity;
(8) Gross weight in pounds and cubic feet if available;
(9) Total ocean freight in U.S. dollars; and
(10) Name of steamship company.
(f) If this contract exceeds the simplified acquisition threshold, the Contractor shall provide with its final invoice under this contract a representation that to the best of its knowledge and belief—
(1) No ocean transportation was used in the performance of this contract;
(2) Ocean transportation was used and only U.S.-flag vessels were used for all ocean shipments under the contract;
(3) Ocean transportation was used, and the Contractor had the written consent of the Contracting Officer for all foreign-flag ocean transportation; or
(4) Ocean transportation was used and some or all of the shipments were made on foreign-flag vessels without the written consent of the Contracting Officer. The Contractor shall describe these shipments in the following format:

(g) If this contract exceeds the simplified acquisition threshold and the final invoice does not include the required representation, the Government will reject and return it to the Contractor as an improper invoice for the purposes of the Prompt Payment clause of this contract. In the event there has been unauthorized use of foreign-flag vessels in the performance of this contract, the Contracting Officer is entitled to equitably adjust the contract, based on the unauthorized use.
(h) If the Contractor indicated in response to the solicitation provision, Representation of Extent of Transportation by Sea, that it did not anticipate transporting by sea any supplies; however, after the award of this contract, the Contractor learns that supplies will be transported by sea, the Contractor shall—
(1) Notify the Contracting Officer of that fact; and
(2) Comply with all the terms and conditions of this clause.
(i) In the award of subcontracts, for the types of supplies described in paragraph (b)(2) of this clause, including subcontracts for commercial items, the Contractor shall flow down the requirements of this clause as follows:
(1) The Contractor shall insert the substance of this clause, including this paragraph (i), in subcontracts that exceed the simplified acquisition threshold in part 2 of the Federal Acquisition Regulation.
(2) The Contractor shall insert the substance of paragraphs (a) through (e) of this clause, and this paragraph (i), in subcontracts that are at or below the simplified acquisition threshold in part 2 of the Federal Acquisition Regulation.

As prescribed in 232.7004(b), use the following clause:
WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)
(a) Definitions. As used in this clause—
“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.
“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.
“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall—
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:
(1) Document type. The Contractor shall submit payment requests using the following document type(s):
(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.
(ii) For fixed price line items—
(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

(B) For services that do not require shipment of a deliverable, submit either the Invoice 2in1, which meets the requirements for the invoice and receiving report, or the applicable invoice and receiving report, as specified by the Contracting Officer.
(iii) For customary progress payments based on costs incurred, submit a progress payment request.
(iv) For performance based payments, submit a performance based payment request.
(v) For commercial item financing, submit a commercial item financing request.
(2) ) Fast Pay requests are only permitted when Federal Acquisition Regulation (FAR) 52.213-1 is included in the contract.

(4) Payment request. The Contractor shall ensure a payment request includes documentation appropriate to the type of payment request in accordance with the payment clause, contract financing clause, or Federal Acquisition Regulation 52.216-7, Allowable Cost and Payment, as applicable.
(5) Receiving report. The Contractor shall ensure a receiving report meets the requirements of DFARS Appendix F.

Section H - Special Contract Requirements
Off-Ramp/On-Ramp Procedures The Government may award up to four (4) Mini-MACC IDIQ contracts as a result of the initial competition for this IDIQ. A reserve vendor pool of up to ten (10) contractors will be maintained for the purpose of this On- Ramp procedure. Unsuccessful offerors who meet the government's requirement and are otherwise eligible for contract award will be retained in the On-Ramp contractor pool and may be offered an opportunity, within the ordering period of this contract, to receive an IDIQ award and be authorized to participate in task order competitions. Priority for selection from this pool will be given to those offerors whose proposal represented the greatest value as determined by source selection authority during the initial competition for IDIQ contract award (see Mini-MACC SOW paragraph 4.6.1) and determined to be responsible and qualified for a contract with the Government. No other rights, obligations or liabilities are attached to either the reserved pool member or the Government beyond what is stipulated in this paragraph.
The Government reserves the right to remove from or add to the existing pool of Mini-MACC awardees by utilizing "On-Ramp" and/or "off-ramp" procedures specified below:
1.1. Off-Ramp Procedures: The Off-Ramp process under the Mini-MACC contract encompasses several methods by which the Government may exercise its right to remove a contractor from the pool of Mini-MACC contract awardees. The Off-Ramp methods include, but are not limited to, procedures specified below:
FAR Part 49--Termination of Contracts, for contractors or orders thereunder (Termination for default, Termination for Convenience of the Government, termination with No-Cost Settlement)
1.2. The Off-Ramp clause in no way modifies the right and responsibility of the Government or contractor under the FAR Part above, or the authority provided by the FAR in the Disputes Clause or Changes Clause. In the event of any conflict between the terms of this clause and above mentioned FAR clauses, the terms of the FAR clauses (as applicable) shall take precedence.
1.2.1. The Government will conduct an annual review of contractor participation of all FOPRs and performance of awarded TOs to determine if the contractor is meeting the expectations of the contract. The Government, in its sole discretion, reserves the right to off-ramp a contractor
1.2.2. The Government will provide a 30-calendar day written notice if it intends to off-ramp a Mini-MACC contractor. The Government reserves the right to off-ramp a contractor from the Mini-MACC and the contractor shall complete all previously awarded task orders.
2.1. On-Ramp Procedures: The Government reserves the right to "On-Ramp" additional contractors at any time during the life of this Mini-MACC contract by On-Ramping the selected On-Ramp contractors. On-ramping contractor(s), if necessary, is anticipated to occur within the first 36 months following the initial set of Mini- MACC awardees in order to enhance the competitive environment of task order solicitations under the originally awarded MACC contracts. The Government reserves the right to initiate an On-Ramp beyond 36 months. This may be due to any reason, including, but not limited to, the lack of robust competition on FOPRs, an increase in annual requirements or a shrinking of the competitive pool of original Mini-MACC awardees under this solicitation. The On-Ramp procedures are described below:
2.2 If it is determined to be in the Government's best interest to add contractors to the existing pool of the Mini- MACC awardees, an On-Ramp may be executed at any time during the term of the Mini-MACC. In this event, starting at the highest ranked On-Ramp contractor in the pool, that contractor will be offered the right of first refusal as an On-Ramp contractor. The contractor must still be eligible within the small business program and will be subject to meeting the standard contractor responsibility criteria described by FAR Part 9.104. In addition, the Government will evaluate recent past performance (within three years of the On-Ramping) using the same procedures as the initial evaluation to determine if the Contractor maintained or improved their Past Performance Confidence Rating. If determined responsible with satisfactory confidence past performance, the
Government will send written notice of its intent to On-Ramp that contractor with effective date of potential award at least 30 days prior to the intended award date. If the notified highest ranking On-Ramp contractor does not agree to accept the Government's offer to be On-Ramped for any reason, the offer will be rescinded and the same offer will be made to the next highest rated On-Ramp contractor. Once On-Ramp is completed, the On- Ramped contractor will become an additional Mini-MACC awardee. This new contractor will then be offered a Mini-MACC IDIQ contract with an original guaranteed minimum and will be eligible to compete for future FOPRs issued against the basic Mini-MACC. The Government will promptly send a written notice to existing Mini-MACC contract awardees of any On-Ramped contractor(s). The Government will not consider unsolicited requests for additional contractors.
Section I - Contract Clauses
52.216-32 Task-Order and Delivery-Order Ombudsman.
As prescribed in 16.506(j), insert the following clause:
TASK-ORDER AND DELIVERY-ORDER OMBUDSMAN (SEPT 2019)
(a) In accordance with 41 U.S.C. 4106(g), the Agency has designated the following task-order and delivery-order Ombudsman for this contract. (b) Consulting an ombudsman does not alter or postpone the timeline for any other process (e.g., protests).

When requested by the Contractor, the Ombudsman may keep the identity of the concerned party or entity confidential, unless prohibited by law or agency procedure.

52.249-10 Default (Fixed-Price Construction).
As prescribed in 49.504(c)(1), insert the following clause:
DEFAULT (FIXED-PRICE CONSTRUCTION) (APR 1984)
(a) If the Contractor refuses or fails to prosecute the work or any separable part, with the diligence that will insure its completion within the time specified in this contract including any extension, or fails to complete the work within this time, the Government may, by written notice to the Contractor, terminate the right to proceed with the work (or the separable part of the work) that has been delayed. In this event, the Government may take over the work and complete it by contract or otherwise, and may take possession of and use any materials, appliances, and plant on the work site necessary for completing the work. The Contractor and its sureties shall be liable for any damage to the Government resulting from the Contractor's refusal or failure to complete the work within the specified time, whether or not the Contractor's right to proceed with the work is terminated.
This liability includes any increased costs incurred by the Government in completing the- work.
(b) The Contractor's right to proceed shall not be terminated nor the Contractor charged with damages under this clause, if-
(1) The delay in completing the work arises from unforeseeable causes beyond the control and without the fault or negligence of the Contractor. Examples of such causes include-
(i) Acts of God or of the public enemy,
(ii) Acts of the Government in either its sovereign or contractual capacity,
(iii) Acts of another Contractor in the performance of a contract with the Government,
(iv) Fires,
(v) Floods,
(vi) Epidemics,
(vii) Quarantine restrictions,
(viii) Strikes,
(ix) Freight embargoes,
(x) Unusually severe weather, or
(xi) Delays of subcontractors or suppliers at any tier arising from unforeseeable causes beyond the control and without the fault or negligence of both the Contractor and the subcontractors or suppliers; and
(2) The Contractor, within 10 days from the beginning of any delay (unless extended by the Contracting Officer), notifies the Contracting Officer in writing of the causes of delay. The Contracting Officer shall ascertain the facts and the extent of delay. If, in the judgment of the Contracting Officer, the findings of fact warrant such action, the time for completing the work shall be extended. The findings of the Contracting Officer shall be final and conclusive on the parties, but subject to appeal under the Disputes clause.
(c) If, after termination of the Contractor's right to proceed, it is determined that the Contractor was not in default, or that the delay was excusable, the rights and obligations of the parties will be the same as if the termination had been issued for the convenience of the Government.
(d) The rights and remedies of the Government in this clause are in addition to any other rights and remedies provided by law or under this contract (End of clause)

. (b) Prohibition (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract, or extending or renewing a contract, with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract.
This clause does not prohibit contractors from providing—(c) Exceptions.
A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or(1)
Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such (2) equipment transmits or otherwise handles.
Reporting requirement. (d) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or (1) essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause to the Contracting
Officer, unless elsewhere in this contract are established procedures for reporting the information; in the case of the Department of Defense, the
Contractor shall report to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.
The Contractor shall report the following information pursuant to paragraph (d)(1) of this clause(2)
Within one business day from the date of such identification or notification: the contract number; the order number(s), if applicable; (i) supplier name; supplier unique entity identifier (if known); supplier Commercial and Government Entity (CAGE) code (if known); brand; model number (original equipment manufacturer number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.
Within 10 business days of submitting the information in paragraph (d)(2)(i) of this clause: any further available information about (ii) mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of covered telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.
The Contractor shall insert the substance of this clause, including in all (e) Subcontracts. this paragraph (e) and excluding paragraph (b)(2), subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items.
