52.203-17 CONTRACTOR EMPLOYEE WHISTLEBLOWER RIGHTS AND REQUIREMENT TO INFORM

EMPLOYEES OF WHISTLEBLOWER RIGHTS (SEP 2013)

(a) This contract and employees working on this contract will be subject to the whistleblower rights and remedies in the pilot program on Contractor employee whistleblower protections established at 41 U.S.C. 4712 by section 828 of the National Defense Authorization Act for Fiscal Year 2013 (Pub. L. 112-239) and FAR 3.908.

(b) The Contractor shall inform its employees in writing, in the predominant language of the workforce, of employee whistleblower rights and protections under 41 U.S.C. 4712, as described in section 3.908 of the Federal Acquisition Regulation.

(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts over the simplified acquisition threshold.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

52.212-1 ADDENDUM 1

ADDENDUM TO 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

(b). SUBMISSION OF OFFERS: To assure timely and equitable evaluation of the offers, the offeror must follow the instructions contained herein. The offer must be complete, self-sufficient and respond directly to the requirements of this solicitation. The response shall consist of three (3) separate parts; Part 1- Technical, Part II-Price, Part III-Past Performance. Complete blocks 12, 17a, 30a, 30b, & 30c on the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION to include all attachments.

(I). Complete the necessary fill-ins and certifications in provisions. The provisions in FAR 52.212-3 shall be returned along with the offer.

(II). SF30 – Amendment of Solicitation (if applicable)

(b)(2). Offers are due 31 March 2014 by 2:00pm EST. Offeror must submit their proposal with a completed SF 1449 that complies with the following instructions. The response shall consist of an electronic copy of the signed and completed SF 1449 and any 1449 modifications or revisions, and an electronic copy for each required document (with signature where a signature is applicable). E-mail proposals must be Microsoft (Word and/or Excel) or PDF Format only. The proposal file should not exceed 5MB in size. Files using .zip or any other file compression utility will not be permitted. Limit the entirety of the documents to 15 pages, with the SF1449 and Past Performance questionnaires not being counted against the total page count.

(b)(3). Note: Past Performance Questionnaire will be removed at time of award.

(b)(4). Note: This contract will be evaluated by Best Value Continuum IAW FAR 13.106-1.

(b)(5). Technical – Submit one copy. The technical offer shall address the offeror’s ability to meet the requirement set forth in this solicitation. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective offer are not desired and may be construed as an indication https://www.acquisition.gov/ of the offeror’s lack of understanding or cost consciousness. The information or document shall contain all the pertinent information necessary to permit evaluation of offer. The technical information or documents shall contain no pricing information. The technical document shall address the following:

(I) TECHNICAL:

(i). Technical Capability Statement. Capability statements should include:

1. A capability statement proving the contractor will provide and deliver at least 500 tons of HMA intermediate course, type B per day and 500 tons of HMA surface course, type C per day. Also showing the contractor can provide for the transportation and application of Bituminous Tack Coat and Bituminous Prime Coat. Apply bituminous material for the tack coat in quantities not less than 0.05 gallon or more than 0.15 gallon per square yard.

Anticipated total area is 63,500 square yards. Apply bituminous material for the prime coat in quantities of not less than 0.10 gallon or more than 0.40 gallon per square yard.

Anticipated total area is 36,000 square yards. The processes your company will take to ensure completion of the required tasks. Limit to five (5) pages or less.

2. Your companies Hot Mix Asphalt Mix Design.

3. Asphalt Mix Binder Certification.

4. Your company’s quality control process/plan – to include any in house testing / sampling that you perform. Limit to five (5) pages or less. Contractor shall also provide field and laboratory quality control testing, as required by the Government. In addition to the required preliminary HMA mix aggregate and JMF testing, the Contractor will be required to perform sampling and testing of cores from each 1,000 ton lot. Each core sample shall be tested for JMF deviations in Laboratory Air Voids and Stability.

5. Delivery. A delivery schedule proving the contractor will be able to produce a minimum sub-lot of 500 tons of HMA during one 8 hour workday. Contractor shall take into account haul and wait times, in addition to average placing times when determining the capability to meet the minimum daily production. The contractor must also be able to provide deliveries during nights and weekends when requested. The maximum allowable time interval between delivery trucks shall not exceed 30 minutes. Must be a minimum of 265 degree Fahrenheit at time of acceptance.

(b)(6). PRICE: Submit one copy.

(II) PRICE:

(i). Complete blocks 12, 17a, and 30a, b, and c of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.

(ii). Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The offer(s) must be submitted for a base period of one (1) year plus one (1) option year.

(b)(7). PAST PERFORMANCE: Only references for same or similar type contracts are desired. Submit one copy of the following:

The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition.

(iii). PAST PERFORMANCE QUESTIONNAIRE – Provide three (3) relevant references listed above a copy of the attached (see attachment 4) questionnairre to be completed and submitted to 20th Contracting Squadron.

(a). The Past Performance Questionnaire attached provides information for your customers on how to fill out the questionnaire, when and where to submit, and explains the evaluation codes used in performance evaluation. These questionnaires must be received by the 20th Contracting Squadron point of contact on 4 April 2014 by 2:00pm EST as this allows evaluators to have all performance information at the same time the offers are submitted for review.

(b). It is the offerors responsibility to make their customers aware of these deadlines as Past Performance Questionnaires received after the due date will not be considered for evaluation.

(iv). If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each part to the arrangement must provide a list of past and present relevant contracts.

(a) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the offer a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

(b) The Government may evaluate Offerors’ financial history as part of past performance which may include past payments to employees, suppliers and/or subcontractors.

(c) Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:

1. Requirements of the solicitation, Statement of Work (SOW) and Government standards and regulations pertaining to the SOW.

2. Evaluation Factors for Award.

(C). Period of Acceptance of offers. The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.

(D). Late submissions, modifications, revisions, and withdrawals of offers.

(I). Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The offers will be evaluated on Best Value Continuum IAW FAR 13.106-1, price and other factors. The following factors shall be used to evaluate offers:

(i) Technical capability of the contractor offering the product to meet the Government requirement.

(ii) Price.

(iii) Past performance.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2013)

ALTERNATE I (APR 2011)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via http://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.

(4) FSG 89, Food and Related Consumables;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern—

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
