This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulations (FAR) Subpart 12.6 and supplemented with additional information included in this notice. This announcement constitutes the only solicitation.

Proposals are being requested and a written solicitation will not be issued. This is a 100% set-aside for Small Business. The solicitation number is FA449721R0012-Refuse Collection and

Disposal and is being issued as a Request for Proposal. The Government intends to award a

Firm-Fixed Price Contract. The solicitation document, incorporated provisions, and clauses are those in effect through Federal Acquisition Circular 2021-06 and DFARS Publication Notice

20210709. The North American Industry Classification System Code (NAICS) is 562111 and the size standard is $41.5M.

Contractor shall provide the following:

The Contractor shall provide non-personal services, to include all personnel, equipment, tools, supervision, and other items and services necessary to ensure that non-hazardous solid waste refuse is collected, transported, and disposed of from Dover Air Force Base. The contractor shall follow all applicable laws, regulations, standards, instructions, commercial practices and as described in the Performance Work Statement (PWS), dated 16 February 2021, with a focus on safety, sanitation, and customer service. The contractor shall collect and dispose of base refuse so that waste containers and enclosures are emptied before their capacity is exceeded. Waste containers shall be maintained in a sanitary manner; free of dirt, debris, odor, and pests per local commercial practices.

The period of performance (POP) is as follows:

Prices are for a base year, four 1-year options, and one six (6) month option to extend services when in the Government’s best interest.

Offerors are encouraged to offer their most advantageous/best proposal. Offerors shall submit proposals no later than 1:00 PM EST on 19 August 2021 to the contracting office by e-mail in order to be considered.

FAR 52.237-1 Site Visit

Offerors are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.

GENERAL PROPOSAL INFORMATION

Offerors are hereby notified that initial proposals which are found incomplete may be rejected without affording the offeror an opportunity to satisfy the requirement of the Government.

Notwithstanding the information included in support of the offeror’s technical capability, the contractor must meet all requirements of this request for proposal.

A. The contractor agrees to hold the prices in its proposal firm for until 10 October 2021.

B. The contractor shall include the provisions at 52.212-3, Representation and Certifications-

Commercial Items, and shall be registered in System for Award Management (SAM):

Addendum to 52.212-1: Proposal Preparation Instructions

A. To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation. The proposal shall consist of three separate parts; Part I – Price Proposal, Part II – Past Performance and Part III – Technical.

PART I – PRICE PROPOSAL

Insert monthly price and extended prices in the Pricing Schedule. The extended amount must equal the monthly price multiplied by the quantity. The proposal must be submitted for a

Base Year plus Four (4) Option Years and a 6 month extension. Offerors are to use

Attachment 3 (Bid Schedule) for submitting prices.

PART II - PAST PERFORMANCE:

The offeror shall provide a list of no less than five (5) of the most recent and relevant

(within the last 5 years) contracts performed for Government agencies and commercial customers demonstrating that they have performed relevant work in the past. Past

Performance information will consist of the following:

1. Contractor’s Name

2. Contractor’s point of Contact (email & phone number)

3. Project Title

4. Detailed Description of Work (Performed by the offeror)

5. Contract Number

6. Contract Dollar Value

7. Period of Performance

8. Name of Contracting Officer or POC including information (email & phone number)

Offeror shall ensure their customer on the list fills out the Questionnaire (Attachment

4) and submits it directly to the POC for this Solicitation by the response date.

Questionnaires received from the offeror shall not be considered/reviewed. Offerors are responsible for ensuring past performance questionnaires are submitted to the

Government.

PART III – TECHNICAL:

Offeror shall provide their permit to dispose of waste in the state of Delaware. If the offeror does not have their permit at the time they submit their proposal, they will be removed from the competitive range.

The provision at 52.212-2, Evaluation – Commercial Items. (Addendum)

The Government will award a Firm Fixed Price contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the

Government.

This is a competitive source selection in which past performance is significantly more important than price.

(a) The Government expects to award a firm-fixed price contract with one (1) base year, four (4) 1-year options and a 6 month extension as a result of this solicitation. The

Government reserves the right to award without discussions or make no award should no vendor prove to be an acceptable offeror based on the criteria set forth in the solicitation.

The Government will make an award to the responsible contractor whose offer conforms to the solicitation and is determined to be the most advantageous to the Government considering price and non-price factors.

PRICE:

The Government will evaluate offers based on prices proposed for all CLINs and any other price related factors required by the solicitation. The offeror’s proposal will be evaluated for

Reasonableness and Total Evaluated Price.

1. Reasonableness: The existence of adequate price competition is expected to support a determination of reasonableness. If adequate price competition is not obtained or if price reasonableness cannot be determined other techniques will be used.

2. Total Evaluated Price (TEP): The Government will utilize the following methodology to determine the TEP of each proposal. The TEP will be calculated for evaluation purposes only. The TEP will be calculated as follows:

i. CLINs will be calculated by multiplying the proposed unit price by the corresponding quantity.

ii. The sum of all CLINs prices will represent the total evaluated price.

iii. Past Performance evaluations will begin with the lowest TEP offer and proceed until a “substantial” evaluation is received.

PAST PERFORMANCE:

Recent past performance is defined as past performance occurring within the last 5 years preceding the date of solicitation issuance. Relevant past performance is defined as past performance providing candidates for services similar in scope to this requirement and complexity. The Government will consider relevancy, regency, extent of the past performance and the size and complexity of the past performance relative to this solicitation’s requirement submitted by offerors; as well as any information gathered by the

Contracting Officer. Offerors that have no relevant past performance history will be assigned an unknown past performance evaluation rating; no recent/relevant performance will be rated as Neutral Confidence.

The government will use the following relevancy ratings when assessing recent and relevant contracts:

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant

Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

The Government will evaluate Part II, Past Performance on a level of confidence basis shown below.

The following ratings will be used in rating past performance:

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not

P a g e 7 | 47 be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

The contracting officer shall evaluate recent (within the last 5 years) and relevant past performance information based upon (1) past efforts provided by the offeror and (2) data independently obtained from other Government and commercial sources.

Relevant performance includes performance of efforts involving Refuse Collection and

Disposal Services with a similar scope and magnitude of effort and complexities this solicitation requires. The purpose of the past performance evaluation is to allow the government to assess the offeror’s probability of meeting the solicitation requirements based on the offeror’s demonstrated past performance. The assessment process will result in an overall performance confidence assessment of Substantial Confidence, Satisfactory

Confidence, Neutral Confidence, Limited Confidence, or No Confidence. Past performance regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement will receive a high rating for past performance information for the principal offeror. Offerors with no recent/relevant performance history or if the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned shall receive the rating

"Neutral Confidence," meaning the rating is treated neither favorably nor unfavorably

(neutral).

In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this Request for Proposal (RFP.)

If the lowest priced offer is judged to have a “Substantial Confidence” performance confidence assessment, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.

However, if the lowest priced offer is not judged to have a “Substantial Confidence” the evaluation continues until an acceptable offer is judged to have “Substantial Confidence” (or

P a g e 8 | 47 until all offers have been evaluated). At this point the Government will perform an integrated assessment to determine best value.

Offerors shall submit sufficient information instructed above. Offerors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports an unacceptable rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.

Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision. At this point the Government will perform an integrated assessment to determine best value.

The government intends to award a contract without discussions with respective offerors, however, reserves the right to conduct discussions if deemed in its best interest.

TECHNICAL:

The contractor shall provide their permit to dispose of waste in the state of Delaware. If the contractor does not have their permit at the time they submit their proposal, they will be removed from the consideration for award.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

FAR 52.212-3 Offeror Representations and Certifications-Commercial Items.

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award

Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v)) of this provision.

(a) Definitions. As used in this provision—

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video

Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR Part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following:

ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Inverted domestic corporation, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. § 395(b), applied in accordance with the rules and definitions of 6 U.S.C. § 395(c).

Manufactured end product means any end product in product and service codes (PSCs)

1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Reasonable inquiry has the meaning provided in the clause 52.204-25, Prohibition on

Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and

Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets

Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended. "Sensitive technology"—

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the

President does not have the authority to regulate or prohibit pursuant to section 203(b)(3)of the

International Emergency Economic Powers Act (50 U.S.C. § 1702(b)(3)).

Service-disabled veteran-owned small business concern—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. § 101(2), with a disability that is service connected, as defined in 38 U.S.C. § 101(16).

Small business concern—

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is

P a g e 12 | 47 given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR

Part 121.103.

Small disadvantaged business concern, consistent with13 CFR Part 124.1002, means a small business concern under the size standard applicable to the acquisition, that—

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR Part

124.105) by—

(i) One or more socially disadvantaged (as defined at13 CFR Part 124.103) and economically disadvantaged (as defined at 13 CFR Part 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding

$750,000 after taking into account the applicable exclusions set forth at 13 CFR Part

124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR Part 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

Subsidiary means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38

U.S.C. § 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR Part 127), means a small business concern that is at least 51 percent

P a g e 13 | 47 directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

Women-owned small business concern means a small business concern—

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and

Certifications-Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ______________.

In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples. (A) The taxpayer has received a statutory notice of deficiency, under

I.R.C. § 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §

6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. § 362 (the Bankruptcy

Code).

(iv) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract is the same as that used for these employees and equivalent employees servicing commercial customers.

(3) If paragraph (k)(1) or (k)(2) of this clause applies–

(i) If the offeror does not certify to the conditions in paragraph (k)(1) or (k)(2) and the Contracting Officer did not attach a Service Contract Labor Standards wage determination to the solicitation, the offeror shall notify the Contracting Officer as soon as possible; and
