52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (FEB 2012)
(a) Definitions. As used in this provision--
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian
Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than
$10,000,000.
(c) If the offeror checked ―has‖ in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:
(i) In a criminal proceeding, a conviction.
(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.
(iii) In an administrative proceeding, a finding of fault and liability that results in--
(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the Central Contractor Registration database via https://www.acquisition.gov (see 52.204-7).

ADDENDUM TO FAR PROVISION 52.212-1, INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS
(FEB 2012)
(A) GENERAL
1. The following instructions are provided to ensure the submission of information necessary to properly evaluate each offeror’s proposal. Submit complete proposals as detailed in this section and FAR 52.212-2, Evaluation—
Commercial Items. Include only information relevant to this source selection. Failure to properly provide all information required by this solicitation may result in an invalid proposal.
2. NOTICE OF OFFERORS: Non-Government personnel will be used as advisors to the evaluation team.
Contract personnel from Career Management Associates of Iowa, LLC., will provide advice to the selection team in the areas listed in item C-1 and C-2 below. If an offeror objects to release of their proposal information to any non-government advisor, please advise the Contracting Officer, who will in turn, make a determination whether the non-government advisor(s) will be permitted to participate in the source selection.
(B) FORMAT
To assure the timely and equitable evaluation of proposals, the offeror must follow the instructions contained herein.
The proposal must be complete, self-sufficient, and respond directly to the requirements of the solicitation. The response shall consist of two copies of one (1) Volume that is tabbed and indexed to contain two (2) separate parts:
Part I – Price Schedule, Clauses, and Provisions
Part II - Technical Proposal.
FAR 52.212-1, paragraph (b)(6), is changed to read:
1. Price and any discount terms;
Complete the ―Signature of Offeror/Contractor part of the Standard Form 1449 in Blocks 30a, 30b, and 30c. An authorized official of the firm must sign the Standard Form 1449. Provide complete pricing for the firm-fixed priced
CLINS X001, X002, X003, X004, X005, X006, X008, X009, X010, and X011 and in the Work Order Price List, Attachment 7 (Unit Prices) for CLINS X007, X012, X013, X014 and X015. There is a CLIN 0016, in the base period, that addresses potential limitation of funding. DO NOT price out this CLIN.

2. Contractor’s proposal shall consist of pricing of CLINs (unit price and extended price) starting on page 3 of the
SF 1449 All calculations shall be validated.. Insert proposed prices for each line item (CLIN), including all option periods. Add all line items for each period and input a total amount for the base year and each option period in block
24 of the SF 1449. Offeror’s calculations shall not exceed two (2) decimal points.
Note: There is one CLIN, 5001, covering the extension of services government option period. This section puts you on notice that the Government has included in the contract a clause to extend services (Clause 52.217-8) at the same price as the last performance period plus any applicable wage determination increase. DO NOT SUBMIT
PRICING FOR CLIN 5001. The Government will evaluate price reasonableness on this CLIN for award by placing one-half of the total cumulative prices for CLINs 4001-4007, 4008-4011 in the AMOUNT section of CLIN
5001. In accordance with FAR 52.217-8, if utilized, the CLINs will be exercised at the same terms and conditions that the contract is in at the time of exercise. Although the Government will evaluate offers by utilizing the last option period prices, it reserves the right to exercise this option IAW FAR 52.217-8.
4. FAR 52.212-1, paragraph (b)(8), is changed to read:
A completed copy of the representations and certifications at FAR 52.212-3 and DFARS 252.212-7000. Offerors are to complete the necessary fill-ins and certifications in the provisions. Offeror is to review provision FAR 52.212-
3, Offeror Representations and Certifications – Commercial Items. Only paragraph (b) of that provision must be returned if the offeror has completed the annual representations (reps) and certifications (certs) electronically at https://www.acquisition.gov. If the offeror has not completed the annual online reps and certs, then the offeror shall complete paragraphs (c) through (m) of this provision. The offeror shall provide either the paragraph (b) information or the (c) through (m) information along with the proposal.
5. Offeror/contractor is to complete certification of DFARS 252.209-7995 in regard to representation of Federal tax liability and felony criminal violation.
6. Teaming Arrangements: Teaming Arrangements are characterized by two or more business entities that are working together under the representation of one of the existing business entities for the duration of the contract. A teaming arrangement is not a formal merger of two or more business entities. The government recognizes the validity and integrity of teaming arrangements as detailed in FAR Subpart 9.6. All offerors are encouraged to review FAR
Subpart 9.6 to acquaint themselves with its details. Since the government can only determine the responsibility of the prime contractor, per FAR 9.604(b), in accordance with FAR 9.1, Responsible Prospective Contractors, offerors must identify in their offer any teaming arrangement to be considered and completely identify the relationships/responsibilities of the teaming members.
7. Joint Ventures: Joint Ventures are characterized as two or more business entities that have been merged to create one business entity with equal responsibility during the course of the contract. If this is a first time Joint Venture, each party to the arrangement shall provide a list of project summaries as identified in this section.
8. FAR 52.212-1, paragraph (c), is changed to read:
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of proposals.
(C). SPECIFIC INSTRUCTIONS
1. PRICE PROPOSAL – IAW SF 1449 and Attachment 7, Work Order Price List
Insert proposed pricing for the firm-fixed priced CLINS X001, X002, X003, X004, X005, X006, X008, X009, X010, and X011 and in the Work Order Price List, Attachment 7 (Unit Prices) for CLINS X007, X012, X013, X014 and X015. There is a CLIN 0016, in the base period, that addresses potential limitation of funding. DO NOT price out this CLIN. Add all line items for each period for CLINS X001, X002, X003, X004, X005, X006, X008, X009, X010 and X011 and input a total amount for the base year and each option period in block 24 of the SF 1449. DO
NOT include pricing from Attachment 7, Work Order Price List, as part of the total in block 24 of the SF 1449.
Offeror’s calculations shall not exceed two (2) decimal points.
(a) Respond to any Amendments issued.
(b) Complete blocks 12, 17a, 30a – 30c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION with attachments. The SOLICITATION constitutes the model contract.
(c) The offeror shall submit proposed pricing for all Contract Line Items Numbers identified in the
Request for Proposal, unless otherwise noted. The offeror shall submit pricing for the base period and all option periods.
(d) For the firm-fixed price CLINS, insert proposed unit and extended prices in the pricing schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. For the
CLINS in Attachment 7, insert Unit Prices only.
(e) The pricing proposal must be submitted for all periods.
(f) Provide a letter of authorization for the Contracting Officer to verify the offeror’s financial responsibility. Include financial institution’s name, address, primary point of contact, and phone numbers for financial institutions.
(g) Provide a statement for the acceptance of offers stating the offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.

If the solicitation is amended, the offeror is responsible to acknowledge receipt of the amendment prior to the hour and date specified in the amendment. 52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

BASIS FOR CONTRACT AWARD: The Government will award a Firm-Fixed-Price contract resulting from this solicitation to the lowest priced technically acceptable, responsible offeror whose offer conforms to the solicitation.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO 52.212-2
ADDENDUM TO FAR PROVISION 52.212-2, EVALUATION – COMMERCIAL ITEMS (JAN 1999)
By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions to
Offerors, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices, technical information and performance records.
Award will be made to the lowest priced technically acceptable (LPTA) offeror with an acceptable technical assessment. The evaluation process will be conducted as follows:
The Government will rank proposals from lowest to highest based on Total Evaluated Price(TEP). Once the proposals are ranked by TEP the technical evaluations will begin starting with the lowest priced proposal. Technical evaluations will continue until the Contracting Officer determines 1) that a sufficient number of proposals have been determined technically acceptable to establish price fair and reasonable based on adequate competition and 2) a significant number of proposals have been determined technically acceptable to reduce the risk to the Government if the Lowest Priced Technically Acceptable Offeror fails to perform IAW the contract specifications. Once the
Contracting Officer determines the above criteria have been met, all further technical evaluations will cease.
(a)(1) Price will be evaluated using techniques established in FAR 13.106-3 to ensure the Government receives a fair, reasonable, affordable and balanced price. The Government expects the contractor to develop technical solutions,techniques, policies and processes that will result in cost reducing efficiencies throughout the life of this contract. The contractors price proposal shall reflect those cost saving initiatives in each option period.
For the CO to determine price affordability, the Contractor's price proposal shall show a reduction in price for each subsequent year.
For evaluation purposes, the Government will establish each offeror’s total proposed price for the base period by adding the proposed price for all firm-fixed priced CLINs 0001, 0002, 0003, 0004, 0005, 0006, 0008, 0009, 0010, and 0011. There is a CLIN 0016, in the base period, that addresses potential limitation of funding. DO NOT price out this CLIN. The proposed price for each option period CLINs (1001, 1002, 1003, 1004,1005, 1006, 1008, 1009, 1010, and 1011; and so forth for each option added together to establish the total evaluated price for these CLINS.
Then the total of the base period and option periods will be added together to calculate the total evaluated price.
This total evaluated price will be used for ordering of offerors by price for evaluation purposes only.
The unit pricing on Attachment 7, Work Order Price List, for the 5 CLINS X007, X012, X013, X014 and X015 will be evaluated for price reasonableness. If there appears to be unbalanced pricing on those CLINS, the Government gives notice that discussions may be held. There are five (5) CLINS in each period. The contractor is advised these
CLINS are not guaranteed work and the Contracting Officer must approve expenditures for work ordered under these
CLINS. Ultimately, the Government reserves the right not to contract for these services.
(a)(2) In addition to the process described in paragraph (a)(1) above, the Government will also evaluate prices by using various price analysis techniques and procedures to ensure the proposed prices are materially balanced and represent a fair, reasonable and affordable price. It is expected that the competitive nature of this acquisition will drive price reasonableness and fairness; however, the Government reserves the right, if it deems appropriate, to make these determinations by means of one or more price techniques established in FAR 13.106-3. The Government may determine an offer unacceptable if the proposed prices are materially unbalanced,unaffordable or not fair and reasonable. Materially unbalanced is defined as significantly understated or overstated in relation to the actual cost of the item or when the price is determined not to be fair and reasonable.
(a)(3) Technical acceptability will be rated on an acceptable/unacceptable basis in accordance with the following table (Table 1):

- Subfactor 1: The Management Plan will be considered acceptable if it clearly demonstrates:
(a) An organization structure is in place to ensure accomplishment of all the varied work disciplines described in the PWS.
(b) Describes your company’s personnel recruitment, retention initiative, and replacement plan that ensure full coverage for emergency situations and unsatisfactory performance. Provide ―labor category‖ descriptions.
(c) Provides your Customer Service Plan to show how your company will interface with the Government and how concerns will be resolved and demonstrates achieved efficiencies throughout the life of the contract.
- Subfactor 2: Experience of Management Team will be considered acceptable if documentation is provided that verifies the contract management team has experience in maintaining grounds maintenance located in areas similar to the climatic condition prevalent at Buckley AFB, .e., semi-arid and high altitude (5,000 – 6,000 feet above sea level).
- Subfactor 3: Phase-In Plan will be considered acceptable if it includes:
(a) Milestones to show how the offeror intends to successfully be at 100% staffing level within 30 days after award.
(b) Shows the contractor’s ability to mow all improved and semi-improved areas within 14 days after award.
(c ) An acceptable sample schedule plan, Attachment 9, using the PWS information for maintenance of improved, semi-improved and un-improved grounds schedule to include edging, trimming, sidewalks and mowing for the areas identified in the provided format sample and map at Attachment 2 to the solicitation.
This schedule is in accordance with the PWS Appendix A workload estimate.
