2.1.2 Contract Participation
Contractor shall extend the terms and conditions of the Contract to those OEPs, if any, that the Executive Commissioner may allow to participate in the Contract.
2.2 PRICING
One of the main purposes and goals of the Contract is to get the best available pricing on pharmaceuticals.
Contractor’s pricing package minus any agreed upon discounts shall not include any fees, administrative or otherwise.
Product pricing will be in accordance with the GPO contract at the time of purchase, 340B and PHS-pricing for eligible Programs or, if applicable, Contractor’s negotiated price with drug manufacturers. See Table 1 – List of System Agencies’ Participating Programs and Facilities for accounts eligible for 340B and PHS pricing. Contractor shall ensure confidentiality of pricing agreements is maintained.
Contractor shall not substitute more expensive, Non-GPO or Non-PHS Eligible Pharmaceuticals or other Products when contract or PHS-Pricing eligible products are available.
Participating Entities will not pay any fees, percentages, or costs that Contractor did not identify and expressly agree to in its Contract.
PCS 550 HHS RFP RFP No. HHS0015752 Page 20 of 71
2.2.1 Pricing Accuracy
Contractor shall maintain accurate GPO-contract and PHS-eligible pricing. The Contractor’s ordering system shall reflect the most up to date pricing. Contractor shall issue credit memos for overcharges no later than thirty (30) Calendar Days of their discovery. Contractor shall issue invoices for undercharges no later than thirty (30) Calendar Days of their discovery; such invoices shall include all applicable discounts to which the Participating Entity is entitled under the Contract.
2.3 ONLINE CATALOG
2.3.1 Online Access
Contractor shall provide and maintain each Participating Entity’s online access to Contractor’s ordering system including Contractor’s comprehensive list of all available Pharmaceutical Products including current GPO-contract and PHS-eligible pricing to each Participating Entity.
2.3.2 System Security and Disaster Recovery
Contractor shall protect technological architecture, including the development and implementation measures that will provide security and protection for the system. This includes backup, recovery, and virus protection. Services and operations shall be reinstated in the event of a Disaster.
2.3.3 Disaster Recovery Plan
Contractor shall provide System Agency with a Disaster Recovery Plan within 10 Business Days of Contract’s Effective Date. The Disaster Recovery Plan shall include specifications on any hardware and software components utilized by the proposed security and disaster recovery solutions.
2.3.4 Disaster Recovery Test
At least once per State Fiscal Year, for no additional compensation, Contractor shall conduct a Disaster recovery test to assess the effectiveness of the Contractor’s Disaster Recovery Plan.
Contractor shall develop the Disaster recovery testing procedures in coordination with System Agency. Contractor shall provide System Agency at least thirty (30) Calendar Days advance written notification of each Disaster recovery test. System Agency may monitor Contractor’s Disaster recovery testing activities. During the Disaster recovery exercises, Contractor shall simulate daily operations that occur in a production setting and, at a minimum, test the recovered environments, accessibility, data integrity, and functionality. Contractor will provide System Agency with a written summary report detailing the results of each Disaster recovery test. A lesson learned meeting will be conducted by Contractor no later than thirty (30) Calendar Days following the completion of the Disaster recovery test. Upon System Agency’s written request, Contractor shall make Contract personnel available to discuss with System Agency, the results of the Disaster recovery test. PCS 550 HHS RFP RFP No. HHS0015752 Page 21 of 71 the thirtieth (30th) Calendar Day following the unsuccessful Disaster recovery test and (2) implement such remediation plan on or before the ninetieth (90th) Calendar Day following the unsuccessful Disaster recovery test unless an alternate timeframe is mutually agreed by System Agency and Contractor. Upon System Agency written request, Contractor shall conduct, for no additional compensation, an additional Disaster recovery test during the State Fiscal Year to validate the successful implementation of Contractor’s remediation activities.
2.3.5 Performance Monitoring and Management
Contractor shall monitor system performance. This includes centrally managing system resources such as servers, backup, archiving and recovery equipment, databases, and applications.
Additionally, Contractor shall audit, trace, and scan the system to prevent system outages and maximize Services and their quality.
2.3.6 DCS Exemption
The online ordering system, including web-based Services, shall host the application or solution in compliance with the DCS program, using either public or private cloud services and DCS managed services provided unless otherwise approved by DIR through a Data Center Services Exemption.
Contractor shall provide Services that comply with DCS hosting or obtain a DCS (DIR) exception in accordance with the Exhibit O, Data Center Services or Exemption.
Section 2054.391 of the Texas Government Code requires State agencies included in the Data Center Services (DCS) program to use such services. If a DCS Exemption is granted, but then expires or is otherwise revoked during Contract Term, Contractor is required to comply with the Section of the Texas Government Code cited above.
2.3.7 Hosting
If the online catalog is a SaaS Solution, Respondent shall provide information that clearly demonstrates that the Solution meets the National Institute of Standards and Technology (NIST) standard definition of SaaS, see Section 1.2 (Definitions). Per NIST SP 800-145, the SaaS solution shall have the following five essential characteristics:
a. On-demand self-service. A consumer can unilaterally provision computing capabilities, such as server time and network storage, as needed automatically without requiring human interaction with each service provider.
b. Broad network access. Capabilities are available over the network and accessed through standard mechanisms that promote use by heterogeneous thin or thick client platforms (e.g., mobile phones, tablets, laptops, and workstations).
c. Resource pooling. The provider’s computing resources are pooled to serve multiple consumers using a multi-tenant model, with different physical and virtual resources https://statutes.capitol.texas.gov/Docs/GV/htm/GV.2054.htm#2054.391
PCS 550 HHS RFP RFP No. HHS0015752 Page 22 of 71 dynamically assigned and reassigned according to consumer demand. There is a sense of location independence in that the customer generally has no control or knowledge over the exact location of the provided resources but may be able to specify location at a higher level of abstraction (e.g., country, state, or datacenter). Examples of resources include storage, processing, memory, and network bandwidth.
d. Rapid elasticity. Capabilities can be elastically provisioned and released, in some cases automatically, to scale rapidly outward and inward commensurate with demand. To the consumer, the capabilities available for provisioning often appear to be unlimited and can be appropriated in any quantity at any time.
e. Measured service. Cloud systems automatically control and optimize resource use by leveraging a metering capability at some level of abstraction appropriate to the type of service (e.g., storage, processing, bandwidth, and active user accounts). Resource usage can be monitored, controlled, and reported, providing transparency for both the provider and consumer of the utilized service.
2.3.8 Texas Risk and Authorization Management Program
The Contractor shall comply with the program requirements of TX-RAMP, if online catalog is a SaaS. Commencing on the Effective Date, the Contractor shall have achieved TX-RAMP Level 2 Certification, and the Contractor shall maintain such certification for the duration of the Contract Term. At the sole discretion of System Agency, the Contractor’s attainment of TX-RAMP Provisional Certification may satisfy the TX-RAMP Certification Level 2 requirement for the length of active TX-RAMP Provisional Certification. If System Agency permits TX-RAMP Provisional Certification, the Contractor is solely responsible for obtaining and maintaining TX-RAMP Level 2 Certification prior to the expiration of TX-RAMP Provisional Certification. Contractor acknowledges that System Agency shall not provide Agency-sponsored Interim Provisional Certification or otherwise assist Contractor in Contractor’s compliance with TX-RAMP requirements.
In addition, Contractor shall:
a. Upon System Agency’s request, provide Contractor’s submission(s) to DIR that supports DIR’s approval of certification status and respond to System Agency and DIR TX-RAMP staff inquiries promptly;
b. Provide written notification to System Agency of any lapse in TX-RAMP certification including, but not limited to, DIR revocation of TX-RAMP certification within two (2) Business Days of Contractor’s discovery of non-compliance with TX-RAMP requirements;
c. Complete all TX-RAMP monitoring reports required by DIR and submit copies of reports to System Agency on or before the second (2nd) Business Day following the DIR submission deadline;
PCS 550 HHS RFP RFP No. HHS0015752 Page 23 of 71
d. Routinely assess and monitor for compliance with required security controls and demonstrate that the security posture of the cloud computing Services offered is acceptable to maintain TX-RAMP certification;
e. If the Contractor has TX-RAMP Provisional Certification, provide a progress update to System Agency on Contractor’s application for TX-RAMP Level 2 Certification no later than the third (3rd) Business Day of each calendar month, unless System Agency requires more frequent reporting, until the expiration of the TX-RAMP Provisional Certification; and
f. If the Contractor has TX-RAMP Level 2 Certification, commencing six months prior to the expiration date of the TX-RAMP Level 2 Certification, provide a progress update to System Agency on Contractor’s application for renewal or extension of its TX-RAMP Level 2 Certification no later than the third (3rd) Business Day of each calendar month, unless System Agency requires more frequent reporting.
The Contractor’s failure to comply with any TX-RAMP requirements including, but not limited to, continuous maintenance of the minimum certification required by the Contract may constitute a material breach of Contract, and System Agency reserves the right to hold Contractor accountable by taking any remedial or corrective actions available under the Contract, at law, or in equity. If Contractor is unable to achieve TX-RAMP Level 2 Certification or re-certification, as applicable, for any reason before the 120th Calendar Day prior to the expiration date of the TX-RAMP Provisional Certification or TX-RAMP Level 2 Certification, as applicable, the Contractor shall provide, at no cost to System Agency, turnover Services in accordance with Section 2.8.1.3 (Turnover Plan).
System Agency reserves the right to confirm TX-RAMP certification status on the DIR website and request additional information from a Respondent to supplement the TX-RAMP documentation submitted in its Solicitation Response.
TX-RAMP Provisional Certification does not indicate compliance with TX-RAMP security baseline standards of a cloud computing service product.
2.3.9 Real-Time Account Status
