B.2 Brief Description of Supplies or Services
The Department of Housing and Urban Development (HUD)/Office of Asset Management and Portfolio Oversight (OAMPO) is seeking contractor support to provide mortgage loan servicing (MLS) for Conventional, Mark-to-Market (M2M) and DEMO notes, property disposition portfolio services, as well as accounting services for all HUD-held notes.
The work performed under this performance work statement (PWS) encompasses a broad but integrated set of functions for HUD-held notes and properties. MLS is a high priority and critical to the successful performance of mortgage loan servicing functions. MLS for mortgage and property servicing entails not only financial aspects of the HUD-held first, second and subordinate notes, mortgage portfolios and properties, but also requires response to a wide variety of incoming inquiries from HUD personnel, borrowers, auditors, billing agents, vendors, attorneys and local taxing authorities.
B.3 Contract Type/Period of Performance
The Government will award one Fixed Price contract utilizing FAR Part 12 Acquisition of Commercial Items and FAR Part 15 Contracting by Negotiation.
The Period of Performance shall be for a twelve month base period and four one year option periods

B.4 Place of Performance
The work shall be performed at the contractor’s facility. The Contractor shall maintain and operate a facility of sufficient size to accommodate the personnel and equipment necessary for performance of the services specified in this requirement. The facility must be secured 24-hours to provide physical security of documents. The facility shall also maintain a locked file cabinet to store negotiable instruments.
The Contractor shall implement the Physical and Environmental Protection security controls for a Moderate Control Baseline found in National Institute of Standards and Technology Special Publication SP-800-53, Security and Privacy Controls for Federal Information Systems and Organizations. B.5 Prices
a. The total fixed price of this contract is $TBD at award.

B.7 Pricing Schedules
The pricing sheet for the Fixed Price line items are incorporated in Attachment B - Pricing Sheet.
The Fixed Price line items under this contract, the applicable unit price for each fixed price line item shall be the unit price for the time period in which the services are estimated to be performed. The price(s) specified in the Fixed Price tasks under this contract are fixed and not subject to adjustment.
The Government may purchase up to the estimated quantities for the Fixed Price line items.
Contract Line Item Number (CLIN) 0007 is a cost-reimbursable CLIN to pay fees levied by state, county, and/or local municipalities for the filing of Uniform Commercial Code (UCC) for each applicable loan. CLIN 0007 is reimbursement for the UCC fess only. The tracking and filing services for the UCC fees shall be priced out in the per loan price for Tasks 2-4.
The travel line item for CLIN 0009 is a NOT TO EXCEED value of $25,000.00 for travel to be reimburse on actual cost in accordance with the Federal Travel Regulation. All offers will bid that amount for CLIN 0009.
The price of services for Tasks 7 and 8 shall be included in the per loan price for Tasks 2-4.
B.8 Travel Costs
Prior to travel, the Contractor shall coordinate with and receive Government authorization from the GTR for all travel. Reimbursement of travel costs will be in accordance with HUDAR 2452.251-70 and the Federal Travel Regulation in accordance with FAR 31.205-46. HUD will not reimburse Contractor’s local travel. Local travel is defined as travel within fifty (50) miles of Washington, DC.
All other travel will be reimbursed on a cost reimbursable basis; no profit or fee will be paid.
To the maximum extent practical, the Contractor shall make use of travel discounts which are available to Federal employees while traveling in the conduct of official Government business. Such discounts may include, but are not limited to, lodging and rental car rates.
The Contractor shall be responsible for obtaining and/or providing to his/her employees written evidence of their status with regard to their performance of Government contract work needed to obtain such discounts.
B.9 Instructions to Offerors
B.9.1 General Instructions
Introduction
The following instructions will establish the acceptable minimum requirements for the format and contents of proposals. Special attention is directed to the requirements for technical and business proposals to be submitted in accordance with these instructions.
a. Single Award. The U.S. Government anticipates awarding approximately one (1) contract as a result of this Solicitation.
b. If an Offeror does not follow the instructions set forth herein, the Offeror's proposal may be eliminated from further consideration or the proposal may be down-graded and not receive full or partial credit under the applicable evaluation criteria.
c. If an Offeror does not understand the instructions in this Solicitation, then it should submit questions to the Contracting Officer via email for clarification before the questions submission deadlines.
d. Accurate and Complete Information. Offerors must set forth full, accurate and complete information as required by this RFP. The penalty for making false statements to the Government is prescribed in 18 U.S.C.1001.
e. Offer Acceptability. The Government may determine an offer to be unacceptable if the offer does not comply with all of the terms and conditions of the RFP and prospective contract:
(1) Signed Standard Form 1449;
(2) Submission of proposed prices fixed price line item as required by Section B and Attachment B Pricing Sheet of this RFP;
(3) Completion of the "Representations, Certifications, and Other Statements of Offerors" in Section C;
(4) Offerors should not assume that the Contracting Officer will independently obtain information necessary to evaluate the Offeror’s proposal, and should therefore supply all information required by this RFP for the evaluation of its proposal. The Offeror’s failure to provide the information required could result in rejection of the proposal.
(5) Proposals shall be submitted in two parts, Technical Part I and Cost/Business Part II. Each of the parts must be complete in itself so that evaluation of each part may be conducted independently, and so that the technical part may be evaluated strictly on its own merit.
B.9.2 NAICS Code and Size Standard
Note: The following information is to be used by the Offeror in preparing its Representations and Certifications (See Section C of this RFP), specifically in completing the provision entitled, Small Business Program Representations, FAR Clause 52.219-1.
1. The North American Industry Classification System (NAICS) code for this acquisition is 522390 - Other Activities Related to Credit Intermediation.
2. The small business size standard is $20.5M.
3. The Offeror’s must qualified and provide proof under the NAICS code and size standard as a Small Business to be consider for award.

B.9.4 Communications and Questions

B.9.5 Solicitation Copies and Enclosures
An electronic copy of the solicitation and related documents will be available via the Internet at:
www.fbo.gov. It shall be the responsibility of the firm to reproduce additional copies for its use.
B.9.6 Amendments to Proposal
If required, changes to the proposal by the Offeror shall be accomplished by amended page(s).
Changes from the original page shall be indicated by a vertical line, adjacent to the change, on the outside page margin. The Offeror shall include the date of the amendment on the lower right hand edge of the page.
B.9.7 Exclusion of Late Proposal
Offerors are advised of the late proposal exclusion provision. Responses to the RFP must be received NO LATER THAN 2:00 PM EST on October 05, 2015 to be considered. Any Proposals received after the date and time will NOT be considered.
B.9.8 Preparation Costs
This RFP does not commit the Government to pay for the preparation and submission of a proposal.
B.9.9 Subcontractors
If subcontractors are proposed, please include a commitment letter from the subcontractor detailing:
a) Willingness to perform as a subcontractor for specific duties (list duties).
b) What priority the work will be given and how it will relate to other work.
c) The amount of time and facilities available to this project.
d) The prime contractor must do at least 50% of the work.
f) A complete price proposal in the same format as the Offeror's price proposal.
B.9.10 Selection of Offerors
a. The technical evaluation panel will evaluate each proposal in strict conformity with the evaluation criteria of the RFP (Section B.10), utilizing adjectival ratings and written critiques.
b. The business proposal will be subject to a price analysis. The Contracting Officer may request clarifying information from an Offeror.
c. The Government does not intend to hold discussions. However, the Government reserves the right to hold discussions at the sole discretion of the Contracting Officer. Therefore, all proposal submissions should contain the Offeror’s best terms from a technical/management and price.
d. If the Government decides to conduct discussions, a competitive range consisting of only the most highly rated proposals will be established. The competitive range shall be established prior to conducing any discussions with Offeror’s. The Government intends to evaluate proposals and award a contract with Offerors whose proposals have been determined to be within the competitive range. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals
B.9.11 Technical and Business Proposal Submission

(a) Offerors must certify that the information in the paper and electronic copies is exactly the same.
(b) Technical (Volumes 1) and Cost/Business (Volume 2) proposals must be kept separate from each other. Technical Proposals must not make reference to pricing data in order that the technical evaluation may be made strictly on the basis of technical merit.
(c) CD Format: Each CD submitted with the technical and business proposals shall contain copies of the proposal in two formats: pdf (Adobe Acrobat 8.0 or older) and in the original format, for example: word (2007), excel (2007), or in other applicable formats. The Offeror shall be responsible to ensure the accuracy of the information contained in all formats and copies of the proposal (CDs the hard copies) is identical. The Government’s evaluation may be based on any single copy of a given format without regard to the other copies or formats.
Offerors shall certify that each CD-ROM has been checked using the latest version of virus detection software and is virus free. The certification shall identify the virus detection software and version used.
(f) Due Date and Time. All proposals in response to this Solicitation shall be due at the address specified above not later than 2:00 PM EST on October 05, 2015.
B.9.12 Part I – Technical Proposal Instructions
(a) Offerors must organize their technical proposal to follow the technical evaluation criteria listed in Section B.10.
(b) Text color shall be black. Color may be used in graphics or charts for greater clarity at the Offeror’s option. Text in graphics and charts shall be no smaller than 9-point Arial Narrow; text in tables shall be no smaller than 9-point Arial. The size and font of headers and footnotes are not dictated. No fonts may be condensed.
(c) The written Technical Proposal (Volume 1) Factor 1 - Technical Understanding/Approach is limited to 15 pages, Factor 2 - Management Plan is limited to 10 pages, Factor 3 – Quality Control Plan is limited to 5 pages, Factor 4 - Key Personnel and Resumes are limited to 2 pages per person, Factor 5 – Past Performance is limited to 5 performance references, and Factor 6 – Socioeconomic Participation. Offerors shall use only 8.5 inch by 11 inch (210mm by 297mm) paper, single-spaced pages with margins no less than one inch on each border. Number each page consecutively. Do not use a font size smaller than Times New Roman 12 or equivalent size font. Information submitted over page limitations will not be evaluated.
(d) Total page count limitations do not include: title and back page: Table of Contents; and Section Dividers that do not contain information other than title of Section.

Factor 1 - Technical Approach (Shall not exceed 15 pages)
The Offeror shall submit a technical approach that demonstrates logical and feasible methods for meeting the requirements described in the Performance Work Statement Tasks 0001 through 0011 and meeting the performance objectives outlined within the solicitation.
The Offeror shall submit a project schedule that demonstrates a clear understanding of the required operations and HUD requirements with realistic timeframes for performing all tasks.
If the Offeror is proposing subcontractors, the Offeror shall clearly identify what aspects of the work will be performed by the prime and what aspects of the work will be performed by each subcontractor in its technical approach.
Labor mix and level of effort (labor categories and number of hours for each labor category).
Offerors are cautioned not to include pricing in the labor mix/level of effort matrix submitted with the technical proposal.
Factor 2 - Management Plan (Shall not exceed 10 pages)
The Offeror shall submit a Management Plan that is clear, concise, and demonstrates that it will result in meeting the objectives and requirements contained within the Performance Work Statement tasks identified under the instructions for Technical Approach.
The Offeror shall submit a Management Plan that details:
o key personnel and responsibilities;
o proposed subcontracting arrangements and reporting relationships of all subcontractors;
o a plan that demonstrates successful communication and coordination between the contractor and the government personnel/roles;
o schedules of all tasks and subtasks, meetings, and deliverables;
o clear lines of authority from the top of the organization to all those working on this effort;
Factor 3 - Quality Control Plan (Shall not exceed 5 pages)
The Offeror shall submit a Preliminary Quality Control Plan (QCP) that demonstrates an understanding of the business requirements by describing effective and independent quality control methods and procedures to ensure that all tasks are completed in accordance with the performance standards listed in the solicitation. The QCP shall describe key risk areas, management controls, corrective actions, and describe how the Offeror will ensure the effective management of employees of the prime and subcontractors and their activities. The QCP shall include an approach to subcontractor management that makes clear the contractual and reporting relationships of all subcontractors.
The Offeror shall submit an organizational chart that reflects the independence of the Quality Control function.
Factor 4 - Key Personnel (Resume shall not exceed 2 pages per person submitted)
The Offeror shall submit Key Personnel resumes that demonstrate sufficient relevant prior experience, qualifications, education, and certification for personnel proposed to fill the key positions identified by the Offeror. Additionally, the Key Personnel proposed and the number identified must reflect adequate capabilities or skill sets to ensure the outcome and benefits sought by the government are achievable. The Offeror shall state what percentage of the Key Personnel’s work week time will be dedicated to the performance of the contract. Letters of commitment are required for all Key Personnel.
These Key Personnel are mandatory. However, Offerors can propose additional Key Personnel. The Project Manager shall be responsible for the performance of work. Offerors shall also designate one Key Personnel position to act as an alternate in absence of the Project Manager.
Specific Key Personnel requirements are as follows:
a. Project Manager:
Minimum Education: Bachelor’s degree is required. Master’s Degree in Business Administration is preferred.
Minimum Experience: 6 years experience in project management is required. 10 years experience in project management is preferred.
Certifications: Project Management Professional (PMP) Certification is required.
b. Financial Services Director:
Minimum Education: Bachelor’s degree is required. Bachelor’s degree in Accounting, Finance, Business or related discipline is preferred. Master’s Degree in any of the above areas is preferred.
Minimum Experience: 5 years experience in multifamily mortgage loan servicing of a portfolio in excess of 500 Loans required. Demonstrated Project management experience in planning and execution of program required. Demonstrated experience in U.S.
Government Standard General Ledger, FED GAAP, GAAP and Credit Reform required.
Certifications: Certified Public Accountant (CPA), Certified Government Financial Manager (CGFM), or equivalent is preferred.
c. Financial Systems Director:
Minimum Education: Bachelor’s degree is required. Bachelor’s degree in Business, Computer Science, Information Systems, Management Information System or related disciplines is preferred.
Masters Business Administration, Masters Information Systems or Master’s Degree in related disciplines is preferred.
Minimum Experience: 5 years of experience managing all aspects of system, network and site operations and design is required. 3 years experience in ORACLE, Legacy, or SYBASE infrastructure or platforms is required. Experience in planning and conducting system development, overseeing staff performance, and providing technical and managerial guidance is required.
Demonstrated experience in designing and evaluating financial management systems and operations in financial classification structures consistent with U.S. Government Standard General Ledger, FEDGAAP, GAAP, and Credit Reform is preferred
d. Senior Accounting Analyst:
Minimum Education: Bachelor’s degree is required. Bachelor’s degree in Accounting or related discipline is preferred.
Master’s Degree in Accounting or related discipline is preferred.
Minimum Experience: 5 years experience of accounting and financial management experience is required. 3 years experience in operational accounting or auditing to supervise or lead a team of accounting analysts required. Experience in Federal accounting policies, standards, and systems requirements, including FEDGAAP, GAAP, and FASAB is required.
Certifications: CPA or equivalent certification is required.
e. Subject Matter Expert (Note Servicing):
Minimum Education: Bachelor’s degree is required. Bachelor’s degree in Accounting, Finance, Business or related discipline is preferred.
Master’s Degree in any of the above areas is preferred.
Minimum Experience: 3 years experience with multifamily mortgage notes servicing required. Experience in multifamily HUD-Held Notes including Conventional, Mark-to-market, or Prepayment of claims is preferred.
f. Subject Matter Expert (Property Disposition):
Minimum Education: Bachelor’s degree is required. Bachelor’s degree in Accounting, Finance, Business or related discipline is preferred.
Master’s Degree in any of the above areas is preferred.
Minimum Experience: 3 years experience with providing accounting support for Multifamily Property Disposition functions, including property management, relocation services and sales is required. Experience managing Property Management, Relocation, and Sales Servicing required. Experience tracking sales activity and closeout services required. Knowledge of U.S. Government Standard General Ledger, FEDGAAP, GAAP and Credit Reform is required.
Factor 5 - Past Performance
The Offeror shall submit the following information/documents:
A completed chart providing the information required by the Past Performance Information chart in Attachment C. The chart shall reflect all relevant past performance performed in the three year period immediately preceding submission of the proposal and all work currently being performed. If the Offeror has more than 5 relevant past performance references, then the Offeror shall provide the most recent 5 references. As an attachment to the chart, the Offeror shall provide a narrative describing the past performance references that reflect the most relevance to the services being obtained under the contract to be awarded. The narrative shall clearly establish the relevancy of the past performance to the current requirements.
(Narratives shall not exceed 1 page per reference.)
If the offeror is proposing to subcontract (or use joint ventures/ partners, or other entities other than the prime contractor to perform) more than 20% of the contract value, the Offeror shall submit a separate chart and narrative described for past performance above, for the proposed subcontractor(s).
The contractor shall provide the survey contained in Attachment D to each past performance reference in sufficient time for the reference to complete and submit the survey directly to the HUD Contracting Officer prior to the date and time for submission of proposals. Offerors are not required to submit surveys for references where past performance is available in the Past Performance Information Retrieval System.
If past performance for the offering firm does not exist, the Offeror may substitute past performance of key personnel that will be performing major aspects of the work under any resulting contract. If the Offeror chooses to make such a substitution, the Offeror must clearly identify the substituted key personnel by name and title proposed. Only the past performance of Key Personnel overseeing the entirety of the proposed project will be considered in substitution for the firm’s past performance under this factor. The contractor shall provide the survey contained in Attachment D to each past performance reference with first-hand knowledge of the performance of the substituted Key Personnel in sufficient time for the reference to complete and submit the survey directly to the HUD Contracting Officer prior to the date and time for submission of proposals.
Factor 6 - Socioeconomic Participation
(1) Performance of the Work. HUD is committed to awarding HUD contracts to Offerors that will perform a majority of the total cost of labor under the contract. While it is understood that certain costs are necessarily subcontracted, especially non-labor items, HUD is focused on obtaining prime contractors who are responsible and capable of performing a large part of the labor required to perform the contract (as opposed to firms who subcontract substantial portions of the labor effort), while simultaneously focusing on achieving socioeconomic goals for small business participation as well. To achieve this objective, all Offerors shall complete the following table to reflect what percentage and dollar value of the total cost of labor the Offeror and all subcontractors/teaming partners will perform throughout the contract term:
