EVENT SPECIFIC RENTAL AGREEMENT
REGARDING HISPANIC ARTS CENTER OF OMAHA
3504 Center Street, Omaha, Nebraska 68105
(402) 696-6996
THIS AGREEMENT is made and entered into between Hispanic Arts Center of Omaha, LLC, hereinafter referred to as “HACO”) and , (hereinafter referred to as “Customer”) for the purpose of stating and creating a contract confirming the terms / contractual basis on which Customer is renting for a specific event all or part of the building at 3504 Center Street in Omaha, Nebraska, which building will hereinafter be referred to as “Hispanic Arts Center of Omaha”. Only a signature by Milt Schneider shall be binding upon HACO, and a notice by customer will be deemed to have been given to HACO only when actually received by Milt Schneider, regardless of when such a notice may have been sent by mail, e-mail, facsimile, etc..
1. DEFINITIONS:
a. “Hispanic Arts Center of Omaha” means the entire building at 3504 Center Street, Omaha, Nebraska.
b. The “Premises” shall refer to Hispanic Arts Center of Omaha AND the lot(s) on which said building is located;
c. The owner of the Hispanic Arts Center of Omaha is Palacio, LLC, which leases the entire Hispanic Arts Center of Omaha to Hispanic Arts Center of Omaha Events, LLC;
d. Hispanic Arts Center of Omaha Events, LLC is usually referred to in this lease as “HACO, LLC” or as “Sublessor”. A “Sublessor” is one who rents the building from someone (in this case, from Palacio, LLC) and leases all or parts of that building to someone else (in this case, to you, the Customer).
e. “The Parties” refers collectively to the sublessor (Hispanic Arts Center of Omaha Events, LLC) and to you, the Customer. The building owner (Palacio, LLC) is an intended third-party beneficiary of this Agreement;
f. The “Premises Rented” refers to only that part of the Premises referred to in section “2” below and on Attachment “1” of this Agreement.
g. “Personal Property” refers to the furniture (if any), equipment (if any), furnishings (if any), decorations (if any) and other items or property (if any) that HACO includes as a part of the overall rental of the Hispanic Arts Center of Omaha. If any such Personal Property is included, it is listed on Attachment “1” of this Agreement. The term “personal property” (without capital letters) refers generally to personal property and not just the Personal Property that HACO is renting to Customer.
h. The terms “Rental Event” and “Scheduled Event” referred to in this Agreement mean the event for which Customer is leasing the Premises Rented.
2. THE PREMISES RENTED AND WHAT HACO IS PROVIDING: Unless stated otherwise in this lease or on Attachment “1” (which is an integral part of this Agreement and is incorporated herein), Customer is renting the “Premises Rented” (described on Attachment 1) and HACO, Palacio, LLC and their respective agents shall have the right throughout the rental period to move throughout the Premises to observe activities on the Premises and to help protect the Premises from damage.
Nothing in this section or this Agreement, however, shall (a) impose any duty on HACO to protect the Premises or anyone or any Personal Property on the Premises or even the Premises Rented and/or (b) relieve Customer of any of Customer’s duties under this lease Agreement.
Attachment “1” contains a list of the services and incidental personal property that HACO can temporarily provide for Rental Events. On Attachment “1”, the parties to this Agreement have marked what rental space (“the Premises Rented”), services and related / incidental Personal Property (during the Rental Event) are included in the price that Customer has agreed to pay and HACO has agreed to accept regarding this Agreement. Both parties further agree, however, that if
The Board of Regents of the University of Nebraska on behalf of the University of Nebraska-Omaha
Customer requests and/or uses any additional space, time or service (whether for consultation, planning, assistance, or otherwise) and/or personal property (whether decorations, furniture, furnishings, glasses, dishes, equipment, flowers or otherwise), Customer hereby agrees to immediately pay the full amounts that HACO usually charges for such space, time, service(s) and/or personal property, regardless of whether or not this lease was amended to include such items in writing. The parties further agree that all money paid by Customer will first be applied toward Customer’s deposit that is necessary to initially reserve the Premises Rented, applied next to the additional space, time, services and personal property (if any) requested by Customer, ,then to the unpaid balance (if any) for damage deposit, then to the unpaid amount (if any) owed regarding the initial price stated on Attachment “1”and finally to any other amounts (if any) that Customer owes to
HACO.
3. RENTAL PERIOD - DATE(S) AND TIME(S): Customer is renting the Premises Rented only for the time(s) and date(s) specified on Attachment “1” of this Agreement. The period of time during which Customer contracted to rent the Premises Rented shall be referred to in this Agreement as the Rental Period. No refunds will be given if Customer uses less time than the Rental Period.
Customer understands that set up prior to the time specified in this contract may not be possible and is not guaranteed. NO event may continue past midnight unless PRIOR APPROVAL has been received from HACO, and no such request will be considered unless made at least two full weeks prior to the scheduled event. No waiver or extension will be valid unless it was knowingly made by HACO after HACO was informed (with finality) as to whether or not alcoholic beverages would be served and/or sold on the Premises during the scheduled event, and HACO reserves the right to rescind such approval if HACO believes, in HACO’s sole discretion, that the consumption of alcohol may pose some risk to people or property.
4. RENTAL AMOUNT AND RENTAL DEPOSIT; WHEN DUE: Customer shall pay to HACO the Advance Reservation Rent and the Regular Rental Amount stated on Attachment “1” of this Agreement. Full and timely payment of all rental, deposit and other payments mentioned in this Agreement’s body and/or attachments is absolutely of the essence of this Agreement. HACO may, at its option, rent the Leased Premises to someone else if Customer does not make such full and timely payment of all amounts. Customer agrees to pay additional rent equal to ten percent of any payment that was not fully made on or before its due date and an additional ten percent rent on any payment that still has not been paid in full ten days after its due date. Advance payments may be made, but the Advance Reservation Rent must be made at the time this Agreement is signed, and the Regular Rental Amount must be paid at least by the following due dates:
a. At least fifty percent of said Regular Rental Amount must be paid within 91 days of the rental event and at contract signing
b. The remainder of the Regular Rental Amount must be paid at least 90 days before the
Rental Event.
HACO will not reserve, hold or confirm any rental date or time until this contract has been fully executed AND the customer has paid all amounts due as of the date the Customer signs this Agreement. Payment is not considered to have been made unless all amounts due have been and have been honored/cleared with finality, whether the payment method used was cash, Customer’s check(s) and/or by any other payment method approved in writing by Milt Schneider. Any payment made within three days of the event must be paid in cash. If Customer cancels or postpones the Rental Event, no amount will be refunded unless HACO has rented the Rental Premises to someone else for the full rental price (which that substitute customer has fully paid AND the Rental Event date has elapsed. Even under those circumstances: (1) the Advance Reservation Rent and additional rent due to tardy payment will not be refunded, (2) only part of the Regular Rental Amount will be refunded, based on the length of written advance notice that Customer gave HACO regarding the cancellation or postponement of the event and (3) any moneys owed by Customer will be deducted from any such refund. The term Cancellation Fee is used for brevity sake and pertains regardless of whether or not the Rental Event was cancelled or postponed. The Cancellation Fee schedule is as follows:
Length of Written Advance Notice Amount of the Regular Rental Fee That May Be of Cancellation or Postponement: Refunded IF Above Circumstances Are ALL Met:
a. 120 days or more 100% of the Regular Rental Amount
b. 60 – 119 days 75% of the Regular Rental Amount
c. 59 or fewer days 50% of the Regular Rental Amount
5. DAMAGES DEPOSIT: Unless otherwise stated on Attachment “1”, Customer must, at least 10 days before the event, also pay to HACO a “Damages Deposit” of at least $500.00. Timely payment is of the essence. and if payment is not made timely, HACO may assess a late fee of $50.00 if payment is less than five days late, and if payment is five days or more late, HACO may, at HACO’s option, assess a late fee of $100.00 or cancel Customer’s reservation and right to rent the Premises Rented.
HACO may, at HACO’s option, use all or any part of said Damages Deposit for any one or more of the following purposes: to reimburse any one or more of the Owners, HACO and/or its member(s) for any real or personal property that disappeared or was taken or damaged by anyone during Customer’s Rental Date(s) / Time(s) and/or activities relating to Customer’s rental of all or any part of the Premises; to pay for any and all costs (including attorneys fees and litigation costs, if any) associated with one or more breach(es) of this agreement or its related rules by Customer and/or anyone who attended any event for which Customer rented all or a part of the Premises; and to reimburse HACO for any cost, if any, which HACO advances or otherwise pays or incurs directly or indirectly related the Rental Event and/or to Customer’s rental of the Premises Rented. Nothing in this section of the Agreement, however, shall be interpreted to require or obligate HACO to pay any such expense.
Within fourteen working days of the end of the Rental Period, the Damages Deposit will be returned to Customer to the address specified by Customer minus all amounts due for the types of damages stated above in this paragraph. Customer agrees that if the combined total of all damages exceeds the Damages Deposit, the Customer will fully and promptly pay to HACO whatever additional amount(s) are necessary to fully pay HACO, its lessor, the Premises owner and/or others for all such damages. Under special circumstances, the Damages Deposit can be waived by HACO if but only if HACO signs the waiver on the next line of this Agreement.
The Damages Deposit is hereby waived: (Milt Schneider)
6. ACCESS, DELIVERIES, CLEAN UP AND OTHER RULES: See Attachment 1 and 2 of this Agreement regarding important rules, guidelines and suggestions which are a part of this Agreement. Attachments 1 and 2 are incorporated in their entirety into this Agreement. One or both of those attachments contain information about what parking and personal property Customer and Customer’s guests will have access to, as well as when Customer and Customer’s Vendors will have access to the Premises for purposes of preparation, decoration, clean up, etc.. In addition to the rules stated in this Agreement, Customer must abide by HACO’s rules stated in any booklet or other materials provided by HACO to Customer.
7. ALCOHOL: Customer is NOT allowed to purchase or bring to or onto the Premises any alcohol or beer and/or to allow Customer’s guests, invitees and/or anyone else to bring alcohol onto any part of the Premises unless Customer fully complies with all requirements in this Section 7 of this Agreement. If any alcohol is going to be sold or consumed on the Premises during the Lease Period, Customer must: (a) notify HACO in writing at least 90 days in advance both of the intent to sell alcohol and/or allow alcohol to be consumed on the Premises during the Rental Period and as to Customer’s specific plans regarding such beer and/or alcohol, (b) meet with HACO, discuss said detailed plans of Customer and sign HACO’s “Beer and Alcohol Addendum” to this Agreement, (c) pay the additional charges (e.g., fees for security guards) relating to such beer and alcohol-related plans, (d) take all steps necessary to make sure that every aspect of the sale, distribution and/or consumption of alcohol is done legally, (e) provide to HACO at least 72 hours before the scheduled event certified proof that everyone who will be involved in the beer and/or alcohol sale and/or distribution process is legally licensed or otherwise legally permitted to do so in the way that such sale or distribution will be done, (d) not sell, distribute, consume and/or bring alcohol on the Premises on any day other than a day that is both specified in that permit and is within the Lease Period, (f) abide by all rules relating to that permit and/or to the sale of alcohol, (g) not allow anyone else to sell and/or distribute alcohol on the Premises during the Rental Period, and
(h) not under any circumstances allow alcohol to be served to any minor.
IT IS AGREED BY BOTH PARTIES THAT IF ALCOHOLIC BEVERAGE(S) ARE
CONSUMED ON THE PREMISES, NO BEER OR ALCOHOL WILL BE SERVED TO A MINOR OR
TO ANY INTOXICATED PERSON, AND CUSTOMER SHALL ALSO BE RESONSIBLE FOR
MAKING SURE THAT NO BEER OR ALCOHOL IS TAKEN OR CONSUMED OUTSIDE THE
RENTAL HALL BUILDING ITSELF.
HACO reserves the right to require proper identification from any individual when alcoholic beverages are being sold, served and/or consumed, and, in HACO’s sole discretion, (a) to stop the serving of alcohol to any individual, (b) to stop alcohol from being served by anyone and/or to anyone on the Premises and/or, (c) if HACO’s rules are not being complied with and/or if Customer is in breach of this Agreement in any way, to terminate the event and require everyone to promptly leave the Premises.
A security officer arranged by HACO is required for all events at which any alcohol will be served. Said security officer must be on the Premises at all times during which alcohol is or may be served and for at least one-half hour after alcohol is last served during the Rental Period. The cost for each security officer is at least $75.00 per hour, is not included in the rent and must be paid in full to HACO as a Security Fee at least three days before the Scheduled Event. If any part of said Security Fee is not paid on time, the unpaid part of said Security Fee and any related late charge will be added to the damages for which Customer is legally responsible and/or HACO or Palacio, LLC may cancel the Scheduled Event. The Security Fee may be waived by HACO’s signature on the next line.
The Security Fee is hereby waived: (Milt Schneider)

Electronic Record and Signature Disclosure
ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, NU Contracts+Ariba (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.
Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature
Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time
(usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a
$0.00 per-page fee. You may request delivery of such paper copies from us by following the procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.
All notices and disclosures will be sent to you electronically
Electronic Record and Signature Disclosure created on: 5/16/2023 6:53:28 PM Parties agreed to: Milton Schneider, Jessie Combs, Melody Stark
Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through the DocuSign system all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.
