Monday, September 21, TERMS AND CONDITIONS

Venue Location

NEW Punch Bowl Portland, LLC

340 SW Morrison Street 3rd Floor Portland, OR 97204

This Restaurant Event Agreement (the “Agreement”) is entered into by and between NEW Punch Bowl Portland, LLC Venue (“Punch Bowl Social”) and the Client set forth above (“Client or “you”) (and together, “the parties”), in connection with the Client Event to be held (i) at the date and time, (ii) in the manner and (iii) at the Venue set forth above. This agreement is made subject to the Event Agreement Terms & Conditions listed below.

EVENT CONFIRMATION: To reserve your date and space, a signed contract and 50% non-refundable, non-transferable deposit is required to confirm the event. All deposits will be applied toward the final event bill. The client may pay the non-refundable deposit via credit card through our PCI-compliant online payment portal, by ACH transfer, company check, cashier’s check, or cash. Punch Bowl Social will apply all applicable taxes related to the event, which will be added to the Client’s bill. A service charge of 22% based on the subtotal (or Total Event Cost) set forth above and will be included in the final charges. This amount is retained by Punch Bowl Social and is used to provide higher hourly wages for event staff (as compared to state mandated wages), as well as to offset certain fixed event costs. In accordance with applicable state and local tax laws, the service charge is subject to sales tax, as it is considered part of the total charge for goods and services provided. The service charge is not a gratuity, and Client acknowledges that the service charge is not distributed as a gratuity to employees serving guests at the event. Additional gratuity is neither required nor requested, but any additional gratuity goes directly to event staff.

MINIMUM SPEND: The food and beverage minimum, along with the activities and space outlined above, represents the minimum total spend required for the event. To the extent the food and beverage minimum spend requirement is not met, Client will incur a room charge equal to the difference.

MENU SELECTIONS: Menu selections and choices must be confirmed no later than ten (10) days prior to the event.

Food quantities are pre-portioned and served based on the final guest count provided. Event catering does not include unlimited or all-you-can-eat servings.

FINAL GUEST COUNT: Final guest count attendance must be provided to Punch Bowl Social at least ten (10) days prior to the scheduled event date. This number will serve as the final guaranteed guest count and may not be reduced.

In any event, the final guaranteed guest count may not decrease more than 10% from the original contracted amount.

The final guest count may increase after this time; however, Punch Bowl Social cannot be responsible for services to more than 10% over the final guarantee. If no final guarantee is provided ten days prior to the event, the estimated guest count listed on the contract will serve as the guarantee. Final billing will be based on this guarantee, or the actual number of guests served, whichever is greater.

FINAL PAYMENT: The final balance is due in full no later than (7) seven days prior to the scheduled event date. If Client pays the initial deposit by credit card, Punch Bowl Social will use that credit card for any charges associated under this Agreement. If Client pays remaining balance by check (made payable to: New PBS Brand Co LLC.) or ACH, Client must submit payment at least ten (10) days prior to the scheduled event date. ACH or Check payments are not accepted for any remaining balances on the day of the event. All additional charges incurred on the day of the event

3 of 5 The Friends of CityMatCH Dinner must be paid using a credit card presented onsite.

EVENT SPACE & TIME: Events have a minimum duration of two (2) hours. The reserved event space is guaranteed only for the start and end times specified in the agreement. If the guest count increases and exceeds the capacity of the reserved space, the client may be required to secure additional space at an additional cost. Extending the event’s time or space is subject to availability and will incur additional charges.

GUESTS: Any person under 21 years of age must leave the premises by 10 pm on Friday and Saturday evenings.

Events on Friday and Saturday with guests under 21 must conclude by 9:30 pm, and all guests must vacate the premises by 10:00 pm. Depending on the type of event and with prior management approval, guests under 21 may be allowed to remain at the event past 10 pm but must stay within the designated event space.

FOOD AND BEVERAGE: Punch Bowl Social is the only entity allowed to provide food and alcohol at the event. We do welcome outside store-bought celebration cakes from a licensed bakery. All other desserts, Punch Bowl Social, will apply a $3 per person charge to the Client’s final bill. KOSHER catering is allowed and is subject to additional per guest fees. Punch Bowl Social food items are intended for onsite consumption. As health code regulations or food safety practices may restrict perishable foods from being packaged “to-go”, Client may be prohibited from taking items for off premise consumption.

Alcohol service is not unlimited and will be monitored for responsible consumption. Punch Bowl Social is required to comply with all laws (including those related to liquor and service of alcohol). Accordingly, management reserves the right to refuse or stop service of alcoholic beverages for any reason to ensure the safety of our clients, guests and employees. For the per-hour bar packages, guests will be served one drink at a time. Guests must bring a valid U.S.

Driver's License or Passport.

The rescheduled event will have a new contract and must be equal to or greater than the value of the original total contracted amount. All event deposits and credits are valid only at the venue specified herein and not transferable.
