(the “Agreement”) or (ii) if applicable, a separate agreement on this subject matter that has been executed by Customer or its Affiliate (in which case that agreement shall govern) and, to the extent applicable, the

Product-Specific Terms available at https://asana.com/terms/asana-product-specific-terms (in either case, altogether, the “Agreement”), unless Asana rejects this Order Form due to execution by the Customer after the “Valid Through” date listed above. Subject to any limitations to Customer’s Subscription, Customer may add End Users during the Subscription Term at the same pricing contained herein, prorated for the remainder of the Subscription Term at the time the new End Users are added, either by providing Asana with written confirmation (email acceptable) or entering into an additional Order Form. Capitalized Terms in this Order Form shall have the same meaning as in the Agreement unless otherwise defined herein. This

Order Form shall be effective on the date fully executed by the parties . Asana may terminate this Order

Form and/or Agreement at any time upon written notice to Customer in the event: (i) Customer is no longer a qualified non-profit organization, or (ii) Customer is engaged in activity that negatively impacts

(except that the Timesheets and Budgets Add-On product may be reassigned to a new End

User replacing an individual who no longer uses the Timesheets and Budgets Add-On product.)

b. Asana reserves the right to calculate the total number of End Users with the Timesheets and Budgets Add-On product on a periodic basis, and, if such number exceeds Customer’s current plan size, Asana may invoice Customer for the additional increments of End Users with the Timesheets and Budgets Add-On product on a pro rata basis for the remaining months in Customer’s then-current Timesheets and Budget Add-On Product Term on an annual basis so that all Timesheets and Budget Add-On Product Terms are coterminous.

c. Notwithstanding anything to the contrary in this Order Form, (i) a Timesheets and Budget

Add-On Product Term cannot continue beyond the end date of the applicable, then-current

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE

From time to time, NU Contracts+Ariba (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.

Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature

Getting paper copies

At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time

How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.

Consequences of changing your mind

If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.

All notices and disclosures will be sent to you electronically

us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.
