BROADCAST AGREEMENT
THE ROBERT K. JOHNSON FOUNDATION-METROPOLITAN OPERA INTERNATIONAL RADIO NETWORK
2025-2026 SEASON
Agreement between THE METROPOLITAN OPERA (“Metropolitan”) located at Lincoln Center, New York, NY 10023 and radio
STATION ________________________________________________________________________________________________
(“Broadcaster”) located at the following address:
(Street and number/City/State)______________________________________________________________________________________.
All associated stations and translators who are authorized to broadcast and will be bound by this agreement are attached on a separate page.
1. Broadcaster agrees:
(a) To broadcast live, without delay as transmitted by Metropolitan, within your current FCC-permitted range, each complete
Program in accordance with the schedule annexed hereto consisting of 26 consecutive Saturday afternoon broadcasts.
“Program” is defined for the purposes of this Agreement as a Saturday opera performance and all intermission material, whether taped or live, transmitted by Metropolitan for the intermissions at that performance. (Notwithstanding the foregoing, intermission material may be pre-empted during Broadcaster’s regular on-air fundraising period, not to exceed two (2) broadcasts during the term of this Agreement, upon written request to Metropolitan. Metropolitan shall provide Broadcaster with a request form that must be returned to Metropolitan at least one week prior to the broadcast date. Only Broadcaster’s own fundraising programming may be aired during the pre-empted intermission time and may occur only after the completion of an act and until the start of the next act. Broadcaster shall make best efforts to air the pre-empted intermission material at another time.)
(b) The first Saturday afternoon broadcast will be on the 6th day of December, 2025, and the 26th broadcast on the 30th day of
May, 2026 (the “Broadcast Season”). Monthly affidavits confirming the airing of any broadcast(s) will be made available upon request. Various broadcasts throughout the season will be of previously recorded opera performances that will be provided by Metropolitan along with intermission material and the Met will have the right to substitute previously recorded opera performances for live Programs as set out in paragraph 5. Broadcaster shall be limited to standard analog AM and FM broadcast transmission only and shall not include any other types of transmission whatsoever, except as provided in paragraph
2 herein. Notwithstanding the foregoing, if Broadcaster has an HD channel, the Programs may be also simulcast in real time on such HD channel at the same time as they are aired on the AM/FM channel; they may not be aired only on the HD channel.
(c) To transmit each Program completely without any cutting, editing or the insertion of announcements of any kind, and to comply with all applicable laws in carrying out its obligations under this Agreement. Broadcaster may identify its station in accordance with FCC regulations during the one-minute fifteen second break that Metropolitan will supply at each intermission. A cue sheet will be provided by Metropolitan for each Program in advance of its transmission in which the number of and approximate times of the break(s) will occur. No other material, either commercial or non-commercial, may be presented within these announcements, except as outlined in subparagraph (h) of this paragraph 1.
(d) Not to reproduce or record by any method now known or in the future to become known or developed or to permit reproduction or recording for any purpose any Metropolitan broadcast or intermission material to be used directly or indirectly for any purpose whatsoever except with the express permission and prior written consent of Metropolitan for each specific use.
(e) Not to relay or feed the broadcast or any part thereof to any other radio station, television station or cable system or grant permission to any other station or system to rebroadcast the Program or any part thereof without first obtaining the express permission and prior written consent of Metropolitan for each relay or feed.
(f) To the extent permitted by law, to indemnify and hold harmless Metropolitan, its affiliates, and each of its officers, directors, employees, agents and persons claiming under them, from and against any and all claims, suits, liabilities, settlements, costs and expenses, including attorneys’ fees, paid or incurred by Metropolitan, arising out of any breach of Broadcaster’s obligations and/or representations under this Agreement.
(g) To make best efforts to broadcast promotional announcements each week commencing December 1, 2025, publicizing the broadcast series.
(h) No sponsorship may be attributed or announced for any broadcast or the broadcast series other than that provided by
Metropolitan for announcement, except for local funding acquired to cover local operating costs for the broadcasts. Station breaks provided during programming may be used only for station identification, program promotion, public service news and information and announcement of funding of the broadcasts from local sponsors. If any local sponsors are to be announced, whether on-air, off-air or in print, such announcement shall be limited to: “Local costs for this program are underwritten by
________________.” No local funding may be obtained from companies or other entities whose products compete with those of The Metropolitan Opera or any other sponsor which is a major sponsor or underwriter of the Metropolitan Opera.
2. Metropolitan agrees to permit Broadcaster to audio stream the Programs on its website upon the following conditions:
(a) The streaming shall involve the same audio sound as the radio and only in real time with no additions or deletions of any nature;
(b) Broadcaster shall include from at least December 1, 2025, through May 30, 2026, an announcement on its home page, without pop-ups of other material, that the “live Metropolitan Opera Saturday radio broadcasts” can be heard on its website, with a link to the schedule of broadcasts;
6001 Dodge Street, CPACS 200, Omaha, Nebraska 68182
The Board of Regents of the University of Nebraska, a public body corporate, for and on behalf of KVNO at the University of Nebraska at Omaha
(c) Broadcaster shall include on its website prior to each broadcast a statement that the contents of the broadcast are copyrighted by The Metropolitan Opera, all rights are reserved, and any use or reproduction of any of the material therein without permission of The Metropolitan Opera is strictly prohibited and will be prosecuted; and
(d) Broadcaster shall include a link to The Metropolitan Opera’s website (www.metopera.org) on its listening page for the entire
Broadcast Season.
(e) In the event the right to stream is not provided to Metropolitan by an owner of grand rights in an opera to be broadcasted, Broadcaster, upon prior notice from Metropolitan, shall not stream any part of said radio broadcast(s) whatsoever and shall block all Internet access thereto.
3. In addition to the live program transmissions described above, Metropolitan and Broadcaster agree to add a program (the "Laffont
Grand Finals Program") embodying the 2026 Metropolitan Opera Eric and Dominique Laffont Competition Grand Finals Concert as an optional Program hereunder which Broadcaster will have the right to air one time between the dates of May 30, 2026, and
August 31, 2026; except for the fact that the Laffont Grand Finals Program is not a live transmission, it shall be subject to all the terms and conditions hereof applicable to the other Programs. With respect to the Laffont Grand Finals Program, the public performance rights are not “grand rights,” and therefore, if Broadcaster elects to broadcast the Laffont Grand Finals Program, the public performance rights will be covered pursuant to Broadcaster’s blanket licenses with ASCAP, BMI and other performing rights organizations.
4. Metropolitan warrants that it has obtained all necessary performing rights and copyrights with respect to the broadcast of the
Programs and holds the Broadcaster harmless from any claims that may result from Metropolitan’s infringement of copyright or of performing rights, except in the event of a violation of paragraph 2(e) above, provided that Broadcaster gives Metropolitan prompt written notice of any such claim, and allows Metropolitan to control, and cooperates fully with Metropolitan in, its defense and any related settlement negotiations. Broadcaster represents and warrants that it is not on any “unfair,” “defaulters” or similar list of any
Local affiliate of the AF of M, AFTRA or AGMA.
5. Metropolitan shall have the right to cancel this Agreement in whole or in part at any time, without liability, in the event of any difficulties with any of its unions, or, if by reason of events beyond the control of Metropolitan, it is unable to present the live performances or, if in the judgment of Metropolitan, any provision of this Agreement has been breached or violated by
Broadcaster. In such event, Metropolitan shall have no liability for the unexpired portion of this Agreement or any costs or expenses of any nature whatsoever due, or claimed due, by Broadcaster on account of cancellation. Alternatively, at the Met’s election in any of the foregoing events, the Met may substitute an encore program for a Program previously scheduled without liability to Broadcaster.
6. Broadcaster shall use best efforts to schedule an on-going “tune-in” advertising program with special emphasis on the initial broadcast of the Broadcast Season in local and regional newspapers as well as in magazines of appropriate media, including
Broadcaster’s own program guide and other material mailed to the public. Broadcaster shall promote the broadcast series in accordance with advertising copy to be supplied by Metropolitan; size and placement of the Network name and Metropolitan-supplied credits may not be altered, and any local sponsor name or logo must be smaller in size than Network name and credits.
7. Any time the Network and/or sponsor/funding credits are required hereunder or are otherwise referenced by you in print or on-air, the name of the Network must be stated as “The Robert K. Johnson Foundation-Metropolitan Opera International Radio Network,” and the following language must be used for credits: “The Metropolitan Opera broadcast season is sponsored by The Robert K.
Johnson Foundation, with generous long-term support from the Annenberg Foundation and GRoW @ Annenberg, The Neubauer
Family Foundation, and the Vincent A. Stabile Endowment for Broadcast Media.” Broadcaster agrees that it will modify the foregoing language at any time upon notice from the Met to do so.
8. Metropolitan agrees in good faith to endeavor to serve the reasonable needs of the Broadcaster with respect to the broadcast reception, to deliver a high-quality signal to the control room of the Broadcaster, to provide a high-quality audio feed and to maintain the quality of the signal. Metropolitan will make reasonable effort to maintain the scheduled time of the broadcasts as specified in the annexed schedule.
9. This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof. Both parties agree to remain silent on governing law. There shall be no assignment, delegation or modification of any of the terms of this Agreement by
Broadcaster except upon the written consent of Metropolitan. This Agreement shall be freely assignable by Metropolitan.
