Such prorated amount shall be seventy-five thousand dollars if the first separate tailgate event does not occur, thirty-seven thousand five hundred dollars ($37,500) if terminated for non-performance after the first tailgate event before any subsequent tailgate events, and six thousand two hundred fifty dollars ($6,250) multiplied by the number of additional tailgate events that have not occurred to determine the Prorated Refund.

The Agency will not be entitled to any of the benefits which Client may make available to its employees, including, but not limited to, group health or life insurance, profit-sharing or retirement benefits. The Agency is not authorized to make any representation, contract or commitment on behalf of Client unless specifically requested or authorized in writing to do so by a Client manager.
