VI. SUSPENSION OR TERMINATION OF CONTRACTOR’S SERVICES

A. DEW may, at any time prior to completion of the Work, suspend or terminate this Agreement with or without cause by giving thirty (30) days written notice to the Contractor. In the event of suspension or termination, any payments made by DEW for which Contractor has not rendered services shall be refunded.

E. In the event this Agreement is terminated prior to completion of the Work, Contractor shall deliver to DEW all work products and documents which have been prepared by Contractor in the course of performing the Work. All such materials shall become and remain the property of DEW to be used in such manner and for such purpose as DEW may choose. In the event that such work products or documents contain Pre-existing Material, as defined in Article X of this Agreement, ownership of such Pre-existing Material shall be subject to and governed by Article X. Neither Party shall use, directly or by implication, the name, logos, or other trademarks of the other Party. For Ohio State, such written approval must come from its Office of Trademark Licensing & Services.

F. Any obligations under this Agreement regarding confidentiality are subject to applicable law, including the Ohio Public Records Act set forth in R.C. Chapter 149. The disclosure of records by DEW pursuant to the Ohio Public Records Act shall not be a breach of this Agreement and shall not constitute a waiver of Contractor’s obligations under this Article XI as to any records disclosed pursuant to a request for public records.

Agreement for Services-OSU (effective until June 30, 2027) 11

Appendix A: Scope of Work

Overview The Ohio Department of Education and Workforce (“DEW”) has been awarded a total of $661,500 in federal funding over the course of three years to provide high-need local education agencies (LEAs) with programs and activities related to mental health and well-being for early learners, school-age children and youth, or educators and other school personnel. DEW recognizes that addressing obstacles that impede students’ ability to learn is critical to ensuring students can participate and engage in learning. Youth Risk Behavior Surveillance System (YRBSS) data reports that Ohio’s youth continue to experience behavioral health issues including depression, anxiety, substance use, suicidal ideation, and suicide attempts. The Centers for Disease Control and Prevention report teachers and principals are more likely to report burnout and symptoms of depression and less likely to report feeling resilient compared to other working adults.

The developed content is intended to reduce student rates of chronic absenteeism and improve attendance, engagement, connectedness, and well-being by increasing mental health literacy of educators and school personnel in high-need LEAs. The project will also improve educators’ and school personnels’ mental health and well-being, allowing these individuals to better support students and be more likely to remain in the profession.

Work Plan I. Course and Module Design.

Contractor will utilize a structured curriculum design process to develop high-quality online courses. Each course will begin with an adult learning expert collaborating with a content area expert to map the 4Ts—topics, targets, tasks, and texts at both the course and module levels, guiding the scope, sequence, and assessment strategy. Using this framework, Contractor will create overarching course plans that serve as blueprints for content development. Next, Contractor will develop detailed storyboards, which are passed to instructional designers for production. Through an iterative design and feedback process involving both content experts and adult learning specialists, Contractor will ensure that each course is engaging, research based, and effectively supports learner outcomes.

II. Mental Health Course and Module Development Contractor will create six online self-paced course areas, with each area containing three modules, for a total of 18 modules. The course area topics will be: 1) Comprehensive School-based Mental Health, 2) Prevention and School Climate/Safety, 3) Building Connectedness/Relationships, 4) Building Partnerships and Sustaining Mental Health Supports,

5) Digital Media Use, and 6) Substance Use. Each course will contain a general overview of the topic, application activities as directed by evidence-based practices, interventions for students based on a multi-tiered system of supports (MTSS), and support for educators and school personnel. Modules for each course will include graphics and photos to illustrate the concepts taught as well as videos providing educator discussions of supports and demonstrations of activities in practice, presenting realistic scenarios to reinforce the application of content.

Agreement for Services-OSU (effective until June 30, 2027) 12

Multiple choice, self-check questions will be included in each module. All modules will be developed to follow DEW’s style and writing guides as well as Web Content Accessibility Guidelines 2.1 AA criteria and 508 accessibility requirements.

Contractor will draft storyboards for each module using the evidence-based research and practices developed with input from subject matter experts. DEW leadership will review completed storyboards and will provide edits or refinements to storyboards before modules are drafted. Contractor will use finalized storyboards to develop the modules in a design and color pallet approved by DEW, adhering to 508 accessibility requirements. The development will include a “draft-review-revise” process combining subject matter expert content knowledge with instructional designer expertise in creating a high-quality, professional learning experience.

DEW leadership will have two opportunities to review each course through an online process after initial module development and another subsequent round based on needed revisions. Once module content has been finalized through the online review process, Contractor will complete a final review and proofread of each module to confirm adherence to DEW’s style and writing guides as well as 508 accessibility requirements. Contractor will deliver the final modules in SCORM packages for publishing to DEW’s website.

III. Collaboration with DEW Contractor will engage DEW as a strategic partner throughout the development and implementation of all online modules and courses. As previously described, DEW will play an active role in reviewing and advising on content selection to ensure that all materials reflect current educational standards, address identified needs in the field, and support state-level initiatives related to mental health and educator professional development. Designated members of Contractor’s key personnel assigned to the Leadership and Engagement Team will be responsible for scheduling and facilitating check-in meetings with DEW leadership monthly to ensure that all content and materials are approved before finalization of each module and course.

This team will serve as the liaison between the Web-based Module Design and Development Team and DEW regarding any changes to be made to courses and modules. In addition to informing content and messaging, DEW help identify target audiences, leverage established communication channels, and promote engagement across school districts. Additional meetings will be scheduled as needed or upon request of DEW leadership.

IV. Quarterly Data Reports and Evaluation

Contractor will collect user data from participants to assess increased capacity and knowledge gained through increasing mental health literacy.

Participant data will be collected through surveys at the beginning and end of each course as well as through the completion of virtual workbooks indicating what participants have learned and how they intend to implement their learning. Key concepts that will be assessed through surveys include awareness of mental health literacy, knowledge gained through exposure to specific courses/modules, intention to apply knowledge gained, and user satisfaction with the educational experience. User statistics such as school district and job title will also be collected. Surveys will also include questions that invite users to provide feedback on the survey’s usability, clarity, and overall user experience, as well as suggestions for additional content that may enhance its relevance or effectiveness. These surveys will be administered through Contractor’s Survey Delivery Platform and collected each quarter on the date when the first course and associated

Agreement for Services-OSU (effective until June 30, 2027) 13 modules are made available to school personnel. Quarterly data will be aggregated in the form of a formal evaluation report and submitted to DEW on or near the end of each quarter. To ensure continuous improvement and effectiveness of the program, collected data and feedback will be systematically analyzed to identify opportunities for enhancements.

V. Website Development and Maintenance Contractor will develop a website to serve as the access point for course modules which will begin by conducting a requirements analysis with DEW to determine module access, navigation, participant tracking, and any other necessary parameters. Following this, Contractor will plan and design the website to optimize site architecture, user experience, and website specifications required by to adhere to DEW style and writing guides as well as Web Content Accessibility Guidelines 2.1 AA criteria and 508 accessibility requirements. Once the website design and layout are approved by DEW, Contractor will commence with front-end coding for the user interface and back-end programming that powers site functionality. After the addition of course modules and thorough testing across devices and browsers, Contractor will launch the website to host courses for access by LEAs.

In the final quarter of FY26, Contractor’s website work will shift to maintenance and customer support. Website maintenance will include hosting courses to implement modules, collecting data on user experiences, and troubleshooting technical issues. Contractor will establish a dedicated email address for technical assistance requests. Technical assistance provided throughout the duration of the project will include implementing content updates, ensuring functionality, maintaining security, and addressing user needs and technological standards.

At contract conclusion the Contractor will transition website content to DEW for hosting on its website.
