About this file
This document is a compilation of procurement and contract-related materials for a proposed contract between the Arizona Department of Health Services (ADHS), specifically the Bureau of Operational Readiness and Response (BORR), and the Arizona Hospital and Healthcare Association (AzHHA). The contract involves the Arizona Coalition for Healthcare Emergency Response (AzCHER), a branch of AzHHA. The procurement is being processed as a Competition Impracticable (CI) determination, with approval from the Arizona Department of Administration (ADOA).
The proposed contract is for emergency preparedness planning and response activities, funded through the Hospital Preparedness Program (HPP) federal grant from the Administration for Strategic Preparedness and Response (ASPR) under the U.S. Department of Health and Human Services. The contract has an estimated total value of $6,851,250.00 over a 5-year period, with an annual estimated amount of $1,305,000.00. The funding is federal, and AzHHA will serve as a sub-recipient. The justification for direct contract award emphasizes AzHHA's established expertise, network, and proven track record in managing healthcare emergency response efforts in Arizona since 2019, with the argument that transitioning these responsibilities to another entity would disrupt critical operations and lose valuable institutional knowledge.

ADHS Bureau of Operational Readiness and Response (BORR) is the recipient of the Hospital Preparedness Program (HPP) federal grant funding from the Administration for Strategic Preparedness and Response (ASPR) under the U.S. Department of Health and Human Services (HHS). These funds are needed to ensure that each state has Healthcare Coalitions (HCCs) set up to respond to a public health emergency that strains the healthcare community beyond its capacity.
The Arizona Hospital and Healthcare Association (AzHHA) was founded in 1939 under the name the Ariz Hospital Ass’n, dedicated to serving the people of Arizona by advocating for high quality healthcare for all Arizonans. Over the years, the AzHHA has become the champion for hospital leadership in Arizona by taking lead roles to assist with advocacy and policy improvements addressing federal and state issues.
The AzHHA possesses an in-depth understanding of the state's health care landscape, the unique challenges faced by its partners, and the established processes that ensure swift and effective responses to emergencies. The AzHHA has unparalleled expertise, established network, and proven track record of success.
ADHS has previously worked with the AzHHA under CTR044010 to provide emergency preparedness planning and emergency response activities. The organization has demonstrated a consistent ability to adapt to new challenges, integrate lessons learned from past emergencies, and implement innovative solutions that enhance the state's overall readiness. The established trust and communication channels within the coalition are invaluable assets that ensure rapid and coordinated responses during times of crisis.
Because of this, the AzHHA is the only viable option for continuing this vital work as they play a critical strategic role in the support of planning, training, exercises, and workshops to our healthcare community in conjunction with ADHS.
Transitioning this role to another entity would not only disrupt these critical operations but also risk the loss of institutional knowledge, established relationships, and the proven methodologies that have been developed over years of collaboration. Therefore, it is in the

14. Describe the procurement process, strategy to promote competition, and determination that the price is fair and reasonable
ADHS received approval from ADOA to by-pass the RFGA solicitation process and to move forward with issuing a direct contract to AzHHA as set forth in A.R.S. § 41-2703(A) and (B), on March 24, 2025.
This contract is essential to maintain the state's emergency preparedness and response capabilities. The AzCHER’s expertise, combined with its established network of health care providers and emergency responders, cannot be replicated without significant time, resources, and potential disruption to the state's emergency preparedness and response efforts. The risks associated with attempting to transition these responsibilities to another entity would be significant, including potential delays in response times, loss of coordination, and a diminished capacity to effectively manage large-scale health emergencies.
Pricing is determined to be fair and reasonable based on historical costs and quarterly charges which have not increased since inception of each contract in 2019 (CTR044010 AzHHA) and 2021 (CTR056501 AzCHER) for services received.
In accordance with the Procurement Rules, the Arizona Uniform Terms and Conditions must be made a part of all Contracts. If you will be required to sign a software licensing agreement or sign any other agreement containing terms and conditions, these will need additional review to ensure that the terms and conditions do not invalidate the Arizona Uniform Terms and Conditions. Approval of this request does not allow for agencies to exceed their dollar acquisition amount of delegated authority.

Gina Corwin Chief Procurement Officer, Department of Health Services 150 North 18th Ave., Ste 530 Phoenix, Arizona 85007
Dear Ms. Corwin:
I have reviewed your request for authorization for waiver of the provisions of A.R.S. § 41-2702 solicitation and award of grant application process, as outlined in your request dated March 13, 2025. In your request the Arizona Department of Health Services (“ADHS”) requests consideration to waive the solicitation procedures for the distribution of funds to support the Arizona Healthcare Coalition (“HCC”) by issuing a direct contract via Competition Impracticable, to the Arizona Hospital and Healthcare Association (“AzHHA”).
By way of background you explain in your request that ADHS BORR Bureau of Operational Readiness and Response (“BORR”) is the recipient of the Hospital Preparedness Program (“HPP”) federal grant funding from the Administration for Strategic Preparedness and Response (“ASPR”) under the U.S. Department of Health and Human Services (“HHS”). You further explain, the ADHS has been allocated $5,195,124 for the Budget period running from July 1, 2024 thru June 30, 2025. Additionally, the Period of Performance for the HPP funds runs from July 1, 2024 thru June 30, 2029. This is a non-competitive grant that ADHS must reapply for annually. You state the main purpose of these funds is to ensure that each state has HCCs set up to respond to a public health emergency that strains the healthcare community beyond its capacity. Notably, you state in order for the ADHS BORR to meet grant deliverables for the HPP awards (Award Number 1 U3REP240740-01-00), funding must be obligated by March 31, 2025, and spent by June 30, 2026. Accordingly, you state ADHS BORR would like to issue a direct contract via a Competition Impracticable (CI) determination with AzHHA as this would be the most expeditious process available at this time, benefiting the citizens of the state of Arizona by supporting the state's Healthcare Coalition to prepare for and respond to public health emergencies in the healthcare sector.
Department of Administration | 100 N 15th Ave, Ste 302 Phoenix, AZ 85007 | doa.az.gov http://doa.az.gov
Gina Corwin, Chief Procurement Officer March 24, 2025
You further explain in your request that amongst other things, the AzHHA has developed unparalleled expertise and a well-established network that is vital to the ongoing success of the state's emergency preparedness and response efforts. Further, the association's long-standing relationship with the state's healthcare providers, public health agencies, and emergency management organizations has contributed to a robust and highly coordinated emergency response system. You state this system has been refined over the years through continuous collaboration, training, and real-world experience, making it uniquely equipped to address the specific needs of Arizona. Additionally, you state ADHS BORR would have to reinvest money to re-develop certain systems if another supplier were chosen to replace the existing subrecipient.
You further explain, the Arizona Coalition for Healthcare Emergency Response (AzCHER), a branch of AzHHA, acts as the HCC for the state of Arizona. As further justification, you state that AzHHA has been managing the Arizona HCC since 2019, and in that time AzCHER established a website, a mobile application, a network of local and federal healthcare leaders and emergency managers, required contracts, vendor relationships, and coalition specific meetings and training. Moreover, under AzHHA, AzCHER has established and continues to maintain this website for the Arizona HCC. You state, the website contains the coalition regional boundaries and statistics and contacts, emergency response plans, Arizona regional vulnerability assessment results, means to join the Arizona coalition, a calendar of events related to public health preparedness exercises and training, and resources for executing an exercise. Last, you confirmed via email dated 3/24/25 that the program has confirmed that there is no other organization that is already established that can continue to perform these services.
Therefore, since this request meets the standard for a waiver of solicitation and award procedures as set forth in A.R.S. § 41-2703(A) and (B), a waiver of the solicitation and award procedures is hereby granted.
Sincerely, Elizabeth Alvarado-Thorson Director cc: David Steuber, State Procurement Administrator
