Pursuant to the provisions of KRS 424.260, the Kenton County Airport Board (“KCAB”) will receive bids for Computer Numerical Controlled Router Machine at the Cincinnati/Northern Kentucky Int’l Airport

(“CVG”). Bids will be received no later than Thursday, July 24, 2025, at 2:00 pm. No bids will be accepted after that time unless such date or time is extended pursuant to an addendum issued by

KCAB.

KCAB reserves the right to waive any informality or irregularity in any proposal or bid guaranty, to reject any or all proposals, to award or refrain from awarding a contract for the work, and to negotiate with the apparent qualified responsible proposer to such extent as may be beneficial to KCAB.

Preference for Kentucky resident bidders will be applied in accordance with Kentucky law.

KCAB in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252, 42

U.S.C. §§ 2000d to 2000d-4) and the Regulations, hereby notifies all bidders that it will affirmatively ensure that any contract entered into pursuant to this advertisement, disadvantaged business enterprises will be afforded full and fair opportunity to submit bids in response to this invitation and will not be discriminated against on the grounds of race, color, or national origin in consideration for an award.

2.3. BACKGROUND

This Computer Numerical Controlled (CNC) will be utilized for multiple purposes around the CVG

Airport property & facilities. Examples include cutting aluminum sheets for MUTCD (roadway) & other various panels used in wayfinding & informational signage. Other uses include cutting/routing foam boards & HDU (high density urethane) for dimensional graphics, acrylics for awards & fabrication of safety barriers around escalators, polycarbonate for sign panels on the airfield, & routing & milling wood for various uses. Also cut on this machine will be LDPE (low density polyethylene) for paint stencils & occasional nylon sheets for fabrication of garage door parts.

2.4. SUBMISSION OF BIDS

Responses to this ITB must be submitted electronically through KCAB’s online bidding system which can be accessed at https://procurement.opengov.com/portal/cvgairport. Select the project titled

Computer Numerical Controlled Router Machine (Invitation #25-040-ITB - Services) and follow the instructions for submittal. The completed and signed bid (together with all required attachments) must be transmitted and received through OpenGov no later than Thursday, July 24, 2025 at 2:00 pm Eastern

Time (ET). Bidders should allow for sufficient time to upload and transmit all required information.

Proposer is solely responsible to ensure its submission is transmitted prior to the due date and time.

KCAB will not accept submissions after the due date and time and is not responsible for any error in transmission including but not limited to power outage, internet connectivity, unauthorized access, etc.

KCAB is not bound by, and bidders may not request or rely on any oral interpretation or clarification of this RFP. Questions received on or before the Deadline to Submit Questions in the Schedule of Events will be posted on the Question and Answer tab of this ITB on the bidding system per the Schedule of

Events. Answers to questions from any bidder will be available to all proposers.

All communications regarding this solicitation must only be through the Questions and

Answers section of the ITB or through the Contract and Procurement Administration

Department. No communication is to be directed to any other KCAB personnel unless otherwise instructed by the Contract and Procurement Administration Department. Failure to comply may result in the disqualification of proposer’s submittal.

2.6. ADDENDA

In the event it becomes necessary to revise, change, modify or cancel this ITB or to provide additional information, addenda will be issued to all recipients of this ITB.

2.7. SCOPE OF SERVICES

2.7.1. Scope of Services

The successful bidder ("Contractor") must provide Computer Numerical Controlled Router Machine that meets the following specifications:

2.7.2. Delivery Requirements

Computer Numerical Controlled Router Machine must be delivered to the Sign Shop located at 3361

Logan Rd. Hebron, Kentucky 41048 between the hours of 7:00 a.m. and 4:30 p.m. ET Monday through Friday.

2.8. KENTUCKY OPEN RECORDS ACT

Each bidder must specifically identify any portion of its bid which it deems confidential, or which contains proprietary information, patents, copyrights or trade secrets. Bidder should provide justification of what material should not be disclosed, upon request, by KCAB to a third party. All documents received by

KCAB are subject to general inspection under the provisions of Kentucky Revised Statutes Chapter

61.870 et seq, the “Kentucky Open Records Act”, subject to very narrow exceptions. These statutes may require disclosure of documents a bidder deems confidential. KCAB may otherwise use or disclose the data submitted by each bidder for any purpose, unless such data is so identified as confidential or proprietary by the bidder. The bidder's opinion of proprietary information is not binding upon KCAB.

2.9. ACCEPTANCE PERIOD

Bids in response to this ITB must indicate it is valid for a period no less than one hundred twenty (120) days from the closing date.

2.10. AWARD

1. KCAB intends to award a Purchase Order resulting from this solicitation to the responsible bidder whose bid represents the best value after evaluation.

2. KCAB reserves the right to waive any informality or irregularity in any bid guaranty, to reject any or all bids, to award or refrain from awarding a contract for the work, and to negotiate with the apparent qualified responsible bidder to such extent as may be beneficial to KCAB.

3. KCAB intends to evaluate bids and award a purchase order(s) without discussions with bidders. Therefore, the bidder’s initial bid should contain the bidder’s best terms from a cost or price and technical standpoint.

4. KCAB reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered.

5. KCAB reserves the right to make multiple awards if, after considering the bids submitted, it is in KCAB’s best interest to do so.

6. KCAB has the right, at its sole election, to alter the specifications and/or frequencies of services required and tailor the contract price to said change (increase or decrease).

2.11. PERFORMANCE AND PAYMENT

The successful bidder shall issue an invoice once per shipment along with supporting data. KCAB will pay submitted invoices on a net 30 basis subject to the terms of the attached agreement.

2.12. RECORDS/FINANCIALS

In submitting bids on any item to be purchased by KCAB, the bidder hereby agrees to make available any and all records, books of account, correspondence, or other information reasonably necessary to enable KCAB or its designated agents to investigate the responsibility of the bidder in terms of its financial status, capacity to produce, sources of supply, performance record in the business or industry, and any other matter reasonably related to the proposer’s probable ability to perform adequately under a contract if it is awarded to the bidder.

2.13. GRATUITIES AND KICKBACKS

It is a breach of ethical standards for any person to offer, give, or agree to give any employee or former employee, or for any employee or former employee to solicit, demand, accept, or agree to accept from another person, a gratuity or an offer of employment in connection with any decision, approval, disapproval, recommendation, preparation of any part of a program requirement or a purchase request, influencing the content of any specification or procurement standard, rendering of advice, investigation, auditing, or in any other advisory capacity in any proceeding of application, request for ruling, determination, claim or controversy, or other particular matter, pertaining to any program requirement or a contract or subcontract, or to any solicitation or proposal therefore.

It is a breach of ethical standards for any payment, gratuity, or offer of employment to be made by or on behalf of a subcontractor under a contract to the prime vendor or higher tier subcontractor or any person associated therewith, as an inducement for the award of a subcontract or order.

In the event that any gratuities or kickbacks are offered or tendered to any KCAB employee, the proposal shall be disqualified and shall not be reinstated.

2.14. NON-COLLUSIVE VENDOR CERTIFICATION

By the submission of this proposal, the proposer certifies that:

1. The proposal has been arrived at by the proposer independently and has been submitted without collusion with any other vendor.

2. The contents of the proposal have not been communicated by the proposer, or, to its best knowledge and belief, by any of its employees or agents, to any person not an employee or agent of the proposer or its surety on any bond furnished herewith and will not be communicated to any such person prior to the official opening of the proposal.

3. No proposer may submit more than one proposal for this purchase. It shall be the responsibility of each proposer to obtain the prior written permission of KCAB before proposal opening in every situation in which the proposer, due to corporate association or other affiliation, may be found to be impermissibly associated with another vendor. Failure to observe this requirement could result in all such affiliated proposals being rejected.

2.15. GOVERNMENT PROVISIONS

2.15.1. EQUAL EMPLOYMENT OPPORTUNITY

During the performance of this Contract, the Contractor shall comply with all Federal, state, and local laws respecting discrimination in employment and non-segregation of facilities, including, but not limited to, requirements set out at 41 CFR 60-1.4, 60-300.5(a), 60-741.4, and 60.741.5(a), which equal opportunity clauses are hereby incorporated by reference. These regulations prohibit discrimination against qualified individuals based on their status as protected veterans or individuals with disabilities and prohibit discrimination against all individuals based on their race, color, religion, sex, or national origin. Moreover, these regulations require that covered prime contractors and subcontractors take affirmative action to employ and advance in employment individuals without regard to race, color, religion, sex, national origin, protected veteran status or disability. Notification is hereby given that compliance with these clauses may require you to file annually certain reports (e.g.

the EEO-1 Report, and the VETS-100 Report) with the Federal government and may require you to develop written Affirmative Action Programs for Women and Minorities, Covered Veterans and/or

Persons with Disabilities.

2.15.2. CIVIL RIGHTS – GENERAL CIVIL RIGHTS PROVISIONS AND CONTRACTUAL

REQUIREMENTS

In all its activities within the scope of its airport program, the Contractor agrees to comply with pertinent statutes, Executive Orders and such rules as identified in Title VI List of Pertinent

Nondiscrimination Acts and Authorities to ensure that no person shall, on the grounds of race, color, national origin (including limited English proficiency), creed, sex (including sexual orientation and gender identity), age, or disability be excluded from participating in any activity conducted with or benefiting from Federal assistance.

This provision is in addition to that required of Title VI of the Civil Rights Act of 1964.

This provision binds the contractors from the bid solicitation period through the completion of the contract.

If the Contractor transfers its obligation to another, the transferee is obligated in the same manner as the Contractor.

The above provision obligates the Contractor for the period during which the property is owned, used or possessed by the Contractor and the airport remains obligated to the Federal Aviation

Administration.

2.15.3. CIVIL RIGHTS – TITLE VI ASSURANCE

Compliance with Nondiscrimination Requirements:

During the performance of this contract, the Contractor, for itself, its assignees and successors in interest (hereinafter referred to as the "Contractor") agrees as follows:

A. Compliance with Regulations. The Contractor (hereinafter includes consultants) shall comply with Title VI List of Pertinent Nondiscrimination Statutes and Authorities, as they may be amended from time to time, which are herein incorporated by reference and made a part of this contract.

B. Nondiscrimination. The Contractor, with regard to the work performed by it during the contract, will not discriminate on the grounds of race, color, or national origin (including limited English proficiency), creed, sex (including sexual orientation and gender identity), age, or disability in the selection and retention of subcontractors, including procurements of materials and leases or equipment. The Contractor will not participate either directly or indirectly in the discrimination prohibited by the Nondiscrimination Acts and Authorities , including employment practices when the contract covers any activity, project, or program set forth in Appendix B of

49 CFR part 21.

C. Solicitations for Subcontracts, including procurements of Materials and Equipment. In all solicitations either by competitive bidding or negotiation made by the Contractor for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier will be notified by the Contractor of the contractor's obligations under this contract and the Nondiscrimination Acts and Authorities on the grounds of race, color, or national origin.

D. Information and Reports. The Contractor shall provide all information and reports required by the Acts, the Regulations, and directives issued pursuant thereto and will permit access to its books, records, accounts, other sources of information, and its facilities as may be determined by the Sponsor or the Federal Aviation Administration (FAA) to be pertinent to ascertain compliance with such Nondiscrimination Acts and Authorities, and instructions. Where any information required of a contractor is in the exclusive possession of another who fails or refuses to furnish this information, the Contractor will so certify to the Sponsor or the FAA, as appropriate, and will set forth what efforts it has made to obtain the information.

E. Sanctions for Noncompliance. In the event of the Contractor's noncompliance with the nondiscrimination provisions of this contract, the Sponsor will impose such contract sanctions as it or the FAA may determine to be appropriate, including, but not limited to:

a. Withholding of payments to the contractor under the contract until the Contractor complies, and/or

b. Cancelling, terminating, or suspending a contract, in whole or in part.

6. Incorporation of Provisions. The Contractor will include the provisions of paragraphs 1 through 6 in every subcontract, including procurements of materials and leases of equipment, unless exempt by the Acts, the Regulations and directives issued pursuant thereto. The Contractor will take action with respect to any subcontract or procurement as the Sponsor or the FAA may direct as a means of enforcing such provisions including sanctions for noncompliance. Provided, that if the

Contractor becomes involved in, or is threatened with litigation by a subcontractor, or supplier because of such direction, the Contractor may request the Sponsor to enter into any litigation to protect the interests of the Sponsor. In addition, the Contractor may request the United States to enter into the litigation to protect the interests of the United States.

Title VI Clauses for Construction/Use/Access to Real Property Acquired Under the Activity, Facility, or Program

The following clauses will be included in deeds, licenses, permits, or similar instruments/agreements entered into by the Kenton County Airport Board pursuant to the provisions of the Airport

Improvement Program grant assurances.

A. The (grantee, licensee, permittee, etc., as appropriate) for himself/herself, his/her heirs, personal representatives, successors in interest, and assigns, as a part of the consideration hereof, does hereby covenant and agree (in the case of deeds and leases add, “as a covenant running with the land”) that (1) no person on the ground of race, color, or national origin, will be excluded from participation in, denied the benefits of, or be otherwise subjected to discrimination in the use of said facilities, (2) that in the construction of any improvements on, over, or under such land, and the furnishing of services thereon, no person on the ground of race, color, or national origin, will be excluded from participation in, denied the benefits of, or otherwise be subjected to discrimination, (3) that the (grantee, licensee, lessee, permittee, etc.) will use the premises in compliance with all other requirements imposed by or pursuant to the Title VI List of Pertinent Nondiscrimination Acts and Authorities.

B. With respect to (licenses, leases, permits, etc.), in the event of breach of any of the above nondiscrimination covenants, the Kenton County Airport Board will have the right to terminate the (license, permit, etc., as appropriate) and to enter or re-enter and repossess said land and the facilities thereon, and hold the same as if said (license, permit, etc., as appropriate) had never been made or issued.

C. With respect to deeds, in the event of breach of any of the above nondiscrimination covenants, the Kenton County Airport Board will there upon revert to and vest in and become the absolute property of the Kenton County Airport Board and its assigns.

Title VI List of Pertinent Nondiscrimination Acts and Authorities

During the performance of this contract, the Contractor, for itself, its assignees, and successors in interest (hereinafter referred to as the “Contractor”) agrees to comply with the following non-discrimination statutes and authorities; including but not limited to:

• Title VI of the Civil Rights Act of 1964 (42 U.S.C. § 2000d et seq., 78 stat. 252), (prohibits discrimination on the basis of race, color, national origin);

• 49 CFR part 21 (Non-discrimination In Federally-Assisted Programs of The Department of

Transportation—Effectuation of Title VI of The Civil Rights Act of 1964);

• The Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, (42

U.S.C. § 4601), (prohibits unfair treatment of persons displaced or whose property has been acquired because of Federal or Federal-aid programs and projects);

• Section 504 of the Rehabilitation Act of 1973, (29 U.S.C. § 794 et seq.), as amended, (prohibits discrimination on the basis of disability); and 49 CFR part 27 (Nondiscrimination on the Basis of Disability in Programs or Activities Receiving Federal Financial Assistance);

• The Age Discrimination Act of 1975, as amended, (42 U.S.C. § 6101 et seq.), (prohibits discrimination on the basis of age);

• Airport and Airway Improvement Act of 1982, (49 USC § 471, Section 47123), as amended, (prohibits discrimination based on race, creed, color, national origin, or sex);

• The Civil Rights Restoration Act of 1987, (PL 100-209), (Broadened the scope, coverage and applicability of Title VI of the Civil Rights Act of 1964, The Age Discrimination Act of 1975 and

Section 504 of the Rehabilitation Act of 1973, by expanding the definition of the terms

“programs or activities” to include all of the programs or activities of the Federal-aid recipients, sub-recipients and contractors, whether such programs or activities are Federally funded or not);

• Titles II and III of the Americans with Disabilities Act of 1990, which prohibit discrimination on the basis of disability in the operation of public entities, public and private transportation systems, places of public accommodation, and certain testing entities (42 U.S.C. §§ 12131 –

12189) as implemented by Department of Transportation regulations at 49 CFR parts 37 and

38;

• The Federal Aviation Administration’s Non-discrimination statute (49 U.S.C. § 47123) (prohibits discrimination on the basis of race, color, national origin, and sex);

• Executive Order 12898, Federal Actions to Address Environmental Justice in Minority

Populations and Low-Income Populations, which ensures discrimination against minority populations by discouraging programs, policies, and activities with disproportionately high and adverse human health or environmental effects on minority and low-income populations;

• Executive Order 13166, Improving Access to Services for Persons with Limited English

Proficiency, and resulting agency guidance, national origin discrimination includes discrimination because of limited English proficiency (LEP). To ensure compliance with Title

VI, you must take reasonable steps to ensure that LEP persons have meaningful access to your programs (70 Fed. Reg. at 74087 (2005));

2.15.4. Federal Fair Labor Standards Act (Federal Minimum Wage)

This Contract incorporates by reference the provisions of 29 CFR part 201, the Federal Fair Labor

Standards Act (FLSA), with the same force and effect as if given in full text. The FLSA sets minimum wage, overtime pay, recordkeeping, and child labor standards for full and part time workers. The

Contractor has full responsibility to monitor compliance to the referenced statute or regulation. The

Contractor must address any claims or disputes that arise from this requirement directly with the U.S.

Department of Labor – Wage and Hour Division.

2.15.5. Occupational Safety and Health Act of 1970

This Contract incorporates by reference the requirements of 29 CFR Part 1910 with the same force and effect as if given in full text. Contractor must provide a work environment that is free from recognized hazards that may cause death or serious physical harm to the employee. The Contractor retains full responsibility to monitor its compliance and their subcontractor’s compliance with the applicable requirements of the Occupational Safety and Health Act of 1970 (20 CFR Part

1910). Contractor must address any claims or disputes that pertain to a referenced requirement directly with the U.S. Department of Labor – Occupational Safety and Health Administration.

2.15.6. DISADVANTAGED BUSINESS ENTERPRISE POLICY

1. Policy. It is the policy of the United States DOT that Disadvantaged Business Enterprises (DBE) as defined in 49 CFR Part 26 shall have the maximum opportunity to participate in the performance of contracts financed in whole or in part with Federal funds. Consequently, the DBE requirements of 49

CFR Part 26 may apply to this Contract.

2. DBE Obligation. The Contractor and its subcontractors, successors and assigns agree to insure that DBEs, as defined in 49 CFR Part 26, have the maximum opportunity to participate in the performance of contracts and subcontracts financed in whole or in part with Federal funds. In this regard, the Contractor and its subcontractors, successors and assigns shall take all necessary and reasonable steps in accordance with 49 CFR Part 26 to insure that DBEs have the maximum opportunity to compete for and perform contracts. The Contractor, its subcontractors, successors and assigns, shall not discriminate on the basis of race, color, national origin, gender, physical disability, or veteran's status in the award and performance of DOT assisted contracts.

Per 49 CFR Part 26, the Owner has adopted a DBE Program, incorporated by reference, including overall goals applicable to this Contract. Contractor must comply with the requirements of 49 CFR

Part 26, regulations of the U.S. Department of Transportation, and the Owner’s most current DBE

Program, including any updates or revisions during the term of the Contract. These regulations impose goals for DBE participation in applicable projects at the Airport. The Owner encourages Contractor to voluntarily include significant involvement with socially and economically disadvantaged business enterprises in operations under its agreements with the Owner. Contractor’s failure to carry out these requirements is a material breach which may result in the termination.

2.15.7. INCORPORATION OF REGULATIONS

Contractor agrees to negotiate in good faith the incorporation into this Contract any and all statutes, rules and regulations which may now or during the term of this Contract be required by the FAA or other governmental agency as a prerequisite to or a condition of the Board and/or Contractor receiving any federal or state grant or loan or other governmental assistance.

2.16. BID CONDITIONS AND PROVISIONS

The terms and conditions of this request for proposal (RFP) include all general and special conditions as enumerated herein.

All participating proposers agree to comply with all of the conditions, requirements and instructions of this RFP as stated or implied herein. Any alteration, erasure or interlineation by the proposer in this proposal constitutes cause for rejection by KCAB. Should KCAB omit anything from this RFP which is necessary to a clear understanding of the work, or should it appear that various instructions are in conflict, then the proposer shall notify the Contract and Procurement Administration Department prior to the deadline for question submissions as per the time and date shown in the Schedule of Events.

Typographical errors in entering quotations on this proposal may result in the disqualification of this proposal.

All proposers are required to complete all information requested in this proposal. Failure to do so may result in the disqualification of proposal.

Unit price for each item must be shown for the unit of measurement indicated. In case of error in extension of prices, the unit price governs.

Each proposer shall fully acquaint and familiarize themselves with the conditions as they exist and the character of the operations to be carried on under the proposed contract and make such investigations as the proposer may see fit so that the proposer shall fully understand the facilities, physical conditions and restrictions associated with the services.

The successful proposer shall comply with all of the specifications, terms and conditions of this RFP.

KCAB is not liable for any costs incurred by proposer in the preparation of proposals or for any work performed in connection therein.
