Combined Synopsis-Solicitation for Commercial Products and Commercial Services Ann Arbor VA Medical Center OMNICELL WIN 10 Upgrade
STATEMENT OF WORK
I. BACKGROUND: The VA Ann Arbor Medical Centers (VAMC) Pharmacy Service uses automated dispensing cabinets (ADC) to store and dispense medications on the nursing units and in the clinics. The current Omnicell system requires an upgrade to Windows 10. The Windows 7 software will no longer be supported in the upcoming months.
II. OBJECTIVE:
To replace and install WIN 10 PREMIUM PACKAGE all Omnicell ADCs with new, expanded equipment that will allow for storage of all medications to improve drug accountability and maintain adequate stock levels. The ADCs are available in various sizes and configurations to meet the needs of each area of use. The units are connected to a server which can track the use of medications within the cabinet and across the Medical Center.
Ill. SCOPE OF WORK: Vendor shall provide win 10 to ADC upgrades and equipment to upgrade the current Omnicell ADCs as well as expand into new clinic areas that require ADCs for clinic use.
Vendor shall furnish all parts and expertise necessary to provide shared maintenance of all ADCs at the Ann Arbor Health Care system VAMC.
IV. SCHEDULE: Installation to be completed within 6-9 months after the award date but must be installed by 8/1/2025
V. TERM OF CONTRACT AND PRICING: The VA anticipates the award of a sole source, Purchase support service term /level 12 months/Advantage Plan . Sole-source award is requested based on the current use of an existing Omnicell system, which allows for the ability to quickly upgrade the system with minimal downtime for employee training. A new vendor would require significant time to recreate a drug file and educate all staff on the new system. This would lead to significant downtimes, that would negatively impact patient care especially in a time where all staff are needed. Pricing should be quoted by GS schedule and subject to the availability of VA funds.
VI. HOURS OF OPERATION: Not applicable.
VII. MAINTENANCE AND TECHNICAL SUPPORT: Provide maintenance on all contractor-provided equipment and installed systems. Contractor shall make provisions for the proper maintenance and functioning of associated equipment, facilities and fixtures as may reasonably be required by pharmacists to perform services hereunder. Provide afterhours support for problems with call-pack periods not to exceed 30 minutes from the placement of a call for assistance.
VIII. PLANNING AND INSTALLATION
A. Contractor shall develop a project implementation strategy with VA Ann Arbor Health Care System Pharmacy team. VAMC to include the preparation of buildings, establishing telecommunications etc. if necessary B. The service provider shall be required to utilize a point-to-point VPN between themselves and VA Ann Arbor Health care System VAMC if necessary, to dial into the system for diagnostic or upgrade purposes. All security requirements need to be met.
C. Contractor shall provide a system that maintains a minimum of 99% up time performance rate. Failure to provide this shall result in a deduction on the contract for each day down and possibly contract termination.
D. Contractor shall provide hardware necessary to connect remotely to VA VAMC to be utilized at the contractor site.
E. Contractor shall provide facsimile, telephone, computer/laptops, networking and other telecommunication equipment to be utilized at the contractor facility.
F. Contractor shall provide al supplies, services, maintenance, repairs, and upgrades required at contractor facility to provide services as described above.
G. Contractor's equipment, hardware, software, and supplies shall be compatible with the VA's software and hardware used during performance of this contract, including critical patches and antivirus updates. Contractor shall provide proof of installation of critical patches and/or antivirus updates to the VA upon request.
H. Contractor's network and security system shall be compatible with the VA's network and security system.
I. Contractor shall use any VA furnished items in conjunction with, and exclusively for, performance under this contract.
VHA Specific Gap Training
The Department of Veterans Affairs (VA) must comply with all applicable federal privacy and confidentiality statutes and regulations. One of the requirements in VA is to have all personnel trained annually on privacy requirements. “Privacy” represents what must be protected by VA in the collection, use, and disclosure of personal information whether the medium is electronic, paper or verbal.
If you have received privacy training within your organization, your organizational privacy training was reviewed by the VA/Veterans Health Administration (VHA) Privacy Officer, Julie A. Lowery, RHIA. Based on this review, additional VHA Gap training is required to cover missing elements before access, use or disclosure of VA sensitive data can be provided to you. VHA must also make you fully aware of the additional privacy laws governing our agency.

The Freedom of Information Act (FOIA), 5 U.S.C. 552
The FOIA requires Federal departments and agencies, such as VA, to release their records upon receipt of a “perfected request” unless FOIA specifically exempts the information or record from disclosure. Certain Government records are public ally available, such as statutes, and VA is not required to provide those to a requester in response to a FOIA request. VA can provide other types of Agency records such as Handbooks and manuals to the requester in public reading rooms or online. The third and most typical type of FOIA request is known as a “Section (a)(3) request”. Under Section (a)(3) of the FOIA, a requester can ask VA to provide copies of any VA record that is not publicly available or provided in a reading room.
The FOIA requires disclosure of records, in the possession of VA, upon the written request of an individual or organization. Written requests may be received by mail, by hand, by email or fax. Requests made under the FOIA must reasonably describe the records being requested. If an employee receives written FOIA requests for records, such requests should be forwarded to the local FOIA Officer.
The Privacy Act of 1974
In the aftermath of Watergate, the Privacy Act (PA) of 1974 was enacted by Congress to ensure that the Government would only collect and maintain accurate, timely and complete information from U.S. citizens for lawful purposes and would only disclose this information with the consent of the Individual or for lawful purposes. The PA protects information in records that are retrieved and filed by an individual identifier such as a name or Social Security Number. VA must collect, maintain, use, disclose, and dispose of information protected by the PA in accordance with the statute’s requirements. Contractors and others who perform these activities for VA must also comply with the requirements of the PA.
Title 38, United States Code, Section 5701
VA BENEFITS RECORDS CONFIDENTIALITY STATUTE
Section 5701 of title 38, United States Code protects identifiable beneficiary information in VA benefits records. Like the PA, Section 5701 requires VA to disclose information from VA benefits records with the consent of the Veteran or beneficiary or for certain, specified lawful purposes.
38 U.S.C. Section 5701 makes VA benefits records and the names and home addresses of present and former armed forces personnel and their dependents confidential. Section 5701 also protects applications for benefits and names and home addresses of active duty personnel and their dependents.
Title 38, United States Code, Section 7332 Drug Abuse, Alcoholism, Sickle Cell Anemia and HIV/AIDS Records Confidentiality Statute
To encourage Veterans to seek treatment for drug abuse, alcoholism, Sickle Cell Anemia and HIV/AIDS, 38 U.S.C. Section 7332 was enacted by Congress to ensure the confidentiality of identifiable treatment records for these conditions. Like the PA, the HIPAA Privacy Rule and 38 U.S.C. Section 5701, VA can only disclose information from these treatment records with the specific authorization of the Individual patient or in limited circumstances when the authorization is not required.
Title 38, United States Code, Section 5705
VA MEDICAL QUALITY ASSURANCE RECORDS CONFIDENTIALITY
Several VA components including the IG and VHA routinely conduct medical quality assurance (QA) activities to ensure that Veterans obtain the best of medical care at VA health care facilities. To encourage open and frank reviews and evaluations of VA health care by VA health care providers and contractors, Congress enacted 38 U.S.C. Section 5705. It makes information and records generated by VA’s medical quality assurance program confidential and privileged and exempt from disclosure under the FOIA. Whether or not a VA health care review record is within the scope of Section 5705 is dependent on whether the review activity is specifically enumerated in VA’s medical quality assurance regulations at 38 C.F.R. Sections 1.501(a)(1)-(4).

Signature Print Name of Agency Records Management Language for Contracts When Federal agencies acquire goods or services, they need to determine what Federal records management requirements should be included in the contract. Federal contractors often create, send, or receive Federal records. Federal contracts should provide clear legal obligations describing how the contract employees must handle Federal records.
Agency records officers, procurement counsel, and acquisitions officers must discuss how to integrate records management obligations into their existing procurement processes. NARA has developed the following language to be included as an agency-specific term and condition in Federal contracts for a variety of services and products. The majority of contracts should include language on records management obligations, but each contract should be evaluated individually. For example, the data-rights paragraph (Paragraph 10 below) may not be appropriate for all contracts. Instead, agencies may be better served by one of the established data-rights clauses in the Federal Acquisition Regulations.
This language should not replace specific records management requirements included within Federal information system contracts.
RECORDS MANAGEMENT OBLIGATIONS
A. Applicability This clause applies to all Contractors whose employees create, work with, or otherwise handle Federal records, as defined in Section B, regardless of the medium in which the record exists.
B. Definitions “Federal record” as defined in 44 U.S.C. § 3301, includes all recorded information, regardless of form or characteristics, made or received by a Federal agency under Federal law or in connection with the transaction of public business and preserved or appropriate for preservation by that agency or its legitimate successor as evidence of the organization, functions, policies, decisions, procedures, operations, or other activities of the United States Government or because of the informational value of data in them.
The term Federal record:
1. includes [Agency] records.
2. does not include personal materials.
3. applies to records created, received, or maintained by Contractors pursuant to their [Agency] contract.
4. may include deliverables and documentation associated with deliverables.
C. Requirements
1. Contractor shall comply with all applicable records management laws and regulations, as well as National Archives and Records Administration (NARA) records policies, including but not limited to the Federal Records Act (44 U.S.C. chs. 21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, and those policies associated with the safeguarding of records covered by the Privacy Act of 1974 (5 U.S.C. 552a). These policies include the preservation of all records, regardless of form or characteristics, mode of transmission, or state of completion.
2. In accordance with 36 CFR 1222.32, all data created for Government use and delivered to, or falling under the legal control of, the Government are Federal records subject to the provisions of 44 U.S.C. chapters 21, 29, 31, and 33, the Freedom of Information Act (FOIA) (5 U.S.C. 552), as amended, and the Privacy Act of 1974 (5 U.S.C. 552a), as amended and must be managed and scheduled for disposition only as permitted by statute or regulation.
3. In accordance with 36 CFR 1222.32, Contractor shall maintain all records created for Government use or created in the course of performing the contract and/or delivered to, or under the legal control of the Government and must be managed in accordance with Federal law. Electronic records and associated metadata must be accompanied by sufficient technical documentation to permit understanding and use of the records and data.
4. [Agency] and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Records may not be removed from the legal custody of [Agency] or destroyed except for in accordance with the provisions of the agency records schedules and with the written concurrence of the Head of the Contracting Activity. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. In the event of any unlawful or accidental removal, defacing, alteration, or destruction of records, Contractor must report to [Agency]. The agency must report promptly to NARA in accordance with 36 CFR 1230.
5. The Contractor shall immediately notify the appropriate Contracting Officer upon discovery of any inadvertent or unauthorized disclosures of information, data, documentary materials, records, or equipment. Disclosure of non-public information is limited to authorized personnel with a need-to-know as described in the [contract vehicle]. The Contractor shall ensure that the appropriate personnel, administrative, technical, and physical safeguards are established to ensure the security and confidentiality of this information, data, documentary material, records and/or equipment is properly protected. The Contractor shall not remove material from Government facilities or systems, or facilities or systems operated or maintained on the Government’s behalf, without the express written permission of the Head of the Contracting Activity. When information, data, documentary material, records and/or equipment is no longer required, it shall be returned to [Agency] control or the Contractor must hold it until otherwise directed. Items returned to the Government shall be hand carried, mailed, emailed, or securely electronically transmitted to the Contracting Officer or address prescribed in the [contract vehicle]. Destruction of records is EXPRESSLY PROHIBITED unless in accordance with Paragraph (4).
6. The Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, contracts. The Contractor (and any sub-contractor) is required to abide by Government and [Agency] guidance for protecting sensitive, proprietary information, classified, and controlled unclassified information.
7. The Contractor shall only use Government IT equipment for purposes specifically tied to or authorized by the contract and in accordance with [Agency] policy.
8. The Contractor shall not create or maintain any records containing any non-public [Agency] information that are not specifically tied to or authorized by the contract.
9. The Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected from public disclosure by an exemption to the Freedom of Information Act.
10. The [Agency] owns the rights to all data and records produced as part of this contract. All deliverables under the contract are the property of the U.S. Government for which [Agency] shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest. Any Contractor rights in the data or deliverables must be identified as required by FAR 52.227-11 through FAR 52.227-20.
11. Training. All Contractor employees assigned to this contract who create, work with, or otherwise handle records are required to take [Agency]-provided records management training. The Contractor is responsible for confirming training has been completed according to agency policies, including initial training and any annual or refresher training.
[Note: To the extent an agency requires contractors to complete records management training, the agency must provide the training to the contractor.] D. Flow down of requirements to subcontractors
1. The Contractor shall incorporate the substance of this clause, its terms and requirements including this paragraph, in all subcontracts under this [contract vehicle], and require written subcontractor acknowledgment of same.
2. Violation by a subcontractor of any provision set forth in this clause will be attributed to the Contractor.
