About this file
This document is an Agency Term Contract (ATC-16-001) between the Florida Department of Corrections and Prison Rehabilitative Industries and Diversified Enterprises, Inc. (PRIDE), a state agency/vendor responsible for providing officer uniforms. The contract was originally executed in February 2016 and has since been amended twice, with the most recent amendment in January 2019 renewing the contract for an additional three-year period ending February 24, 2022.
The contract covers a comprehensive uniform and clothing program for Florida Department of Corrections officers, featuring Horace Small brand uniforms including Class A and Class B shirts and trousers, with pricing ranging from $25.00 to $33.12 for primary uniform items. The contract includes detailed specifications for uniforms, accessories, outerwear, and additional clothing options, with provisions for size variations and optional items like maternity wear, tactical gear, and non-security personnel clothing. Pricing includes incremental increases for larger sizes, and the contract allows for annual price adjustments using the Producer Price Index for apparel. The contract also provides a structured implementation schedule for rolling out uniforms across different corrections facilities in Florida, with specific timelines for different regions and institutions.

The provisions herein do not limit the Department’s right to remedies at law or to damages.
D. Termination for Unauthorized Employment
Violation of the provisions of Section 274A of the Immigration and Nationality Act shall be grounds for unilateral cancellation of this Contract.
X. Assignment
The Contractor shall not assign its responsibilities or interests under this Contract to another party without prior written approval of the Department’s Contract Manager. The Department shall, at all times, be entitled to assign or transfer its rights, duties and obligations under this
Contract to another governmental agency of the State of Florida upon giving written notice to the Contractor.
XI. Subcontracts
The Contractor is fully responsible for all work performed under this Contract. The Contractor may, upon receiving written consent from the Department’s Contract Manager, enter into written subcontract(s) for performance of certain functions under this Contract. No subcontract, which the Contractor enters into with respect to performance of any of its functions under this
Contract, shall in any way relieve the Contractor of any responsibility for the performance of its duties. All payments to subcontractors shall be made by the Contractor.
It is understood and agreed that the Department shall not be liable to any subcontractor for any expenses or liabilities incurred under the subcontract and that the Contractor shall be solely liable to the subcontractor for all expenses and liabilities under this Contract.
XII. Price Adjustments
Upon completion of the initial implementation of the uniform roll-out, anticipated to be completed by December 2016, a price escalation or de-escalation may be requested by the Contractor or the Department to the price of products contained, no more than annually, during the initial
Contract period or renewal period by using the Producer Price Index (PPI) published by the U.S.
Bureau of Labor Statistics specified below.
New PPI / Old PPI = Price Escalation / De-escalation Rate
“Old Price” x “Price Escalation / De-escalation Rate” = New Price
The average of the last 12 published non-preliminary monthly PPI figures three months prior to month of award of the Contract will become the beginning OLD PPI. Three months prior to each anniversary of the Contract, including any renewals, the average of the last 12 published non-preliminary monthly PPI figures will establish the reference data for the New PPI. Three months prior to each anniversary of the Contract, including the renewals, the previous year’s
New PPI becomes the OLD PPI. Increases claimed by the Contractor, in accordance with this formula, must be documented by the Contractor to the Department’s satisfaction at least 30 calendar days prior to the effective date of the increase.
The Department may require a decrease by the amount of the PPI decrease from the last PPI published prior to award of the Contract and during any renewal period.
The price escalation / de-escalation formula will be tied to the change in the commodity
Producer Price Index – Apparel and Accessories, n.e.c. (Series Id: WPU03810441)
Price Escalation/ De-escalation Example:
Assumptions:
Year 1 Item ABC Pricing = $40.00
Contract effective April 2014
January 2014 is three months prior to the first year anniversary of the Contract
Old PPI: Average of January 2013 through December 2013 PPI for Apparel and Accessories, n.e.c. = 148.233
New PPI: Average of January 2015 through December 2015 PPI for Apparel and Accessories, n.e.c. = 150.692
Price Escalation / De-escalation Formula:
New PPI / Old PPI = Price Escalation / De-escalation Rate
“Old Price” x “Price Escalation / De-escalation Rate” = New Price
Calculation:
150.692 / 148.233 = 1.017 (rounded) Price Escalation / De-escalation Rate
Item ABC Price has increased by 1.7% (1-1.017 = -.017)(escalation)
$40.00 x .1.017 = $40.68 New Price
Year 2 New Pricing for Item ABC = $40.68
