About this file

This document is an Amendment for Subconsultant Name Change issued by the Florida Department of Transportation (FDOT) District Two, involving Burgess & Niple, Inc. as the primary consultant and SES Environmental Resource Solutions LLC as the subconsultant. The amendment modifies the original professional services agreement (No. CA764) executed on 1/29/2020 for the SR 115 project from Southside Boulevard to Mathews Bridge. The amendment authorizes SES Environmental Resource Solutions LLC to perform subconsultant services and removes SES Energy Services LLC from the agreement.

The amendment stems from a corporate restructuring where Environmental Resource Solutions, Inc. was acquired by Bristol Bay Native Corporation (BBNC) in 2019 and subsequently formed as a standalone LLC. The change maintains the existing rates and does not alter the level of service provided to FDOT. The subconsultant has secured DBE (Disadvantaged Business Enterprise) certification and seeks to transfer all existing FDOT contracts to the new entity to streamline contract management. The project appears to be related to transportation infrastructure, specifically a segment of State Road 115 in Florida.

Mr. Robert Williams, Contract Supervisor FDOT District 2 1109 South Marion Avenue Lake City, Florida 32025-5874

RE: SES Environmental Resource Solutions

Dear Mr. Williams:

Following your recent conversation with Ms. Charlie Cruz, I am writing to provide some additional information about the change from SES Energy Services to SES Environmental Resource Solutions LLC (ERS). As you may recall, Environmental Resource Solutions, Inc. was acquired by Bristol Bay Native Corporation (BBNC) on January 1, 2019. In order to maintain our well-established ERS brand, we operated informally as a Division of SES Energy Services. Since that time, BBNC allowed the formation of SES Environmental Resource Solutions LLC as a stand-alone, wholly owned subsidiary. This is very important to us, as it enables us to maintain our ERS brand without the confusion of being under SES Energy Services as an informal Division. Nothing has changed from an ownership perspective and this in no way affects our employees, or the level of service provided to FDOT.

Since the formation of the new ERS subsidiary, we secured DBE certification and have been actively procuring new FDOT work under that Company. We would like to transfer all existing FDOT contracts to ERS so that all FDOT work is managed out of a single company. Having ERS as a standalone subsidiary will make things much easier going forward.

I am available to answer any questions. Thank you so much for your help and guidance.

Sincerely, SES ENVIRONMENTAL RESOURCE SOLUTIONS LLC

Kim M. Allerton Vice President, Environmental Services
