About this file

This is an Assignment Agreement (Modification/Amendment No. 03) executed on February 28, 2018, between Ellis & Associates, Inc. (Assignor), ECS-Florida, L.L.C. (Assignee), and the State of Florida Department of Transportation (Department). The agreement transfers contract rights, title, and interests from Ellis & Associates, Inc. to ECS-Florida, L.L.C., subject to Department consent. The assignment is effective as of the execution date and applies to all remaining duties and obligations under the specified contracts, with the Assignee assuming all liabilities and subconsultant obligations. The Assignor remains fully liable for performance obligations prior to the assignment effective date.

The assignment covers five geotechnical and materials testing contracts in District 2, Florida: Contract C9630 (District Wide Geotechnical and Materials Testing Projects), Contract C9649 (SR 9B Phase III & I-10 at Marietta Interchange), Contract C9B70 (SR 23 Geotechnical & Materials Testing in Duval County), Contract C9H31 (District Wide Geotechnical & Materials Testing), and Contract C9Q85 (Continuing Services Geotechnical & Materials Testing). All contracts transitioned from Assignor Sequence Number 001 to Assignee Sequence Number 004. The agreement specifies that the Department's consent to assignment does not waive prohibitions against further assignments and does not release the original Assignor from contractual obligations or performance up to the assignment effective date.
