About this file

This document is Amendment No. 1 to Professional Services Agreement No. CN 219 between the Florida Department of Environmental Protection and Lyman Davidson Dooley, Inc., a consulting firm located in Marietta, Georgia. The amendment involves a professional architectural and engineering services agreement that was originally effective March 03, 2015, and is now being renewed and modified.

The amendment extends the existing agreement for a five-year period from March 04, 2020, to March 03, 2025, with the consultant continuing to perform professional services under the same terms and conditions. The amendment introduces new provisions related to public records requirements, inspector general audit cooperation, and scrutinized companies certification. Specifically, the consultant must comply with public records disclosure regulations, cooperate with inspector general investigations, and certify that it is not on lists of companies boycotting Israel or engaged in business operations in certain sanctioned countries. No specific pricing, service amounts, or detailed scope of work are outlined in this amendment, which appears to be primarily focused on administrative contract updates and renewals.

TO AGREEMENT NO. CN 219

BETWEEN

FLORIDA DEPARTMENT OF ENVIRONMENTAL PROTECTION

AND

LYMAN DAVIDSON DOOLEY, INC.

This Amendment to Professional Services Agreement No. CN 219 (Agreement) is made by and between the Department of Environmental Protection (Department), an agency of the State of Florida, and Lyman Davidson Dooley, Inc., 1640 Powers Ferry Road, Marietta, GA 30067, (Consultant), on the date last signed below.

WHEREAS, the Department entered into the Agreement with the Consultant for Professional Architectural and Engineering services effective March 03, 2015; and

WHEREAS, the parties wish to amend the Agreement to renew the Agreement and make other changes as set forth herein.

NOW THEREFORE, the parties agree as follows:

I) The Agreement is renewed for a five year period to begin March 04, 2020, and remain in effect until March 03, 2025.

The Department and the Consultant shall continue to perform their respective duties during this extension period pursuant to the same terms and conditions provided in the Agreement.

2) Section 4.11 of the Agreement is hereby deleted in its entirety and replaced with: "Attachment J, Public Records Requirements, as attached to this Amendment, is hereby incorporated into the Agreement."

3) The following provision is hereby added to the Agreement as a new Section 31:

Pursuant to Section 287.135, F.S., the Department may immediately terminate this Agreement at its sole option if the Consultant is found to have submitted a false certification; or if the Consultant is placed on the Scrutinized Companies with Activities in Sudan List, or Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, or engaged with business operations in Cuba or Syria during the term of the Agreement.

C. As provided in Subsection 287.135(8), F.S., if federal law ceases to authorize these contracting prohibitions then they shall become inoperative.

5) All other terms and conditions of the Agreement remain in effect. If and to the extent that any inconsistency may appear between the Agreement and this Amendment, the provisions of this Amendment shall control.
