PART II – STATEMENT OF WORK

1.0 BACKGROUND

The Office of the Comptroller of the Currency (“OCC”) charters, regulates, and supervises all national banks and federal thrifts. It also supervises the federal branches and agencies of foreign banks. The primary mission of the Economics Department within the OCC is to deliver economic and quantitative analysis to policymakers and bank examiners. Economics supports on-site and off-site supervision of banks, provides current economic analysis, supports policy development, and conducts original research to support the OCC mission of ensuring a safe and sound national banking system.

2.0 OBJECTIVES

The OCC requires a responsible contractor to provide estimates of probabilities of default (“PDs”) for U.S. and foreign public companies. As optional data products, the OCC may require the contractor to provide PD data for sovereigns and U.S. banks and thrifts at the charter or certificate level. Coverage of U.S. and foreign public companies, and optional coverage of sovereigns and U.S. banks and thrifts at the charter or certificate level, shall be extensive and data shall be available at the time periods identified below. The OCC will be able to access the PDs through (1) a convenient to use, web-based graphic user interface and (2) transfer via secure FTP (“SFTP”). The contractor shall provide software or contractor services that will allow data transfer to the OCC via SFTP of current and historical values for the probabilities of default and related data (as described below) provided by the contractor.

3.0 SCOPE OF SERVICES

This Statement of Work (SOW) encompasses all activities necessary to provide economic estimates of PDs for U.S. and foreign public companies, and optional coverage of sovereigns and U.S. banks and thrifts at the charter or certificate level.

4.0 PERFORMANCE REQUIREMENTS

4.1 Required Data. The contractor shall provide PD data for U.S. public companies:

4.1.1 All data provided by the contractor shall include company name, country, and PD for that company. The data shall include a company identifier variable that will enable the OCC to map the contractor’s PD data to the company’s underlying characteristics and financial information via Standard & Poor’s Compustat® database, databases from the Center for Research in Security Prices (CRSP), or other similar databases. Examples of company identifiers commonly used to link databases are GVKEY or PERMCO. Additional company-specific variables such as ticker, issuer Committee on Uniform Security Identification Procedures (CUSIP) number, or Legal Entity Identifier (LEI) number are desirable. The data shall also include the factors that the contractor uses to calculate the company PD (hereafter, related data) and industry classification, preferably using North American Industry Classification System (NAICS) codes. The PDs and related data for U.S. public companies shall be calculated using a consistent methodology from the early 1990s to the present.

4.1.2 The data for U.S. public companies shall include a term structure of default probabilities. At a minimum, the contractor shall provide estimates of default probabilities at the one-year time horizon. However, a term structure of default probabilities at longer time horizons is preferred.

4.1.3 The OCC seeks the longest and broadest possible coverage, including historical PDs on delisted firms, of U.S. public companies. At a minimum, the contractor must provide coverage of at least 3,000 U.S. public companies. However, coverage of more U.S. public companies is preferred.

4.2. Required Data. The contractor shall provide PD data for foreign public companies:

4.2.1 All data provided by the contractor shall include company name, country, and PD for that company. Additional company-specific variables such as ticker, issuer CUSIP, or LEI are desirable. The data shall also include related data and industry classification, preferably using NAICs codes. The PDs and related data for foreign public companies shall be calculated using a consistent methodology from the early 2000s to the present.

4.2.2 The data for foreign public companies shall include a term structure of default probabilities. At a minimum, the contractor shall provide estimates of default probabilities at the one-year time horizon. However, a term structure of default probabilities at longer time horizons is preferred.

4.2.3 The OCC seeks the longest and broadest possible coverage, including historical PDs on delisted firms, of foreign public companies. At a minimum, the contractor must provide coverage of 15,000 foreign public companies, including companies in the G-20 countries (subject to data availability). However, coverage of more foreign public companies is preferred. Coverage of foreign public companies shall, at a minimum, include companies and in additional countries (outside of G-20 is preferred.

4.3 Optional Data. The OCC may require the vendor to provide PD data for U.S. banks and thrifts at the charter or certificate level:

4.3.1 All data provided by the contractor shall include the name of the U.S. bank or thrift at the charter or certificate level (hereafter, U.S. bank) and its PD. The data shall also include the institution’s certificate number assigned by the Federal Deposit Insurance Corporation (FDIC) or other unique identifier that will allow the OCC to map the contractor’s data to regulator-issued data, such as the Consolidated Report of Condition and Income (Call Report) data reported by the FDIC. The data shall also include the factors that the contractor uses to calculate the PD (hereafter, related data) for U.S. banks. The PDs and related data for U.S. banks shall be calculated using a consistent methodology from the early 1990s to the present.

4.3.2 The data for U.S. banks shall include a term structure of default probabilities. At a minimum, the contractor shall provide estimates of default probabilities at the one-year time horizon. However, a term structure of default probabilities at longer time horizons is preferred.

4.3.3 The OCC seeks the longest and broadest possible coverage of U.S. banks, including historical PDs on closed U.S. banks. At a minimum, the contractor shall provide estimates of default probabilities for all FDIC-insured commercial banks (subject to data availability). However, coverage of all FDIC-insured institutions is preferred.

4.4 Optional Data. The OCC may require the vendor to provide PD data for sovereigns:

4.4.1 All data provided by the contractor shall include the name of the sovereign and its PD. The data shall also include the factors that the contractor uses to calculate the PD (hereafter, related data) for sovereigns. The PDs and related data for sovereigns shall be calculated using a consistent methodology from the early 2000s to the present.

4.4.2 The data for sovereigns shall include a term structure of default probabilities. At a minimum, the contractor shall provide estimates of default probabilities at the one-year time horizon. However, a term structure of default probabilities at longer time horizons is preferred.

4.4.3 The OCC seeks the longest and broadest possible coverage of sovereigns. At a minimum, the contractor must provide coverage of 100 sovereigns, which shall include all G-20 countries.

However, coverage of more sovereigns is preferred.

4.5 Access to Data. The Contractor shall provide access to data through two primary tools:

4.5.1 Web-based Interface. The web-based graphic user interface shall provide daily updates of the probabilities of default for the U.S. and foreign public companies, in addition to optional data for sovereigns and U.S. banks. The web-based graphic user interface shall display current and historical PDs and related data. The web-based graphic user interface shall also allow PD data to be exported to Excel, Access, Statistical Analysis Software (SAS), or other statistical software.

4.5.2 Data Transfer. The contractor shall transfer the data to the OCC on a monthly basis via secure file transfer protocol (SFTP). The contractor shall assist the OCC’s efforts to set up the process to transfer these monthly data.

4.5.3 Technical Support. The contractor shall provide technical support to OCC users of the data, including guiding OCC users through the use of the data. The contractor shall also provide support with the OCC to facilitate setting up the OCC’s process for monthly SFTP data transfers.

4.5.4 Access and Usage. All OCC employees and contractors in the performance of OCC required work duties shall be authorized to share portions of the data or analysis of the data, accessed either through the graphic user interface or SFTP data transfer, with OCC employees and contractors that need to know the data or analysis of the data regardless of location. OCC employees and contractors shall be authorized to use the data to conduct research and analysis that will be publicly disseminated in various forms, including research papers, policy papers, and analytical presentations and memorandum. OCC employees shall be authorized to co-author such work with non-OCC employees.

5. DELIVERABLES

The contractor shall submit all documentation in hard copy and electronic format.

5.1 Web-based Interface Documentation. The contractor shall re-submit the documentation provided as a part of the proposal submission regarding the ease-of-use and functionality of their graphic user interface within 7 days of contract award.

5.2 Data and Functionality Documentation. The contractor shall re-submit the documentation provided as a part of the proposal submission that addresses both data and functionality. Documentation shall explain how to transfer data via SFTP, identify every variable that will be included in the SFTP transfer, and describe the frequency of the data (e.g., monthly) and the precision of the estimate.

The documentation shall include complete information on the methodology (such as underlying model, empirical framework, and reference dataset) used to calculate the probability of default. The contractor shall include documentation of model application (such as model inputs, model outputs, ability to perform what-if scenarios), model performance (back-testing or other validation, including the frequency of validation), processes used in creating and updating the data, and whether any industries exhibit unique characteristics that affect the applicability of the methodology. If the contractor's current and historical data are produced by more than one model during the full time period, the contractor shall provide documentation for all the models used to produce the data. In such cases, the contractor shall provide studies showing the extent to which there are “breaks” in the time series data when the contractor changed models so that the OCC can analyze the consistency of the data across the full time period. Re-submission of documentation shall be made within 7 days of contract award.

5.3 Model Validation Documentation. Contractors shall provide model-validation documentation for their model(s). The vendor shall provide documentation addressing each of the supervisory expectations outlined in OCC Bulletin 2011-12, Section V, and in accordance with generally accepted best statistics practices. This document can be found on the OCC internet website as follows https://www.occ.gov/news-issuances/bulletins/2011/bulletin-2011-12a.pdf, and is provided in Appendix A hereto.

5.4 Changes in Models Documentation. If the contractor changes models during the contract period, the contractor shall provide similar documentation for its new model(s) as provided for in Sections

5.2 and 5.3. Delivery of documentation shall be made within 30 days of the notification of changes in models.

6.0 PERSONNEL MANAGEMENT

6.1 Contractor Point of Contact. The Contractor shall identify a point of contact for this contract to interface with the OCC Point of Contact (“POC”).
