MEMORANDUM
Subj: SOLE SOURCE MEMORANDUM TO ACQUIRE THE UPGRADE OF
AN/SQQ-32 UNIT 7 AND UNIT 8 OPERATOR CONSOLES FROM
INNOVATIVE PROFESSIONAL SOLUTIONS (IPS)
1. Identification of the agency and the contracting activity, and specific identification of the document as a “Limited Source Justification.”
This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001.
2. Nature and/or description of the action being approved.
This action will award a firm fixed price purchase order under the Woman-Owned Small Business (WOSB) Statue FAR 19.1506 to Innovative Professional Solutions (IPS) Inc.
for the upgrades of the Legacy Unit 7/8 Operator consoles to the new Reduced Server configuration for the AN/SQQ-32 system.
3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).
The Navy is designing an upgrade to the AN/SQQ-32(V)4 Unit 7 and Unit 8 (Qty. 2) Operator Consoles that are currently installed onboard Mine Counter Measure (MCM) ships. This upgrade includes assembling and system testing of 3U servers, Uninterrupted Power Supplies (UPS), rails, chassis and system cables to the new upgraded AN/SQQ-32 Operator Consoles. The task requires knowledge of the AN/SQQ-32(V)4 system as a whole and in depth knowledge of the AN/SQQ-32(V)4 Operator Consoles aboard MCM ships. This purchase will be funded with 2023Navy Working Capital Funds (WCF).
4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C. 2304(c)(1), 10 U.S.C. 2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302- 1(a)(2)(iii)(B).
Pursuant to 10 U.S.C. 2304(c)(1), this procurement is sole source for the following reasons. IPS personnel developed the procedures and techniques for upgrading, repairing and testing the AN/SQQ-32 (V)4 Operator Consoles. The AN/SQQ-32 consoles were design decades ago and have been in service since the early nineties. These consoles, being a legacy system, has experienced some obsolescence issues and therefore the consoles needed to be upgraded. IPS personnel were trained exclusively to repair and test the Operator Consoles by the Original Equipment Manufacturer. IPS is the only company with the in-house resident knowledge of the unique AN/SQQ-32 (V)4 Operator Consoles coupled with their experience in designing and fabricating the unique tooling required to repair and upgrade the internal operator console server components, uniquely qualifies them to perform the upgrades. No other contractor will be able to duplicate the knowledge and processes. As such, the Government does not expect significant savings through competition and does expects significant and unacceptable delays that will negatively impact this requirement. Therefore, it is in the Governments’ best interest to award on a sole source basis to Innovative Professional Solutions Incorporated, a woman-owned small business.
5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).
The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.
6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.
For the reasons specified in paragraph 4 above, IPS is the only company that can upgrade the SQQ-32 consoles. Additionally, this requirement will be synopsized on the SAM.gov website per FAR Part 5.2.
7. Any other facts supporting the justification.
None
8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.
As stated in paragraph 4 above, IPS is the only company that can upgrade the SQQ-32 consoles.
