MUNICIPAL ADVISOR

FINANCIAL SERVICES DEPARTMENT

RFP NO. FN-2026-002

The City of Burbank (“City”) is soliciting proposals from qualified firms to contract for Municipal Advisory Services to assist the City with a debt issuance for the New Central Library and Civic Center project. These services will be funded from City capital project funds budgeted for the aforementioned project.

1. CITY INFORMATION

The City of Burbank was incorporated in 1911 and currently has a population of approximately 105,000 residents. The City operates under the Council-Manager form of government. The City’s fiscal year begins on July 1 and ends on June 30.

Burbank is the fourteenth largest city in Los Angeles County and is located northeast of Los Angeles in the foothills of the Verdugo Mountains. Burbank is traversed by the Golden State (5) and Ventura

(134) freeways and home to Hollywood Burbank Airport. Burbank is noted for its excellent residential areas, schools, shopping facilities, libraries, parks, hospitals, business environment, and motion picture production companies.

Burbank is one of the most livable cities in Southern California, with beautiful well-established residential neighborhoods, a walkable downtown district, a top-rated school system, and numerous parks and recreational facilities located all within the 17.3 square miles of the City. The Burbank Town Center mall offers a choice of more than 170 retail shops, restaurants, entertainment venues and lifestyle choices. The Empire Shopping Center is one of Los Angeles’ highest grossing shopping centers and is the go-to destination for major national retailers and great restaurants.

Burbank offers a variety of other banking, financial, entertainment and business institutions that increase the daytime population to well over 250,000.

2. BACKGROUND

The City of Burbank is undertaking a major investment in its Civic Center to replace the current Central Library, originally built in 1963, and create a modern civic and cultural hub for the community. The New Central Library and Civic Center Project will deliver a state-of-the-art Central Library, a new Administrative Services Building, structured parking, and enhanced public open space – bringing together library services, city offices, and a vibrant public plaza on a single downtown site. Together, these improvements are intended to strengthen public services, support community programming, and anchor downtown Burbank as a thriving destination for the long term.

Project Summary

Project Program Library / Civic Center Building 97,500 SF Parking Structure 310 stalls Open Space 43,000 SF

Delivery Method: Progressive Design-Build (PDB) Project Timeline

Design: Fall 2026 to Summer 2027 (9 months) Construction: Summer 2027 to Spring 2029 (21 months)

Project Costs

Estimated PDB Contract: $155 million Estimated Total Project Costs: $188 to $191 million, including pre-development costs, contingencies, and PDB contract.

The Project is expected to be funded through a mix of City resources, grants, and long-term financing. During the Pre-Development and Pre-Construction phases, prior to execution of the Guaranteed Maximum Price (GMP), project costs will be covered by existing City cash and grant sources, including $11.8 million in committed Capital Improvement Plan funds; approximately $20 million from the State of California’s Building Forward Grant and a City match set-aside; and $2.3 million in Library Development Impact Fees. In addition, the City has secured approximately $3 million in federal appropriations to support eligible project costs. Following establishment of the GMP, the City plans to issue a Lease Revenue Bond to fund approximately $150 million in construction costs.

In 2018, the City of Burbank approved Measure P, a ¾ cent general-purpose Transactions and Use Tax (TUT). On the same ballot, voters passed an advisory vote, directing the CIty to dedicate half of the Measure P revenues towards general city (non-utility) infrastructure. Adhering to that direction, the City Council’s adopted the Infrastructure Maintenance, Repair, and Improvement Policy, which dedicates fifty percent of the Measure P TUT revenue to the Municipal Infrastructure Fund, in addition to an annual $4.7 million General Fund maintenance of effort. This dedicated revenue stream, currently estimated at $22 million annually, will be utilized to fund the annual debt service for the New Central Library and Civic Center project, but must be balanced against Burbank’s ongoing infrastructure maintenance and capital needs. The City currently has no other general City debt, and currently holds an Aa1 credit rating from Moodys as of February 2026.

3. OBJECTIVE

The City seeks to contract with a qualified municipal advisory firm to provide municipal advisory and related financial consulting services in support of the City’s debt issuance for this project, in addition to ongoing debt management support and assistance with long-term capital planning and financing needs. The successful firm will provide independent financial advice, analysis, and recommendations to assist the City in evaluating financing alternatives, structuring transactions, managing debt obligations, and making informed financial decisions consistent with the City’s fiscal objectives.

ATTACHMENT A- SCOPE OF WORK

1. Purpose and Financing Assignment

The City of Burbank (City) seeks independent municipal advisory services related to the anticipated issuance of approximately $150 million in lease revenue bonds for the New Central Library and Civic Center Project, following establishment of the project Guaranteed Maximum Price (GMP). The initial bond issuance is the primary assignment. This Scope distinguishes services included in the fixed fee from additional services that the City may separately authorize on an hourly or optional retainer basis.

2. Fixed-Fee Services — Initial Bond Issuance and 3 years of support.

The proposed single fixed fee shall include all municipal advisory work reasonably necessary to plan, structure, execute, issue, and close the initial New Central Library and Civic Center financing. The fixed fee covers the activities below, including customary analyses, revisions, coordination, communications, meetings, presentations, and deliverables arising from that transaction. No separate hourly or retainer fees may be charged for work within Section 2.

2.1 Financing assessment and alternatives

Review anticipated project funding, City resources, existing debt and financial policies, repayment capacity, financing requirements, and available financing alternatives.

Evaluate debt affordability and impacts on ongoing infrastructure and capital needs.

2.2 Financing plan and recommendations

Develop and compare feasible financing structures, debt service schedules, repayment terms, revenue sources, timing, method of sale, risks, flexibility, and estimated costs.

Recommend a financing strategy and update analyses as transaction assumptions evolve.

2.3 Credit, ratings, and market advice

Assess credit factors and market conditions; assist with preparation for credit rating and investor review; advise on rating presentations, transaction timing, and pricing expectations.

2.4 Financing-team coordination

Advise on selection and coordination of financing participants as needed; work with City staff, bond counsel, underwriters, trustee, rating agencies, and other transaction participants. Track responsibilities, key decisions, milestones, and schedule through closing.

2.5 Financing and disclosure document review

Review financing and disclosure documents within the Municipal Advisor’s professional role, including proposed official statements, financing terms, and key assumptions, and advise the City on material financial implications. Legal drafting and legal opinions remain the responsibility of counsel.

2.6 Bond sale, pricing, and closing

Advise on sale method and timing; independently evaluate proposed interest rates, yields, costs, underwriter recommendations, and pricing results; support transaction approvals and final execution; and coordinate financial advisory activities necessary to close the bonds.

2.7 Meetings and decision support

Attend and prepare for reasonable working meetings with City staff and financing participants and City committee or Council meetings directly related to approval, pricing, or closing of this initial issuance. Present analyses, alternatives, risks, and recommendations.

2.8 Project management and completion deliverables

Maintain a financing work plan and decision schedule; provide analysis and presentation materials relevant to each phase; and deliver a closing summary of final financing terms, debt service, financing costs, and applicable follow-up recommendations. Routine resolution of closing-related questions and corrections to the advisor’s own deliverables is included.

2.9 Three-Year Post-Issuance Support

The fixed fee shall include thirty-six (36) months of municipal advisory support following the closing date of the initial bond issuance. During this period, the Municipal Advisor shall provide routine advice and assistance concerning debt-service obligations, bond covenant monitoring, continuing disclosure requirements, debt-related financial reporting, investment of bond proceeds, cash-flow and expenditure planning, and arbitrage and rebate considerations.

Services shall include reasonable consultation with City personnel, review of relevant financial information, participation in related meetings, and coordination with bond counsel, the trustee, and other financing participants as necessary. Detail in the written proposal any exclusions.

The required post-issuance support shall be included in the original fixed fee and shall not be separately billed under hourly rates or an optional retainer.

3. Additional Services — Hourly, Only When Authorized

The City may request additional municipal advisory services that are separate and distinct from the initial bond issuance and the thirty-six (36) months of post-issuance support included in Section 2. Additional services are not included in the fixed fee and may be compensated at the approved hourly rates only upon prior written City authorization identifying the scope of work, estimated hours, and a not-to-exceed amount. Services already included in Section 2 shall not be reclassified as additional services.

4. Optional Ongoing Advisory Retainer — Recurring Services

The City may elect a monthly or annual retainer for a defined amount of recurring, as-needed advice on matters distinct from those identified in section 2 Fixed Fee. The retainer is optional, Page | 19 does not arise automatically from award of the fixed-fee contract, and must be expressly authorized by the City.

A retainer proposal must specify its monthly or annual price, included activities, covered meetings, included hours (if any), response expectations, treatment of unused hours, excluded work, and rates for City-authorized work beyond the allowance. Major analyses, new bond transactions, formal financing documents, and specialized post-issuance projects are not presumed included in a modest retainer unless specifically identified. The City may instead order any such work under approved hourly rates.

5. General Performance Expectations

The Municipal Advisor shall provide independent advice in the City’s interests; promptly identify material financial risks, assumptions, alternatives, and decisions; and coordinate with authorized City representatives and the financing team. The City retains all approval and financing decisions.

Nothing in this Scope obligates the City to issue bonds, purchase optional services, or guarantee any minimum level of follow-up work. This Scope is read with the RFP and executed Professional Services Agreement; in the event of a material inconsistency, the City will resolve it through the applicable solicitation or contracting process.
