Proposer must also clearly describe any facilities, SacRT personnel, data, and other requirements that SacRT will be expected to provide. SacRT provides restroom facilities.
D. Part 4 - Price Proposal
Proposer must complete Form 1, Pricing Proposal Form, to set out the firm-fixed unit prices to be paid by SacRT under the Contract for each of the 5 years. The fully-loaded hourly rates must include all compensation for wages, salary-related benefits, overhead, administration, materials and other direct costs; travel expenses;

All prices submitted must be in U.S. dollars. Proposer must honor all pricing included in its proposal for the term of the Contract. If Proposer anticipates its pricing will increase during the term of this Contract, it must include that escalation in its price proposal. If Proposer fails to include anticipated price increases, Proposer will not be allowed to increase its prices during the Contract term and must perform the work based on the prices proposed. Failure to do so will constitute a breach of contract and could result in debarment.
E. Part 5 – Exceptions to the Contract
SacRT expects the selected Proposer to enter into SacRT’s Form of Agreement, including all of the terms and conditions set forth in this RFP. However, SacRT affords Proposers an opportunity, in Part 5 of the Proposal, to identify exceptions to any terms and conditions set forth in the RFP and offer, for SacRT’s consideration, proposed changes to those terms and conditions. Proposer must clearly identify each and every proposed contract exception in Part 5 of its Proposal. SacRT will not consider any exceptions to the Contract terms and conditions not listed in Part 5 of the Proposal. All proposed contract exceptions must be specifically identified with a redline markup or proposed replacement language/criteria. Proposer may not attempt to reserve a general right to negotiate all Contract terms and conditions. In addition, Proposer may not attempt to submit requests for exceptions and/or additions by reference to its website or a URL.
SacRT will not consider any exception requests that reference a website or URL.
SacRT will not review the Contract exceptions as part of its evaluation of the Proposal. If SacRT determines through its evaluation process that Proposer is the highest-ranked Proposer, SacRT will review Proposer’s contract exceptions. With respect to each exception, SacRT reserves the right, in its sole and absolute discretion, to reject the exception outright, negotiate with Proposer regarding the exception, or make the requested modification. SacRT may deem Proposer non-responsive and proceed to award to the next-highest ranked Proposer (or negotiate that Proposer’s exceptions), if Proposer is unwilling to enter into the Contract after a reasonable period of negotiation regarding the exceptions.
CN 2026037 CONTRACT SCOPE PAGE 14
Proposer must certify, using the “Certification Regarding SacRT’s Form of Agreement” Form that any necessary internal reviews and/or approvals, including but not limited to reviews by Proposer’s legal counsel or contract administrator, of the RFP terms and conditions have been completed and, unless otherwise noted on the form, Proposer is prepared to execute the Contract on the terms and conditions specified in the RFP.
Proposer must certify, on the same form, that Proposer accepts all terms and conditions of the RFP without exceptions, including use of the SacRT Form of Agreement, or, alternatively, that Proposer has identified all contract exceptions in Part 5 of its Proposal.
F. Part 6 – Appendices
Proposer must carefully examine the RFP for required documentation not specifically covered in Parts 1 through 5 above and must place such documentation in an appendix.

Each Proposer must sign and submit the Forms and Certifications listed in the RFP Table of Contents as Part 7 of its Proposal. Only Prime Proposers are required to sign and submit the Forms and Certifications with Proposals, If any Forms or Certifications are subsequently required from the successful Proposer's team of subcontractors, they must be submitted to SacRT before the Contract with the successful Proposer is executed.
Also, for Contracts awarded at $150,000 or more, prior to Contract award, the selected Proposer must submit a Campaign Contribution Disclosure Form disclosing any campaign contributions in the aggregate of more than $250 made by the Proposer or its agents to any SacRT Board member within the 12 months preceding issuance of this RFP.
2.4 PROPOSAL EVALUATION
2.4.1 Evaluation Procedures
Proposals received that conform to the instructions provided in this Section of the RFP will be evaluated by an Evaluation Committee designated by SacRT. Proposals must comply with the requirements of this RFP to be deemed responsive.
The evaluation will be performed using the Evaluation Criteria, specified in Section 2.4.2 below, which will result in a rank ordering of firms based upon scoring of the Evaluation Committee.
Certain Proposers may be required to attend an oral interview as part of the final ranking process, based on a short-listing of firms. If oral interviews are held, the Proposals will be re-scored, using the same evaluation criteria published in this RFP and considering the information that was provided as part of the interviews. Previous clients of each Proposer may be contacted regarding the Proposer's past performance. Responses of previous clients may be considered as part of the proposal evaluation process.
If SacRT receives only one proposal or if because of some disqualifying action only one responsive and responsible proposal remains to be considered, SacRT will determine whether such proposal is fair and reasonable. SacRT may perform cost and price analysis to make such determination. If there is only one responsive Proposer, that Proposer must
CN 2026037 CONTRACT SCOPE PAGE 15
permit SacRT or its designee to review its cost records at reasonable times to determine whether the proposal is fair and reasonable.
2.4.2 Evaluation Criteria
SacRT’s evaluation criteria for responsive Proposals are listed below. Ranking will be based on a maximum of 100 points, using a scoring range of 1 to 10, and weighted as indicated below. The highest ranking for each category will be based on the submitted Proposal.

After the evaluations are completed and upon determination of the final scoring, SacRT may opt, in its sole discretion, to: (a) award without negotiations; (b) negotiate with all Proposers in the competitive range; or (c) commence contract negotiations only with the highest-scoring firm and, if negotiations with the highest-scoring firm are unsuccessful, begin negotiations with the next highest-scoring firm, etc. Negotiations will be held for the purpose of finalizing a recommendation of Contract award to the General Manager/CEO or the SacRT Board of Directors, as applicable.
If SacRT begins negotiations with all Proposers in the competitive range and the negotiations affect the price or scope of services, then all Proposers within the competitive range will be asked to submit a best and final offer (BAFO), which includes a resubmission of the full Proposal, including the price proposal. All BAFOs will be re-scored based on the same evaluation criteria published in this RFP and considering all information provided to SacRT in the original Proposal, at oral interviews, during negotiations, and in the BAFO.
CN 2026037 CONTRACT SCOPE PAGE 16
If the highest-ranked Proposer did not include any contract exceptions, award will be made to highest-ranked Proposer. If the highest-ranked Proposer included Contract exceptions, SacRT may, but will not be obligated to, consider the exceptions, following the process set out in Section 2.3.2.
SacRT reserves the right to make award based on the original proposal without negotiations or make award based on the BAFO without consideration of any contract exceptions.
2.4.4 Contract Award Determination
The firm(s) submitting a responsive Proposal with the highest total weighted score, based on composite scoring of the Evaluation Committee, and including any applicable SBE/LBE point preference(s), will be determined to be the most qualified.
2.5 SACRT PROPOSAL POLICIES
2.5.1 RFP as the Basis for Proposals and Contract
This RFP, including any addenda, represents the most definitive statement SacRT will make concerning information upon which Proposals are to be based. Any information, verbal or written, that is not contained in this RFP and addenda thereto will not be considered by SacRT in evaluating the Proposals and will not be binding on SacRT.
2.5.2 Minor Irregularities
SacRT reserves the right to waive minor irregularities in a Proposal. An irregularity in a Proposal may be waived if the waiver does not give the Proposer an unfair advantage.
SacRT may disregard Proposal computations that contain obvious mathematical errors in addition, subtraction, multiplication, and division. When such mathematical errors appear, SacRT may, but will not be obligated to contact Proposer and request clarification of the proposed pricing.
When an item price is required to be set forth in the Proposal and the total price for the item does not agree with a figure that is derived by multiplying the item price by the estimated quantity of work to be performed for that item, the item price will prevail over the total extended price for the item. The total to be paid for each item will be based upon the item price and not the total extended price for the item. If the Proposal contains only a total extended price for the item, and not the item price, SacRT will determine the item price by dividing the total price for the item by the stated estimated quantity of work to be performed for that item.
2.5.3 Rejection of Proposal
Unauthorized conditions, limitations, or provisions attached to a Proposal may cause its rejection.
This RFP does not commit SacRT to award a Contract. SacRT reserves the right to reject all Proposals. If SacRT rejects all Proposals, the solicitation may be abandoned, readvertised, or performed in any manner authorized under the SacRT Procurement Ordinance or applicable law.
CN 2026037 CONTRACT SCOPE PAGE 17
SacRT will not be responsible for any cost to any Proposer associated with preparing the information solicited or obtained.
Non-acceptance of any responsive Proposal will not imply that the Proposal is deficient.
Non-acceptance of any Proposal will mean that the accepted Proposal was deemed to be higher-ranked based on the established criteria.
All material submitted becomes the property of SacRT.
2.5.4 Limitation and Award of Contract
The contents of the successful Contractor’s Proposal will be incorporated into the resulting contract. SacRT's Sample Contract is included as Attachment 2. SacRT reserves the right to rescind the Contract award if the selected Contractor is unable or unwilling to enter into a contract substantially identical to the Sample Contract, or the Contract as mutually negotiated, within 20 days from the date it is sent to the selected Contractor for execution.
Submission of a proposal to SacRT constitutes a binding offer to perform on the terms specified in this RFP and Contractor’s proposal. A selected Contractor that is unable or unwilling to enter into a contract sent for execution within the proposal validity period (as it may be voluntarily extended) may be deemed not responsible and ineligible to participate in future SacRT solicitations.
2.5.5 Debarred Bidders
Proposer, including any of its officers or holders of a controlling interest, must inform SacRT whether or not it is or has been on any debarred bidders' list maintained by the State of California or any federal agency. If Proposer is added to such a list during the performance of this Contract, it must inform SacRT. The FTA Grant Contract Provisions, if applicable, provide more information about federal debarment certification requirements.
2.5.6 Disclosure of Interests and Gratuities
Proposer, including any of its officers or holders of a controlling interest, must inform SacRT whether or not it has any conflict of interest or has provided gratuities to SacRT officers or employees as set out in the Interests and Gratuities Form.
2.5.7 Disclosure of Proposal Information
A. Exclusive Property
Responses to this RFP will be the exclusive property of SacRT and are subject to disclosure under the California Public Records Act.
Those elements of each Proposal that are trade secrets, as the term is defined in Civil Code Section 3426.1(d) or otherwise exempt by law from disclosure and which are prominently marked as TRADE SECRET, CONFIDENTIAL, or PROPRIETARY may not be subject to disclosure. This may include private financial information about a Proposer, but does not include the proposed price submitted as part of the Proposal and any information related to how the price was determined.
B. Disclosure of Records
(1) Unless a State or Federal law or regulation requires that information or a document is exempt from disclosure to third parties, SacRT does not
CN 2026037 CONTRACT SCOPE PAGE 18
consent to withhold information, merely because it is accompanied by a routine confidentiality statement.
(2) As provided by State and Federal laws, regulations, and guidance, SacRT will review information and documents that are the subject of each confidentiality request to determine the extent to which SacRT must withhold the information or those documents.
(3) Any genuinely confidential or privileged information must be:
(a) Marked clearly and specifically as “TRADE SECRET” or
CONFIDENTIAL” or “PROPRIETARY,” and
(b) Accompanied by a statement detailing why the information is exempt from public disclosure under State and Federal law. Simply restating the Civil Code definition of a “TRADE SECRET” is not sufficient. The statement must include a factual and legal analysis supporting the Proposer’s conclusion that the specific document marked is exempt from disclosure.
C. Exemption from Disclosure may be deemed Unresponsive
SacRT will take into consideration documents that the Proposer deems exempt from disclosure, which must be marked “TRADE SECRET” or “CONFIDENTIAL” or
“PROPRIETARY.”
Proposers that indiscriminately identify all or most of their Proposals as exempt from disclosure without justification may be deemed unresponsive and disqualified from further participation in this competitive procurement.
D. Indemnification of SacRT by Proposer
Proposer agrees to defend and indemnify SacRT in any action on a Public Records Act request for any of the contents of a Proposal marked “TRADE SECRET” or “CONFIDENTIAL” or “PROPRIETARY.”
Proposer agrees to absorb all costs and expenses, including attorneys’ fees, in any action or liability arising from Proposer’s claim that its documents are exempt from disclosure under the Public Records Act.
E. Public Interest
The public interest exemption of the California Public Records Act provides that an agency may withhold the disclosure of a record by showing that the public interest served by not making the record public clearly outweighs the public interest served by disclosure of the record.
Proposers must sign the attached California Public Records Act Acknowledgement form and submit with the proposal.
2.5.8 Use of RFP Ideas
SacRT reserves the right to use any or all of Proposer‘s ideas as set forth in its Proposal.
Selection or rejection of the Proposal does not affect this right.
CN 2026037 CONTRACT SCOPE PAGE 19
2.5.9 Facilities and Resources
Proposer must furnish all equipment, facilities, labor, supervision, and any and all other required materials and services, except as set out in Section 3.0, Contract Scope, or as otherwise specified in its Proposal. No SacRT resources (personnel, facilities, or equipment) will be provided unless agreed upon in writing.
2.5.10 Organizational Conflicts
Due to their participation as either a prime contractor or subcontractor in past or current SacRT contracts, the following firms may be deemed ineligible to participate in this Contract as either a prime contractor or subcontractor due to the existence of an Organizational Conflict of Interest, as further set out in the Special Conditions section of this solicitation:
NONE FOUND
A firm that believes its eligibility for either this Contract or future contracts may be affected by this provision is encouraged to contact SacRT with any questions regarding the applicability of this provision.

3.0 CONTRACT SCOPE
3.1 Intent
Contractor must provide security guard services to patrol SacRT’s light rail stations and parking lots, on light rail vehicles, at SacRT facilities, and to respond to calls for service on the system. Contractor must be able to provide approximately: 1 Guard Manager, 6 Guard Supervisors, 16 Mobile Vehicle Guards, and 24 Station-Train Guards. Contractor must also perform additional guard services as needed (See Section 3.8 below, subject to execution of an amendment to the Contract to include a new guard type and pay rate if not included in the Pricing Proposal Form). SacRT seeks security guard services that are managed and carried out by personnel that are competent, reliable, professional, customer-oriented, and transit-oriented. The scope of this RFP assumes 47 personnel with an approximate annual hours of 2,080 each for: Guard Manager, Guard Supervisors, Mobile Vehicle Guards, and for Station- Train Guards. The annual hours and number of personnel are only an estimate. SacRT does not guarantee a minimum number of hours or number of personnel to be staffed for any position.
3.2 Term
To allow for Contractor to begin transition activities, the Contract term will commence upon full execution of the Contract and continue until January 30, 2032. Contractor’s obligation to commence security services will begin February 1, 2027.
Contractor and SacRT must agree on a mobilization and staffing plan no later than January 1, 2027 to be prepared for the February 1, 2027 service commencement date.
3.3 Overview
SacRT’s Contract with Contractor for security guard services will not be exclusive. SacRT reserves the right, in its sole and absolute discretion, to enter into other contracts for security guard services, whether or not those services are included in the scope of this Contract.
Contractor must provide security guards in accordance with the work schedule provided in Section 3.8, Work Schedule, Requirements and Job Description Duties.
SacRT reserves the right to modify the coverage (hours and shift), type, and level of service provided as deemed necessary by SacRT to meet its security needs. Contractor must be able to fulfill requests for up to 20 additional guards within 48 hours from the time notified.
Contractor must maintain an office within the Sacramento Metropolitan area during the term of the Contract. Contractor must provide SacRT with a 24-hour telephone number allowing SacRT to contact Contractor with no more than a 30-minute delay. This is part of the overhead expense expected to be incorporated into the fully-loaded hourly rates.
3.4 Compensation
1. Contractor must pay the Guard Manager assigned to SacRT a minimum hourly wage of: (a) the minimum wage required by California law for the calendar year in which
CN 2026037 CONTRACT SCOPE PAGE 21
services are provided; plus (b) $3.00. Contractor must pay overtime rates when required by law.

Contractor must pay overtime rates when required by law.
5. At a minimum, Contractor must provide health insurance coverage as defined in the
Internal Revenue Code (26 USC Section 9832) for each employee, at no cost to the employee. Contractor must submit copies of its health insurance coverage contract and health insurance enrollment forms, as specified in SacRT’s written request, to SacRT within 15 days of receipt of the request. SacRT may enforce the medical coverage requirement by withholding, from the amounts owed to Contractor, a penalty equal to the sum of the monthly cost of coverage for one person multiplied by the number of Contractor’s employees assigned to SacRT’s contract that SacRT determines have not been provided health insurance coverage, multiplied by the number of months of omitted coverage. The monthly cost of coverage for one person must be based on either Contractor’s actual costs, if Contractor provides SacRT with a copy of its health insurance contract, or Kaiser’s group plan rate for employers comparable in size and type of business as Contractor.
Contractor must also allow employees to “opt-out” of the health insurance coverage offered by Contractor. However, SacRT will accept this option only under the following conditions:
a. Contractor’s employees may choose to “opt-out” of the health insurance coverage offered by Contractor if they can prove that they have alternative health insurance coverage equal to, at a minimum, health insurance coverage as defined in the Internal Revenue Code (26 USC Section 9832). The monthly “cash-in-lieu-of” payment to employees who “opt-out” of Contractor’s health insurance coverage for one person must be based on one-half (50%) of Kaiser’s lowest employee-only Group Plan rate, available to all employees, for employers comparable in size and type of business as Contractor;
b. Contractor must submit to SacRT written confirmation of each employee’s separately-obtained health insurance coverage, as specified in SacRT’s written request, within 15 days of receipt of the request; and

coverage for one person multiplied by the number of Contractor’s employees assigned to SacRT’s contract that SacRT determines have not been provided health insurance coverage, multiplied by the number of months of omitted coverage.
6. Contractor will not be reimbursed for overtime unless it is specifically authorized in writing by SacRT Police Services Superintendent or Senior VP, Security, Safety and Customer Satisfaction.
7. Payments to Contractor will be based on the fully-loaded hourly rates specified in
Contractor’s Pricing Proposal Form.
3.5 Drug and Alcohol Testing
Contractor must institute procedures for pre-employment drug and alcohol testing for all guards to be assigned to SacRT to the extent permitted by state and federal law. In addition, Contractor must institute procedures for reasonable suspicion testing for all guards consistent with applicable state and federal law. At a minimum, testing must be done to detect the presence of cocaine metabolites, phencyclidine (PCP), opiate metabolites, amphetamines and alcohol. Department of Transportation (DOT) drug and alcohol testing procedures do not apply to non-safety-sensitive positions.
3.6 Specific Requirements
