4. Each Bidder shall include in its Envelope B Document 00 45 13 Bidder’s Responsibility
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 6
Statement and any other document which Document 00 27 00 Preconstruction Documents Checklist indicates.
5. SJRRC’s Vendor Portal is responsible for bid tabulations. Upon the bidder’s entry of their bid, the system will ensure that all required fields are entered. The system will not accept a bid for which any required information is missing. This includes all necessary pricing, subcontractor listing(s) and any other essential documentation and supporting materials and forms requested or contained in these Bid Documents in Section H.2 above.
6. BIDS REMAIN SEALED UNTIL BID DEADLINE. eBids are transmitted into the SJRRC’s
Vendor Portal via hypertext transfer protocol secure (https) mechanism using SSL 128- 256 bit security certificates issued from Verisign/Thawte which encrypts data being transferred from client to server. Bids submitted prior to the “Bid Due Date and Time” are not available for review by anyone other than the submitter who has until the “Bid Due Date and Time” to change, rescind or retrieve its proposal should it desire to do so.
7. BIDS MUST BE SUBMITTED BY BID DUE DATE AND TIME. Once the bid deadline is reached, no further submissions are accepted into the system. Once the Bid Due Date and Time has lapsed, bidders, proposers, the general public, and SJRRC staff are able to immediately see the results online. SJRRC staff may then begin reviewing the submissions for responsiveness, and other issues. SJRRC may require any Bidder to furnish statement of experience, financial responsibility, technical ability, equipment, and references.
8. Submission of the electronic bid into the system may not be instantaneous. Due to the speed and capabilities of the user’s internet service provider (ISP), bandwidth, computer hardware and other variables, it may take time for the bidder’s submission to upload and be received by the SJRRC’s Vendor Portal. It is the bidder’s sole responsibility to ensure their bids are received on time by the SJRRC’s Vendor Portal. SJRRC is not responsible for bids that do not arrive by the required date and time.
9. ACCESSIBILITY AND AMERICANS WITH DISABILITIES ACT (ADA) COMPLIANCE:
To request a copy of this solicitation in an alternative format, contact the Procurement and Contracts Department at least five (5) working days prior to the Bid/Proposal due date to ensure availability.
10. Pursuant to the terms contained in the Contract Documents, high-cost materials may be purchased immediately following SJRRC’s selection of a Bidder; those materials on hand but not incorporated into the work are eligible for a progress payment.
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 7
O. MODIFICATION OR WITHDRAWAL OF BID
1. Any bid may be withdrawn without forfeiture of bid security at any time prior to the bid due date and time. The withdrawal of any bid shall not prejudice the right of a Bidder to file a new bid prior to the deadline established in the Notice Inviting Sealed Bids.
2. Unauthorized conditions, limitations, or provisions attached to the bid will render it informal and may cause its rejection. The completed bid forms shall be without interlineations, alterations, or erasures. Alternative bids will not be considered unless specifically requested. Oral, telegraphic, or telephonic bids or modifications will not be considered.
P. NOT USED
Q. DISQUALIFICATION OF BIDDERS
1. A Bidder will be disqualified if the Bidder, acting as a prime contractor, has an interest in more than one bid. In that event, all of that Bidder's bids will be rejected and the Bidder will be disqualified. This restriction does not apply to subcontractors or suppliers who may submit quotations to more than one Bidder, and while doing so, may also submit a bid as a prime contractor.
R. STATE AND FEDERAL REQUIREMENTS
1. Contractor's License: A California class [“A/B”] contractor’s license is required to bid this contract. Bids will not be accepted from a Contractor who is not licensed in accordance with the laws of the State of California.
2. Prevailing Wage: The provisions of the California Labor Code will be incorporated in and govern this contract award. Bidder agrees to pay to each craft, classification, or type of workman the prevailing wage determined by the State of California, Director of Industrial Relations, in the published wage scale determination, a copy of which is available at the principal office of SJRRC and which shall be made available to any interested party on request, and to comply with California Labor Code §§ 1777.5, 1776.
Contractor shall also post a copy of the prevailing wages at the job site. If the Federal Prevailing wage established under the Davis Bacon Act is higher than the wage established under the wage established under the California Labor Code for any craft, contractor will comply with the Davis Bacon Act.
3. Required Contractor and Subcontractor Registration. SJRRC shall accept Bids only from Bidders that (along with all Subcontractors listed in Document 00 43 36 Subcontractors List) are currently registered and qualified to perform public work pursuant to Labor Code Section 1725.5. Subject to Labor Code Sections 1771.1(c) and (d), any Bid not complying with this paragraph shall be returned and not considered; provided that
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 8 if Bidder is a joint venture (Business & Professions Code Section 7029.1) or if federal funds are involved in the Contract (Labor Code Section 1771.1(a)), SJRRC may accept a non-complying Bid provided that Bidder and all listed Subcontractors are registered at the time of Contract award.
4. Federal Compliance: NOT USED.
5. Other Requirements: See the forms listed in the Contract and provided in Division 00.
S. PRE-BID MEETING
1. A pre-bid conference will be held on the date established in Document 00 11 16 Notice Inviting Sealed Bids, Section D of the IFB.
T. LIQUIDATED DAMAGES
1. This Contract includes provisions for liquidated damages as specified in Document 00 52 13, Article 1.g.
U. BID OPENING
1. See the Notice Inviting Sealed Bids for the date, time, and place for opening of bids.
2. SJRRC will open all Bidders’ Envelope A’s as indicated above, initially evaluate them for responsiveness, and determine an apparent low bidder. SJRRC will not open Envelope B’s publicly, and except for the apparent low bidder’s Envelope B (or as otherwise provided in Paragraph 3 below), they will remain unopened.
3. If any apparent low bidder is determined to be non-responsive or non-responsible, SJRRC may proceed to examine the next apparent low bidder’s Envelope B and proceed for all purposes as if this apparent low bidder were the original apparent low bidder.
V. DISCREPANCIES IN BIDS
1. If there is more than one item on the Bid Form, the bidder shall furnish a price for all bid items. Failure to do so will render the bid non-responsive and shall cause its rejection.
2. The bidder shall state in figures the specific sums which it proposes to supply the labor, materials, supplies, or machinery, and completely perform the Contract. The total amount of each item bid, and the total amount of the bid shall be stated in figures. Discrepancies between the multiplication of units of work and unit prices (if any) will be resolved in favor of the unit prices. Any discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. Subject to the
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 9 other rules in this paragraph 2, discrepancies between written words (if any) and figures will be resolved in favor of the words.
3. SJRRC will make its best efforts to notify the bidders of any found discrepancy in a timely matter along with any needed corrective actions. While SJRRC will make its best efforts, it is the Bidders responsibility to comply with any deadlines as required by law.
4. Pursuant to Public Contract Code sections 5100-5110, Bidders shall not be relieved of the bid unless by consent of SJRRC. SJRRC must receive a Bidder’s written request to withdraw its Bids prior to the Bid opening time fixed in this Document 00 21 13. For SJRRC to consent to a Bidder’s request to withdraw its bid, the Bidder must establish to SJRRC’s reasonable satisfaction that:
(a) A mistake was made, specifying in the notice in detail how the mistake occurred.
(b) Bidder gave SJRRC written notice within five working days, excluding Saturdays, Sundays, and state holidays, after the opening of the bids of the mistake.
(c) The mistake made the bid materially different than the Bidder intended it to be.
(d) The mistake was made in filling out the bid and not due to error in judgment or to carelessness in inspecting the site of the work, or in reading the plans or specifications.
SJRRC has sole discretion to consent to a bid withdrawal.
5. A Bidder who claims a mistake or who forfeits their bid security shall be prohibited from participating in further bidding on the project on which the mistake was claimed or security forfeited.
W. EVALUATION AND CONSIDERATION OF BIDS
1. SJRRC reserves the right to reject any and all bids and waive any inconsequential defect or minor irregularity in any bid received and to be the sole judge of the respective merits of the respective bids received. SJRRC reserves the right to reject any or all nonconforming, non-responsive, unbalanced, or conditional bids, and to reject the Bid of any bidder if it believes that it would not be in the best interest of SJRRC to make an award to that bidder, whether because the Bid is not responsive or the bidder is not qualified or of doubtful financial ability or fails to meet any other pertinent standard or criteria established by SJRRC. For purposes of this Paragraph, an “unbalanced Bid” is one having nominal prices for some work items and enhanced prices for other work items.
2. The Contract award, if made, will be made to the lowest responsible and responsive bidder. The apparent low bid will be determined solely on the Total Bid Price based on terms contained in Document 00 41 13 Bid Form – Stipulated Sum. All Bidders are required to submit Bids on all Bid items (including any alternates). SJRRC has absolute discretion to determine the lowest responsible and responsive Bidder.
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 10
3. SJRRC may retain the Bid, bid securities or bid bonds of other than the Apparent Low
Bidder for a period of one hundred and twenty (120) calendar days after award or full execution of the Contract, whichever first occurs.
4. The Contract will not be awarded to any Bidder that cannot give satisfactory assurance of its ability to perform the contract. Each Bidder may be required to furnish satisfactory evidence that it has sufficient means and facilities and has had ample experience in the type of work contemplated herein to deliver the materials, furnish the equipment and devices, and complete the installation in accordance with the specifications and within the time limit guaranteed.
5. In selecting the lowest responsible, and responsive bidder, consideration will be given to the general competence of the bidder for the performance of the work covered by the bid.
To receive favorable consideration, a bidder may be required to present evidence that it has successfully performed similar work of comparable magnitude or submit other evidence satisfactory to SJRRC that it or its associates are personally competent to manage the proposed undertaking and to carry it forward to a successful conclusion.
Professional integrity and honesty of purpose shall be essential requirements. A showing of adequate financial resources may be required but will not alone determine whether a bidder is competent to undertake the proposed work.
6. Only manufacturers or contractors of established reputation, or their duly authorized dealers or agents, having proper facilities for the manufacture of the materials or equipment and for servicing same, or for proper execution of the work called for in the Contract, will be considered in making the award. See Article F. above for prequalification requirements for certain Subcontractors.
7. Owner reserves the right to reject any or all bids as may be required to provide for the best interests of SJRRC.
X. BID PROTESTS.
1. Any Bid protest must be received in writing to SJRRC’s offices at 949 E. Channel Street, Stockton CA 95202, before 2:00 p.m. of the fifteenth (15) calendar day after staff recommendation for award has been made public. SJRRC will use reasonable efforts to deliver by email a copy of Document 00 50 50 Notice of Intent to Award to all bidders who submitted bids no later than the business day after issuance, although any delay or failure to do so will not extend the bid protest deadline described above.
2. The initial protest document must:
a. Specifically identify the Contract to which the protest relates.
b. Contain a complete statement of the basis for the protest, including specific reference(s) to the specific portions of the document(s) that form the basis for the
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 11 protest.
c. Specify the ruling or relief desired from SJRRC.
d. Include the name, address, telephone number, and email address of the person representing the protesting bidder.
e. Expressly request the members of SJRRC Protest Review Panel to hold a conference, to discuss the merits of the protest, if the protesting bidder desires such a conference. (Failure to expressly request such a conference in the initial protest document shall conclusively waive any right of the bidder to request such a conference.)
3. Only bidders who SJRRC otherwise determines are responsive and responsible are eligible to protest a bid; protests from any other bidder (or anyone else, such as prospective subcontractors) will not be considered. In order to determine whether a protesting bidder is responsive and responsible, SJRRC may open and evaluate information contained in any of protesting bidder’s bid envelopes which are not otherwise opened at the public bid opening, and conduct the same investigation and evaluation as SJRRC is entitled to make regarding an apparent low bidder.
4. The bidder filing the protest must concurrently transmit a copy of the initial protest document and any attached documentation to all other parties with a direct financial interest that may be adversely affected by the outcome of the protest. Such parties shall include all other bidders who appear to have a reasonable prospect of receiving an award depending upon the outcome of the protest.
5. No formal briefs or other technical forms of pleading or motion are required, but the initial protest document and other submissions should be concise, logically arranged, clear, and legible.
6. Any additional information requested or required by SJRRC from the protesting bidder, or interested parties, shall be submitted as expeditiously as possible, but in no case later than five (5) days after the receipt of such request unless specifically approved in writing before expiration of that five (5) day period by SJRRC.
7. The procedure and time limits set forth in this Article are mandatory and are a bidder’s sole and exclusive remedy in the event of a bid protest. A bidder’s failure to comply with these procedures shall constitute a waiver of any right to further pursue the bid protest, including filing a Government Code Claim or legal proceedings. A bidder may not rely on a protest submitted by another bidder but must timely pursue its own protest.
8. Materials submitted by a protesting bidder will not be withheld from any interested party outside of SJRRC or from any governmental entity which may be involved in the protest, except to the extent that the withholding of information is permitted or required by law or regulation. If the protesting bidder considers that the protest contains proprietary materials which should be withheld, a statement advising of this fact may be affixed to the
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 12 front page of the protest document and the alleged proprietary information must be so identified wherever it appears.
9. Protest submissions received by SJRRC after the time periods specified above shall be deemed to be untimely and shall be denied on that basis.
Y. ADDITIONAL POST-AWARD DELIVERABLES
1. See Document 00 73 00 Supplementary Conditions SC-10 for certain deliverables/submittals required for the successful Contractor.
Z. EXECUTION OF CONTRACT
1. Contractor shall execute Document 00 52 13 Contract – Stipulated Sum and returned with the prescribed executed bonds, insurance certificates and all other items required to be submitted with the Contract identified in SC-02 and Document 00 27 00 Preconstruction Documents Checklist within ten (10) days after receipt by the Contractor of the Notice of Award. Failure to return the signed and executed Contract with the prescribed items within the ten (10) day limit shall be just cause for the annulment of the award and the forfeiture of the Bidder’s Bid Bond.
2. SJRRC shall issue Notice to Proceed within a reasonable time (or as agreed at the pre-construction meeting) following receipt of all required Contractor items and SJRRC’s execution of the Contract.
3. The work shall be commenced within ten (10) calendar days after receipt of Notice to
Proceed and must be completed within the time allowed after the date specified in the Notice to Proceed, or if no starting date is specified, within the time limit allowed from the date on which work actually started.
4. Following award of Contract, SJRRC will prepare a Conformed Contract reflecting
Addenda (and other procurement documents) issued during bidding, which will, failing objection, constitute the approved Contract Documents and shall be referred throughout this IFB as the “Contract”.
AA. TAXES
1. The bid prices set forth in the Bid Form shall include all Federal, State and local taxes applicable to the work or materials furnished and no claims for additional costs of any such tax shall be made.
BB. INELIGIBLE CONTRACTORS AND SUBCONTRACTORS
Contract No. 27-R-28-00 Issued for Bid 00 21 13 - 13
1. SJRRC will reject a Bid from a Bidder who is ineligible to bid or work on, or be awarded, a public works project pursuant to Labor Code Section 1777.1 or 1777.7. Bidders and the Contractor who is awarded the Project Contract shall not utilize, or allow work by, any subcontractor who is ineligible to bid or work on, or be awarded, a public works project pursuant to Labor Code Section 1777.1 or 1777.7. (See Public Contract Code Section 6109.) The California Division of Labor Standards Enforcement publishes a list of debarred contractors and subcontractors on the Internet at www.dir.ca.gov/DLSE/debar.html.
CC. PUBLIC RECORDS
1. This IFB and any material submitted by a proposer in response to this IFB and opened by SJRRC are subject to public inspection under the California Public Records Act (Government Code § 7920 et seq.) (Act), unless exempt by law. Bids will remain confidential, to the extent permitted by law until SJRRC Board has authorized award and executed the contract.
2. If Bidder believes any communication contains trade secrets or other information that is exempt from disclosure under the Act, the Bidder shall request that SJRRC withhold from disclosure the proprietary information by marking each page containing such exempt information as confidential and identify the specific Section of the Act as the authority forth the exemption at the time of submission of its proposal responding to this IFB.
Bidder may not designate its entire Proposal or Bid as confidential. Bidder may not designate its Cost/Price Proposal or Bid forms (if opened by SJRRC) as confidential.
3. If Bidder requests that SJRRC withhold from disclosure information identified as confidential, and SJRRC complies with the Bidder’s request, Bidder shall assume all responsibility for any challenges resulting from the non-disclosure, indemnify and hold harmless SJRRC from and against all damages (including but not limited to attorneys’ fees that may be awarded to the party requesting the Bidder information), and pay any and all cost and expenses related to the withholding of Bidder information, including SJRRC’s legal fees and costs incurred in any court or other legal proceeding. Bidder shall not make a claim, sue or maintain any legal action against SJRRC or its directors, officers, employees or agents in connection with the withholding from disclosure of Bidder information.
4. If Bidder does not request that SJRRC withhold from disclosure information identified as confidential as set forth herein, SJRRC shall have no obligation to withhold the information from disclosure and may release the information sought without any liability to SJRRC.
5. Information disclosed in the Pre-Qualification Statement and the attendant opened submissions are the property of SJRRC unless Bidder makes specific reference to data that is considered proprietary. Subject to the requirements in the Act, reasonable efforts will be made to prevent the disclosure of information except on a need-to-know basis
