In the event any of the required insurance policies are canceled or not renewed, the Contractor shall provide a substitute insurance policy with terms and conditions and in amounts which comply with the terms of this solicitation and, specifically with regard to "claims made" policies, which provide for retroactive coverage to the date of cancellation or nonrenewal to fill any gaps in coverage which may exist due to the cancellation or nonrenewal of the prior "claims made" policies. With respect to all "claims made" policies which are renewed, the Contractor shall provide coverage retroactive to the date of commencement of work under this Agreement.

Bidders hereby acknowledges that upon award of the contract, the successful bidder’s failure to obtain and carry the required insurance set forth above on behalf of the Village subjects the Contractor to liability for damages, indemnification and other legal remedies available to the parties hereto and/or non-parties. The failure of the Village to object to the contents of the policy of insurance and/or certificate of insurance, or the Contractor’s failure to file a certificate of insurance shall not be deemed a waiver of the insurance requirements, or of any and all rights held by the Village.
