By written agreement, the Contractor must require each Subcontractor, to the extent of the Work to be performed by the Subcontractor, to be bound to the Contractor by terms of the Contract Documents, and to assume toward the Contractor all the obligations and responsibilities, including the responsibility for safety of the Subcontractor's Work, which the Contractor, by these Contract Documents, assumes toward the County and Architect.

2. Each subcontract agreement must preserve and protect the rights of the County and Architect under the Contract Documents with respect to the Work to be performed by the Subcontractor so that subcontracting thereof will not prejudice such rights, and must allow to the Subcontractor, unless specifically provided otherwise in the subcontract agreement, the benefit of all rights, remedies and redress against the Contractor that the Contractor, by the Contract Documents, has against the County.

3. Where appropriate, the Contractor must require each Subcontractor to enter into similar agreements with Sub-subcontractors.

4. The Contractor must make available to each proposed Subcontractor, prior to the execution of the subcontract agreement, copies of the Contract Documents to which the Subcontractor will be bound, and, upon written request of the Subcontractor, identify to the Subcontractor terms and conditions of the proposed subcontract agreement which may be at variance with the Contract Documents. Subcontractors will, similarly, make copies of applicable portions of such Contract Documents available to their respective proposed Sub-subcontractors.

IX. ADMINISTRATION OF THE CONTRACT

A. Architect

IFB Event #1279 – Bexar County FSC Medical Examiners Renovation 16 | Page of 41

1. County reserves the right to appoint a representative empowered to act for County to supersede the Architect's responsibility to the extent set forth in written notice to the Architect and Contractor. With respect to such superseded responsibilities as set forth in the notice to the Architect and Contractor, Architect must no longer bear responsibility in those areas from and after the effective date of such notice, unless and only to the extent from the time that Architect must be redirected to resume responsibility by County. Similarly, from time to time, County may expand or reduce County's delegation of powers to the Architect, with County so notifying Contractor of any such changes. The Architect must not be construed as a third-party beneficiary to the Contract and can in no way object to any expansion or reduction of powers as set forth herein.

2. In no event, however, must County have control over or charge of, or be responsible for, construction means, methods, techniques, sequences or procedures, or for safety precautions or programs in connection with the Work, since these are solely the Contractor's responsibility. The County will not be responsible for the Contractor's failure to carry out the Work in accordance with the Contract Documents. The County will not have control over nor charge of and will not be responsible for the acts or omissions of Contractor, Subcontractors, or their agents or employees, or of any other persons performing portions of the Work.

B. Architect’s Administration of Contract

1. The Architect will provide administration of the Contract as described in the Contract Documents.

The Architect will have authority to act on behalf of the County only to the extent provided in the Contract Documents. The Architect will advise the Contractor with regard to matters set forth in the Drawings and Specifications. In addition to any specific responsibilities assigned elsewhere in the Contract Documents, the Architect must decide any and all questions which may arise as to the rate of progress of the Work. The Architect will have authority to act on behalf of the County only to the extent provided in the Contract Documents, unless otherwise modified by written instrument.

2. The Architect, as a representative of the County, will visit the site at intervals appropriate to the stage of the Contractor's operations:

a. to become generally familiar with and to keep the County informed about the progress and quality of the portion of the Work completed;

b. to endeavor to guard the County against defects and deficiencies in the Work; and

c. to determine if the Work is being performed in a manner indicating that the Work, when fully completed, will be in accordance with the Contract Documents. However, the Architect will not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of the Work. The Architect will neither have control over nor charge of, nor be responsible for, the construction means, methods, techniques, sequences or procedures, or for the safety precautions and programs in connection with the Work, since these are solely the Contractor's rights and responsibilities under the Contract Documents.

3. The Architect will not be responsible for the Contractor's failure to perform the Work in accordance with the requirements of the Contract Documents. The Architect will not have control

IFB Event #1279 – Bexar County FSC Medical Examiners Renovation 17 | Page of 41 over nor charge of and will not be responsible for acts or omissions of the Contractor, Subcontractors, or their agents or employees, or any other persons or entities performing portions of the Work. However, the Architect will be responsible for notifying the County, in writing, of any illegal, improper or unsound means, methods, techniques, sequences, procedures, safety precautions or programs and/or any acts or omissions of Contractor that are known by Architect.

4. Except as otherwise provided in the Contract Documents, or when direct communications have been specially authorized, the County and Contractor must endeavor to communicate with each other, directly, about matters arising out of or relating to the Contract. Communications by and with the Architect's consultants must be through the Architect. Communications by and with Subcontractors and material suppliers must be through the Contractor. Communications by and with separate contractors must be through the County.

5. Based on the Architect's evaluations of the Contractor's Application for Payment, the Architect will review and, when appropriate, certify the amounts due the Contractor and issue Certificates for Payment in such amounts.

6. The Architect will have authority to reject Work that does not conform to the Contract Documents.

Whenever the Architect considers it necessary or advisable, the Architect will have authority to require inspection or testing, whether or not such Work is fabricated, installed or completed.

However, neither this authority of the Architect nor a decision made in good faith, either to exercise or not to exercise such authority, must give rise to a duty or responsibility of the Architect to the Contractor, Subcontractors, material and equipment suppliers, their agents or employees, or other persons or entities performing portions of the Work.

7. The Architect will review and approve or take other appropriate action upon the Contractor's submittals such as Shop Drawings, Product Data and Samples but only for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents. The Architect's action will be taken with such reasonable promptness as to cause no delay in the Work or in the activities of the County, Contractor or separate contractors, while allowing sufficient time, in the Architect's professional judgment, to permit adequate review.

Review by the Architect of such submittals is not conducted for the purpose of determining the accuracy and completeness of other details such as dimensions and quantities, or for substantiating instructions for installation or performance of equipment or systems, all of which remain the responsibility of the Contractor as required by the Contract Documents. The Architect's review of the Contractor's submittals must not relieve the Contractor of the obligations. The Architect's review must not constitute approval of safety precautions or, unless otherwise specifically stated by the Architect, of any construction means, methods, techniques, sequences or procedures. The Architect's approval of a specific item must not indicate approval of an assembly of which the item is a component.

8. The Architect will review Change Orders and Construction Change Directives, and may authorize minor changes in the Work.

9. The Architect will conduct site visit to determine the date or dates of Substantial Completion and to assist County in determining the date of Final Completion. Further, the Architect will receive and forward to the County, for the County's review and records, written warranties and related documents required by the Contract and assembled by the Contractor. Additionally, the Architect

10. If the County and Architect agree, the Architect will provide one or more project representatives to assist in carrying out the Architect's responsibilities at the Project site. The duties, responsibilities and limitations of authority of such project representatives must be as set forth in an exhibit or amendment to be incorporated in the Contract Documents.

11. The Architect will interpret and decide matters concerning performance under, and requirements of, the Contract Documents on written request of either the County or Contractor. The Architect's response to such requests will be made in writing within any time limits agreed upon or, otherwise, with reasonable promptness. If no agreement is made concerning the time within which interpretations required of the Architect, then delay must not be recognized or adjusted in the Construction Schedule on account of failure by the Architect to furnish such interpretation until fifteen (15) days after written request is made for them.

12. Interpretation and decisions of the Architect will be consistent with the intent of, and reasonably inferable from, the Contract Documents and will be in writing or in the form of drawings. When making such interpretations and initial decisions, the Architect will endeavor to secure faithful performance by both County and Contractor, will not show partiality to either and will not be liable for results of interpretations or decisions rendered in good faith.

C. Claims and Disputes

1. A Claim is a demand or assertion by County or Contractor seeking, as a matter of right, adjustment of Contract terms, payment of money, extension of time, or other relief with respect to the terms of the Contract. The term "Claim" also includes other disputes between the County and Contractor arising out of, or relating to, the Contract. The responsibility to substantiate Claims must rest with the party making the Claim.

2. Claims by either party must be initiated within sixty (60) days after occurrence of the event giving rise to such Claim or within sixty (60) days after the claimant first recognizes the condition giving rise to the Claim, whichever is later. Claims must be initiated by written notice to the Architect and the other party.

3. Pending final resolution of a Claim, the Contractor must proceed diligently with performance of the Contract, and the County must continue to make payments in accordance with the Contract Documents.

4. County may, in its sole discretion, bypass any or all requirements and procedures for handling Claims and proceed to mediation or litigation.

5. If the Contractor wishes to make Claim for an increase in the Contract Sum, written notice as provided herein must be given before proceeding to execute that portion of the Work for which such increase is sought. Prior notice is not required for Claims relating to an emergency endangering life or property.

6. If the Contractor believes additional cost is involved for reasons including but not limited to:
