10.0 SPECIAL CONTRACT REQUIREMENTS

10.0.1 Variation in Quantity

A modification to the purchase order must be executed before additional quantities may be ordered that exceed the contract amount.

10.0.2 Purchase Order Modifications:

The Contracting Officer may issue unilateral modifications to adjust the purchase order affected by circumstances previously described under various sections of this Performance Work Statement. These modifications may add new line items (e.g. to account for restocking fees, change in delivery location, etc.) or they may remove line items and adjust quantities (e.g. to account for package size variations, actual delivery quantity variations, or the addition of new priced work). As with the issuance of this purchase order it is incumbent upon the contractor to notify the official who issued the modification of any disagreement with or cost impact of the modification within 3 business days. Lack of contractor communication can be construed as agreement with the modification. The Contracting Officer and the Contractor will make reasonable attempts to communicate and agree to acceptance of contract changes prior to issuance of a modification.

This intent of this paragraph is to allow both the Contracting Officer and the Contractor flexibility with regard to ordering, order changes, and order settlement in accordance with the other sections of this purchase order, the effective price list at the time the order was placed, and the Contractor's standard commercial practices. This paragraph does not limit the Government's rights detailed elsewhere in applicable law and this contract.
